RESOLUTION 2014-001

AMENDING PROVISIONS OF SAMAHANG MAGKAKAPITBAHAY NG

BUKID AREA PUNTURIN ASSOCIATION INCORPORATED BY-LAWS,
ASSOCIATION NAME AND OTHER PURPOSES

Whereas, the SMBAPI organization needs to continue in the process of securing tenure
of the land they are occupying;

Whereas, the legal processes compels the association to comply with provision of
RA9904 and register with Housing and Land Use Regulatory Board;

Whereas, the members are taking the necessary steps to succeed in their goals.

Therefore the Board of Directors of the Corporation at a meeting convened and held on
January 12, 2014, at 77 P. Faustino St. Punturin Valenzuela City at which a quorum
was present and voting throughout and that such resolution is now in full force and
effect and is in accordance with the provisions of the charter and by-laws of the
Corporation.

“RESOLVED THAT SAMAHANG MAGKAKAPITBAHAY NG BUKID AREA

PUNTURIN ASSOCIATION INCORPORATED AMENDS IT’S ARTICLES OF
INCORPORATION AND BY-LAWS BY CHANGING ITS NAME TO SAMAHANG
MAGKAKAPITBAHAY NG BUKID AREA PUNTURIN HOMEOWNERS
ASSOCIATION INCORPORATED.”

“RESOLVED THAT SAMAHANG MAGKAKAPITBAHAY NG BUKID AREA

PUNTURIN HOMEOWNERS ASSOCIATION INCORPORATED SHALL ADOPT A
NEW BY-LAWS TO COMPLY WITH HOUSING AND LAND USE REGULATORY
BOARD REQUIREMENTS TO COMFORM IN THE PROVISIONS SETFORTH IN
RA9904 MAGNA CARTA FOR HOMEOWNERS ASSOCIATION.”

“RESOLVED FURTHER, THAT THE AMENDED ARTICLES OF INCORPORATION

AND BY-LAWS OF SAMAHANG MAGKAKAPITBAHAY NG BUKID AREA
PUNTURIN HOMEOWNERS ASSOCIATION INCORPORATED HAS BEEN
APPROVED BY THE MAJORITY VOTE OF THE BOARD OF DIRECTORS AND TWO
THIRD (2/3) VOTE OF THE QUALIFIED MEMBERS AND CERTIFIED UNDERS
OATH BY THE SECRETARY AND MAJORITY OF THE DIRECTORS OF THE
ASSOCIATION.”
