LAND PURCHASE AGREEMENT

I. The Parties. This Land Purchase and Sale Contract (“Agreement”) made on
[ ] (“Effective Date”), is between:

Buyer: EDUARD JUNSAY BARCELONA (“Buyer”), younger brother of the deceased owner
(CHARLIE J. BARCELONA) who agrees to buy, and:

Seller: RAZEL JUNSAY BARCELONA and JOHN MARK CACHO BAYBAYAN (“Seller”) sons of the
deceased owner (CHARLIE J. BARCELONA) who agree to sell and convey the real property
describe in Section II. Buyer and Seller shall be collectively known as “Parties.”

II. LEGAL DESCRIPTION. The real property is described as vacant land with total gross area of 3,656
SQM located in CAMANGAAN BINALONAN, PANGASINAN.

III. Amount of the Property. After acceptance by all Parties, the buyer agrees to make a payment in
the amount of PHP 500,000 (FIVE HUNDRED THOUSAND PESOS ONLY)

IV. Terms & Conditions. The buyer shall be only allowed to continue the construction or any
improvement of the said property once the buyer has fully paid the agreed amount.

The Buyer shall settle the amount of PHP 250,000 as initial payment upon signing of this
agreement and settle the remaining PHP 250,000 a month after signing this agreement.

Upon singing this agreement, the buyer shall settle all taxes and fees mandated by law.

V. TERMINATION. Failure to settle the agreed amount of PHP 500,000 (FIVE HUNDRED THOUSAND
PESOS ONLY) by the ( ) will render this agreement null and void, any amount given in
partial payment shall not be returned/reimbursed.

IN WINTESS WHEREOF, the buyer and Seller have executed this Agreement as of the day and
