Yaadhum Oorey,

Yaavarum Kaylir…
-Kaniyan Poongundran
Hello. :)

Thank you for your interest in, and intent towards, Kaylir Canteen. In the following
pages, you will learn more about what kind of a restaurant institution we are trying
to set up, but first we’d like to give you a brief insight into the
revolutionary/foolish(only time will tell which it is) motives behind what we are
trying to do. We are setting out on a noble mission, to show that

Doing good is Profitable

We are building to be a profitable, social enterprise. The key difference in our

approach, which will enable our success will be that at every decision making level,
we will train, educate and strive to be a sustainability first and an impact first,
for-profit initiative.

The secret sauce to this entire operation is -

a sense of community and a conscious expression of kindness;

which will be the foundational building blocks of this business. Hence the name
‘ேகளிர் ேகண்ன்,’ inspired from the first lines of Kaniyan Poonngundran’s song that
reads, ‘யாம் ஊேர யாவம் ேகளிர்(Yaadhum Oorey, Yaavarum Kaylir)’ which
means, all lands are our homeland and all people are our kith and kin.

We will set up systems and processes that enable everyone, to treat everything,
with care, empathy, tolerance, good sense and attention to detail, and the balance
sheet will reflect why this is the new and improved way to approach business.

Looking forward to having you onboard this journey, together we will create a
movement to benefit all and thus benefit ourselves!

What are we doing?

We are setting up a food business to create a meaningful impact on the

community. We know and agree that food is a fundamental necessity for
sustenance, and is one of the most natural ways to bring people together and
influence their lives in a positive manner. Therefore, serving people delicious,
nutritious food, regularly, will be a powerful catalyst to do good!

We are setting up a business with cleanliness, excellence, tolerance and

professionalism as its integral core values. We are going to operate with kindness,
integrity, a positive attitude and a sense of humour. We will be seen as
aspirational, by setting the bar for how a business can operate with these
qualities.

We are creating an ecosystem of empathy - employees, partners, customers,

vendors and shareholders who care for each other, and therefore themselves.
We are aiming to be amongst the best organisations to be associated with
locally, then nationally and perhaps globally.

We are opening Kaylir Canteen.

3
The Pitch

We are inviting you to be amongst the first embers that will make the flame of this
vision burn bright. Individuals willing to invest time, energy, social capital, skill capital
and actual capital(financial), to fuel this design of doing good. And also enjoy the
benefit of a profitable return on investments made.

You only need to buy into the idea and feel the feels we feel, there is no other entry
barrier to be a part of the team. The company is issuing 10,00,000 units of preference
shares, priced at just Rs.16/- each. In order to make it meaningful and sustainable, we
require everyone to buy a minimum of 30 shares, which totals up to Rs.480/- (16X30).
You can be a shareholder with an investment starting from as low as just Rs.500. If
you’re willing to put that upfront, then Welcome Aboard! Any amount, over our mini-
mum, and divisible by 16, that you are willing to invest to help build this institution you
believe in will be gratefully accepted.

It isn’t just about the money, this isn’t a gold membership into an exclusive club, it is
the first handshake into an inclusive community. Please also invest your time, energy,
knowledge and access to the network of solutions at your disposal. There will be no
greater resource to make possible these ideas you believe in, than many of us working
hand-in-hand towards achieving them.

What dishes should we add next?

What's the biggest impact you want to see made?
How do you see food bringing people together?
These are just some of the many questions that are better answered as a community
of like-minded individuals coming together to solve big problems, than as a decision
taken in a boardroom by a CEO.

We will keep you updated about everything happening every step of the way. Reach
out to you proactively to be part of focus groups, whatsapp polls, tastings and more.
And also have a feedback loop in place, to listen to every healthy and respectful idea,
observation, feedback or critique you may have. We'll bring the functional expertise,
the operational experience and the managerial excellence, but all of us together will
become the journey that defines what Kaylir means for the larger community.

Come let’s build something unique, kind and brilliantly wonderful. :)

4
What is Kaylir Canteen?
A canteen offering simple, familiar, fresh food at an acces-
sible budget, to patrons from all walks of life. We plan to
not look, feel or operate like conventional budget restau-
rants that Chennai is familiar with. Come check out the
space. It has a unique vibe.

Every nook and cranny envisioned to be pristine. Nothing

dirty. Nothing out of place. No dust collecting on fans or
cobwebs combing ceiling corners! Simply because of how
it is maintained, the establishment will be top of the class.
At first glance, the space will immediately put a patron’s
mind at ease.

Using good design, planning and efficient processes, we will give the space a high degree
of versatility. The venue will not only handle the breakfast, lunch and dinner rush with
ease, but also be a fluid space for the community during early mornings, early in the eve-
nings and late at night for more meaningful engagement. We will host events, organise
meet-ups, run a night school for adults, have pin up boards to support local businesses,
sell tickets to the arts, book clubs, open mics, cooking classes, contests, concerts,
debates, and more. Being unique, fun and filled with opportunities for self-exploration and
artistic expression. We will connect as a community, by creating a passive platform for the
exchange of good ideas. An inviting and nurturing, long-lost village square.

We will constantly push the boundaries to go beyond just serving food to people:

Eco-friendly/reusable packaging

Subscription food delivery services akin to the Dabbawallahs of Mumbai

Recycle and compost everything we use, push to be zero waste

Pay-it-forward practices that encourage patrons to emulate kindness, generosity and

the other positive values we stand for

Tell stories on social media by engaging with the community

Have fun with our patrons and make them each an ambassador of the brand.

5
What kind of food is
available at Kaylir
Canteen?

We will serve simple, good quality food at an accessible price point. A no-scroll menu,
with just enough items to be displayed within a single mobile screen. Each item
discussed, fussed over, tested and hand-picked, and then prepared with care and
attention, like at a Michelin star restaurant or in your grandma's kitchen.

The menu will be mostly South Indian - inspired from recipes, produce, ingredients,
lifestyles and traditions native to this part of the country and its people. The food will
excite patrons by being consistent in its repeated delivery of excellence in every plate.
We also say ‘mostly South Indian,’ because some hand-picked non-South Indian fare
is also plated, to keep us innovating and keep things interesting for the many passion-
ate cooks in the kitchen and the many regulars amongst our patrons. We will serve a
cuisine that will easily become a part of a community’s regular lifestyle, while also
changing and being just sufficiently unfamiliar, to continue being an exciting habit
rather than a mundane routine.

Ingredients mostly all grown within a distance of a two day drive from your home.
Good quality dairy. Fair traded raw materials. Tasty recipes that will focus on helping
one eat sufficient protein and fibre along with carbs and fats. Using the best practices
and communicating the same, to drive messaging about advantages of eating fresh
food, importance of portion control and the relevance of a balanced diet with all nec-
essary food groups, based on each individual’s requirement.

We want people to have access to food that breaks the idea that eating regularly at
a restaurant is bad for you. Eating at Kaylir Canteen thrice a week should mean you
have potentially made three good food decisions that week. We aren’t trying to
peddle ‘health-food,’ we wish to show that the food we eat regularly can be tasty
without being nutritionally unbalanced.

6
What will a patron experience at
Kaylir Canteen?

We target serving 2800+ people per day, between walk-ins, take-aways, deliveries
and subscriptions, within 12 months of operation. Kaylir, in that time, will grow into a
Quick Service Restaurant capable of efficiently handling this quantity of circulation.

We will open early, close late, operate continuously through that time and focus on
great repeated visitor experience. The restaurant will operate in a hybrid self service
model. Every meal experience will be pleasant, tasty, fast-to-deliver, refreshing,
intuitive and stress free for everyone.

Patrons can place orders using their phones, they can ask staff for assistance if they
need help ordering on their smartphones or can walk up to one of the multiple avail-
able billing counters or kiosks, if they don’t want to use their phones. Once they’ve
placed their order, during tiffin service, they’ll be assigned to a call sign and can find a
seat or lean or lounge until their sign is called out. They collect their food from the
counter, return to their preferred position and enjoy their meal. During lunch time,
after they’ve placed their orders, they’ll be assigned seats in the pandhi. Plates
pre-served with vegetables will be distributed to all the seats along with tokens
assigned to each seat, based on their preferred type of feast. Sambar, rasam, butter-
milk and a whole host of additional items will get served sequentially, based on the
token at your seat.

Across all service times, once they have finished their meals, patrons will be required
to take their respective plates to one of multiple designated drop-off racks before
proceeding to wash or wipe their hands. They can choose to hang around and catch up
with other regulars, and new friends, until they return to their day, smiling with satia-
tion.

The canteen will become a place that buzzes with the energy of many people coming
to share ideas, debate issues and realise dreams. Having a meal or a coffee at Kaylir
Canteen will become a productive lifestyle habit. Artists will meet here. Businesses
will be made here. Kaylir Canteen will be a place that serves a boost of positivity along
with good food.

7
I’m Feeling sceptical.

Why?

Restaurants exist.

We’re a canteen.

Canteens also exist.

We serve Kalyaana Saapadu everyday.

You can’t eat Kalyana Saapaadu everyday.

We can eat mindful, healthy,
wholesome meals everyday.
We’ll help you make it an easy habit that
you’re not only comfortable with,
but also incredibly proud of.

Why be proud of what you eat?

Food that is Locally sourced and seasonally inspired.

Standardised and familiar, but with sufficient hints of creative variety.

Native ingredients that’ve been used locally for hundreds of years,

adapted to suit a modern and more adventurous palette.

Delicious, nutritious and professionally cooked.

You’re not just having food here multiple times a week,

you’re part of a movement that is making a difference.

You can definitely be proud of eating like that!

It isn’t easy to identify a single place where happy, engaged ‘staff’ are preparing meals
for patrons from all walks of life, and serving it like proud, eager hosts sharing nurturing
meals with guests they’ve invited to their homes. We want to offer such an experience
everyday.

If you do identify a place like this however, please tell us. We will go there, we will watch
them, learn from them, be inspired by them and aspire to soon compete with them and
eventually, collaborate with them!

For there’s always room for more to do good :)

8
What’s the Big Picture -
The idea is to design and develop a progressive cooperative that grows towards
self-sustenance, thus automatically accounting for profitability.

We are starting by creating a place of familiarity. Recapture the institution that used to
be centred on the joy of feeding people and scale up this ‘neighbourhood mess’ with-
out commoditising it.

Replicate this model across the city, not by franchising it but by organically growing
the community and increasing the capacity of the trained workforce. Use food as the
glue to bring people together and design systems to -
Create the quality, the atmosphere, and
the engagement for the customers;
Offer security, joy and engagement to the talent;
Showcase low attrition, efficiency and profitability to the shareholders.

Harness the energy of an organised people, to accelerate wide-ranging change and

innovation, to solve critical problems such as, food wastage due to poor planning, and
wastage of man-hours due to poor motivation. Run a tight ship by creating a place that
is wonderful to work in, with a strong sense of ownership and meaning. Learn, practise
and institute a fundamentally more responsible form of capitalism.

Each individual outlet will be poised to grow into an institution in its own right. Visitors
to the city will have Kaylir Canteen in their list of must-dos in the city. We will inspire
fierce loyalty in our patrons, we will be a Woodlands drive-in, a Grand Sweets, a
Sathyam Cinemas, a CSK and more. Kaylir Canteen will grow to stand for Chennai, her
language, her spirit and her people.

Develop into a dense mission-centric network that is enabled to work together smartly
and efficiently, starting right from farms growing the food at one end, to an intelligent
waste management system at the other. A self-sustaining co-operative attempting to
operate across the entire cycle.

9
What do I get -

You get a share certificate that identifies you as a preference shareholder of the
company and a vital member of a pioneering effort to build something challenging,
meaningful and potentially groundbreaking at Kaylir Canteen. As a preference
shareholder you also stand to get 14% returns on your investment every year,
distributed in 2 parts.

You will get annual dividends, equal to 7% of your total investment, each year.
Dividends will be paid out, on the 30th of April every year, post completion of a
minimum of 1 year from your date of investment, for 5 years.

You will get food credit, equivalent to another 7% of your total investment, each year.
Redeemable starting from your date of investment, for 5 years and renewed on the
31st of January every year.

At the end of 5 years, from your date of investment, the company will buy back all the
preferential shares you own, at minimum of Rs.16/- per share. The offer price could be
more, based on the intrinsic valuation of the business at that time.

At the time of exit, you will be offered an exclusive opportunity to become an equity
shareholder in the canteen. You can avail it if you choose to further grow your fortunes
together with us long term.

The dividends will be paid out as per the terms mentioned. If during a certain period
of operation, the company isn’t immediately able to pay out the dividends, in part or in
entirety, it will be paid out cumulatively, at the next dividend payout.

There can be no better reason to invest, than to do good. But you’re also getting a
healthy dividend, excellent food, plus your investment is in an almost recession proof
sector, in an almost entirely free from risk venture! The deal is too good and yet true! :)

10
The Risk
We’re choosing a category within an industry that is a necessity and not a luxury,
which makes our offering recession proof. We have laid out our plans with
sustainability as a fundamental goal, therefore our projections, while challenging,
have also been made with the consideration of having steady, organic growth in the
business long term. And of course, we’re also creating a network of stakeholders, from
a wide spectrum of the society, which will offer a trove of solutions to problems faced
by the business, thus helping greatly mitigate the risk of failure. However, even with
the best of intentions and resources, markets crash, storms break, rains fall and
floods flood.

No business is without risk. Your investment with us will be under threat if we fail as a
business. In case of such an unlikely scenario arising, preference shareholders such
as yourselves, will be the first shareholders, to be paid out, from any settlements
made against receivable dues to the company or against assets owned by the
company.

We have taken a detailed look at risks we may encounter, while we are working hard to
manage what we’ve foreseen, we feel the responsible approach is to keep you
informed. So…
The risks perceived at this stage:

a. Risk related to our business:

i. If we are unable to attract customers to our canteen, or sustain a
relationship with our customers
ii. If we are unable to maintain standards set and expected of us in the long
run to sustain our customer base
iii. If we are unable to sustain and grow our turnover, increase our profits, cash
flows
These can impair the prospects of our business

b. Any pandemic-like scenario (i.e. Covid-19) will severely impact the continuity of our
operations, and have significant impact on our investment

c. If we fail to manage our growth effectively, we may be unable to execute our

business plan or maintain high levels of service and satisfaction, and our business,
results of operations, and financial condition could be adversely affected.

d. In case we do not maintain, or improve our technology infrastructure, standard

operating procedures, the same could impact our business adversely.

e. In case there are deviations from the processes and practices we set up, by our
employees, or service providers, the same could impact our business adversely.

f. Any business venture operates to generate profits and to increase the wealth of its
stakeholders. However, in the short run, the business may incur losses and may erode
wealth generation due to business and marketing decisions which are taken
considering the long term perspective.

11
g. Loss of one or more of the key personnel in management, due to personal health
related reasons, may impact the style of functioning, and may ultimately have an
impact on operations of the company

h. We have material dependency on online delivery platforms like Zomato, Swiggy etc.
if we do not operate efficiently on such platforms, and receive favourable reviews and
ratings, our revenue from such platforms may decline and this could have an impact on
our operations

i.Our profitability could be impaired due to high payment processing charges payable to
payment gateways and card operators, as we may not be able to pass on such costs to
the end customers

j. While we strive to have standards of hygiene higher than those required by statutory
bodies and legislations, the cost of such compliance, and impact due to any disruption
on account of any non-compliance could have significant impact on operations as well
as going concern. Certain statutory and regulatory licences and approvals are required
for conducting our business and any failure or omission to obtain, maintain or renew
these licences and approvals could adversely affect our business and results of
operations.

k. Failure to comply with the existing laws and regulations applicable to our business
could subject our Company to disruption in operations

l.Unfavourable media coverage could harm our brand, business, financial condition,
cash flows and results of operations.

Investments in a business always comes with an element of risk. We request you to

consider all such information including business-related uncertainties, and then make a
suitable investment decision.

onboarding driven, industrious members everyday now and we hope to have you join
the team as well. This is who we have on the roster so far -

dream is to provide livelihood to a large community and Kaylir Canteen is his first step
towards it.
