VOTING TRUST AGREEMENT

KNOWN ALL MEN BY THESE PRESENTS:

This AGREEMENT, made and executed by and between:

a corporation duly
organized and existing under the laws of the Republic of the Philippines, with principal office address at
, herein represented by its of legal age, with residence at hereinafter referred to as
"PRINCIPAL"

of legal age, Filipino citizen and with residence at , hereinafter referred to as the
"TRUSTEE”

WITNESSETH:

WHEREAS, PRINCIPAL is the registered owner of a total of shares of the capital stock

The above described shares shall be referred to as the “Subject Shares".

WHEREAS, the PRINCIPAL desire to transfer the voting rights over the Subject
Shares to the TRUSTEE;

WHEREAS, the TRUSTEE has agreed to accept the TRUST;

NOW THEREFORE and in consideration of all the foregoing and the terms set forth hereunder, the PARTIES
hereby agree that:

1. The PRINCIPAL have this day deilvered to the custody of TRUSTEE the
certificates covering the Subject Shares.

2. The TRUSTEE shall have full power and authority to vote upon the Subject
Shares, as in the judgment of the TRUSTEE, may be for the best interest of the Corporation, including but not
limited to the right to vote for every corporate purpose, in the election of directors of the Corporation and upon
any and all matters and question which may be brought before the stockholders during such meetings.
3. The TRUSTEE shall collect and receive all dividends that may accrue upan tha Subject Sharea, and prompily
remit the same to the PRINCIPAL.

4. The trust hereby created shall be irrevocable and binding for three (3) years from date hereof.
