duly elected and qualified Corporate Secretary of KAMURA FARM VENTURES
HOLDINGS, INC., a corporation duly organized and existing under the laws of
the Philippines, under oath, does hereby certify that during the meeting of the
Board of Directors of the Corporation held on September 17, 2019 the following
resolutions were unanimously approved:

“RESOLVED, that EASTWEST BANK-BAGUIO RIZAL

MONUMENT STORE be as it hereby designated as the bank which the
funds of the Corporation shall be deposited. Accordingly, the Corporation
may open any type of deposit(s) account with the said bank, such as but
not limited to Current, Savings, Time Deposits, including short term
placements, whether the same be a Peso deposit account, or in any other
form of currency, (e.g. US Dollar Accounts).

RESOLVED, FURTHER, that any withdrawals from the Corporate

account(s), including check(s), note(s), drafts drawn against said bank
account(s) as well as any other debit instructions of transfer of fund from
the Corporate account shall bear the signature(s) of any two (2) of the
following:

FINALLY RESOLVED, that the foregoing resolutions shall
