BUSINESS COLLABORATION AGREEMENT

“Strength through Collaboration & Building the Business Community”

MISSION & VISION


Our Mission is to build a vibrant and strong business community in Langkawi through effective
business collaboration.
Our Vision is to provide unrivalled customer service through a “one stop” commission free website
promoting strategic Langkawi business partnerships which offer intelligently priced, best in class
experiences for mutual customers.
An “Activities & Event Menu” for all to choose from, securing an increase in customer base for
all involved.
AIMS
The primary purpose of this BCA (Business Collaboration Agreement) is to:
• To increase recognition & market presence for all Group members.
• To be introduced through association to potential new clients.
• Saving money by sharing certain marketing costs and maximizing use of existing
marketing channels to promote other Group members.
• Sharing marketing workload and entering new market potential.
• Identify and develop new products/packages/services.
• Adding value to each respective business.

• MORAC Adventure Park.
• Your Cruise Sensation.
• Fenlon’s Irish Kitchen.
• MEGAWater Sports
• DEV`S Adventure Tours
• Attitude Resport Langkawi

Membership within this collaborative Group is contingent on acceptance by a simple majority of


Group members as is withdrawal of membership.

COMPLIMENTARY SERVICES
Advertising together and sharing costs where agreed and appropriate.
Teaming up for PR campaign opportunities.
Advertising on each other’s websites and customer displays.
Offering commission-free discounts for each other’s products.
Starting a referral scheme for new customers.
Sharing each other’s social media posts.
Sharing permitted customer data for direct targeted advertising and promotions.
Group members will identify any potential new partners with complimentary services to join and
engage with the Group.
Developing a “Langkawi-Fun” website and social media presence to promote all Group members.

JOINT & INDIVIDUAL BRANDING & COMMERCIALS


Branding for all Group members will be independent.
Special religious/cultural/demographic considerations are to be mutually respected.
Members are responsible for their own costs in relation to their own individual marketing.
Group members retain sole rights to their own brands, logos and marketing materials.
No Group member may alter or otherwise interfere with any other member’s brand or logo.
All members agree to allow the use of their logos and brands for the purposes of, but not limited
to, joint marketing exercises, promotional banners, flags, t-shirts, leaflets, digital mediums etc.
Similarly, Group members agree to allow the use of their brand and logo for group promotional
activities.
Group members will use best endeavors to ensure that all joint promotions are agreed within 48
hours of proposal however recognizing that this may not always be possible, members agree that
in the absence of any objection, 2 group members can agree on all members behalf after a period
of 48 hours has passed.

SHARING OF RESOURCES, IP OWNERSHIP & ADMINISTRATION


All group members agree, when possible, to make staff resources available for meetings and
planning activities.
Members agree to allow the sharing of their display equipment if appropriate and needed.
Members agree to display other members advertising bunting, banners, posters as appropriate at
each member's respective business locations.
Members agree to allow, if possible and appropriate, the use of their locations for promotional
events for all or any combination of other Group members
Blarney Stone will invest, register, and lead the development and administration of the Group
website which will be available equally among all active Group members.
The “Langkawi-Fun” domain name is owned by The Blarney Stone. The Langkawi-Fun logos
belong to The Blarney Stone, however, will only be used for activities within the group, where the
group can all mutually benefit. This includes the potential of group members increasing,
decreasing, or changing.
It is in all intended purposes an additional “front of house” platform available for all “Langkawi-
Fun” group members to benefit from, it does not apply to “back of house” which remains the
property, management, administration of each individual group member.
Viewer/visitor to the LF website will be redirected to other member websites, for follow up
bookings etc.. and a monthly “activities & events” calendar will be published by the administrator
of the website based on input supplied by the LF members.
OBLIGATIONS OF ALL PARTIES
To be open and transparent in all aspects of the business that fall within the BCA concept.
To promote each other’s business venture in a positive and constructive manner.
To develop and mutually agree business development ideas to achieve business growth potential.
To offer an agreed discount to all new customers that come through the Langkawi Fun website
and group management process.
To meet for management meetings on a regular basis to discuss ways of building the business
model.

CONFLICT RESOLUTION
The relationships within this Group are based on mutual respect, trust, and cooperation however,
recognizing the potential for conflict, the Group members agree that conflict will be resolved
through a group discussion and the outcome of a vote if a vote is deemed necessary.
Group members will do their best endeavors to ensure that all conflict resolution matters are
resolved within 48 hours.
All members agree that where resolution cannot be reached, then a “majority rules” decision
process will apply.
The opportunity exists for a group member to leave the group at any time if the group no longer
meets their needs.

THIS AGREEMENT IS NOT A LEGALLY BINDING CONTRACT but rather an


expression of intent to collaborate for the benefit of all Group members.
All Group members are responsible for their own business operations, costs and potential
liabilities arising thereof.

This agreement will be for a period of 1 year starting from the date of the last signatory to
the agreement.
