COFFEE SHOP NON-DISCLOSURE AGREEMENT (NDA)

This Coffee Shop Non-Disclosure Agreement ("Agreement") is made on [____________], by and

3. Obligations of the Recipient

3.1 Non-Disclosure: The Recipient agrees to keep all Trade Secrets and Confidential Information
confidential and not to disclose them to any third party, including employees or contractors who do not
have a legitimate need to know for the Purpose.
3.2 Use Restrictions: The Recipient shall use the Trade Secrets and Confidential Information solely for the
Purpose and shall not use them for any other purpose without the prior written consent of the Coffee
Shop.

3.3 No Reverse Engineering: The Recipient shall not reverse engineer, decompile, or disassemble any
products, recipes, or processes disclosed by the Coffee Shop.

4. Term and Termination

This Agreement shall be effective as of the date first above written and shall remain in effect until

by either Party with written notice.

5. Return of Information

Upon the written request of the Coffee Shop or upon the termination of this Agreement, the Recipient
