 1 Introduction
The Muwakkil (the principal) wishes to appoint the Wakil (the
agent) to be the agent of the Muwakkil with respect to the
investment of the Muwakkil's funds in Sharia'ah compliant
transactions through and as part of the Wakil's pool of
investment funds pursuant to the terms and conditions set
out in this Agreement and in compliance with the rules and
principles of the Islamic Sharia'ah as determined by the
Internal Sharia Supervisory Committee (ISSC) of Ajman Bank
embedded in this agreement acceptable.
2 Definitions and Interpretations
2.1 The following terms and expressions shall have the meanings
assigned to them herein unless the context requires
otherwise:
"Anticipated Profit" means the expected profit amount to be
earned by the Muwakkil, as specified in Schedule (1) Wakil
Offer and Muwakil Acceptance.
"Anticipated Profit Rate" means the rate of the Anticipated
Profit to be generated by the Wakeel in relation to the
Wakala Investment Transaction for the Muwakkil as specified
in Schedule (1) Wakil Offer and Muwakil Acceptance.
Business Day: A day on which the Muwakkil and the Wakil
are open for normal business.
Investment Amount: The amount invested in relation to an
Investment Transaction.
Investment Date: The due date for payment of the
Investment Amount in relation to an Investment Transaction,
which date shall be specified in the Wakil Offer.
Investment Transaction: An individual transaction between
the Muwakkil and the Wakil made pursuant to Clause 5.
Maturity Date: The date on which the Maturity Proceeds are
to be paid to the Muwakkil, as specified in the Wakil Offer.
Maturity Proceeds: The amount due to the Muwakkil on the
Maturity Date, calculated in accordance with the Wakil Offer.
Muwakkil Acceptance: A notice to be sent by the Muwakkil
to the Wakil substantially in the form set out in the First
Schedule.
Muwakkil Profit: The profit due to the Muwakkil calculated in
accordance with the Wakil Offer.
Wakil Offer: A notice to be sent by the Wakil to the Muwakkil
substantially in the form set out in the First Schedule.
Wakala Fees: Means a fee to be paid by Muwakkil to Wakil
for service rendered hereunder, as agreed between the
parties on a case by case basis.
2.2 The Schedules to this Agreement form an integral part
hereof.
2.3 References to Clauses and Schedules are references to
clauses of and schedules to this Agreement.
2.4 The headings are inserted for convenience only and shall not
affect the construction hereof.

‫ﻳﻌﻠﻦ ﻣﺼﺮف ﻋﺠﻤﺎن ﺑﻤﻮﺟﺐ ﻫﺬا اﻟﺒﻴﺎن أﻧﻪ ﻗﺪ ﺗﻢ ﺗﺮﺧﻴﺼﻪ وﺗﻔﻮﻳﻀﻪ ﻣﻦ ﻗﺒﻞ اﻟﻤﺼﺮف‬
‫ ﺟﻤﻴﻊ ﻣﻨﺘﺠﺎﺗﻨﺎ وﺧﺪﻣﺎﺗﻨﺎ ﻣﺘﻮاﻓﻘﺔ‬.‫ﻋﻤﺎل واﻟﺨﺪﻣﺎت اﻟﻤﺼﺮﻓﻴﺔ‬¢‫اﻟﻤﺮﻛﺰي ا’ﻣﺎراﺗﻲ ﻟﻤﻤﺎرﺳﺔ ا‬

 3 Conditions Precedent
Each Party shall provide the other with certified true original
specimen signature(s) of the individual(s) authorized to sign
on its behalf this Agreement and all other documents required
in connection herewith.
4 Wakala Terms and Conditions
4.1 The Muwakkil hereby appoints the Wakil to be the agent of
the Muwakkil for the investment of the Muwakkil's funds
through and as part of the Wakil's pool of treasury funds. The
Wakil is hereby authorized to enter into Sharia'ah compliant
transactions on behalf of the Muwakkil and for the Muwakkil's
account and to do all acts as fully as the Muwakkil could do
itself with respect to such transactions through purchase
agreements, sales agreements or other agreements and to
negotiate on behalf of the Muwakkil in relation thereto and to
exercise on the Muwakkil's behalf all other related powers
necessary to enable it to fulfill its obligations under this
Agreement.
4.2 The Wakil shall be acting as agent for the Muwakkil on
restricted limited agency on a deal by deal basis. Except as
expressly provided herein or where required by law, the Wakil
shall not have any authority to represent or bind the
Muwakkil, or purport to do so.
4.3 The Wakil hereby agrees with the Muwakkil that it shall in
performing its obligations under this Agreement look after the
interests of the Muwakkil and act dutifully and in good faith
and shall administer Investment Transactions with the same
degree of care as it exercises with regard to similar
transactions which it would administer on its own account.
Without prejudice to any remedies or damages to which
Muwakkil may be entitles under the Law, the Wakil shall have
liability to the Muwakkil if it acts in bad faith or with reckless
indifference to the Muwakkil's interest and shall compensate
the Muwakkil in respect of all actual costs and expenses
suffered or incurred by the Muwakkil as a consequence of the
Wakil's negligence, carelessness, misconduct or failure to
comply with any of the terms and conditions of this
Agreement.
4.4 The Muwakkil as principal shall bear all the risks associated
with the acts of the Wakil as agent for the Muwakkil except
those risks resulting from the Wakil's wilful misconduct,
carelessness or negligence or violation of the terms and
conditions hereof.
4.5 The Wakil shall be entitled to the agency fees specified in the
Wakil Offer in respect of each Investment Transaction.
4.6 If any commodities or other assets are purchased by the Wakil
in implementation of any Investment Transaction, then the
Wakil is hereby specifically unauthorized to repurchase such
commodities or assets for itself and the Wakil shall only sell
such commodities or assets to independent third parties when
the need arises.
5 Implementation of Wakalah Investment Transaction
5.1 Prior to entering into an Investment Transaction on behalf of the
Muwakkil, the Wakil shall agree the Muwakkil Profit that the Muwakkil
expects to achieve on the Investment Transaction. Any amount that the
Wakil earns in excess of the Muwakkil Profit will be retained by the Wakil
as an incentive after the deduction of the agency fee specified in the
Wakil Offer. In case the anticipated Muwakkil Profit is not achievable at the
start of the Investment Transaction, then the Wakil will need to resort back to the
Muwakkil to agree to invest at a lower rate, otherwise the Investment Transaction

‫ ﻣــﻦ ﺧــﻼل أي اﺗﻔﺎﻗﻴﺎت‬،‫ ﻓﻴﻤــﺎ ﻳﺘﻌﻠﻖ ﺑﻬــﺬه اﻟﻤﻌﺎﻣــﻼت‬،‫ﻛﺎﻣــﻞ ﺑﻨﻔﺴــﻪ‬
،‫ واﻟﺘﻔــﺎوض ﺑﺎﻟﻨﻴﺎﺑــﺔ ﻋــﻦ اﻟﻤــﻮﻛﻞ‬،‫ﺷــﺮاء أو ﺑﻴــﻊ أو أي اﺗﻔﺎﻗﻴــﺎت أﺧــﺮى‬
‫ وﻣﻤﺎرﺳــﺔ ﻛﺎﻓــﺔ ﺳــﻠﻄﺎت اﻟﻤــﻮﻛﻞ ﺑﺎﻟﻨﻴﺎﺑــﺔ ﻋــﻦ‬،‫ﻓﻴﻤــﺎ ﻳﺘﻌﻠــﻖ ﺑﺬﻟــﻚ‬
‫ ﻟﺘﻤﻜﻴــﻦ اﻟﻮﻛﻴــﻞ ﻣــﻦ اﻟﻮﻓــﺎء ﺑﺎﻟﺘﺰاﻣــﺎت‬£‫ ﻣﻤــﺎ ﻳﻜــﻮن ﺿﺮورﻳــ‬،‫اﻟﻤــﻮﻛﻞ‬

‫ وﻣــﺎ ﻟــﻢ ﺗﻨــﺺ ﻫــﺬه اﻻﺗﻔﺎﻗﻴــﺔ‬،‫ﺑﻨــﺎء ﻋﻠــﻰ ﻛﻞ ﺻﻔﻘــﺔ ﻋﻠــﻰ ﺣــﺪة‬
‫ أو ﻋﻨﺪﻣــﺎ ﻳﻨــﺺ اﻟﻘﺎﻧــﻮن ﻋﻠــﻰ ﻏﻴــﺮ‬،‫ﻋﻠــﻰ ﻏﻴــﺮ ذﻟــﻚ ﺑﺸــﻜﻞ ﺻﺮﻳــﺢ‬
‫ ﻟــﻦ ﻳﻜــﻮن ﻟﻠﻮﻛﻴــﻞ أي ﺳــﻠﻄﺔ ﻟﺘﻤﺜﻴــﻞ أو إﻟــﺰام اﻟﻤــﻮﻛﻞ أو‬،‫ذﻟــﻚ‬

‫ ﺳــﻮف ﻳﺄﺧــﺬ ﺑﻌﻴــﻦ‬،‫ﺧــﻼل ﺗﻨﻔﻴــﺬ واﺟﺒﺎﺗــﻪ ﺑﻤﻮﺟــﺐ ﻫــﺬه اﻻﺗﻔﺎﻗﻴــﺔ‬
‫ وﻳﺘﻮﻟــﻰ‬،‫ وﺳــﻮف ﻳﻌﻤــﻞ ﺑﻨﻴــﺔ ﺳــﻠﻴﻤﺔ‬،‫اﻻﻋﺘﺒــﺎر ﻣﺼﺎﻟــﺢ اﻟﻤــﻮﻛﻞ‬
‫اﺳــﺘﺜﻤﺎرات وﺻﻔﻘــﺎت ﻣﺸــﺎرﻛﺔ اﻟﻤــﻮﻛﻞ ﺑﺪرﺟــﺔ ﻋﻨﺎﻳــﺔ واﺟﺒــﺔ ﻣﺜﻠﻤــﺎ‬
.‫ﻳﻔﻌﻞ ﻣﻊ إدارة اﻟﺼﻔﻘﺎت اﻟﻤﻤﺎﺛﻠﺔ ﻟﻨﻔﺴﻪ‬
‫دون ا’ﺧــﻼل ﺑﺄﻳــﺔ ﺗﻌﻮﻳﻀــﺎت أو ﻣﺴــﺘﺤﻘﺎت ﻳﺴــﺘﺤﻘﻬﺎ‬
ً ‫ ﻳﻜــﻮن اﻟﻮﻛﻴــﻞ ﻣﺴــﺆو‬،‫اﻟﻤــﻮﻛﻞ ﺑﻤﻮﺟــﺐ اﻟﻘﺎﻧــﻮن‬
‫ﻻ ﻟﻠﻤــﻮﻛﻞ إذا‬
‫ﺗﺼــﺮف ﺑﺴــﻮء ﻧﻴــﺔ أو إﻫﻤــﺎل ﺑﻤــﺎ ﻳﺘﻌــﺎرض ﻣــﻊ ﻣﺼﻠﺤــﺔ اﻟﻤــﻮﻛﻞ‬
‫وﻳﻌــﻮض اﻟﻤــﻮﻛﻞ ﻓﻴﻤــﺎ ﻳﺘﻌﻠــﻖ ﺑﺎﻟﺘﻜﺎﻟﻴــﻒ واﻟﻨﻔﻘــﺎت اﻟﻔﻌﻠﻴــﺔ‬
‫اﻟﺘــﻲ ﻳﺘﻜﺒﺪﻫــﺎ اﻟﻤــﻮﻛﻞ ﻧﺘﻴﺠــﺔ ’ﻫﻤــﺎل أو ﻋــﺪم اﻫﺘﻤــﺎم أو‬
‫ﺳــﻮء ﻓﻌــﻞ أو ﻓﺸــﻞ ﻓــﻲ اﻻﻟﺘــﺰام ﺑﺄﻳــﺔ ﺷــﺮوط أو أﺣــﻜﺎم ﻓــﻲ‬
.‫ﻫــﺬه اﻻﺗﻔﺎﻗﻴﺔ‬
‫اﻟﻤــﻮﻛﻞ ﻛﺄﺻﻴــﻞ ﻳﺘﺤﻤــﻞ ﻛﺎﻓــﺔ اﻟﻤﺨﺎﻃــﺮ اﻟﻤﺮﺗﺒﻄــﺔ ﺑﺄﻋﻤــﺎل‬
4.4
‫ ﻛﻮﻛﻴــﻞ ﻋــﻦ اﻟﻤــﻮﻛﻞ ﺑﺎﺳــﺘﺜﻨﺎء اﻟﻤﺨﺎﻃــﺮ اﻟﺘــﻲ ﺗﻠﺠــﻢ ﻋــﻦ‬،‫اﻟﻮﻛﻴــﻞ‬
‫ﺳــﻮء اﻟﺴــﻠﻮك اﻟﻤﺘﻌﻤــﺪ أو ا’ﻫﻤــﺎل اﻟﺠﺴــﻴﻢ أو اﻧﺘﻬــﺎك اﻟﺸــﺮوط أو‬
.‫ﺣﻜﺎم اﻟﺘﻲ ﺗﻨﺺ ﻋﻠﻴﻬﺎ ﻫﺬه اﻻﺗﻔﺎﻗﻴﺔ‬¢‫ا‬
‫ﻳﺤــﻖ ﻟﻠﻮﻛﻴــﻞ اﻟﺤﺼــﻮل ﻋﻠــﻰ أﺗﻌــﺎب اﻟﻮﻛﺎﻟــﺔ اﻟﻤﺤــﺪدة ﻓــﻲ ﻋــﺮض‬

.‫اﻟﻮﻛﻴﻞ ﻳﺘﻌﻠﻖ ﺑﻜﻞ ﻣﻌﺎﻣﻠﺔ ﻣﻦ ﻣﻌﺎﻣﻼت اﻻﺳﺘﺜﻤﺎر‬
‫ﻓــﻲ ﺣــﺎل إذا ﺗــﻢ ﺷــﺮاء ﺳــﻠﻌﺔ أو أﻳــﺔ أﺻــﻮل أﺧــﺮى ﻣــﻦ ﻗﺒــﻞ اﻟﻮﻛﻴــﻞ‬

‫ ﻓــﻲ ﺗﻠــﻚ اﻟﺤﺎﻟــﺔ ﻻ ﻳﺠــﻮز ﻟﻠﻮﻛﻴــﻞ‬،‫ﻟﺘﻨﻔﻴــﺬ أﻳــﺔ ﻋﻤﻠﻴــﺔ إﺳــﺘﺜﻤﺎرﻳﺔ‬
‫ﺻــﻮل ﻟﻨﻔﺴــﻪ وﻳﺘﻮﺟــﺐ ﻋﻠــﻰ‬¢‫ﺧﺎﺻــﺔ إﻋــﺎدة ﺷــﺮاء ﺗﻠــﻚ اﻟﺴــﻠﻌﺔ أو ا‬
‫ﺻــﻮل ﻟﺠﻬــﺔ )ﺟﻬــﺎت( ﺛﺎﻟﺜــﺔ‬¢‫اﻟﻮﻛﻴــﻞ أن ﻳﺒﻴــﻊ ﺗﻠــﻚ اﻟﺴــﻠﻌﺔ أو ا‬
.‫ﻣﺴﺘﻘﻠﺔ ﻟﻤﺎ ﺗﻘﺘﻀﻲ اﻟﺤﺎﺟﺔ إﻟﻴﻪ‬
:‫ﺗﻨﻔﻴﺬ ﻋﻤﻠﻴﺔ اﻟﻮﻛﺎﻟﺔ اﻻﺳﺘﺜﻤﺎرﻳﺔ‬

‫ ﻳﻮاﻓــﻖ‬،‫ﻗﺒــﻞ اﻟﺪﺧــﻮل ﻓــﻲ ﺻﻔﻘــﺔ اﺳــﺘﺜﻤﺎرﻳﺔ ﻧﻴﺎﺑــﺔ ﻋــﻦ اﻟﻤــﻮﻛﻞ‬
5.1
‫اﻟﻮﻛﻴــﻞ ﻋﻠــﻰ أرﺑــﺎح اﻟﻤــﻮﻛﻞ اﻟﺘــﻲ ﻳﺘﻮﻗﻌﻬــﺎ ﻣــﻮﻛﻞ ﻓــﻲ ﺻﻔﻘــﺔ‬
‫ أي ﻣﺒﻠــﻎ ﻳﻜﺴــﺒﻪ اﻟﻮﻛﻴــﻞ ﻳﻔــﻮق رﺑــﺢ اﻟﻤــﻮﻛﻞ‬.‫اﻻﺳــﺘﺜﻤﺎر‬
‫ﺳــﻴﺤﺘﻔﻆ ﺑــﻪ اﻟﻮﻛﻴــﻞ ﻛﺤﺎﻓــﺰ ﺑﻌــﺪ ﺧﺼــﻢ أﺣــﺮة اﻟﻮﻛﺎﻟــﺔ‬
‫ ﻓــﻲ ﺣﺎﻟــﺔ ﻋــﺪم إﻣﻜﺎﻧﻴــﺔ ﺗﺤﻘﻴــﻖ‬.‫اﻟﻤﺤــﺪدة ﻓــﻲ ﻋــﺮض اﻟﻮﻛﻴــﻞ‬
‫ ﻓﻌﻠﻰ‬.‫أرﺑــﺎ اﻟﻤﻮﻛﻞ اﻟﻤﺘﻮﻗﻌﺔ ﻓــﻲ ﺑﺪاﻳﺔ اﻟﻤﻌﺎﻣﻠﺔ اﻻﺳــﺘﺜﻤﺎرﻳﺔ‬
‫إﺧﻄﺎر اﻟﻤﻮﻛﻞ ﺑﺬﻟــﻚ ﻟﻠﻤﻮاﻓﻘﺔ‬
‫ﻳﻌﻠﻦ ﻣﺼﺮف ﻋﺠﻤﺎن ﺑﻤﻮﺟﺐ ﻫﺬا اﻟﺒﻴﺎن أﻧﻪ ﻗﺪ ﺗﻢ ﺗﺮﺧﻴﺼﻪ وﺗﻔﻮﻳﻀﻪ ﻣﻦ ﻗﺒﻞ اﻟﻤﺼﺮف‬
‫ ﺟﻤﻴﻊ ﻣﻨﺘﺠﺎﺗﻨﺎ وﺧﺪﻣﺎﺗﻨﺎ ﻣﺘﻮاﻓﻘﺔ‬.‫ﻋﻤﺎل واﻟﺨﺪﻣﺎت اﻟﻤﺼﺮﻓﻴﺔ‬¢‫اﻟﻤﺮﻛﺰي ا’ﻣﺎراﺗﻲ ﻟﻤﻤﺎرﺳﺔ ا‬
‫ ﻟﻠﺤﺼﻮل ﻋﻠﻰ‬.‫ﻣﻊ أﺣﻜﺎم اﻟﺸﺮﻳﻌﺔ ا’ﺳﻼﻣﻴﺔ وﻣﻌﺘﻤﺪة ﻣﻦ ﻟﺠﻨﺔ اﻟﺮﻗﺎﺑﺔ اﻟﺸﺮﻋﻴﺔ اﻟﺪاﺧﻠﻴﺔ‬

would be discontinued.
5.2 On any Business Day during the business hours of the Wakil,
the Muwakkil may notify the Wakil by telephone or any other
media of its desire to enter into an Investment Transaction.
The Wakil shall then send the Muwakkil a Wakil Offer.
5.3 If the Muwakkil is willing to enter into the proposed
Investment Transaction, it shall send the Wakil a Muwakkil
Acceptance.
5.4 For the avoidance of doubt, the Parties agree that the Wakil
Offer and Muwakkil Acceptance may be executed and
delivered by email (in PDF, JPEG or any other agreed format).
Such transmission shall take effect as delivery of an executed
counterpart and shall have the same legal force and effect as
an original document and shall be admissible as an original
document. If such method of delivery is adopted, without
prejudice to the validity of the agreement thus made, each
party shall provide the others with the original of such
counterpart as soon as reasonably possible thereafter.
5.5 The Muwakkil shall pay the Investment Amount to such
account as the Wakil for value not later than the Investment Date.
5.6 The Wakil shall arrange for payment and collection of funds on
behalf of the Muwakkil and is hereby authorized to execute
and deliver any instruments of transfers which are necessary
in connection therewith.
5.7 Subject to clause 4.4, once the Investment Amount has been
paid to the Wakil and invested by the Wakil on the Muwakkil’s
behalf, the Wakil undertakes to pay as follows:
i. Pay Maturity proceeds based in the results of the
investment to the Muwakkil on the Maturity Date free from
any deductions, set off or withholdings of any kind to such
account as the Muwakkil shall have notified the Wakil.
ii. In case the Wakeel agreed to pay upfront the anticipated
profit amount of the Wakala Transaction to the Muwakkil,
following conditions will apply:
A) If the actual generated profit will not reach to the level of
Anticipated Prof it at the Maturity Date, then the difference
amount paid to the Muwakil will be recovered from the
Wakala Investment Amount.
B) In case of request of pre-mature withdrawal of the Wakala
investment amount by the Muwakkil, the paid upfront profit
to the Muwakkil shall be deducted from the Wakala
Investment Amount.
5.8 The currency of each Investment Transaction shall be as
agreed by both parties.
5.9 The parties hereby notify each other that in accordance with
their internal rules and procedures, all telephone calls made

‫ﻳﻌﻠﻦ ﻣﺼﺮف ﻋﺠﻤﺎن ﺑﻤﻮﺟﺐ ﻫﺬا اﻟﺒﻴﺎن أﻧﻪ ﻗﺪ ﺗﻢ ﺗﺮﺧﻴﺼﻪ وﺗﻔﻮﻳﻀﻪ ﻣﻦ ﻗﺒﻞ اﻟﻤﺼﺮف‬

 Transaction may be tape recorded by the parties.
Accordingly, each party:
(a) consents to the recording of the telephone conversations
of trading, marketing and/or other personnel of the parties
and their officers, employees, agents and affiliates in
connection with this Agreement or any potential Investment
Transaction.
(b) agrees to obtain any necessary consent of and give notice
of such recording to such personnel (as aforesaid) and
(c) agrees that recordings may be submitted as evidence in
any proceedings relating to this Agreement or any Investment
Transaction (accepted or otherwise).
6 Representations and Warranties
Each party represents and warrants for the benefit of the
other party from the date of this Agreement and on each
Investment Date that:
6.1 It has the legal capacity to enter into this Agreement and the
Investment Transactions contemplated hereunder;
6.2 The execution by it of this Agreement has been duly
authorized;
6.3 This Agreement and each Investment Transaction
contemplated hereunder will be binding and enforceable
upon it and will not violate the terms of any other agreement
to which it is a party; and
6.4 It has and will at all times maintain all authorizations,
approvals, I icenses and consents required to enable it
lawfully to perform its obligations under this Agreement.
7 Governing Law and Jurisdiction
7.1 This Agreement and the construction, performance and
validity hereof shall be governed in all respects in accordance
with the laws of the United Arab Emirates save to the extent
these conflict with the rules and principles of the Islamic
Shari'ah, when the latter shall prevail. The parties hereto
agree to be bound by exclusive determination of the Fatwa
and Shari'ah Supervisory Board of Ajman Bank (the "Board")
as to whether any such conflict exists, and if it does the
appropriate provision(s) of the Islamic Shari'ah to be applied.
The court(s) shall apply the applicable provision(s) of the
Islamic Shari'ah so determined by the Board to apply.
7.2 The parties hereto hereby submit to the jurisdiction of the
United Arab Emirates courts for the purpose of any
proceedings arising out of or in connection with this
Agreement.

8.1 A notice shall be deemed to have been given when received.

‫ﺣــﻮال ﻟﻘﻮاﻧﻴــﻦ دوﻟــﺔ ا’ﻣــﺎرات اﻟﻌﺮﺑﻴــﺔ‬¢‫ﻓــﻲ ﺟﻤﻴــﻊ ا‬
‫ ﺑﻤــﺎ ﻻ ﻳﺘﻌــﺎرض ﻣــﻊ أﺣــﻜﺎم وﻣﺒــﺎدئ اﻟﺸــﺮﻳﻌﺔ‬،‫اﻟﻤﺘﺤــﺪة‬
‫ وﻳﻮاﻓــﻖ اﻟﻄﺮﻓــﺎن ﻋﻠــﻰ اﻟﺘﺰاﻣﺎﺗﻬﻤــﺎ ﺑﻔﺘــﺎوى‬،‫ا’ﺳــﻼﻣﻴﺔ‬

‫‪8.5 This Agreement constitutes the entire agreement between‬‬ ‫‪ 8.5‬ﺗﺸــﻜﻞ ﻫــﺬه ا’ﺗﻔﺎﻗﻴــﺔ اﺗﻔﺎﻗــ‪ £‬ﻛﺎﻣـ ً‬
‫ﻼ ﺑﻴــﻦ اﻟﻄﺮﻓﻴــﻦ‪ ،‬ﺣﻴــﺚ أن ﻗﺒــﻮل‬
‫‪the two parties. The two Parties' acceptance of this‬‬ ‫اﻟﻄﺮﻓﻴــﻦ ﻟﻬــﺬه ا’ﺗﻔﺎﻗﻴــﺔ ﻳﺆﻛــﺪ ﺑــﺄن اﻟﻄﺮﻓﻴــﻦ ﻻ ﻳﻌﺘﻤــﺪان أي‬
‫‪agreement confirms that neither party has relied upon any‬‬

‫‪Termination:‬‬ ‫ا˜ﻗﺎﻟﺔ‪:‬‬
‫‪The Expiration Date shall be automatically extended by a‬‬ ‫ﻳﺘــﻢ ﺗﻤﺪﻳــﺪ ﺗﺎرﻳــﺦ اﻻﻧﺘﻬــﺎء ﺗﻠﻘﺎﺋﻴــ‪ £‬ﻟﻔﺘــﺮة أو ﻓﺘــﺮات أﺧــﺮى ﻟﻤــﺪة ﻋــﺎم‬

the customer’ at the place of work or residence in following (but

1. I/We, the above account holder (Customer) hereby voluntarily authorize
Ajman Bank (Bank) through this Consent Letter (Letter) to obtain and/or
disclose any financial, legal or credit information relating to the Customer. It
includes any information pertaining to the current/savings accounts, any
outstanding credit history (i.e. home financings, auto financings, personal
financings, credit cards, etc.), address, telephones or utility bills relating to the
Customer and his authorized signatory or any other information which is part of
the credit information report. Customer further agrees that the Bank may
obtain, request, transfer and disclose any information relating to Customer
obtained from any third parties such as local or international credit bureau, to
and between the bank branches, subsidiaries, affiliates, representative offices,
agents of the Bank and any third parties selected by any of them or Bank
wherever situated. Customer allows this information for private use including for
use in connection with the provision of any products or services offered to the
Customer and for data processing, statistical and risk analysis purposes, global
cash services and dealings in securities on any Exchange Securities Market(s)
and any other relevant authorities and agencies pertaining thereto. Any of the
Ajman Bank branches, subsidiaries, affiliates, representative offices, agents or
any third parties selected by any of them shall be entitled to obtain, transfer and
disclose any credit, legal or financial information relating to the Customer.
I/We, understand that the Customer has the right to withdraw this consent by
contacting Bank’ contact centre (800 22) for the following at any time:
a. The processing of Personal Data by the Bank except where Personal Data is
required for business operations related to the Consumer’s Products and Services
b. Personal Data sharing with agents of the Bank and any third parties for
purposes such as but not limited to sales and marketing.
I/We, understand that a future withdrawal of expressed consent by a Customer
shall not affect the lawfulness of Data processing based on the prior expressed
consent. Unless specified otherwise, the withdrawal must take effect within
complete 30 calendar days
I/We, understand that the Consumer’s right to request access to and to request
correction of the Data/Personal Data by contacting the bank for any inquiries or
Complaints in respect of the Data/Personal Data on Bank’ contact centre
(800 22) or visit to the nearest Bank branch.
2. Without prejudice to the foregoing, the Customer hereby authorizes the Bank,
without any need to get any written or oral permission, to obtain or disclose any of
the information indicated in this Letter from any governmental, semi-governmental
authorities, body, organization, company, credit bureau or any service provider such
as electricity, water and telecommunications companies, or any other person or
entity as it is needed, whether inside the United Arab Emirates or abroad, which
maintain or are supposed to maintain any of the information contained in this Letter
relating to the Customer. The Bank, pursuant to this Letter, may communicate with
such bodies or disclose any of the information mentioned in this letter.
Ajman Bank, hereby, informs you that Bank will only collect Data/Personal Data
for a lawful purpose directly related to a function or activity of the Consumer
The Bank shall be entitled to use any or all of the information contained in this
letter for the purpose of granting/commencing to grant the Customer any
financing facilities or any other banking services offered by the Bank or to use
this information for the purpose of accessing the Customer credit position and
collect any amounts payable to the Bank. Customer also confirms that he/she
will pay all the charges (as per Ajman Bank’s approved Tariff of Charges guide
published on www.ajmanbank.ae and available across all branches) to the bank
required to access this information from any source.
3. This Letter shall be governed by and interpreted in accordance with the
Federal Credit Information Law Number six (6) of 2010 and any other applicable
laws of the United Arab Emirates. Any dispute arising between the Bank and the
Customer with regards to this Letter shall be referred to the exclusive jurisdiction
of the courts of the United Arab Emirates

‫ ودون‬،‫ ﻓﺈن اﻟﻤﺘﻌﺎﻣﻞ ﻳﻔﻮض اﻟﻤﺼﺮف ﺑﻤﻮﺟﺐ ذﻟﻚ‬، ‫ دون إﺧﻼل ﺑﻤﺎ ﺳﺒﻖ‬.2
‫ﺣﺎﺟﺔ إﻟﻰ اﻟﺤﺼﻮل ﻋﻠﻰ أي ﺗﺼﺮﻳﺢ ﺧﻄﻲ أو ﺷﻔﻬﻲ ﻟﻠﺤﺼﻮل ﻋﻠﻰ أو‬
‫ا’ﻓﺼﺎح ﻋﻠﻰ أي ﻣﻦ اﻟﻤﻌﻠﻮﻣﺎت اﻟﺘﻲ ﻳﻮﺿﺤﻬﺎ ﻫﺬا اﻟﺨﻄﺎب ﻣﻦ أي ﺳﻠﻄﺎت‬
‫أو ﻫﻴﺌﺎت أو ﻣﻨﻈﻤﺎت أو ﺷﺮﻛﺎت ﺣﻜﻮﻣﻴﺔ أو ﺷﺒﻪ ﺣﻜﻮﻣﻴﺔ أو أي ﻣﻜﺘﺐ‬
‫اﺋﺘﻤﺎن أو أي ﻣﺰود ﺧﺪﻣﺔ ﻣﺜﻞ ﺷﺮﻛﺎت اﻟﻜﻬﺮﺑﺎء أو اﻟﻤﻴﺎه أو اﻻﺗﺼﺎﻻت ﻋﻦ‬
‫ ﺳﻮاء ﻛﺎن ذﻟﻚ داﺧﻞ‬، ‫ ﺣﺴﺐ اﻟﻀﺮورة‬، ‫ﺑﻌﺪ أو أي ﺷﺨﺺ أو ﻛﻴﺎن آﺧﺮ‬
‫ا’ﻣﺎرات اﻟﻌﺮﺑﻴﺔ اﻟﻤﺘﺤﺪة أو ﺧﺎرﺟﻬﺎ ﺑﺤﻴﺚ ﻳﺤﺎﻓﻆ ﻛﻞ ﻣﻤﺎ ذﻛﺮ أو ﻣﻦ‬
‫اﻟﻤﻔﺘﺮض ﻋﻠﻴﻬﻢ اﻟﻤﺤﺎﻓﻈﺔ ﻋﻠﻰ أي ﻣﻌﻠﻮﻣﺎت ﻳﺘﻀﻤﻨﻬﺎ ﻫﺬا اﻟﺨﻄﺎب‬
.‫ﻓﻴﻤﺎ ﻳﺘﻌﻠﻖ ﺑﺎﻟﻤﺘﻌﺎﻣﻞ‬
‫ ﻳﺠﻮز ﻟﻠﻤﺼﺮف اﻟﺘﻮاﺻﻞ ﻣﻊ ﺗﻠﻚ اﻟﻬﻴﺌﺎت أو ا’ﻓﺼﺎح ﻋﻦ أي ﻣﻦ‬، ‫وﺑﻤﻮﺟﺐ ﻫﺬا اﻟﺨﻄﺎب‬
