SERVICE MAINTENANCE AGREEMENT

SCOPE OF SERVICE:
Preventive Maintenance:Regular inspection, cleaning, and lubrication of the machine.
Calibration and adjustment of tensioning and sealing mechanisms.
Verification of electrical connections and controls.
Any other maintenance tasks necessary to ensure optimal machine performance.
Breakdown Maintenance: Prompt response and resolution of machine breakdown issues.
Replacement of faulty components or parts, if required.
Repairing or replacing electrical and mechanical components as necessary.
Spare Parts and Consumables: Provision of genuine spare parts for the machine, as needed.
Availability of necessary consumables such as strapping material, lubricants, etc.
Costs and availability of spare parts and consumables will be provided separately.

AMC AND NUMBER OF VISITS DETAILS:


Total Number of visit in a year 10 ( 5 Preventive & 5 Breakdown) as following
The annual charges for the maintenance contract are as follows:
Semi Automatic Strapping Machine: Rs. 5500 X 1 Nos. = Rs. 5500
Fully Automatic Strapping Machine: Rs. 17000 X 1 Nos. = Rs. 17000

Any additional charges for spare parts or consumables will be communicated and approved by the Client.

a) ASA Polyplast shall make 5 Preventive Maintenance calls visits free of charge, on dates mutually agreed upon by the
Parties.
b) In addition to the above preventive maintenance calls, ASA Polyplast shall make 5 Breakdown Attention visits free of
charge as and when called upon by the Customer.
c) Any additional calls other than the above-mentioned will have to be paid for by the customer at the following rates:
Semi Automatic Strapping Machine: Rs. 1000/- + GST 18% per call
Fully Automatic Strapping Machine: Rs. 3500/- + GST 18% per call

TERMS OF PAYMENT:
a) The service charges are payable in advance at the time of signing this Service Agreement.
b) The cost of spare parts to be replaced during the service is payable immediately upon submission of the Estimate /
Proforma Invoice by ASA Polyplast Service Engineer.Any applicable taxes shall be borne by the Client.

SERVICE HOURS & PLACE:

ASA Polyplast shall render service under this agreement only during the working hours of ASA Polyplast's service
department, i.e., between 9:00 AM to 5:30 PM, and no visits shall be made on Thursday and Holidays.
Normally, the machine shall be serviced at the customer's premises.

SERVICE MAINTENANCE AGREEMENT


TERMINATION OF AGREEMENT:
This agreement is terminable by giving three months' notice in writing on either side. In the event of such termination,
proportionate service charges shall be refunded to the customer, taking into consideration the remaining number of
preventive maintenance calls to be attended to.
If there is any change in the location of the machine, this service agreement will automatically become null and void unless
the service charges are revised with mutual consent.

FORCE MAJEURE:
The Service Provider shall not be liable for any breach, non-performance, or delay in carrying out the obligations, including
servicing/repairing of the machine, as a result of strike, lockout, industrial labor disturbance, fire, accidental damage,
restrictions imposed by the Government, any act of God, riot, war, or any condition arising from similar causes beyond the
control of ASA Polyplast.

LIABILITY: AND INSURANCE:


ASA Polyplast shall not be responsible for any repairs occasioned by any outsiders or by the use of non-recommended spares
and consumables. The Service Provider shall exercise reasonable care in performing the maintenance services but shall not be
liable for any damages arising from normal wear and tear or misuse of the machine.
The Client shall maintain appropriate insurance coverage for the machine and related components.

GENERAL CONDITIONS:
a) The Customer, in case of dissatisfaction with the service, may write to the Service Manager.
b) This agreement is not transferable. In case of resale or change of location of the machine, this agreement will have to be
modified accordingly.
c) The Service Agreement number should be quoted in all the correspondence pertaining to this agreement.
f) The customer shall ensure that the installation area, electrical outlets, access ways for installation, and other site facilities
are suitable in accordance with ASA Polyplast specifications.
h) The customer shall not directly or indirectly open, alter, modify, change, or in any way tamper with the equipment of the
machine or attach any additional equipment to the machine without the prior written consent of ASA Polyplast.
i) The customer shall arrange for the issuance of necessary gate passes and/or security passes for entry and exit of spares,
tools, equipment brought in by ASA Polyplast Service Personnel.Any alterations and amendments to this agreement shall not
be valid unless signed by both ASA Polyplast and the Customer.
