Terms and Conditions:

• Above mentioned prices are inclusive of Applicable Taxes & Duties and except Toll charges - At present 18%GST is applicable over Sale of

Concrete. Any variation in the applicable taxes &duties both ways shall be passed on to the customer.

• Payment Terms are 100% advance through DD in favor of ACC Limited /RTGS/BG/LC along with PO.

• We do not accept any payments in cash.

• Our standard Terms and Conditions of sale are printed on the reverse.

• No Staff is authorized to amend our Standard Terms and Conditions of Sale It is requested to issue a formal PO to facilitate supplies,

account reconciliations and to meet our quality assurance procedures.

• Cube casted by our person & tested at our lab are valid and final binding.

• All the measurements shall be based on quantity mentioned in the DC & not site measurement or in line with the drawings.

• ACC shall not be the responsible to carry out site measurements.

• Proof of delivery shall be based on signed DC'S by client and that shall be final.

• Quantity Verification: -Quantity can be verified by yield test at ACC plant only. You are requested to witness the yield test at ACC plant

one day prior to date of supply or on the day of supply.

• No deduction will be accepted for quantity shortage.

• Shrinkage Cracks: - Shrinkage cracks develop due to faster evaporation of moisture from concrete. Shrinkage is a basic property of

hydrating cement and plastic shrinkage is not due to any deficiency in concrete making material or processing of concrete.High wind

speed has a pronounced effect on evaporation of water and subsequent cracking. This is aggravated by high temperature, the conditions

as prevalent during summer months.

• Prevention of shrinkage cracks: - Cover the slab with Hessian cloth within 30 minutes of finishing and start sprinkling water with light

showers. Cover the slab with ordinary blue plastic sheet or tarpaulin within 15 minutes after compacting and finishing, some weights or

stones may be kept on the top of the sheet to prevent it from flying / dislodging due to wind. This will help in retaining the moisture within

the covered concrete by preventing it from direct contact with heavy wind and radiation from sun.

• ACC reserves the right to effect changes in concrete mix design with or without prior intimation to customer due to change in incoming

raw material properties and weather conditions.

Standard terms and conditions

1. This Quotation is a standing offer by ACC Ltd. ("the Company" or "ACC") to supply concrete as per the terms of this quotation The

prices quoted herein shall remain valid till end of the month in which this Quotation is issued, subject to increase in input costs as

mentioned in Clause 5 below and/or production costs. Any order placed on the last date and/or beyond the stipulated period shall be

liable to rejection at the sole discretion of the ACCL.

2. Any increase in taxes, duties and/or new tax/ duty introduced after the date of the quotation shall be charged to the customer from

the date of its imposition.

3. A contract shall be formed when the customer places a written order for concrete and ACC accepts the same. In absence of a written

contract the terms of ACC Quotation shall be deemed to be final.


4. The customer shall be responsible for providing and/or clearly instructing ACC on the shortest, safest and motor able road (metal laid

road) from the plant site to the supply point keeping in mind the relevant traffic conditions, route restrictions and issues relating to

noise pollution to enable ACC to complete delivery within the agreed time. ACC shall not be liable for lost time on this account. The

customer shall indemnify ACC and/or any contractor, operating the transit mixer or other vehicle carrying the concrete, and servants

and agents thereof against any claim, damage and/or loss which may result from a failure to do so.

5. The prices quoted above are based on the present rate of raw materials. In case of any increase in the rate of raw materials

(sand/coarse aggregate, Cement, Admixture etc.) the same shall be informed to the customer from time to time and included in the

subsequent invoices.

6. ACC shall not be liable to supply during traffic restriction hours as fixed by Government and/or local authority from time to time. In

case the customer insists for supply during traffic restriction hours, the customer shall provide ACC the requisite government

permission to ply the transit mixers from our plant to customer sites. In case of any expenses through fine/penalty is charged by the

traffic police, the same shall be to the customer account.

7. In respect of each delivery, the customer shall ensure that an authorized person is on site to:

a.Sign the delivery docket (challan) at the time of delivery.

b.Acknowledge receipt of such delivery.

c. Acknowledge that the mix description set out on such delivery docket (challan) describes the concrete ordered by the customer.

d. Authorize any addition of water or of any other materials to the concrete by recording on such delivery docket (challan).

e. Confirm the time of arrival of such vehicle on site and of completion of supply.

8. Where ACC complies with a request from the customer or from a person reasonably believed by ACC to be acting on behalf of the

customer and makes a variation in the mix description of a delivery, ACC shall not be responsible for any consequential variation in the

properties and/or the constituents of such delivery.

9. ACC reserves the right to impose a "waiting time" charge in respect of each cubic meter (or part thereof) for the time during which a

transit mixer making a delivery is held on site in excess of the permissible period of 10 minutes.

10. The customer shall pay a "part load" charge in respect of any order and consequent delivery, not utilizing the full load capacity of the

truck.

11. 11.ACC reserves the right to make modifications to the constituents of concrete mixes to allow for natural variations, changes in

properties and/or availability of raw materials. Any such changes shall not affect the performance of concrete.

12. To test the compressive strength of concrete, ACC's technicians shall sample the concrete as per IS 4926: 2003 and then test it at

ACC laboratory. The customer may witness tests. Only these test results shall be referred to assess compliance of concrete to relevant

requirements. ACC shall provide strength test reports on request.

13. In case of any issues regarding quality, the customer shall within 30 (thirty) days of the delivery of concrete in question, contact ACC at

acchelp@adani.com. and mention details regarding the quality issue including alleged failure of concrete to correspond with the

contracted mix description or any variation of it, time when such failure is noticed, precise position in which the concrete in question

was placed. Any complaints regarding delayed service issues or mismatch in the volume of a delivery with the volume shown on the

delivery docket (challan) which accompanied it, the customer shall intimate the Company within 1 (one) day of its delivery. No

complaints shall be entertained beyond the stipulated periods and/or in absence of the details mentioned herein.

14. Upon request from ACC, the customer shall permit ACC and extend to it all facilities to carry out its own assessments and in particular

(subject to its doing so as quickly as is reasonably practicable) to inspect, sample and test the concrete in question in situ and to

investigate and/or advise any remedial action.

15. While, the manufacturing, transport and pumping (optional) of concrete would be the responsibility of ACC, gaining of the

characteristic strength (as per BIS standard) is a function of compaction, curing, type of form work and other factors that are beyond

the scope and/or control of ACC. The customer agrees that non-attainment of the required strength of a particular concrete, or delayed
setting of concrete shall not form ground for rejection of concrete. In case the placed concrete fails to gain the characteristic strength,

non-destructive testing (NDT) shall be carried out by an accredited third party, specialized in testing of hardened concrete. Their

results shall be binding on both parties. In case the concrete has to be dismantled, the customer shall arrange to dismantle the

concrete through their contractors.

16. ACC's liability shall be restricted to the direct losses, if any suffered by the customer and shall in no circumstances exceed the invoiced

value of the concrete delivered. ACC shall not be liable for any indirect, consequential and/or third-party loss, damage, costs, claims

and/or loss in relation to any issue and/or breach.

17. The delivery shall be complete once the concrete passes into the hands of the customer. In case ACC provides the transit mixers the

delivery shall be deemed to be completed once the delivery challan is acknowledged by customer. In case the customer provides the

transit mixers, the delivery shall be deemed to be completed at the point of loading the concrete in the customer vehicle at ACC

premises.

18. Credit facility, if any extended to any customer by ACC may be altered and/or withdrawn at any time. ACC shall have the unilateral right

to suspend all further deliveries or to cancel an order so far as any concrete remains to be delivered there under in case of any default

by the customer in remitting payment of its due to the Company within the time stipulated in the invoice, until the default is made

good. The company reserves the right to charge and recover interest at 18 % per annum on overdue outstanding from the date it is due

till final realization by ACC.

19. ACC reserves the right to impose a reasonable additional charge incurred as a result of its making deliveries outside its normal working

hours.

20. This quotation is based on the sale for the approximate quantity of concrete which the customer has ordered ACC to supply.

21. ACC shall not be liable for damages for delay in delivery and/or failure to deliver the concrete due to Force Majeure conditions such as

acts of God, and shall include unprecedented shortage of raw materials, fire, war, riot, band, mob violence, civil commotion,

Government/military/local authority/judicial/ quasi-judicial order or direction, terrorist attack, accident, strike, lock-out, non-

availability/delay in transport, break-down of plant and/or machinery, traffic regulations, pandemic condition or by any other force

majeure condition over which ACC does not have any reasonable control.

22. If concrete is returned back to ACC, in absence of any fault of ACC and without notifying ACC, the customer shall be liable to pay for

the returned concrete and also any resulting disposal cost.

23. During rainy season we advise that the concrete be protected from rainfall during pumping and laying. Customer shall ensure safety of

ACC transit mixers and ACC workers while they are present on site and shall ensure its site, employees and workers are adequately and

comprehensively insured.

24. The contract under this Quotation shall be with its immediate customer only and ACC shall not be bound by nor shall ACC be imputed

with knowledge of any contract between the customer and any other party.

25. No waiver or variation of these conditions shall be effective unless confirmed in writing by an authorized representative of ACC.

26. In case of all pumping activities the customer is required to provide safe and hazard compliant site conditions, failing which ACC shall

be at liberty to stop work, till due compliance.

27. This Quotation shall be governed by the courts at Mumbai.

28. If the site is found to be unsafe then ACC will not execute the pour.
