INTRODUCTION
Max healthcare institute limited is an Indian for profit private hospital chain headquartered
in Delhi. Max healthcare owns and operates 17 hospitals with 3500+ beds and 4800+
clinicians across the Delhi national capital region, Mohali, Bathinda, Dehradun and Mumbai.
It also operates patient assistance centers in Nairobi, Lagos and Dubai.

Max healthcare also operates the max lab pathology and max home medical services
divisions.

Apart from hospitals, max healthcare also operates a homecare business and pathology
business under brand names max@home and max labs respectively. max@home offers
health and wellness services at home while max lab provides pathology services outside our
hospital network.

Max Healthcare is promoted and led by Abhay Soi as its Chairman and Managing Director.
The present amalgamated company was formed subsequent to the acquisition of 49.7%
stake in erstwhile Max Healthcare Institute Limited by Radiant Life Care Pvt. Ltd. (“Radiant”)
and the amalgamation of Max Healthcare with Radiant thereafter. The amalgamated entity
assumed the name Max Healthcare Institute limited. Prior to the amalgamation, Radiant
was led and promoted by Abhay Soi.

healthcare facilities. Of the total network, eight hospitals and four medical centres are
located in Delhi and NCR, and the others are located in Mumbai, Mohali, Dehradun, and
Bathinda

Since setting up first multi speciality centre in New Delhi, they come a long way in
making their presence felt strongly in north and west India. Post announcing their
expansion plans in FY22, we have made significant strides in the construction of these
facilities in Delhi NCR, mohali and Mumbai.

We commenced operations in 2000 by setting up our first multi-speciality center, Max


Medcentre in Panchsheel Park, New Delhi. Since inception our patient-centric vision in
healthcare operations combined with our belief in providing quality medical care and
building long-term relationships with our patients, doctors and other medical professionals
have enabled us to build strong brand equity.

. We announced four deals in FY 2021-22, including the construction of a 500-bed facility in


South Delhi, the acquisition of valuable land parcels in Gurugram, an O&M agreement in
Dwarka and a stake in Eqova healthcare.

Max Healthcare opened its first medical center in south Delhi's Panchsheel Park in 2000. The
company opened two other secondary care centers in Pitampura in northwest Delhi
and Noida in 2002. In 2004, the company commissioned the East Block of its flagship tertiary
care Hospitals called Max Hospital, Saket in South Delhi. Max Healthcare ventured
into Gurgaon, the southwestern suburb of Delhi with a secondary care hospital in 2007.

In 2011, Max Healthcare entered into a public–private partnership (PPP) agreement with
the Government of Punjab to set up two hospitals in Mohali and Bathinda. In the same year,
Max Healthcare commissioned its tertiary care hospital in Shalimar Bagh, northwest Delhi.

In 2012, Life Healthcare Group acquired a 26% stake in Max Healthcare for ₹516
crore (equivalent to ₹973 crore or US$120 million in 2023). In 2014, Life Healthcare invested
another ₹766 crore (equivalent to ₹12 billion or US$150 million in 2023) to increase its stake
to 46.41% and to become an equal joint venture partner with Max India.

In 2015, Max Healthcare acquired the Pushpanjali Crosslay Hospital in


Vaishali, Ghaziabad, and the Saket City Hospital in Saket. These hospitals were subsequently
renamed as Max Hospital Vaishali, and Max Smart Hospital, Saket. A standalone oncology
center called Max Cancer Centre was commissioned in Lajpat Nagar, South Delhi in 2016.

In 2018, Life Healthcare announced that it would sell its entire 49.7% stake in Max
Healthcare and exit its joint venture with Max India. In 2019, Radiant Lifecare acquired
49.7% stake in Max Health Institute Limited for ₹2,136 crore (equivalent to ₹27 billion or
US$330 million in 2023) and Abhay Soi was made chairman. In 2020, Max Healthcare
merged with Radiant Lifecare, which operated BLK Hospital in Central Delhi and
the Nanavati Hospital in Mumbai, to emerge as the second-largest healthcare company by
revenue.

The company raised ₹1,200 crore equity through Qualified Institutional Plan and acquired
exclusive rights to aid the development of a 500-bed hospital in south Delhi. It secured two
land parcels of land in Gurugram with the potential to add 1,000 beds. The company also
executed an O&M agreement for the first asset-light model in Dwarka for 300+ beds.] It
acquired a stake in Eqova Healthcare having the potential to add 400+ beds in the east
Delhi.

In December 2023, Max Healthcare acquired Lucknow's Sahara Hospital for ₹940
crore (equivalent to ₹12 billion or US$150 million in 2023).

and has over 30 years of experience in healthcare industry. He has worked with HCA
Healthcare UK for 12 years as chief executive officer and as chief operating officer of
various companies in the past. He began his healthcare career as director of finance
and project for Harris Methodist affiliated hospitals in Fort Worth, Texas. He has also
worked for accounting firms such as EY and Arthur Anderson LLP. He has a bachelor’s
degree in accounting from Baylor University and a masters’ degree in business
administration from the University of Dallas.

2) KUMMAMURI NARASIMHA MURTHY

Kummamuri Narasimha Murthy is a Non-Executive Independent Director of our


Company. He was appointed on the Board of our Company on August 26, 2009 and
as a Non-Executive Independent Director from September 26, 2014. He has been re-
appointed as a Non-Executive Independent Director for a second term of five
consecutive years on the Board of our Company with effect from September 26,
2019. He has been a director in various companies such as IDBI Bank Limited, UTI
Bank Limited (now known as Axis Bank Limited), Unit Trust of India, IFCI Limited and
NSE. He is also a member of the Informal Advisory Committee, Department of
Corporate Affairs, and Government of India. Additionally, he has been nominated as
a member convener on the Implementation & Monitoring Committee on Audit
Reforms in Public Sector Banks by the Government of India. He is a qualified
chartered accountant and a cost and works accountant.

3) MAHENDRA GUMANMALJI LODHA

Mahendra Gumanmalji Lodha is a Non-Executive Independent Director of our


Company. He was appointed on the Board of our Company on June 21, 2019 and as a
Non-Executive Independent Director from July 15, 2019. He is a qualified chartered
accountant and a law graduate. He has over 39 years of experience in investment
banking, corporate restructuring and corporate and project finance. He is on the
board of directors of companies such as Radiant Life Care Private Limited and Nitrex
Chemicals India Limited, and was earlier on the board of Arvind Products Limited and
Shyam Cotsyn India Limited.

4) PRANAV AMIN

Mr. Pranav Amin is a Non-Executive Independent Director of our Company. He was


appointed on the Board of our Company on August 10, 2022.

Currently Mr. Pranav Amin is the Managing Director of Alembic Pharmaceuticals Limited
(“Alembic Pharmaceuticals”), part of the Alembic Group established in 1907 in Vadodara,
India. He is also the Chairman of Rhizen Therapeutics S.A

Mr. Amin attended the Doon School, Dehradun, where he had his formative education. He
graduated with a double major in Economics and Industrial Management from the Carnegie
Mellon University in Pittsburgh, USA. He also holds an MBA degree in International
Management from Thunderbird, The American Graduate School of International
Management.

Mr. Amin is an active member of Young Presidents Organization, a worldwide organization


of chief executives. He is a keen cricketer and President of Baroda Cricket Association, which
is an affiliate member of the Board of Control for Cricket in India.

He is also closely involved in charitable activities of Alembic Group, as a way to give back to
the society. He is a trustee of Uday Education Society, which runs four schools in Vadodara

Mr. Anil Bhatnagar is a Non-Executive Non-Independent Director of our Company. He was


appointed on the Board of our Company on August 31st 2022.

Mr. Bhatnagar has rich experience in corporate and commercial litigation including
international and domestic arbitrations. He is a former Senior Partner of the firm, Dua
Associates. He has handled a large number of domestic arbitrations covering corporate and
commercial disputes arising out of joint ventures, Government and private contracts, and
civil construction and engineering contracts.

He has conducted International Arbitration in several countries including proceedings


before Arbitral Tribunals constituted by the International Chamber of Commerce, Paris and
London Court of International Arbitration, London. As a litigator, he has regularly appeared
as Counsel in a large number of matters before the Supreme Court of India, Delhi High
Court, other state High Courts and Statutory Tribunals.

He holds a Bachelor's degree in Science from the University of Delhi and also a Bachelor of
Laws degree from the Faculty of Law, University of Delhi. He is enrolled with the Delhi Bar

Mr. Narayan K. Seshadri is a Non-Executive Non-Independent Director of our Company. He


was appointed on the Board of our Company on May 16, 2023.

With experience across different sectors and countries, many enterprises he has counselled

impacting transformation initiatives including revenue-share IT outsourcing deal with IBM,
launch of new m-commerce products, creating the IT platform for global Enterprise business
at Vodafone, introducing the tools and organization to support the Digital Telco strategy of
Vodafone, CWW M&A integration, 4G network roll out and preparing for 5G introduction.
Ms. Gangotra has extensive knowledge of IT transformation in the Telecom, FMCG and
ITES sectors. She has held group CIO and opco CTIO positions in the Telcos. Ms. Gangotra
has been a member of the executive management team at Bharti Airtel and Vodafone
Hungary. Commercially focused and award-winning technology leader with experience

COL. HARINDER SINGH CHEHAL

Col. Harinder Singh Chehal is an Army veteran with numerous awards and accolades to his
name. He served with tanks in the Armoured Corps and flew helicopters in the Army

Armoured Regiment and completed his certificate course in Business Administration from
IIM– Ahmadabad. Albeit less exciting, but an equally illustrious career followed when he

As you are all aware, the advent of SARS COV-2 last year has posed unprecedented and
immeasurable medical and clinical challenges to the healthcare community. As a
frontrunner medical institution, we pledged to fight this pandemic on multiple levels. Whilst
our clinical and paramedical staff have shown incomparable diligence and dedication in
serving the healthcare consumers; our scientists and researchers have achieved pioneering
leads in collecting, analyzing, publishing and disseminating evidence based cutting edge
clinical understanding of this evolving disease.
MHC not only conducted the first global study on use of HCQ in Covid but also pioneered to
lead the clinical trial in use of plasma therapy in India. In the last 12 months, MHC
researchers have collaborated on over 80 clinical studies on SARS COV 2 including the high
profiled IGIB sero-epidemiological study.

studies and clinical trials to further the knowledge of the evolving SARS Cov -2.

PUBLIC HEALTH RESEARCH:-

Public Health research plays an important role in aiding, preventing health hazards and
ensures far more effective, less expensive, early possible response to avoid development of
disease in areas like cardiology, Neurology, Oncology and other specialties. MHC has been
able to explore this area and provide its contribution to public health and also contribute to
the framing of government policies on public health.

Ongoing and Closed projects:

The aim of the collaboration is to develop world class research, addressing the major unmet
clinical needs common to India and UK and providing a research base and legacy for future
research. We currently have an ongoing project in the field of genetics i.e. Max Genetic
study. Through this collaboration, DDF has been able to successfully complete a study on
genetics (Epi- Migrant study) been funded under FP7 programmed by European
Commission.

IHealth T2D

IHealth- T2D is one of the largest T2DM Multicentre studies in the world and the first T2DM
prevention study in India. It is a five-year cluster randomized clinical trial of face-to-face,
intensive lifestyle modification to prevent T2D amongst 3,600 South Asians from 120
locations in India, Pakistan, Sri Lanka and UK. IHealth-T2D provides a large-scale resource of
clinical data and biological samples, for evaluation of risk prediction models in South Asian
populations.

Our objective of iHealth-T2D is development of strategies for health promotion that are
effective, efficient and equitable, and that can be used in a sustainable and scalable way for
community-wide action in a range of settings. The study focuses on South Asian men and
women living in India, Sri Lanka, Pakistan and United Kingdom. The study participants were
from major cultural subgroups and from diverse social and economic backgrounds. Waist
circumference (>100cm) and HbA1c (6.0-6.4%) were chosen to identify South Asians at risk
of T2D.

Indian Council of Medical Research (ICMR):

 New projects additionally are also being funded by ICMR are entitled as “Chronic
Kidney Disease And Associated Risk Factors Among Auto- Rickshaw Drivers from
NCR- Emphasis on air pollution” and “Stress and copying strategy among
caregivers of patients undergoing haemodialysis- A prospective Study”. Both the
projects are to be conducted in Dept of Internal Medicine.
 Institute of Endocrinology, Diabetes, and Metabolism has also received funding from
ICMR for a project titled “Cluster-Randomized Controlled Trial for Primary
Prevention of Gestational Diabetes Mellitus and associated complications by Lifestyle
Modifications”. This project will be started in 2021 and it is a two-year grant.

National Institute of Health Research (NIHR)

 NIHR Global Health Research Unit on Diabetes and Cardiovascular Disease in South
Asians (GHRU) (2017-2021)
 Cardiovascular disease (CVD) and type-2 diabetes (T2D) are leading, closely
interlinked global health challenges: 422M people live with T2D, while CVD caused
17.5M deaths in 2012 (31% of global mortality). T2D and CVD pose enormous
economic burdens on individuals, families and healthcare systems, and contribute to
poverty, inequality and social instability. The burden of T2D and CVD are especially
high in South Asia, the most populous and densely populated region of the world
(1.73 billion people in 2015, 25% of world population). India alone is home to ~74M
people with T2D. Furthermore, the incidence of CVD is rising sharply across South
Asian populations, in direct contrast to the falling CVD mortality rates observed in
the US and most Western European countries. This ambitious project, led by
Imperial College London represents collaboration between academic and clinical
experts in NCD prevention and control from leading institutions in Bangladesh, India,
Pakistan, Sri Lanka, and the UK. With initial 4 year funding from the UK National
Institutes for Health Research, we will pursue a program of translational research in
that aims to strengthen disease surveillance ~150,000 South Asians (~60,000
Indians), quantify relationships of clinical and laboratory measures with risk of T2D
and CVD, build capacity of health systems (including frontline health workers) and
engage key stakeholders, decision-makers and policy makers for an effective
dissemination and implementation of the findings.

Institute of Genomics and Integrative Biology (IGIB)

We have collaborated with the Institute of Genomics and Integrative Biology (IGIB) to
understand the biology of COVID-19 infection from multiple perspectives, inclusive of:

 Genomic sequence based diversity of SARS-CoV-2.


 SARS-CoV-2 genetic variants associated with symptoms diversity as well as symptomatic and
asymptomatic individuals.
 Host response especially immune system.
 Co-morbidity factors

This has been a valuable public-private partnership which includes basic genomics and
biological scientists from the IGIB and public health experts, microbiologists, and clinicians
from Max Hospital. Their collaborative work on COVID-19 initiated in April 2020 wherein
Max has been a provider of clinical data and blood samples of suspected or confirmed cases
of COVID-19 patients, and IGIB has been involved in the genetic, bioinformatics and
serological testing. Their joint preliminary work has resulted into scientific outputs, which
includes a published paper and two manuscripts are due for submission this month. A five-
month-long study jointly conducted by Max Super Specialty Hospital, Saket, and the CSIR-
IGIB, has discovered that antibodies against the Covid-19 infection can persist in human
body for more than 60days, providing immunity against the virus. The findings of the study,
available in the MedRxiv journal, are in contrast to a recently published study that showed
such antibodies as lasting for less than 50 days.

 The seroprevalence and antibody stability study, titled “SARS-CoV-2 antibody


seroprevalence and stability in a tertiary care hospital-setting” involved testing and follow-
up sampling of ~800 people in a hospital setting from April to August 2020. The participants
included healthcare workers and individuals who visited the hospital’s flu-clinic for COVID-
19 testing, representing the general population during the pandemic.
 In the genomics study 4580 samples of 144 patients with confirmed diagnosis of COVID-19
has been analyzed so far. Each sample contained 57 unique parameters including the
grouped co-morbid conditions, patient vitals, patient demographic information and lab test
results. A comparison of these investigations has also been done with the Wuhan cohort.
The unique SARS-CoV-2 genome sequences have been uploaded on the GISAID (Global
initiative on sharing all influenza data), and the data with respect to the lineage/ clade to
which this genomes belong to, is being analyzed. This will help map the genomic divergence
and evolution rate of the virus in India.
