§ 2 WORKING TIME
1. The Employee is employed on full-time basis.
2. The Employee works in the standard working
time system.
§ 3 TERM OF EMPLOYMENT
1. The Employer employs the Employee for a
probationary period from 05 August 2023
until
05 August 2024. In case of successful completion of
the probationary period, Parties may sign an
annex to prolong their employment relationship for
a further period.
2. Employer hereby confirms that the period of
work for another employer belonging to Group
Companies shall count towards the length of
service on which the Employee's entitlement
depends during employment.
§ 4 PLACE OF WORK
1. Basic place of work of the Employee is located in
Gdańsk.
2. The Employee may additionally be obliged to
perform duties in other places than indicated in sec.
1 above by going on business trips upon the
Employer’s request, on the territory of Poland or
abroad.
§ 5 REMUNERATION
1. The Employer shall pay to the Employee monthly
basic remuneration in the gross amount of PLN
8583,33 (“Basic Remuneration”).
2. Additionally, the Employee may be eligible for
receiving additional benefits in accordance with the

§ 2 CZAS PRACY
1. Pracownik jest zatrudniony w pełnym
wymiarze czasu pracy.
2. Pracownik wykonuje pracę w systemie
podstawowego czasu pracy.
§ 3 OKRES ZATRUDNIENIA
1. Pracodawca zatrudnia Pracownika na okres
próbny od dnia05.08.2023 r. do dnia
05.08.2024 r. W przypadku pozytywnego
ukończenia okresu próbnego, Strony mogą
zawrzeć aneks w celu przedłużenia łączącego je

§ 4 MIEJSCE PRACY
1. Podstawowe miejsce pracy Pracownika to

wskazane w ust. 1 powyżej, odbywając podróże
służbowe na Polecenie pracodawcy, zarówno
na terytorium Polski jak i za granicą.
§ 5 WYNAGRODZENIE
1. Pracodawca będzie wypłacał Pracownikowi
miesięczne wynagrodzenie w kwocie 8583,33
złotych brutto („Wynagrodzenie Zasadnicze”).
2. Ponadto Pracownik może być uprawniony do
otrzymania dodatkowych świadczeń zgodnie z

§ 6 RESTRICTIONS
1. During the term of employment with the
Employer and during 15 years after its termination,
the Employee is obliged to keep confidential any
confidential information relating to the Employer
(the “Confidential Information”). Confidential

data of employees, customers or suppliers,
information constituting business secret of the
Employer, including trade secrets, description of
processes, technical drawings, models, business
techniques, service and business manuals,
promotional and training materials, marketing
plans, and other business information, which are
not publicly known outside of the Employer's
organization. Materials and information does not
need to be marked confidential for it to be
considered Confidential Information.
2. Employee will use Confidential Information only
as necessary to perform work duties, take
reasonable steps to protect it (such as not letting it
out of the Employee's control), not disclose it to
anyone outside the Employer’s organization, and
will promptly notify the Employee's manager if the
Employee finds out about unauthorized use of
Confidential Information.
3. The Employee represents and warrants that has
not entered into any type of non-disclosure, non-
competition, non-solicitation or intellectual
property protection agreement with the previous
employer which could interfere with its obligations
under this Agreement. Any doubts in this regard the
Employee should clarify with the previous employer
or seek individual legal advice.

§ 6 OGRANICZENIA I ZAKAZY
1. W trakcie zatrudnienia u Pracodawcy oraz
przez okres 15 lat po zakończeniu stosunku

utrzymania w tajemnicy wszelkich informacji
poufnych dotyczących Pracodawcy
("Informacje Poufne"). Do Informacji Poufnych
należą w szczególności: wszelkie dane osobowe
pracowników, klientów lub dostawców,
informacje stanowiące tajemnicę
przedsiębiorstwa Pracodawcy, w tym tajemnice
handlowe, opisy procesów, rysunki techniczne,
modele, techniki biznesowe, instrukcje
dotyczące usług i biznesu, materiały
promocyjne i szkoleniowe, informacje
dotyczące klientów, sprzedawców i produktów,
kosztorysy, plany marketingowe i wszelkie inne
informacje biznesowe, które nie są
powszechnie znane poza organizacją
Pracodawcy. Materiały i informacje nie muszą
być oznaczone jako poufne, by były uznane za
Informacje Poufne.
2. Pracownik będzie używał Informacji
Poufnych tylko w zakresie niezbędnym do
wykonywania pracy, podejmie uzasadnione
kroki w celu ich ochrony (takie jak zapobieganie
utracie kontroli nad nimi), nie będzie ujawniał
ich nikomu spoza organizacji Pracodawcy i
niezwłocznie poinformuje swojego
przełożonego, jeśli dowie się
o nieautoryzowanym użyciu Informacji
Poufnych.
3. Pracownik potwierdza i gwarantuje, że nie
zawarł jakiejkolwiek umowy o poufności,
zakazie konkurencji, zakazie przejmowania

§ 8A NON-COMPETE
1. “Restricted Business” means the business of
the Employer, but limited to the activities (a) with
which the Employee was materially concerned or
involved in the course of his/her employment; and
(b) about which the Employee shall have acquired
Confidential Information or trade secrets or
material knowledge or material information in the
course of his/her employment; and (c) which any
employee who was under the Employee´s direct or
indirect supervision had material dealings in the
course of their employment, in each case, during
the 24 months period immediately prior to
termination of Employee’s employment.
“Restricted Area” means the countries (a) in which
the Employee was permanently or temporarily
based in his/her employment with the Employer;
and (b) for which the Employee had material
responsibility; and (c) about which the Employee
has acquired Confidential Information or trade
secrets or material knowledge or material
information, in each case during the 24 months’
period immediately prior to termination of
Employee’s employment.
“Competitive Activity” means any activity the
object of which is identical to or partially coincides
with the Restricted Business. Performing work or
providing services for any of the Group Companies
does not constitute a Competitive Activity.
2. In the course of employment with the Employer,
the Employee shall not conduct any Competitive
Activity or provide work (under the employment
relationship or on a different legal basis) for the
benefit of a person or entity conducting such
activity. Considering the above, the Employee - in

§ 8A ZAKAZ KONKURENCJI
1. „Działalność Zastrzeżona” oznacza
działalność Pracodawcy, ale ogranicza się do
działań, (a) które były przedmiotem istotnego
zainteresowania lub zaangażowania
Pracownika w trakcie swojego zatrudnienia;
oraz (b) o których Pracownik uzyskał Informacje
Poufne lub tajemnice handlowe lub istotną
wiedzę lub istotne informacje w trakcie
swojego zatrudnienia; oraz (c) w które
którykolwiek pracownik znajdujący się pod
bezpośrednim lub pośrednim nadzorem
Pracownika był istotnie zaangażowany w
trakcie zatrudnienia, w każdym przypadku w
ciągu 24 miesięcy bezpośrednio przed
rozwiązaniem stosunku pracy Pracownika.
„Zastrzeżony Obszar” oznacza kraje (a) które
były dla Pracownika stałym lub tymczasowym
miejscem pracy w związku z zatrudnieniem u
Pracodawcy; oraz (b) za które Pracownik był
odpowiedzialny; oraz (c) o których Pracownik
uzyskał Informacje Poufne lub tajemnice
handlowe lub istotną wiedzę lub istotne
informacje, w każdym przypadku w okresie 24
miesięcy bezpośrednio przed rozwiązaniem
stosunku pracy Pracownika.
„Działalność Konkurencyjna” oznacza każdą
działalność, której przedmiot jest tożsamy lub

stanowi wykonywanie pracy lub świadczenie
usług na rzecz Spółki z Grupy.
2. W trakcie zatrudnienia u Pracodawcy
Pracownik nie może prowadzić Działalności
Konkurencyjnej, w tym świadczyć pracy w
ramach stosunku pracy lub na innej podstawie
na rzecz osoby lub podmiotu prowadzącego
taką działalność. W związku z powyższym,

of this obligation, the Employer may terminate the
Employment Agreement without notice (summary
dismissal).
4. The Employee shall receive no additional
remuneration from the Employer for complying
with the competition ban during the period of
employment.
§ 9 FINAL PROVISIONS
1. This Agreement will be governed Polish law and
any amendments to this Agreement must be made
in writing.
2. This Agreement constitutes the entire agreement
between the Parties and substitutes all previous
agreements, offers and arrangements made
between the Parties.
3. In case of any discrepancy between Polish and
English language versions, the Polish version will
prevail.
§ 10 REPRESENTATIONS OF THE EMPLOYEE

Pracownik nie będzie - w szczególności -
osobiście ani przez agenta, na własny rachunek
ani na rzecz lub we współpracy z inną osobą,
bezpośrednio lub pośrednio, w konkurencji z
Pracodawcą, nie będzie zatrudniony,
zaangażowany lub w jakikolwiek inny sposób
zainteresowany jakąkolwiek Działalnością
Zastrzeżoną na Zastrzeżonym Obszarze. Do

spółki lub innego podmiotu działającego na
Zastrzeżonym Obszarze. Jeśli Pracodawca
stwierdzi naruszenie przez Pracownika
niniejszego obowiązku, Pracodawca będzie
mógł rozwiązać Umowę o Pracę bez
zachowania okresu wypowiedzenia (zwolnienie
dyscyplinarne).
3. Pracownikowi nie przysługuje żadne
dodatkowe wynagrodzenie od Pracodawcy z
tytułu przestrzegania zakazu konkurencji w
czasie trwania stosunku pracy.
§ 9 POSTANOWIENIA KOŃCOWE
1. Niniejsza Umowa podlega prawu polskiemu,
a wszelkie zmiany jej postanowień wymagają
formy pisemnej.
2. Niniejsza Umowa stanowi całość
porozumienia i zastępuje wszystkie poprzednie
umowy, oferty i uzgodnienia pomiędzy
Stronami.
3. W przypadku rozbieżności pomiędzy polską
i angielską wersją językową, rozstrzygająca
będzie wersja polska.
§ 10 OŚWIADCZENIA PRACOWNIKA

regulacji wewnętrznych obowiązujących u
Pracodawcy, w tym z Regulaminem Pracy
i Regulaminem Wynagradzania, akceptuje ich
