1. INTRODUCTION

INDIA OIL CORPORATION LIMITED operates a 6.0 MMTPA refinery at Barauni in the state of Bihar.
In view of the projected demand, IOCL is implementing expansion of Barauni Refinery, from its current
crude processing capacity of 6.0 MMTPA to 9.0 MMPTA. Apart from boosting the crude processing
capacity by 50%, the expansion project will also enable the refinery to produce fuels meeting India’s
Bharat Stage (BS)-VI quality standards.

As part of Barauni Refinery Expansion Project, IOCL intend to augment the capacity of the existing
Coker-B unit from 0.5 MMTPA to 0.662 MMTPA by revamping the unit. Existing Coker-B unit is
designed and licensed by M/s Engineers India Limited, which was originally designed to process Low
Sulphur Reduced Crude Oil (RCO) having low CCR for production of anode Grade Coke.

as per the scope of works defined in the package

1.1 SCOPE OF THE DOCUMENT


These “Instructions to Bidders” define the conditions under which BIDDER shall prepare its bid for
the supply of the goods and/or services as requested by BUYER in relation to PROJECT. The scope
of this document is to:
 define the method, timing and general rules of bid submission,
 define the required content of the bid,
 define the commercial conditions that BIDDER must comply with,
 provide the necessary response formats for BIDDER to use.

1.3 Contractual Documents


The contractual documents applicable to this ITB (and any eventual Purchase Order) are listed in the
ITB Cover Letter and can be obtained by downloading them from EPC-BUSINESS. BIDDER shall
submit its bid in accordance with these contractual documents and all applicable laws.

1.4 Contractual Language


The contractual language is English. All correspondence and documents related to this ITB (and any
eventual Purchase Order) shall be issued in English.

1.5 Confidentiality
The information contained in this ITB are confidential and shall not be disclosed to any third party
(other than for the sole purpose of preparing the bid) without the prior written approval of BUYER.
BIDDER should further limit the disclosure of the information contained herein within BIDDER’s
organisation on a need-to-know basis.
BIDDER shall not make any public announcements relating to this ITB without the prior written
consent of BUYER.

1.6 Costs
BIDDER shall cover all costs of preparing and submitting its bid. Accordingly, BUYER will not be
responsible for, nor pay for, any expenses or losses which may be incurred by BIDDER in so doing.

2. INVITATION TO BID PROCESS

2.1 Use of EPC-BUSINESS


This ITB will be conducted entirely via Epc-Business (www.epc-business.com). The scope of EPC-

 To store, and make available to BIDDER, all documents related to this ITB.
 To process all ‘requests for clarification’ and ‘bid bulletins/updates’.
 To receive BIDDER’s bid.
BIDDER should familiarise itself with EPC-BUSINESS by reading the user manual (this can be
downloaded from within the application).
The use of EPC-BUSINESS is mandatory for all aspects of this ITB. Any bid (or request for
clarification) received outside EPC-BUSINESS will not be considered.

2.2 Acknowledgement of ITB


a. Within forty-eight (48) hours of the launch of the ITB, BIDDER must inform BUYER of its
intention to bid or not. This is done via electronic acknowledgement in EPC-BUSINESS and by
D uploading duly completed form figuring in Attachment A “BIDDER'S ACKNOWLEDGEMENT”.

If BIDDER fails to acknowledge the ITB within the specified time, its proposal may not be
considered.
b. BIDDER shall review all documents carefully. It is BIDDER's responsibility to obtain in due time
from BUYER any missing and/or illegible document. Failure to review all documents and instructions
will not be deemed a just cause for a claim.

c. By formal Acknowledgement of ITB, BIDDER confirms that:

 It has in its possession all the documents listed and/or referred to in the ITB.
 It has the intention to submit a bid by the bid due date.

In the event that BIDDER declines to take part in the ITB process, an explanation is kindly requested
in order to improve our future sourcing activities.

2.3 Bid due Date


The bid must be received by the bid due date (and time), which is agreed with BUYER. Late bids
may be disqualified.

3. REQUIREMENTS & CONTENT OF BID

3.1 Presentation
BIDDER shall upload its bid in two parts:

Part 1) Priced copy of full bid (commercial & technical),


Part 2) Unpriced copy of full bid (commercial & technical).

In the process of this RFQ, BIDDER offers may be revised. BIDDER shall use a tracking system
to clearly identify all the modifications from one revision to another
[Note that the unpriced copy must be identical to the Priced copy, with only the prices hidden]

3.2 Declaration of Conformity


To be considered for an award, BIDDER must complete and sign the form: “Declaration of
D Conformity to ITB Requirements” (ATTACHMENT B).

Any Technical and/or Commercial exceptions taken by BIDDER must be made using the
“Deviation Log” (ATTACHMENT C, with separate worksheets for technical and commercial
issues).

If BIDDER simply attaches its own Terms & Conditions with no explanation of the exceptions
taken, they will not be taken into consideration. BIDDER must indicate the specific exceptions taken
to the ITB documents/requirements.

Any exceptions which are not made strictly in accordance with these instructions will not be
entertained at a later date.

3.3 Pricing Format & Bid Validity


 BIDDER must submit its pricing using the format: “PRICE BREAKDOWN AND
COMMERCIAL CHECK LIST” (ATTACHMENT D).

 BIDDER must complete the Commercial Check List using the format “PRICE
BREAKDOWN AND COMMERCIAL CHECK LIST” (ATTACHMENT D).
 BIDDER shall build its price breakdown, starting from its standard fabrication, and make a
detail quote of all additional requirements coming from BUYER specifications.
 BIDDER shall bid for all goods/services listed therein in principle. If BIDDER hopes to
submit a partial offer, it shall put a note in its proposal to that effect with the reason therefor.
 BIDDER shall notify BUYER of any items it believes to be missing from the Price
Breakdown, in order to provide a full and complete bid.
 The prices must be fixed, firm and not subject to escalation.
 The prices offered shall remain valid (90) days from the bid due date.
 BIDDER shall bid in the currency of its choice limited to EUR & USD for Foreign
SUPPLIERS and limited to INR for Indian SUPPLIERS. BIDDER shall clearly notify
BUYER of the currency quoted.

3.4 Payment Terms


BIDDER will propose own payment terms to allow a neutral cash flow. It needs to be mutually
agreed during negotiations.

3.5 Delivery Terms

 For SUPPLY manufactured, inspected and delivered in India: FCA SUPPLIER Workshop with an
optional price for DAP to IOCL BARAUNI, BIHAR SITE

 For SUPPLY manufactured, inspected and delivered out of India: FCA SUPPLIER’s workshop,
options:
o for FOB to the closest International Port from the SUPPLIER workshop) and
o for CFR Kolkata / Haldia Port, India.

The delivery terms shall be in accordance with INCOTERMS 2020. BIDDER shall price for both
cases.

Goods shall be preserved, packed, marked and made available to BUYER in accordance with the
document: “Packing, Marking and Shipping Instructions”.

BIDDER shall provide the following information with its bid:


 Preliminary packing list including estimated total net / gross weight and volume of the goods.
D  Weight and dimensions of each heavy and/or oversized package (definition according to
"Packing, Marking and Shipping Instructions").

3.6 Delivery Time and Manufacturing Schedule


BIDDER shall quote (using “PRICE BREAKDOWN AND COMMERCIAL CHECK LIST”
(ATTACHMENT D)) the shortest realistic delivery periods in calendar weeks from placement of an
D order.

With its bid, BIDDER shall provide a Manufacturing Schedule in bar chart form including: Design,
Procurement, Manufacturing, Testing and Inspection, Preparation for Shipment, Transportation.
BIDDER shall also provide a Detailed Execution Plan in line with the Manufacturing schedule.
Percentage of shop capacity required for material fabrication quoted must be specified.

3.7 Mechanical Guarantee


BIDDER shall guarantee the equipment for a validity according to General Terms & Conditions art. 13,
however limited to February 15th 2026.

3.8 Bank Guarantees


In the event of a Purchase Order being awarded, SUPPLIER may be asked by BUYER to provide Bank
Guarantees (Performance Bond and Refund Bond (when applicable)), to guarantee the implementation
of its obligations under the Purchase Order.

Generally, such Bank Guarantees will be required as follows (at discretion of BUYER):

The Performance Bond must be valid from the effective date of the Purchase Order and remain in full
force and effect until the expiration of mechanical guarantee period except in case of failure of
SUPPLIER.
BIDDER must include in its bid the cost associated with providing such Guarantees.

3.9 Inspection & Testing


BIDDER shall include in its bid all the costs (and time) related to BUYER’s inspection and/or testing
requirements including:
 Involvement for Inspection and Testing Witness and Hold points of BUYER inspection
personal, as well as Third Party Inspection Agency appointed by BUYER, and when
necessary OWNER and/or CONSULTANT.
 completion by the SUPPLIER of the Mechanical Completion dossier at release of
equipment.

3.10 Use of Sub-Supplier / Subcontractors


BIDDER shall in no case subcontract or assign any part (or all) of the work to a SUB-
CONTRACTOR/SUB-SUPPLIER, without BUYER’s prior written consent.
D BIDDER shall include sub-ordered items / components from the EIL approved vendor list. For the sub-
ordered items / components not covered in EIL approved vendor list the list shall be approved by
BUYER prior to placement of the ORDER.

BUYER reserves the right to reject any of these proposed SUB-SUPPLIERS and any additional SUB-
SUPPLIERS who are not accepted by BUYER up to the time of PO.

NO CHINESE ORIGIN OF MATERIAL ACCEPTABLE

3.11 Origin of Supply and Point(s) of Manufacture


In its bid, BIDDER shall state:
 the country of origin of the supply (percentage wise),
D  the location of overall project management
 the location of engineering activities,
 the location of manufacturing activities,
 the location of inspection activities.

3.12 BIDDER’s References


BIDDER shall include in its bid a list of references of similar goods/services showing:
 the equipment and its capacity / power / characteristics,
D  the year of manufacturing and corresponding client's name,
 the approximate value of the goods,
 the application/use of the goods

 references of projects demonstrating experience of offshore, classification, applicable codes,


and so on.

3.13 Spare Parts, Consumables & Special Tools


BIDDER shall include and submit in its bid a comprehensive priced list of BUYER required and
BIDDER recommended spare parts (Format as per Interchangeability Record SPIR) for the
following. BIDDER is requested to submit the price list separately from the subject
equipment/materials and indicate the price list for each spares:
 Commissioning spares are required for the commissioning activities and initial start-up.
D These spares are required for replacement of parts consumed during testing, commissioning
/ start-up of the plant and any premature failures for the period of commissioning and trial
run operations, with associated prices and delivery times.
 Mandatory Spares are defined in 203167C-C00-JSM-0603 (Spare Parts Procedure), with
associated prices and delivery times. The listed items will be ordered within the Purchase
Order.
 BIDDER shall include in its bid a recommended priced Consumable list and Special Tools
list where applicable. ‘Consumables’ in this context shall be considered to mean: chemicals,
filtration materials, lubricants, operating fluids, seals, and the like which may be required
D during the commissioning, start-up or operation of the facilities.
Special tools’ in this context shall be considered to mean: any specific tools require for
installation / Assembly / Dismantling the BIDDER’s supply which may be required during
the construction, installation, pre-commissioning, commissioning, start-up or operation of
the facilities.
 BIDDER shall include in its bid the necessary Lubricant, oil and grease in relation to any
preservation program recommended by BIDDER in case of long term” sitting” period.

3.14 Site Supervision


 Erection, commissioning and start-up supervision rates onshore (IOCL Barauni Project site,
Bihar, India) shall be quoted in accordance with Site Service Conditions.

3.15 Training
Upon COMPANY request, VENDOR will have to perform training of the COMPANY staff
(trainees) either in the VENDOR workshop, or on site.
For such, BIDDER will make two proposals:

Training in workshop
Except for the living costs of COMPANY people, which will be supported by COMPANY, BIDDER
will propose for its personnel a calendar daily rate all-inclusive and will precise conditions under which
such training can take place (number of people, duration of session, location, required qualification of
trainee, etc...).

Training on site
BIDDER will propose the same rates with the same validity than those requested for the site supervisory
services:
• Calendar daily rate,
• Lump sum for mobilization / demobilization including round trip,
• Calendar daily lump covering living allowances, local transportation, etc...

The qualification of the trainers and trainees will be proposed by BIDDER.


The BIDDER will provide the needed necessities for the good execution of the session. Such
necessities have to be supplied by COMPANY.

BIDDER shall send a detailed program and content of the training that is being the basis of its training
proposal.
D  BIDDER shall propose all relevant details such as: daily rate, number of people per session,
duration of session, location, required qualification of trainee, etc.

3.16 Quality Policy


BIDDER shall have established and shall maintain a Quality Management System in compliance
with the international standard ISO 9001 – 2015, “Quality Management Systems Requirements” as
a means of continually improving performance while ensuring that services and supplies conform
to the requirements of any eventual Purchase Order.

However, ISO 9001 certification is not mandatory.

The form “Quality Management System Questionnaire” (ATTACHMENT G) shall be duly


completed and submitted with the bid.

3.17 HSE Policy


BIDDER shall have established and shall maintain a Management System in line with the
international standard ISO 14001 – 2015, “Environmental Management System” in order to ensure
that services and supplies meet the requirements of any eventual Purchase Order.

D However, ISO 14001 certification is not mandatory.

The form: “HSE Management System Questionnaire” (ATTACHMENT H) shall be duly completed and
submitted with the bid.

3.18 Ethics
BUYER’s professional activities are governed by a set of commitments, values and charters as
described on BUYER’s website at www.technip.com/en/about-us/our-commitments.

BIDDER’s participation to this ITB shall be in accordance with these principles.

For such BIDDER shall submit along with its Bid the “Declaration of Compliance”
D (ATTACHMENT I) duly completed, stamped and signed by BIDDER’s representative.

3.19 Energy Performance


For ITB related to Energy Production Equipment (Power or Steam) or to Energy Consumption
(Power, Natural Gas or Steam). BIDDER is asked to Guarantee the performances and guarantee on
energy consumption, in its offer and later in the Purchase Order:
 The performance requirement/threshold will be indicated in the ITB Equipment datasheet
 Compliance with the performance requirement/threshold will be a ITB selection criteria
 BIDDER is asked to undertake unlimited make good guarantee to comply with the
performance requirement/threshold

3.20 Penalty for Late Delivery

3.20.1 For Late Delivery Documents


 0.5% per week of delay or part thereof for the following weeks; maximum aggregate amount of
these Penalties is 5% of the total amount of ORDER.
 The concerned documents:
 General Arrangements Drawings
 Equipment datasheets
 Quality and Control Plan

3.20.2 For Late Delivery Equipment


 0.5% per week of delay for the first two weeks,
 1% per week of delay for the following weeks; maximum aggregate amount of these penalties is
10% of the total amount of ORDER.

The aggregate amount of Penalties under paragraph 3.20.1 & 3.20.2 will be limited to 10 % of the total
amount of ORDER
BIDDER is asked to undertake compliance with the above Late Delivery Liquidated Damages
