AGREEMENT

PIN-676517,hereinafter called the Lessor(Which term shall mean and include wherever the context so
req'iires or admits his/their heirs, successors ,administrators, executors , attorneys and assigns) of the
one part and The Urban Co-Operative Bank Ltd. No. 1758, Perinthalmanna and having its Head office at
Per'nthalmanna represented by CHIEF EXECUTIVE OFFICER OF THE BANK Sri Ravindranathan CS/o
Krishnan Aged 60 Years residing at Sheethal Kidangil Perinthalmanna, Kerala State hereinafter called
the Lessee of the other part. The lease deed is executed on 07" October 2021. the Lessor being the
present owner of the building leased.
Whereas the lessor is the absolute owner of the Building No II/335E, ALAMEEN TOWER situated in
Meimuri 27 Malappuram Muncipality comprised in Survey Block No Q07/1842/of Melmuri Village and
whereas the lessee is in need of accommodation for the purpose of conducting financial transaction of
the bank and is agreed to take on lease above premises on the ground floor of the said
building facing
main road measuring 900 sq. ft. (approximate the lessor has agreed to grant the Lessee a lease of the
said premises on the terms and conditions herein after mentioned

Inat the Lesser will permit the Lessee to use the
rent of premises for the above purpose on a montny
Rs42.48(RupeesForty Two and Paisa forty eight only ) per square feet inclusive of all Taxes
with effect fron the Date of
23° September 2021. The monthly rent agreed to does not include
electricity and water charges which will be paid by the Lessee to the concerned Departments when due
for payment. The rent will be enhanced attana increase @of 15% for each block of 5years. TDS will be
recovered wherever applicable.

Tnat the Lessee will not make any structural alterations or additions or improvements to the
building without the written consent of the Lesser.

Ihe Lessee shall be at liberty from timeto time to do office automation,interior decorations,
enectrical work, and painting and to fix Split air conditioner in conformity with the prevailing
Panchayath/Municipal rules and regulations.

Ihe Lessee shallbe entitled at any time during the continuance of the lease, to install, erect, fix
dnd set up such internal partitions, cabins, walls and electrical and sanitary and other fixtures and
Titings, counters, strong room doors, vaults, lockers, cabinets, doors, gates, air-conditioning machines,
8enerator sets, etc. in the said premises as the Lessee mav require and on the expiration or sooner
determination of this Lease to remove the same and every part thereof at its own costs.

That the Lessee agrees and undertakes to maintain the building in good conditions subject to
normal wear and tear.

That the Lessee shallnot sublet the building or any part thereof.
7 That the Lessor shallpay all statutory taxes, cess and other charges imposed by Government,
local authorities from time to time in respect of the premises.
The Lessor agrees that in case of default of the Lesser to carry out timely maintenance to the
building which is herebyagreed to by the Lessor, the Lessee shallbe at libertyto execute all or any such
repairs, colour or white washing, painting etc. and to deduct the expenses thereof from the rent or
recover it from the Lessor. Althe minor repairs shall be done by the Lessee.
9 That the Lessee is responsible for the daily maintenance of the portion occupied by him, except
annual maintenance like painting etc. which will be the responsibility of the Lessor. Painting will be done
as per Lessee's specification and design. The lessor shall do the initial painting of the premises with
good quality paints before handing over the possession of the premises.
10. The Lessor hereby agrees to ensure regular water supply for consumption and also for other
uses in the above premise through the water connections provided by water authorities/local bodies or
well water by means of electric water pumps and overhead tanks and to operate and maintain the
water pumps in proper repair and condition and also to pay allelectric and other charges of operating
the said water pumps and, in case of default, the Lessee shallbe at liberty to carry out all or any such
repairs/maintenance and to deduct all such costs and expense thereof from the rent payable to the
Lessor or recover it from the Lessor. Wherever the Lessor has provided separate water connections of
water authorities/local bodies in the above premises by installing a separate meter, the Lessee agrees to
bear only the monthly water charges payable to the water authorities or such local bodies further the
LESSOR will provide sintex or equivalent water tank of 500 litres at lest at his cost at the premises. At the
initialstages, where there is no electricity or water in the premises, the LESSOR willarrange the same.

11. That the building portion is leased to the Lessee initially for a period of 5. years from the date of
handing over of key after completion of works specified. If the either party decides to vacate the portion
before the prescribed period, such party has to intimate the other party in writing 3 months prior to the

Tne LesSor shall provide uninterrupted electricity supply with 3 phase connection and
Gessdry electrical points with a minimum of 10 light points and 8 fan points in the premises and 2
rower points with 320 gauge wire near to the sign boards as required by
the Lessee.

Ine Lessor has agreed to do the flooring with Vitrified Tiles and bathroom with glazed tiles
(Floor and walls) andto provide European Closet & Wash basin in the Toilet)
16.
Tne Lessor agrees tocomplete the above said works mentioned in Clause Nos (14 and 15) within
tnree months from the date of execution of this agreement, failing which the Lessee shall be at liberty to
complete the work by employing their own workers and deduct the expenses, incurred for the
Completion of the pending works, from the monthly rent payable to the Lessor.
17. Inthe event of the LESSOR sells or transfer the leased premises or any part thereof, during the
term of this lease, the new purchaser(s)/allottee (s) or transferee(s) prior to such sale or transfer, shall
be made aware of and bound by the terms and conditions contained herein.
18 The Lessor will arrange construction of the Strong Room with 10 inch R.C.C. walls on all sides
and also fix the strong room door which will be supplied by the Lessee. The construction of the Strong
Room willbe as per Lessee's specification and willbe completed within one month.
19 The Lessor hereby agrees to ensure unobstructed movement through the staircase and
pathway/varandha for the use of Lessee as well as its employees and customers.

20. The Lessee is permitted to place within the premises necessary Iron Safes, Counter, Furniture
and Electrical fittings, as well as partitions and make other arrangements for improving ambience for
business purpose, which will be removed on vacating the premises.
21. The Lessor hereby permits to fix Dish Antenna/Communication system for the purpose of online
connectivity on the terrace at the expenses of the Lessee, without any additional rent. The Lessor shall
permit the Lessee to execute agreement with other parties/service providers for the purpose of
installation of Vsat Dish, Antenna or any other communication system without any prejudice to the
other rights of the Lesser. In case of any further construction in the upstairs made by the Lessor for the
expansionof the building,the Lessee shall be permitted to relocate the said Dish Antenna at the top of
the building, after said construction, at the cost of the Lessee. No additional rent will be demanded for
providing the space fixing the Dish antenna/Communication system.
22. The Lessor agrees to fix rolling shutter and collapsible gate at the entrance.

23. The Lessor hereby authorizes the display of three or more name boards, pertaining to the
business interests of the Lessee at any prominent place on the exterior or interior of the area occupied
by the Lessee, without payment of any extra consideration for the same.

24. The Lessor agrees to provide/earmark sufficient parking area for the vehicle of the employees
and customers of the Lessee.

25. The Lessor hereby that hethepwit not allot space to any of the Lessee's
competitors/ entities2S carrying 8TSgilarsusiñessin the same complex/building for conducting their
business activities.
