Dear Sir/Madam,

RE: AGREEMENT FOR RAIL MINES PROJECT IN INDIA

This Agreement is made and entered into on this [Date], by and between M/S Bidhya Enterprises
, hereinafter referred to as "Bidhya," and Bayt Altamweel Dawli Yonetim ve Finansal
Danışmanlık Celik A.S., hereinafter referred to as "Bayt."

WHEREAS, Bidhya has approached Bayt for the Rail Mines Project in India and desires to
engage Bayt as the contractor for the project.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties
agree as follows:

1. **PROJECT DETAILS:**

Bidhya appoints Bayt as the contractor for the Rail Mines Project in India, as detailed in the
tender application form submitted and approved by the relevant authorities.

2. **BANK GUARANTEE:**

Bidhya agrees to furnish a foreign bank guarantee for the tender application fees, amounting
to USD 1000. This guarantee must be provided within 89 days of the date of this agreement.
Failure to do so will result in the cancellation of the bid.

4. **CANCELLATION:**

In the event of Bidhya's failure to provide the foreign bank guarantee within the stipulated 89
days, Bayt reserves the right to cancel the bid, and Bidhya shall bear any associated costs or

5. **GOVERNING LAW:**

This agreement shall be governed by and construed in accordance with the laws of [
Applicable Jurisdiction].
