DEED OF SALE OF RIGHTS AND INTERESTS

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Sale made and entered into by JOSEPHINE J. PALMA, of

legal age, Filipino and residents of Bacolod City, Negros Occidental,
Philippines, hereinafter referred to as the VENDOR.

KEIRSHA JHOANNE J. PALMA, also of legal age, Filipino and resident

of Bacolod City, Negros Occidental, Philippines, hereafter referred to as the
VENDEE.

WITNESSETH:

WHEREAS, the VENDOR is the lawful owner of a rights over a parcel of

land containing an area of ____ square meters, more or less with residential
house built thereon situated at Relocation Site, Brgy, Batuan, La Carlota City,
Negros Occidental, Philippines.

WHEREAS, the VENDOR desires to sell the above-described rights over a

parcel of land with residential house built thereon above-described, and the
VENDEE is willing to buy the same.

NOW, THEREFORE, for and in consideration of the foregoing premises

and the sum of THIRTY THOUSAND PESOS (Php 30,000.00) Philippine
Currency, herein VENDOR by these presents, hereby SELLS, CEDES,
TRANSFERS, AND CONVEYS, by way of absolute sale unto and in favor of the
VENDEE, her heirs, successors and assigns the afore-described rights over a
parcel of land with residential house built thereon free from liens and
encumbrances.

IN WITNESS WHEREOF, parties have hereunto affixed their signatures
