SCOPE OF SERVICES AND SPECIAL TERMS & CONDITIONS

1. INTRODUCTION

Q-Chem (COMPANY) is in need of professional, qualified and experienced CONTRACTOR to carry


out Water and Process Treatment services (Chemicals supply & Services) at our plant sites in
Mesaieed (Q-CHEM & Q-CHEM II). The scope of Services as detailed below would involve both
chemical supply & services required to monitor & maintain the required quality parameters on
sustainable basis as per the set KPIs and required analysis methods.

2. SCOPE OF SERVICES

Note: Provided chemical treatment program (chemicals / services) should be able to maintain
Utilities / Process systems at QCC/QC2 operations healthy as designed to be without causing
corresponding units to trip or fail due to consequences resulted of chemical treatment. These
chemicals are part of a comprehensive treatment program as specified/designed by the vendor.
It does not include commodity chemicals, such as sulfuric acid, caustic, sodium hypochlorite,
sodium bicarbonate, calcium chloride, urea, wash oil and tri-sodium phosphate.

2.1. Q-CHEM – Utilities

2.1.1.Treatment Areas - Utilities: Boiler; Demin-SCOX area.

 High Pressure Boiler Feed Water Treatment with food grade Oxygen Scavenging, corrosion
inhibiting, scale and fouling reducing programs and return condensate pH buffering
programs
 Extra High Pressure Boiler Feed Water Treatment with food grade Oxygen Scavenging,
corrosion inhibiting, scale and fouling reducing programs and return condensate pH
buffering programs
 Thermal deaerator Unit covered in above 2 items, pH correction, chemical deaeration

and sterilization program. (Cost of this program shall be a separate line item and not
covered in comprehensive monthly fixed cost)
 Thickener-Belt press sludge treatment with Polymer dosing for efficient dewatering.
 Thickener – H2S control program. (Note: Cost of chemical shall be separate line item as
per actual consumption and not covered in comprehensive monthly fixed cost)
 Ethylene and Polyethylene Flare seal pot water sampling for bacterial count.
 Ministry of Municipality and Environment (MME) Consent to Operate (CTO) samples to be
maintained within limits in coordination with Unit owners.

2.1.6.Treatment Areas - Utilities: New Near Zero Liquid Discharge (NZLD) plant

Q-Chem is building Near Zero Liquid Discharge (NZLD) plant, which may be operational in two
years’ time. NZLD plant consists of below major systems. COMPANY may request
CONTRACTOR to treat this new plant in future, with supplementary SOW and KPIs.
CONTRACTOR shall have capability to treat the new NZLD plant also. CONTRACTOR’s
capability and experience in treating NZLD plant shall be mentioned in the technical offer.
Treatment cost for this new plant shall not be added in comprehensive monthly cost at
present.

2.2. Q-CHEM II – Utilities

2.2.1.Treatment Areas - Utilities: Demin and Boiler Feed Water.

 Treated BFW Deaerator with food grade Oxygen Scavenging, corrosion inhibiting, scale
and fouling reducing programs and return condensate pH buffering programs
 Untreated BFW deaerator with food grade Oxygen Scavenging programs
 Low pressure Steam condensate system.
 High/medium and Low pressure Steam system monitoring.

2.2.2.Treatment Areas - Utilities: Fresh & Potable water system

 Fresh water/ fire water treatment. with food grade corrosion inhibiting/anti-fouling

3. DETAILED SCOPE OF SERVICES

3.1. CONTRACTOR shall comply with Q-CHEM - Health; Safety and Environment Policies;
Procedures and compliance guidelines. Q-CHEM will provide comprehensive training to
CHEMICALS & SERVICES CONTRACTOR service group the required training through Training
department.

3.2. CONTRACTOR shall be responsible for supply of specialty chemicals as per contract
agreements in time; in the standard packages agreed; with Certificate of Analysis (COA)
against each chemical delivery conforming to MSDS specifications. CONTRACTOR shall follow
Chemicals & Catalyst Approval (CCA) Procedure.

3.3. CONTRACTOR supplied product packages should have clearly visible labels of Product Name
in English/Arabic; Manufacturer name; Batch No.; Production and Expiry dates; Hazard
identification standard symbols and color codes (to avoid cross contamination) as agreed
with unit owners. Labels must comply with GHS and Q-Chem SAFETY SIGNS, LABELS AND
PLACARDS STANDARD “HSE-SAF-STD-00-0009” before delivering to site.

3.4. CONTRACTOR shall provide Key Performance Indicators (KPI) for all treatments in written;
maintain all residuals and parameters within the limits in discussion with Specialists, where
treatment areas are specified but KPI’s are not agreed upon. The calculations for all indirect
KPIs should be approved by Q-Chem. In Case the KPIs were not met and the targets were
exceeded, a formal investigation shall be conducted with high technical experts to resolve
the issues and concerns immediately. The CONTRACTOR shall specify his approach clearly in
the technical proposal in case of such deviations. Q-Chem will evaluate this commitment
accordingly.

3.5. During the bidding stage, CONTRACTOR will have to study the systems in Q-Chem, collect the
samples as needed, perform his own analysis and present the total solution approach for
each system as part of his technical proposal evaluation by Q-Chem.

3.6. CONTRACTOR shall be responsible for optimizing the chemical consumption to the best
benefit of both organizations working with Operating specialists and Process Engineers.

3.7. CONTRACTOR shall be responsible to maintain a 3 month stock (IN QATAR) of specialty
chemicals and establishing min/max stock on site based on normal run time& contingency
stocking for unusual scenarios.

3.8. CONTRACTOR shall provide secondary spill containment devices for all chemicals brought in
as part of this contract stored in Q-CHEM site - ware house or field, as per Q-Chem
specification

3.9. CONTRACTOR shall be responsible for Chemical spills during transportation to Q-Chem site
chemical warehouse. CONTRACTOR should make sure that there are no visible damage or
deterioration of totes while delivering to the site. In case of any damage or spill while
transporting to the individual process areas by COMPANY, CONTRACTOR shall work with Q-
Chem/RLOC Production/ Environmental/Waste management group to help in removal of
spilled chemical and disposal.

3.10. CONTRACTOR shall be responsible for providing Porta Feed system wherever the chemical
loadings are going on with forklifts; and substitute with Porta feed loading facility.

3.11. CONTRACTOR shall be responsible for supply, testing / renewing the chemical transfer hoses
(tote to day tank) as per Q-Chem ‘Hose management procedure (HSE-SAF-PRO-00-0016)’.

3.12. CONTRACTOR shall be responsible for providing and maintaining additional shuttle totes as
buffer chemical storage near day tanks and compatible portable pumps as required in the
field for transferring chemicals from tote to day tank

3.13. CONTRACTOR shall provide Name board against each treatment skid on the products used

3.14. CONTRACTOR shall establish dosing skids, dosing pumps wherever required for any additional
treatment programs, suitable to respective area of classification and as per Q-Chem
specifications. CONTRACTOR shall provide coagulant dosing unit for WWTP at aeration tank
outlet to clarifier.

3.15. CONTRACTOR shall recommend preparation of day tank & required strength of solution and
dilutions. CONTRACTOR shall be responsible for Chemical Injection to required dosing points
at the required rate and dilution.

3.16. CONTRACTOR shall be responsible to provide dedicated qualified and experienced Service
Engineer at Q-CHEM (Mesaieed) plant site for 8 hrs 5 days a week and as required during
weekend without any additional cost to COMPANY including competent vacation
coverages substitute.

3.17. Service engineers should have all required tools, equipment – analytical or injection and
expertise to use them and ability to coach operators.

3.18. Service Engineers shall be provided with the necessary Personnel Protective Equipment
approved by Q-CHEM HSE. Service engineers CVs shall be submitted to Q-Chem for their
review as part of the technical evaluation stage. The same CVs or equivalent shall be on site
when contract is awarded. Q-Chem will accept quality services and instant attendance to all
issues immediately especially in the critical systems.

3.19. CONTRACTOR shall be responsible to collect the water or process stream samples according
to Q-Chem approved procedures along with QChem Operator and run analysis once in
every day from all sample points identified in agreement with Unit Owners in Q-CHEM lab
facility (Q-CHEM and CONTRACTOR shall discuss, agree & generate a sample schedule).

3.20. CONTRACTOR shall be responsible for System timely Trouble shooting and SME consultancy
support as and when required at no additional cost to COMPANY.

3.21. CONTRACTOR shall be responsible for reporting the analysis to Unit Superintendent, Process
Engineer, Operation Specialist and Supervisors on daily basis with deviations and
recommendations.

3.22. CONTRACTOR shall work in close coordination with Shift Supervisors, Operators and
Laboratory while chemical loading, injection adjustments and sample analysis.

3.23. CONTRACTOR shall review the existing corrosion monitoring program for water and
condensate systems, propose additional monitoring requirements to Operation Specialists
and provide resources (corrosion racks / coupons etc) to establish it as required without any
additional cost.

3.24. CONTRACTOR shall provide handheld monitoring and analytical devices Eg. PH meters;
Colorimeters; Conductivity meters, Specialty DO meters (Orbisphere or equivalent) and
required reagents for analysis to Unit Operations to verify the water or process stream
parameters during Service and Off hours.

3.25. CONTRACTOR shall arrange Training by Subject matter experts or technical experts to the
Operations in discussion with Designated Site Representative (DSR), Operation specialists &
Unit Superintendent.

3.26. CONTRACTOR shall work in close coordination with Unit Superintendent & Operation
Specialists to know the Unit or Area shut down plans, forecast the service requirements from
overseas for equipment inspection, sampling, overseas third party or laboratory analysis.
Inspection report should be generated by the CONTRACTOR after inspection during
shutdown.

3.27. CONTRACTOR shall study, recommend and provide Technical support and cater to
passivation requirements, as and when required.

3.28. CONTRACTOR shall be responsible for Metallurgy failure studies and Outside Special samples
analysis in coordination with Q-Chem Reliability engineers, vessel inspections & deposit
analysis, toxicology test, sludge characteristics studies and microbiological analysis ( at no
additional cost to QChem). A proof of capability will be a major point in the technical
proposal evaluation phase. The Analysis results with sound corrective recommendations
should be submitted back within 60 days max if not approved otherwise by QChem.

3.29. CONTRACTOR shall be a member of Change Review Team in MOC process that has
relevance to Chemical Treatment.

3.30. CONTRACTOR shall provide enough number of copies of Handbooks to operating units, RIM
Group and Laboratory.

3.31. CONTRACTOR shall provide operator training for any new program and or as refresher
training on yearly basis at no additional cost to the COMPANY, involving Subject Matter
Experts as Instructors.

3.32. CONTRACTOR shall provide special services by mobilizing the Specialty systems Experts
(furnaces, Dilution steam, boilers, WWTP..etc) along with special analysis as required at no
additional cost to the COMPANY. The mobilization/consultation requirements will be decided
based on the troubleshooting criticality at QChem discretion.

3.33. CONTRACTOR shall provide certified/approved calculation and basis for KPI/any other
special monitoring variables.

3.34. CONTRACTOR shall study and recommend corrective measures for failure of steam, feed
water and condensate lines and valves in all units.

3.35. CONTRACTOR to update the results in a spreadsheet containing the sample details and
recommendations. This should be evergreen list for easy reference to the analysis results.
CONTRACTOR to provide the spreadsheet format for Q-Chem approval on award on
Contract.

4. Q-CHEM AND Q-CHEM II UNIT SPECIFICS

4.1. Unit Specifics - Q-Chem and Q-Chem II Utilities


CONTRACTOR shall be responsible for the following:

4.1.1. Routine sample drawing from the sample stations and analysis in Boilers-Steam and blow
downs; Demineralizers, Treated and Untreated Deaerator & Boiler Feed water systems;
Steam condensate. Report PH; Conductivity; Residual Oxygen scavenger; Dissolved
Oxygen; Iron; Silica; Cations & Anions; Calcium / Magnesium / Total Hardness; corrosion /
scaling rate monitoring or any other constituents that should determine the quality or

could have adverse impact on the process systems or equipments and maintain the
parameters within control limits.

4.1.2. Optimization of chemicals studying cycles of concentration discussing with Operation


specialists and implementation.

4.1.3. Study and recommend corrective measures to plant wide failure of steam, feed water
and condensate lines and valves.

4.1.4. Routine sample drawing and analysis of SCOX untreated and treated effluents. Report
PH;COD;NaOH;Na2CO3;Na2S;Na2SO4;Na2S2O3;NaCl;Phenol;Oil & Polymer or any other
constituents that should determine the quality or could have adverse impact on the
process / waste water systems or equipment and maintain the parameters within control
limits. CONTRACTOR is responsible for maintaining the Spent Caustic Tank constituents /
parameters within design limits.

4.1.5. Routine sample drawing and analysis of Fresh & Potable water; Fire water; CCCW;
Chilled water, Safety Shower water. Report PH; Conductivity; Free Residual Chlorine
(FRC); Iron; Phosphates Nitrates/ Molybdates/residuals; microbiological counts,
corrosion/scaling rate monitoring and any other constituents that should determine the
quality or could have adverse impact on the process systems or equipments and
maintain the parameters within control limits.

4.1.6. Routine sample drawing and analysis of Waste water Treatments plant effluents. Report
PH;Conductivty;Turbidity;FRC;Dissolve Oxygen; Chemical Oxygen Demand; Biological
Oxygen Demand; Oil & Grease; Phosphate; Microbiological analysis;Coliform;Sludge
settling test results; MLSS / MLVSS / Sludge Index / Mean Cell Residence Time/ FMR
/Microorganism type or any other constituents that should determine the treated
effluent quality or could have adverse impact on the process systems or equipments
and maintain the parameters and provide expert guidance to be within control and
Consent to Operate (CTO) limits all the time. CONTRACTOR is responsible for keeping all
required apparatus (e.g) Microscopes, jar testers etc., on site and plan Subject Matter
Experts’ visit at agreed intervals, for efficient operation of Waste Water Treatment units.
CONTRACTOR is responsible for training the Operators and Shift Supervisors for safe
operation of specialty equipment.

4.1.7. Study and implement H2S control program for Q-Chem and Q-Chem II Waste Water unit
sludge Thickeners. Cost of chemical shall be a separate line item as per actual chemical
consumption and shall not be added in monthly fixed cost.

4.1.8. Establish Monitoring programme for Steam Condensate heat Exchangers and coolers
efficiency; Condensate and CCCW corrosion/scaling rate monitoring, CCCW-Sea water
exchangers’ efficiency and suggest suitable-economically feasible treatment and
cleaning solutions. This program should be shared and approved by Process
Engineering.

4.1.9. Support establishing the treatments with technical expertise and resources.

4.1.10. Study the Sodium bicarbonate dosing system in Waste Incinerator (Bag House filter);
suggest improvements and support establishing it.

4.1.11. Study sanitary water treatment system to establish better dosing system for Caustic and
Chlorination.

4.1.12. Demineralizer / polisher units performance & efficiency studies; resin exchange capacity
analysis.

4.1.13. Draw special samples for trouble shooting purposes as required and analyze for required
constituents at CONTRACTOR’s laboratories.

4.2. CONTRACTOR shall be responsible to maintain the KPIs (but not limited to) as attached.

4.3. Unit Specifics – Q-Chem Ethylene Unit

CONTRACTOR shall be responsible for the following:

 Quench water & Dilution Steam system (whatever changes the CONTRACTOR do in the
chemical treatments should not affect downstream treatments (waste water treatment
process) Routine sampling and analysis of all process analytical constituents pertaining
to the system. Define and establish additional sampling or analysis that should determine
the quality or could have adverse impact on the process systems or equipments and
maintain the parameters within control limits.
 To maintain reliable operation of the Dilution steam system including pre heaters for
more than 6 months without any fouling or leaks.
 Monitor and control the turbidity and Total Organic contents (TOC) at coalescer outlet.
Turbidity of QW should not exceed 300 NTU and Process water at coalescer out let
should be below 100NTU, and at oily water stripper bottom to be below 20 NTU.

 Daily analysis and reporting of Turbidity; TOC; PH; Conductivity and iron etc.
 Dissolved O2 levels in the DSG blow down sample should be maintained below the
allowable limit by proper injection of the oxygen scavenger.
 Additional sampling for any polymer or sludge from the exchangers cleaning for further
analysis to improve the treatment.
 Dilution steam generator system corrosion prevention and improve the reliability of the
generator tubes. Maintain the Iron content and pH within recommended limits.
 Monitor QW exchangers DP and fouling factors to control or alter the chemical dosage
as required
 Monitor and control Quench tower pressure drop and overhead temperature within
operating limits
 Provide portable pH and turbidity meters to check water quality by operators.

4.3.1.De-Propanizer

 Provide monitoring criteria for the fouling rates


 Optimise the dosing rate to control the free antioxidants in the DC3 bottom below 20
ppm.
 Maintain reboiler run length above 2 years.
 Antifoulant shall be injected to control polymer formation. The antifoulant shall comply
with C4+ Product export specs. And should not affect Boilers operation

4.3.2.De-Ethaniser

 Provide monitoring criteria for the fouling rates


 Maintain re-boiler run length above 2 years
 Antifoulant shall be injected to control polymer formation. The antifoulant shall comply
with C4+ Product export specs. And should not affect Boilers operation

4.3.3.Caustic system

 Monitor and control the red oil formation and free polymer in the system by adding
adequate carbonyl inhibitor and dispersant chemical.
 Maintain the Polymer content in the caustic circulation loop below 200PPM.
 Caustic tower pressure drop to be maintained below 0.5kg/cm2
 To maintain COD (chemical oxygen demand) in the spent caustic from the tower
bottom below 5,000 mg/l.
 Caustic tower foaming and carry over to be monitored and controlled.
 Spent caustic degassing system should be maintained free of polymer

 Special samples to be collected when necessary to improve the treatment.

4.3.4.XHP BFW and steam

 Monitor and Control pH, PO4, conductivity and silica.


 Optimise the dosing to reduce the continuous blow down.
 Conduct Quarterly Chloride analysis for XHP steam system at PPB level.

4.3.5.Cracked Gas Compressor

 Provide suitable Antipolymerant treatment to first 3 stages of the Cracked gas


compressor
 Monitor and Maintain KPI for the Compressor efficiency chart for clean Vs current and
to maintain the efficiency within 4% reduction in 4 years/contract end.
 Inter stage coolers pressure drop to be monitored and maintained within allowable
limits of 0.8 and 0.8 Kg/Cm2g max (41-17/41-18,41-19) at end of this contract period.
 Antifoulant injection should be optimized matching the wash oil injection reduction
trend. Q-Chem will be using either WO-150 or 200 grade.
Note: Cost of chemical shall not be added in monthly fixed cost. It shall be billed as per actual
consumption on monthly basis; however, cost of services shall be added with monthly fixed cost.

4.3.6.Prilling Cooling water


 To treat the closed loop cooling water system in the Prilling Unit against fouling and
scale build up in Cooling water exchangers.
 To control pH to be around 7-8, iron content to be less than 5 ppm and bacteria to be
Nil in the cooling water system.
 To maintain and reduce Pressure drop across cooling water/sea water exchanger
below 1.5 kg/cm2.

4.4. Unit Specifics – Q-Chem Polyethylene & Hexene

CONTRACTOR shall be responsible for the following:

4.4.1.Propose and implement a water treatment plan for the PE reactor coolant system,
Hexene reactor coolant system, and Ethylene recycle compressor coolant system.

4.4.2.Propose and implement a corrosion-monitoring plan for the above systems

4.4.3.Propose and implement designated sampling system for the PE reactor coolant system,
chilled water system and Ethylene-recycle-compressor coolant system

4.4.4.Propose and implement water treatment chemical injection system for the Dehexanizer
overhead compressor coolant system, chilled water system and Ethylene recycle
compressor coolant system. The injection system proposed should include the injection
skid, containment base, injection totes, and rack for the totes, all pipes, fittings and hoses

4.4.5.CONTRACTOR is required to start the dosing for the above systems from the
commencement date of the contract with a proper transition plan, as required.

4.5. Unit Specifics – Q-Chem II Normal Alpha Olefins

CONTRACTOR shall be responsible for the following:

4.5.1.Routine sample drawing from the sample system per2.6.1 of this document and analysis
of parameters required to be monitored for the best operating performance or any other

constituents that should determine the quality or could have adverse impact on the
process systems or equipment and maintain the parameters within control limits.

4.5.2.Optimization of chemicals, studying cycles of concentration and implementation.

4.5.3.Study and recommend corrective measures for failure of steam, feed water and
condensate lines and valves in all units.

4.5.4.Study the performance and recommend corrective measures for failure of vacuum
tower OH condensers, scale formation in LLP steam and quality of untreated boiler feed
water and condensate lines and valves in NAO unit.

4.5.5.Study the performance and recommend alternate sources for the Emulsion breaker used
in catalyst deactivation section.

4.5.6.Provide training to NAO unit operation personnel on the chemicals used for treatment
and performance monitoring.

4.5.7.Study the Wash water Evaporation unit, suggest improvements, and support establishing
it.

4.6. Unit Specifics – Q-Chem II Polyethylene (Train 3)

CONTRACTOR will be responsible for the following:


 Propose and implement a water treatment plan for the PE reactor coolant system.
 Propose and implement a corrosion-monitoring plan for the above system.
 Propose monitoring and treatment plan for the QChem II storm water pond to prevent
biological growth. Proposed program shall not create adverse effect on downstream
wastewater treatment unit.
 CONTRACTOR is required to start the dosing for the above systems from the
commencement date of the contract with a proper transition plan, as required.

5. Meetings & Reports:

 CONTRACTOR Area Manager will be responsible for sending a detailed Quarterly performance
summary report to DSR every quarter before the scheduled Quarterly meeting with the Q-
Chem management.
 Q-Chem management & CONTRACTOR regional management team will have Quarterly
Meetings scheduled and organized by Designated Site Representative to review the overall
performance; dicussing issues; concerns towards solution.
 CONTRACTOR Area Manager is responsible to have monthly meeting with Area
Superintendent/or Operation Specialists to review monthly performance and feed backs;
understand planned unit shut down opportunities; additional technical expert service/training
requirements; inspection requirements etc and plan accordingly. Monthly meeting date is to
be fixed by Designated Site Representative.
 CONTRACTOR Service Engineer should send Monthly & Weekly summary report with analysis
averages and weekly chemical inventory and consumption details to Department supervision.
Distribution list is to be supplied by DSR.

6. SUPPORT IN TRANSITION FROM EXISTING CONTRACTOR AND TO A NEW CONTRACTOR AT THE END OF
CONTRACT

 Support sampling; analysis; recommend & execute dosing changes; physically verify existing
specialty and commodity chemicals inventory stock in warehouse and the field.
 Monitor the inventory to mobilize Specialty Chemicals in time to overlay (As applicable) or start
with new chemicals.
 Deinventorying the day tanks and storage tanks; cleaning where chemicals cannot be
overlaid before fresh charge.

 At the end of contract, support deinventorying of chemical for introducing new chemical.

7. CONTRACTOR PERSONNEL AND SITE ORGANIZATION

7.1. CONTRACTOR PERSONNEL shall be adequately and appropriately qualified and skilled.
COMPANY reserves the right to interview, trade test as applicable and approve all
CONTRACTOR PERSONNEL prior to mobilization and also during any change envisaged in the
course of performance.

7.2. CONTRACTOR PERSONNEL shall be proficient in English both written and spoken.

7.3. CONTRACTOR shall have a group / team leader.

7.4. CONTRACTOR shall provide CONTRACTOR PERSONNEL with all tools and equipment necessary
for carrying out SERVICES

7.5. CONTRACTOR shall provide adequate and appropriate analytical devices and reagents to
CONTRACTOR PERSONNEL as agreed with unit owners for conducting routine and special
tests.

7.6. CONTRACTOR shall prove the adequacy of CHEMICAL TREATMENT SERVICES to unit owners by
the most appropriate methods used globally.

7.7. CONTRACTOR shall provide adequate transportation for CONTRACTOR PERSONNEL for use at
SITE for movement of personnel, equipment and materials and also daily transportation from
Residence to SITE for normal working hours and Call-offs as required.

7.8. The CONTRACTOR PERSONNEL transport vehicle shall be properly maintained and be
comfortable. CONTRACTOR shall not use trucks for transportation of manpower to WORKSITE.
The Vehicle used shall be fitted with Safety belts and emergency exit doors (for bus).
CONTRACTOR vehicles shall conform to COMPANY Safety Requirements and Qatar’s traffic
regulations.

7.9. CONTRACTOR shall provide at the time of executing SERVICES team / group leader for
coordination of spare parts & administration, etc.

7.10. CONTRACTOR shall provide the CONTRACTOR PERSONNEL with GSM mobile phones for
24 hours usage. CONTRACTOR PERSONNEL are expected to respond to COMPANY
requirements on 24 x 7 basis as and when required.

7.11. CONTRACTOR shall provide cumulative man hours worked at the end of every month
to DSR.

8. PERMIT-TO-WORK SYSTEM
CONTRACTOR shall work in accordance with the COMPANY “PERMIT TO WORK SYSTEM” as per
COMPANY procedures available with HSE for reference. CONTRACTOR personnel shall undergo
training at COMPANY site for this purpose for getting certified/approved before carrying out the
SERVICES.

9. QA/QC

9.1. CONTRACTOR shall have proven quality records and certification from an international third
party quality assurance institution, e.g. ISO, Lloyds etc.

9.2. CONTRACTOR shall have his own QA/QC procedures.

9.3. Chemicals used by CONTRACTOR, shall be certified by third party quality control and quality
assurance firm

10. COMMUNICATIONS

10.1. The CONTRACTOR shall ensure as required as per COMPANY’S assessment, proper and
continuous communications between COMPANY and his direct contact person(s) on a 24
hour basis, key manpower provided under this CONTRACT shall be provided with necessary
communication devices such as a mobile phone.

10.2. All communication devices provided by the CONTRACTOR shall be suitable and safe to
operate within COMPANY's SITE and shall be subject to COMPANY's inspection and approval.

11. ID CARDS, GATE PASSES AND VEHICLE PERMITS

11.1. COMPANY shall issue ID cards and vehicle permits to the CONTRACTOR's manpower
and vehicle/equipment for making entry to SITE. However the CONTRACTOR shall liaise and
obtain any other passes and permits required by local agencies such as RLIC/MIC at his own
cost.

11.2. The CONTRACTOR shall ensure the return of all ID cards, vehicle permits, gate passes
and/or any other documents issued by COMPANY for any of the manpower(s) provided
under this contract whenever such manpower(s) is removed, replaced, withdrawn, gone on
leave, no longer utilized and/or whenever deemed required/necessary by COMPANY under
this CONTRACT. The CONTRACTOR's failure to comply will expose him to all associated
responsibilities and liabilities.

12. WORK LOCATION


All services requested under this CONTRACT shall be executed within the vicinity of COMPANY’s
plant sites at Mesaieed and Ras Laffan /or any other SITE within the STATE OF QATAR.

13. CONTRACTOR PERFORMANCE METRICS


COMPANY shall develop and introduce metrics, by which the CONTRACTOR's performance and
deliverables under this CONTRACT, shall be annually assessed and evaluated. Such metrics shall
cover various key aspects and parameters such as, but may not be limited to, the following:

 SAFETY RECORD
 WATER / PROCESS TREATMENT SERVICES COMPETANCY
 QUALITY OF PERSONNEL
 ADHERENCE TO WORK REQUIREMENT
 AVAILABILITY OF SERVICES

14. TERMINATION OF THE CONTRACT


In addition to all that is mentioned in clause 23, Attachment A of this CONTRACT, COMPANY
reserve the right to terminate the CONTRACT or any part thereof, by written notice to
CONTRCTOR at any time during the duration of the CONTRACT and at its own discretion, if the
CONTRACTOR, as per COMPANY’S opinion, assessment and evaluation, fails to meet/maintain a
satisfactory level/quality of performance and/or deliverables as per the provisions, terms and
conditions of this CONTRACT and/or particular key aspects and parameters as per metrics
mentioned in the clause above.

15. COMPANY'S POLICIES AND REGULATIONS


The CONTRACTOR shall, while executing and performing his tasks/duties under this CONTRACT,
meticulously abide by and comply with all COMPANY's policies, regulations and tenets of
operation that may be relevant to his tasks and duties. Furthermore, he shall take the initiative to
become fully acquainted with such policies and regulations, and his failure to do so, shall not
relive him from any associated responsibilities and liabilities.

16. DURATION OF CONTRACT


The duration of CONTRACT shall be Forty Eight (48) calendar months from the EFFECTIVE DATE of
CONTRACT.
