Payment Terms: Against Delivery.

Product delivery information: The following may kindly be noted for your records with reference to the order
processing and deliveries of Apple products.

1. Apple’s distribution mechanism is different from some of the other device manufacturers and it is not always
possible for us to know the stock position of devices that the Authorised Distributors are carrying at any point of
time. Apple devices, specially iPhone and iPad, are fast moving products for which the distributors also do not
give us any stock holding commitment beyond a few hours.
2. At times we may request you to change the colour options depending on the availability of the stock with the
distributors. We request your support and understanding in this matter in case we come back to you with a
change request.
3. Pricing and deliveries are subject to Apple policy. We cannot guarantee delivery of a Apple product in case Apple
withdraws the product within a few days of you placing a PO. We will however make a best effort to procure the
products you have ordered by following up with the suppliers and Apple.
4. Delivery timeline of accessories and that of the device may differ. Therefore in case you are placing a purchase
order for device as well as accessories, kindly note that we may provide 2 invoices to you – one for the device
and another for the accessories.
5. All Apple hardware carry one-year limited warranty and up to 90 days of complimentary telephone technical
support. To extend your coverage further, you may purchase AppleCare Protection Plan.
6. Every Mac and Apple display comes with a one-year limited warranty and up to 90 days of complimentary
telephone technical support. You can extend your coverage to three years from your hardware product’s original
purchase date by buying the AppleCare Protection Plan for MacBook.
7. Every iPad / iPhone comes with complimentary telephone technical support for 90 days from your iPad / iPhone
purchase and a one-year warranty. By buying the AppleCare Protection Plan, you can extend your service
coverage to two years from the iPad / iPhone purchase date.
8. You can protect macOS and iOS devices from physical damage or theft by separately buying insurance from us.

services offerings include Onsite Support, Buyback/Trade-in, Workshops, Integration and Consulting.

Pre-requisite for placing PO:


1. Your purchase order has to be placed on: <Softcell Address>
2. Device Enrollment Program (DEP) has now become a part of Apple Business Manager (ABM). Device
enrollment through ABM provides a fast, streamlined way to deploy your corporate-owned macOS or iOS
devices, whether purchased directly from Apple or through authorised partners like Softcell.
3. In case of a purchase under ABM, your purchase order (PO) should clearly mention that the products have to be
enrolled under “ABM”. Your purchase order should also mention your company’s ABM Organization ID. ABM
Organization ID was earlier know as DEP Customer ID.
4. Purchase orders placed under ABM should include only the items purchased under ABM and should not be
combined with any other purchases.
5. Softcell’s ABM Reseller ID is EE12F0. As a prerequisite, your organisation has to select Softcell as the preferred
channel partner in the ABM portal by either searching for Softcell by name or search by our Reseller ID.

Price: Unless specifically mentioned elsewhere in this offer, price points in this quotation are subject to change,
based on the following factors:
Foreign exchange fluctuation (such as INR to USD exchange ratio)
Change in pricing policy of the Principal.

Payment Terms: Wire transfer / NEFT / RTGS payment can be sent in the name of Softcell Technologies Global
Private Limited.For details relating to payment through NEFT / RTGS, your Finance team may refer the URL:

Order cancellation: Purchase Orders once placed cannot be cancelled.

TDS: TDS may be deducted where applicable. Kindly note that TDS may not be deducted on transactions involving
further resale of software licenses and software maintenance under Notification No. 21/2012 [F.No.142/10/2012-
SO(TPL)] S.O. 1323(E), dated 13-6-2012 issued by Ministry of Finance. Where TDS is not to be deducted, our
invoice will carry a "NO TDS to be deducted" stamp along with a declaration.

Part Shipment / Part Payment: In case where multiple products/SKUs are ordered, we will strive to deliver the
material together. However at times we may deliver part shipment which must be accepted and payment must be
made accordingly.

Taxes: Taxes considered in this quotation are based on the applicable taxes as on the quotation date. Between the
date of receipt of your PO and the date of our invoicing, in case there is any change in applicable tax rates or in case
the Government introduces any new taxes, then our invoice will be raised considering such changes, Any increase or
decrease in tax amounts due to such changes at the time of billing will be to your account.

Licensing: Licensing is subject to change based on licensing policy of the respective Principal. Any change in the
licensing policy of the Principal may impact the price points.

Stocks & availability: All orders of software and hardware are ordered back to back with the Authorised Distributor.
Return Merchandise Authorisation (RMA), if applicable, is subject to the Principal policy and acceptance.

Warranty: Warranty and support on software is as per the Principals policy. Softcell makes no claims of providing
any independent warranty/guarantee, either expressly or implied and any/all such indications are null/void.

Softcell Technical Support: The rates quoted do not include any implementation / support / service / consulting
charges unless specifically stated in this quotation. Licenses do not include media or documentation kits and these
may be ordered separately in case they are available.

Rights: All rights, title or interest in respect of the intellectual property rights in the software / hardware remain with
the licensor of the software or the hardware OEM vendor at all times.

Governing Law: This agreement and all sales hereunder shall be governed by and constructed in accordance with
the Laws of India [Subject to Mumbai Jurisdiction only].

Limitation of Liability: By accepting purchase orders from customers for software and hardware products, Softcell
does not accept liability for such products not being available for use or for lost / corrupted data. As a result of the
sale of such software and hardware, in no event shall Softcell be liable under any claim or circumstances, whether
the claim sounds in tort, contract or other legal theory, for loss of profits, loss of business / revenue, or other
consequential, special, indirect or punitive damages.

Pre-requisite for SEZ Companies: Companies claiming Special Economic Zone (SEZ) benefits should submit the
below documents and details along with purchase orders.
A valid Letter of Approval (LoA) from Central Government.
Approval letter in From-B (for SEZ Developer) / Form-G (for SEZ Unit).
Registration certificate under GST law stating that your company is located in an SEZ.
Letter of indemnity to Softcell (contact Softcell’s sales person for this letter).
Your company’s SEZ helpdesk’s or spokesperson’s name, email and phone number on your company’s letter
head.
