AGREEMENT

This Agreement made and entered into on this 23th day of April 2022 by and between M/s. G DESIGN STUDIO,
having its registered office at No.222, East Ramalinagam road, RS Puram, Coimbatore-641002, represented by
V.Govarthanam and P.Gabriel (Herein after referred to as “Architect”) which expression also includes it’s successor,
assignees and legal heirs, as the first part.

AND

M/s. JayaRaj International Pvt. Ltd represented by its Managing Director Mr. T.Raja Sekar having its registered office
at No12/1,First Floor,United India Colony,4th Main Road,Kodambakkam, Chennai – 600 024. hereinafter referred to as
“Client”) which expression also includes it’s successors, assignees and legal heirs, as the second part.

WHEREAS M/s JayaRaj International Pvt. Ltd intends to construct “ Residential Apartments ” and is desirous of
appointing the said Architect to render “CONSULTANCY SERVICES” as per the terms and conditions listed in this
agreement. This agreement shall have precedence over all previous commitments, negotiations and understandings.

Now therefore this agreement witnesseth that M/s. G DESIGN STUDIO be hereby appointed as Architect for providing
consultancy services for the design proposed development Residential apartment at Varatharajapuram at Chennai .

● SPIRIT OF AGREEMENT

The Architect would do all the Architectural designing and provide the drawings as required for construction.

II TERM AND SCOPE OF WORK

A. Consultation with Client & Clients Principals, taking instructions and requirements for project planning.
Preparation of Development surveys or other analysis of project, Feasibility studies evolving concepts
etc.

B. Preparation of schematic design, proposals, preliminary layouts, preparation of drawings & Suggestive
Graphics illustrating design concepts, preparation of preliminary budget and cost estimates etc. To
enable the client to arrive to appropriate conclusions on nature of the schematic designs, concepts etc.

C. On approval of schematic designs, extending the Schematic design into a detailed


working out on various aspects of floor plans, specifications, costing, Statutory drawings, Design
analysis etc. all necessary aspects required for statutory approvals. This includes following but not
limited to :

1. Analysis of Drawings made:

The Schematic floor plans that are made will be analyzed in detail and layouts will be prepared in
accordance with further actual requirements and the same shall be developed to details, taking in to
consideration proper articulation of spaces, Proper natural lighting into interiors, cross-ventilation and
optimizing the circulation patterns etc. Introduction of various infrastructure aspects like Electrical,
Sanitary and Water supply. Air conditioning, Sewerage disposal, Garbage disposal, fire fighting etc. into
preliminary designs to make sure of its adaptability by coordinating with relevant consultants.

2. Approval drawings detail for submission:


To furnish necessary drawings and detail to the liasoning person approved by M/s JayaRaj
International Pvt. Ltd to obtain building permits will be of additional scope.

D. Preparation of presentation drawings for display purpose and coordinating with various external agencies
duly appointed by M/s JayaRaj International Pvt. Ltd, involved in preparation of various presentation
materials such as architectural renderings, models, computer aided presentations such as walkthroughs &
3D animations etc. Providing these agencies with all necessary information, drawings and personally
supervising such work to get the best results.

F. Additional Services Like Lift, STP, Solar heating System needs to be coordinated by the Architect with the
concerned consultants and necessary working details incorporated in the final drawings.

G. Preparation of Colour Renderings and Perspective view ( 1 Exterior view ) charges at actuals shall be borne
by the architect. Extra views if required will be borne by the client at actuals.

III . List of Drawings to be prepared:

1. Detailed working plan with column position and execution drawings


2. Plans showing site and building floor levels and leveling details.
3. Detailed brick work drawings for all floors with internal, external and partition wall
details, showing doors, windows, ventilators and cupboard positioning and other details
4. Details of doorframes and shutters window frames and shutters, safety grill designs, fixing details, ventilator
designs etc.
5. Working drawings for staircase and lifts
6. Elevations of all four sides with all working details, material specifications and color schemes
7. Providing all the details such as staircase railings, windows grills, flooring patterns, cladding details, dadoing
details etc.
8. Detailed Drawings through appointed Landscape consultant showing the Road Networks along with the
execution drawings (Landscape Architect)
9. Detailed Drawings through appointed consultants showing the External Electrification, Water supply, External
underground Drainage along with good for construction drawings. Position of STP and water supply system
for Recycled water and disposal of waste. (PHE Consultants)

A. Co ordination for structural drawings in co-ordination with structural consultants and their scope of works include:

1.Detailed centerline and excavation drawing


2.Detailed designs and drawings for footings and columns.
3.Masonry, basements and plinth beams etc., details
4.Structural drawings and designs pertaining to roof and beams and all such major detail drawings, wherever
necessary through the appointed consultant.
5.Detailed design for Sill, lintels and chajjas with their levels and positions

B. Co ordination for electrical layout in co-ordination with electrical consultants and their scope of works include:

Design as per IE Roles, IS specifications and AP Transco regulations, preparation of drawings, estimates based
on market rates, tender schedules for various items of work, occasional site visits for the following nature of work.

1.Lighting design both internal & external in consultation with the architects following the interior design.
2.Electrical lighting layout after approval
3.Electrical circuit design, db scheduling & main incomer selection.
4.Conduit drawings will be provided for lighting, power wiring, data connections, security systems &
Communication system along with position of switches & other gadgets.
5.Preparation of estimate & preparation of bill of quantities on approval from client / architect.
6.Preparation of tender documents & inviting competitive bids & assist the client to finalize the contract.
7.Inspection of the work for quality & quantity as and when required.
8.Assist in taking over the system after energization , as the works are ready in all aspects.
9.Verifying the as built drawings before submission to the clients.

C. Co ordination for water supply, fire fighting, rain water harvesting schemes in co-ordinations with sanitary
consultants and their scope of works include:

1.Preliminary study after site visit with the floor plans etc.,
2.Providing Schematic Layout for formal approval of the proposals.
3.On confirmation, preparation of detailed working drawings.
4. Providing all technical in-put that are required at site at any point of time in the course of execution
.
D. Coordinating with all the consultants associated with the project, weekly review meetings and periodical site visits
at necessary stages for checking quality of work to ensure compliance with drawings and specifications.

MILE STONES :
IV . Stage I :

A. Preparation of Architectural / Conceptual design.


B. After finalization of conceptual designs, Preparation of documentation for approval of statutory authority.
C. Development of Conceptual designs into detailed layouts, introduction of various infrastructure requirements
, discussion with other services consultants, preparation of preliminary design reports of all engineering
services involved, such as Structural, Electrical, Sanitary etc., Preliminary cost estimates to arrive at
appropriate design solutions. All the data thus arrived would be discussed in details and submitted to project
co-ordination committee.
All the decisions taken at the juncture by the committee would be recorded and would form a basis for final
working drawings.
D. Preparation of Perspectives (1 exterior view).

Stage II:-

A. Preparation and submission of set of working drawings (for information set) to the committee for approval and
releasing of working drawings for execution purpose to the site on approval from project coordinating
committee.
B. Providing necessary Architectural details for all the areas as per the specifications.

V. CLIENT’S RESPONSIBILITY:

The following shall be the responsibilities of the Client:

A. Providing requirements of the projects.


B. Handing over site plan and boundary details.
C. Submission of drawings to obtain building permits
D. Pay the fees of the Architect within fortnight of submission of the bills.
E. Use their good office with local authorities and Government agencies on all matters related to the project as
and when required.
F. Furnish the Architect with properly surveyed topographical plan of the site including contours and other
important physical features and levels.
G. Soil test reports shall be provided by the Client.
H. Appointment of Structural , HVAC, Landscape, swimming pool ,Façade, Lighting Consultants .
I. Additional works required like Land surveying, soil testing, model making, 3D animations, Walk through, etc.,
Charges at actuals shall be borne by the client.
J. Proof checking by third party consultants.
K. BOQ.
L. Bill checking.

VI. LIABILITY OF ARCHITECT

Architect is liable if it fails to exercise all reasonable skill, care and diligence in discharge of its duties under these
conditions, but the aforesaid liability shall be limited as stated under: -

A. The liability of Architect does not cover cost other than those for the reinstatement of the works.
B. Architect has no liability what so ever over poor workmanship substandard quality of work, usage of
substandard materials etc., and such aspects will be brought to the knowledge of the client or the project
coordinating committee.
C. Architect has no liability what so ever for any violation of legal provisions or rights of third parties. Violations
from the statutory plans, FSI, ISI Standards and NBC.
D. Architect has no liability what so ever for any part of works not designed by them or not under their
responsibility or which has not been constructed under their supervisions.
E. Architect has no liability what so ever if the work is commenced prior to obtaining sanction from statutory
bodies.

VII. EXECUTION OF THE ASSIGNMENT:

A. All the stages of the work shall be completed by the Architect and the necessary approval given by the client
according to the time schedule as laid down in project completion schedule and mile stone activity. The
works throughout the stipulated period of contract will be carried out with diligence. Time, being the essence
of the contract.

B. In the event of the failure of the Architect to complete their work or the client to give their approval and / or
make payment within the time specified in the schedule or in the event either of the parties committed a
breach of any one or more of the terms and conditions of the agreement, the aggrieved party shall be
entitled to rescind this agreement without prejudice to its rights to claim damages or remedies under the law.
The period of the notice to be given to rescind the contract will be 90 days on either side. However in case of
acute exigency, the client has the authority to rescind the agreement with a notice of 7 days.

C. The Architect shall prepare drawings, designs, outline specifications and estimates of costs by cubic
measurements or on area basis on Architect rate analysis or on I.S.I. specifications as per the requirement
and in the absence of rate in the aforesaid schedule of rates the same shall be arrived at by actual analysis.

D. The Architect shall assume full responsibility for the designs and specifications for items described in the
scope of work. The Architect shall ensure that the design of this project is not repeated elsewhere for any
other clients. The client will have full access to the detail of the calculations and the structural designs for
purpose of scrutiny for satisfying themselves as to their correctness. The structural engineers of the
Architect will render all possible help for the above scrutiny.

E. The Architect shall supply C.D. consisting of all the drawings and information upon the completion of the
project.

F. The drawings, specifications and documents as instruments of services are the property of the Architect
whether the property for which they are made to are executed or not. They are not to be used for any other
projects except with the written consent of the Architect.

G. The Client shall have the liberty to postpone or withdraw from the work and the Architect shall not be entitled
to any compensation for non-execution of the work except the fees which are payable to the Architect up to
the stages of service then in progress.

H. Architect however shall be responsible for the direction and integration of the consultants work.

I. The Architect must have authority / approval of his client before initiating any stage of the assignment.

J. The Architect shall not make any deviations, alterations or omission from the approved drawings without
prior consent of the client.

K. The Architect shall exercise all reasonable skill, care and diligence in the discharge of his duties and shall
exercise such general superintendence and inspection in regard to such works as may be necessary to
ensure that works are being executed in accordance with the contract document and shall endeavor to guard
the owner against the defects and deficiencies in the work of the contractor.

L. In case of termination of the contract in the middle of the project, the client is entitled to the drawings made
until then for the said project and is free to use them for the same.

M. Visit to the Sites: The architect / consultants/ Project Coordinator shall also visit the site as and when
required for clarification of doubts on the drawings supplied by them and to guide the Company. As part of
the services, the Consultant shall from time to time certify that their drawings are being correctly interpreted
at site and the finishing is of acceptable quality. The Consultant shall depute their structural Engineer to
check layout of columns at foundations level and each floor level all the reinforcement before any RCC work
is taken up and after satisfaction, a certificate shall be given to this effect, so as to go ahead with the
concreting. The consultant is also required to depute their Electrical or other engineer as and when required
to check and suggest proper execution of the job.
N. The Architect / Consultant shall render such professional services in all matters as may be required
pertaining to the work of Architect and shall assist the Company with information and comments as may be
required in connection with Govt. audit. The Architect / Consultants shall perform their duties under this
agreement with due care skill and diligence. The plans and designs furnished by then shall confirm to the
statutory provisions which may be applicable and as far as possible economical and sound in every way. The
Structural engineer shall be solely responsible for the trueness and correctness of the structural designs and
drawings submitted by them.

O. The drawings / designs and all related matter provided by the consultant under this agreement shall be
deemed as Client’s property after agreed payments are made by the Client to the Architect and thereafter
the consultant shall have no right whatsoever. The Client shall have complete right on such materials and
the Client can make use of them in any form.

P. The Company shall have the right to make minor changes even in the approved drawings from time to time
for which the consultant shall oblige and submit revised drawings / designs accordingly at no extra cost.

Q. Any additional works / modification / any advice required due to concept or constructional
changes/deficiencies works which are not within the scope of the work as set out in the proposal, we shall
provide a proposal/quotation of the fees for THE SAME. Upon agreeing to the proposal, we shall proceed
with the works.

R. Project Construction compliance report shall be done by the coordinators from the Architect side for
monitoring and concerned experts visiting as and when required.

X. PAYMENT TERMS & SCHEDULE OF PAYMENT :

Fees payable to the Architect will be at Rs.6.50/-Sq.ft (Rupees 6.5 /Sq.ft ) Excludes Approval,BOQ
Structural, & Interiors ] + 18% GST (as applicable) and this will be cost to the Client including TDS and
excluding Service Tax.For Computation of area the total saleable area 2,00,000 sq.ft shall be considered
(approximately 14,00,000),

And payment shall be affected in the following pattern.

1. Appointment Fees 10% Rs.1,40,000/-+GST

2. On finalizing the scheme 20%

3. On finalizing the scheme 2 Options -i Rendered image 10%

4. Preparation of Marketing Drawing as per approvals 10%

5. Preparation of Basic GFC Working Drawing (First Set of GFC) 10%

6. On completion of GFC Drawing (Second Set of GFC- All detail Drawing) 10%

7. During construction stage(Total period of 2 year divided into 4 installments) 25%

8. On Completion of Project 5%

X. REPORTS / COPIES TO BE SUPPLIED BY THE CONSULTANT: The consultants shall Supply the following:
