Memorandum of Agreement

KNOW ALL MEN BY THESE PRESENTS:

This Contract entered by and between:

FREDDIE GALIT, of legal age, Single, Filipino Citizen, with residence

and postal address at Lot 581 Blue Meadow St. Brgy. 175, Caloocan City,
hereinafter referred to as the Client”;

-And-

DARWIN N. GUNDALE, of legal age, Single, Filipino Citizen, with

residence and postal address at 0192 Sta Rosa 2 Marilao, Bulacan,
hereinafter referred to as “the TRANSCRIPTIONIST.

WITNESSETH

The PARTIES hereby agree on the following, to wit:

1. AUDIO FILE Details.

Audio File Name: Reflection Sir Freddie Galit

Audio Duration : 1 minute and 44 seconds
Location: Caloocan City
Deadline for Hard Copy : September 30, 2022

2. Payment. The Parties agree to the following Payment and Payment

Terms:

Total Fee for Services: P 3, 500

Cancellation.

By Client. The Client may not cancel this Contract at any time.
 Transcriptionist Limitation of Liability. The Transcriptionist will
transcribe only the audio file entitled “Reflection_Freddie Galit” that has a
duration of 1 minute and 44 seconds.

Dispute Resolution and Legal Fees. In the event of a dispute arising

out of this Contract that cannot be resolved by mutual agreement, the
Parties agree to engage in mediation. If the matter cannot be resolved
through mediation, and legal action ensues, the successful Party will be
entitled to its legal fees, including, but not limited to its attorneys’ fees.

Legal and Binding Agreement. This Contract is legal and binding

between the Parties as stated above. This Contract may be entered into
and is legal and binding under Philippine Laws. The Parties each represent
that they have the authority to enter into this Contract.

Governing Law and Jurisdiction. The Parties agree that in case of suit
arising from this Contract, the venue shall be in the City of Manila.

1. Entire Agreement. The Parties acknowledge and agree that this

Contract represents the entire agreement between the Parties. In the event
that the Parties desire to change, add, or otherwise modify any terms, they
shall do so in writing to be signed by both parties.

The Parties agree to the terms and conditions set forth above as
demonstrated by their signatures as follows:
