UNDIVIDED PROPERTY

We, ROBERTO P. GREGORIO married to ROWENA L. MELEGRITO and

AMORSOLO PARASO, of legal ages, Filipinos, all residing at Afan Salvador
street, Guimba, Nueva Ecija, the true, lawful and absolute owners of a parcel of
land situated in Barrio Maturanoc (now) Municipality of Guimba Province of
Nueva Ecija which parcel of land is registered under our names as evidenced by
Transfer Certificate of Title No. 050-2010000564 issued by the Registry of Deeds
of Nueva Ecija, hereinafter called the VENDORS,

-in favor of-

SONIA M. GARCIA, Filipino, who was born on July 31, 1991 and
SHAHRAM ABADIAN,who was born on August 10, 1974, of legal age,
presently residing at Cabaruan, Guimba , Nueva Ecija, hereinafter called the
VENDEES.

WITNESSETH

1. For and in consideration in the amount of ONE MILLION THREE

HUNDRED FIFTY THOUSAND PESOS (P1,350,000.00) . Vendors
agreed to sell the portion of ONE THOUSAND NINE HUNDRED FIFTY
FOUR AND FIFTY (1,954.50) SQUARE METERS the above-mentioned
property and particularly described as follows:

A parcel of land (Lot 565-B of the subdivision plan PSD-03-180651

being a portion of Lot 565, Guimba cadastre L.R.C. Rec No.) situated in the
Barrio Maturanoc (now) Municipality of Guimba Province of Nueva Ecija.
Bounded on the SE., along line 1-2 by road (12.00 M. wide); on the W.,
along lines 2-3-4 by lot 569, Guimba cadastre; on the NE., along lines 4-5-6
by irrigation ditch (6.00 M. wide); on the E., along lines 6-7-1 by Lot 565-A
of the subdivision plan. Beginning at a point marked “1” on plan being N. 66
deg 50’E., 58.55 M. from BBM no 7, Guimba cadastre. Thence S. 69 deg
49’W., 55.01 M. to point 2; Thence N. 04 deg 31’E., 64.82 M. to point 3
Thence N. 04 deg 31’E., 3.20 M to point 4; Thence S. 77 deg 57’E., 14.81
 M. to point 5; thence S. 75 deg 53’E., 34.08 M. to point 6; Thence S. 01 deg
47’W., 3.20 M. to point 7; Thence S. 01 deg. 56’W., 34.25 M to the point of
beginning; containing an area of TWO THOUSAND SIX HUNDRED SIX
(2,606) SQUARE METERS more or less. All points referred to are indicated
on the plan and are marked on TEH ground pts. 2,4 by old BL, PT. 3 &5 are
old ps cyl.conc.mons. 15 cms in diam. & the rest by ps cyl.conc.mons. 15 x
40 cms. Bearings; true date of original survey, Nov 1919 and that of
subdivision survey, Nov 5, 2009 and was approved on Jan 29, 2010.

The portion subject of this sale is bounded on the EAST by the

property of GUIMBA WATER DISTRICT, on the WEST by the property of
BONG ROMANO, on the NORTH by the property of MACARIO
CINENSE and on the SOUTH by the PROVINCIAL ROAD.

2. The Vendees shall tender a downpayment in the amount of TWO

HUNDRED THOUSAND PESOS (P200,000.00) on May 14, 2013.

3. The Vendees shall tender the amount of SIX HUNDRED THOUSAND

PESOS (P600,000.00) on May 21, 2013.

4. After payment of P600,000.00, the Vendors shall surrender the Owner’s

copy of the said title to the herein Notary Public and the Vendor consents to
the facilitation of transfer of title in the name of the Vendees.

5. The Vendees shall pay the Vendors the final payment in the amount of
FIVE HUNDRED AND FIFTY THOUSAND PESOS (P550,000.00) on
November 21, 2013.

6. The title shall be surrendered to the Vendees after the last payment.

ACKNOWLEDGEMENT

BEFORE ME, Notary Public, for and in the Science City of Muñoz, Nueva
Ecija, this ________________________, personally appeared ROBERTO P.
GREGORIO, ROWENA L. MELEGRITO, AMORSOLO PARASO, SONIA M.
GARCIA and SHAHRAM ABADIAN. I was able to ascertain their identities
when they showed various identification cards, that they are the same persons who
executed the foregoing instrument and acknowledged that the same are their free
voluntary act and deed.

This Conditional Deed of Sale Of Undivided Property consists of three (3)

pages including this page where the acknowledgement is written and signed by
them and their instrumental witnesses at the left margin of each page except the
last page.
