III. The TKP steps, amounts, commissions, etc.
Most of the complete projects related with Technical Education use to move
around 50M EUR. This total amount, for so many reasons, has to be divided in the
following steps:
Step I: Maximum 2,5M EUR

Stpe II: Maximum 2,5M EUR
Step III: Approx. 5M EUR
Step IV: Approx. 10M EUR
Step V: The rest of total amount
The commission normally use to be minimum 10%.

a. Public Training Centres. In the case of Universities you can contact the
Chancellor (Rector) or Dean of Engineering. In the case of Technical and
Vocational centres you have to contact the Ministry of Education and the
Ministry of Labour.
b. Private Training Centres. You should contact the owners and to take into
account that they will usually prefer to use the available cheap loans for
the project and to use their own money for other purposes.
c. Director of a Training Center.

PROJECT COST AND FINANCING

We can determine the financial conditions only when you, your customer and
EDIBON have decided the total project amount and the units to be included
(higher technology means better conditions).

FINANCIAL CONDITIONS
Only as an approximate reference, the financial conditions of the possible

available financing would be:
a) Public Institutions: Approx. 1% interest. Repayment in 30 years with some grace

period. The Sovereign Guarantee of your country will be required. Project
amount: from 2 to 30 million EUR.
b) Private Institutions: Approx 2% interest. Repayment period from 6 to 10 years.

Owner guarantee is required. Project amount, from 1 to 30 million EUR.

PRELIMINARY CONTACT WITH YOUR CUSTOMER
 You create the interest by yourself or by using the introduction EDIBON

letter. (See: 3.3.1 c) Draft Letter for initiating a TKP)
 Your customer has to be informed about that EDIBON will design

technically the project free of charge. The customer will analyse the
EDIBON design and will make modifications, if necessary.
 Customer will know about the good financing possibilities.

 After EDIBON design, customer has to decide and approve the design:
 The project content.
 The total amount.

TO DIVIDE THE PROJECT IN STEPS

In case of big amounts, EDIBON accommodates the total amount in three

or more steps, depending on the financing possibilities and the strategy to
follow in the Spanish Ministry in order to get success.
1st and 2nd steps, the maximum amount must be under 2,5M EUR. The 3rd
step can be any amount but about 5M EUR is adequate. The rest of the
steps can be any amount.

FINANCING AFTER PROVISIONAL CONTRACT AND PRIORITY
LETTER
EDIBON ask officially for the financing, ONLY when we receive:

 Contract or Provisional Contract. This contract will include the following

conditions, indicated in the article 2.1.1 where we are saying: “This Contract will
be valid only if The Spanish Financial Facility, or any other financial
facility for its financing acceptable to the CUSTOMER, has been
obtained and it is fully available”. So if there are not good financing
conditions, always your customer is free to decide or change his mind.
 The Priority Letter from the Ministry of Financing. (Draft available on request).
With these two documents and the project itself, EDIBON asks for the financing,
officially.

CONTACT WITH END CUSTOMER
The procedure really starts when the customer receives our project design, so in order to do
that we can offer:
 EDIBON designs a tentative project, normally free of charge.

 The Representative receives the EDIBON design and give to the end customer.
 The customer receives the tentative project.
 The customer makes modifications and sends them back to the Representative. (VERY
IMPORTANT: It is strongly recommended the final technical project to be based on the
EDIBON proposal). The High-Tech SCADA units and SCADA-NET must be included.
 The Representative sends the new project to EDIBON.
 EDIBON checks it in order to be sure that the project can be approved by Spanish
Government. High-Tech SCADA and SCADA-NET guarantee success.
 EDIBON, through the Representative, sends the project back to the customer, including all
the modifications for end customer final approval.
Note: These steps can be simplified in most of the cases.

CONTACT WITH YOUR COUNTRY INSTITUTIONS
 The project has to be approved by the end customer (University, Ministry of Education or
any other institution). All the end customers usually approve their project in their own
Planning Department.
 Once the project has been internally approved, the end customer institution submits it,
through its appropriate Ministry, to the National Planning.
Such National Planning can:
 Refuse the project with objections, so we have to start again.
 Approve the project. In this case the project will have National Priority.
 With National Priority, the project moves to Ministry of Financing (MOF). The MOF has to
find the financing. We can offer our financing to MOF.

TENDER OR NO TENDER
There are two options.
a) No tender is required.
In this case EDIBON sends the draft contract to the end customer and, after some small
modifications, the end customer and EDIBON sign the draft contract.
b) A Tender is required.
In this case the project has to be tendered, but the design done by EDIBON includes our
specifications. It guarantees our success in the tender. With EDIBON specifications in the
tender, we have 99,99% success possibilities. In this case, we sign the REAL
CONTRACT.

INSTALLATION AND TRAINING INCLUDED
 Installations included in TKP, we make the Installations at customer

laboratories, by one or several EDIBON highly qualified engineers.
About 50 EDIBON engineers are available for this purpose, so we
choose the proper ones at any time.
 Training. In TKP we do the training, first at EDIBON premises and at

customer laboratories, by one or several EDIBON engineers. About

NO PAYMENT REQUIRED
 When EDIBON and customer sign the commercial contract, NOT

ANY PAYMENT IS REQUIRED.
 End customer payment starts after he receives the goods.
 To sign the provisional contract does not mean any obligation from
customer side. The commercial contract is required «ONLY» for
EDIBON, when we ask for credit to our government and/or our
banks.

An Interministerial Committee decides:

a) To give or not to give the credit.

b) The financial conditions.
This committee studies the financial operation when «EDIBON asks for
that officially» with the Provisional Commercial Contract and Priority
Letter from MOF.

When the Interministerial Committee approves the conditions, it

informs your country authorities. In this moment:
 The general financial conditions have been decided by the Spanish

Interministerial Committee.
 The financial authorities accept or not the credit.
 In case your country financial authorities accept the credit,

they negotiate the details and conditions with ICO (Spanish
counterpart).

The EDIBON customer (University, Ministry of Education, etc) never

pays any amount and does not have any financial obligation.
EDIBON customer gets the EDIBON Teaching Equipment, free

of charge, as the payment goes through government.

EDIBON customer receives the goods, free of charge. Your

government pays.
EDIBON gets the money from Spanish Authority, ICO. Your Financial
Department, pays to Spain or our bank over several years with very
low interest.

SPANISH SOFT LOANS (FIEM)
Spanish soft loans are available for countries with less that 3.900 $ rent
per capita. Their approximate conditions are as follows:
 Interest rate: lower than 1% per annum.

 Repayment period: Up to 30 years.
 Grace period: Up to 10 years.
 Guaranties: Required.
They can be used basically only for public institutions, since the
Sovereign Guarantee is required and usually it is not given for private
transactions.

SPANISH COMMERCIAL LOANS
 Amount: From € 0,5 million to € 20 million.

 Interest rate: usually between 2% and 4% per year.
 Repayment period: 8 to 10 years.
The final conditions of interest rate and duration of the repayment

period are related with the amount and the technical level of the
project, as well as with the commercial and political situation of the
buyer´s country.
These kind of loans are ideal for private institutions, but in theory
they can also be used for public institutions.

In the case of countries where the above options are not

available due to the country situation, EDIBON is ready to
study the possibilities of getting loans for public institutions

with some kind of credit facility included. This option has to
be analysed “case by case”.

EXTERNAL DEBT SWAP
In some countries Spain has reached agreements with local

government to write off all or part of its public debt with
Spain. To get such debt relief the debtor country has to

create a Fund with the equivalent in local currency to all or
an agreed part of the condoned debt. Against such Fund it
is possible to finance, without any cost for the buyer,
projects executed by local or Spanish companies.
