DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF CONDITIONAL SALE is entered into this ___ day of ______ 2020,
in the City of Legazpi by and between:

_______________________, Filipino, of legal age, single/married


to_____________, and a resident of ______________________________________,
hereinafter referred to as VENDOR,

and

_______________________, Filipino, of legal age, single/married


to_____________, and a resident of ______________________________________,
hereinafter referred to as VENDEE.

WITNESSETH:

That, the VENDOR do hereby sell, convey and transfer in a manner absolute and
irrevocable unto the said VENDEE, his/her heirs and assigns, subject to the fulfillment
of conditions herein stipulated, for and in consideration of _____________________
Philippine Currency (P_____________.00), the property including improvements
therein situated in _____________________, and more particularly described as
follows:

That the VENDOR hereby sells to the VENDEE, who agreed to buy the above-
described land under the following terms and conditions to wit:

1. That the total consideration of the sale is __________________________

2. That upon signing of this Contract, the VENDEE shall pay to the VENDOR a
downpayment of ________________________PESOS (P___________________),
to be deposited to an Escrow Bank Account entrusted to ___________________,
as the escrow officer. An Escrow Agreement shall also be executed by the parties
after the signing of this Contract;

3. That the remaining balance shall be paid in full to the Escrow account upon
transfer of title and tax declaration in the name of the VENDEE. Once the title had
been transferred to the VENDEE, the Escrow Officer shall release the full amount
of the purchase price to the VENDOR;

4. That the VENDOR shall give the VENDEE absolute and complete control and
possession of the subject property thereon upon the receipt of the first payment;

5. That the VENDOR, reserves his right of ownership over the subject land until
full payment of the consideration;

6. That in the event that the VENDOR should fail or deliberately refuse to comply
with his obligation, the VENDEE shall be reimbursed of the amount of the purchase
price paid, cost of improvements as well as beneficial interests and other damages
that the VENDEE may suffer;

7. Further, in case of default in payment by the VENDEE of the remaining balance


of the purchase price and despite several demands still refuses to fulfill his/her
obligations and to continue with the sale, the initial amount deposited to the Escrow
account will be forfeited in favor of the VENDOR and the possession of the property
shall be surrendered to the latter immediately;and

8. Finally, the ______ shall pay for the capital gains tax, documentary stamp tax,
Transfer tax, title processing and other related documents pertaining to transfer of
ownership.

IN WITNESS WHEREOF, the parties have hereunto set their hands this ___day of
