MOTOR VEHICLE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale of a Motor Vehicle is made and executed by and
between:

JUAN of legal age, maried, Filipino Citizen with residence address at #510 Purok
5, Balsigan, Baguio City, Philippines, hereinafter referred to as the VENDOR;

AND
PEDRO of legal age, married and Filipino Citizen and with residence address at
#510 Purok 5, Balsigan, Baguio City, Philippines, Baguio City hereinafter referred to as
the VENDEE;

WITNESSETH:

That the VENDOR is the registered owner of one (1) Motor Cycle including its
Franchise which is more particularly described as follows:

MAKE: KAWASAKI (Motorcyle)

PLATE NO: AU 140104
ENGINE NO: XYZ
CHASSIS NO: ABC!@#
MV FILE: 12345678

That, for and in consideration of the amount of) the VENDOR by these presents,
hereby SELL, TRANSFER and CONVEY IN A MANNER ABSOLUTE AND
IRREVOCABLE, unto and in favor of the VENDEE, her heirs, assigns, and executors
the above described One (1) Taxi Unit Motorcycle;

VENDOR shall sell and convey to VENDEE and the latter shall accept the
vehicle/asset AS IS, WHERE IS.

That the VENDOR hereby warrant peaceful possession of the motor vehicle
herein sold and conveyed and will defend the VENDEE against claims of third persons
whomsoever.

IN WITNESS WHEREOF, the VENDOR has hereunto set his hand this 30 th day
of December at Baguio City, Philippines.

DEED OF ABSOLUTE SALE OF A MOTORCYCLE and acknowledged to me that
the same is her free act and voluntary deed.

This instrument relates to a Deed of Absolute Sale of a Motor Vehicle including

Franchise and consists of Two (2) pages including this page whereon the
acknowledgement is written. The same has been signed by the parties and their
instrumental witnesses on each and every page hereof.
