Offer for Supply, Installation, Testing and Commissioning of 11/0.415 KV, 400 KVA Substation.

Dear Sir,

We thank you for above mentioned enquiry and are pleased to enclose herewith price of our offered equipments along with technical details
as desired by you.

1.0 Price:

The quoted price is in BDT. Our quoted price is exclusive of VAT and AIT.

2.0. Validity of price:

This offer is valid for order placing one month beyond which the same shall be subject to our further confirmation in writing.

3.0. Scope of Work:

Supplier/Energypac Engineering Limited Scope:
a. Supply, Installation, Testing and Commissioning of all the Equipment mentioned in Technical Specification.
b. Providing Design and Drawing of all Panels and Lay Out Plan.
c. Providing 11 KV earthing.
d. Providing Electrical Licensing Board Certification.

Client Scope:
a. Make CC/RCC foundation, Fancing, Cable Trench, Cable Tray & will provide stone/chips, earthing PIT & others Civil
Construction like foundation, cable trench, fencing etc. according to approved design and drawing.
b. Providing all types of Cable like HT Cable, LT cable, Control Cable and Earthing Cable from all equipment body to mesh.
c. Taking load sanction permission from BREB/PBS/DESCO/DPDC.

4.0 Origin / make:

Refer to our Technical Specification (Ref: 0020MT2011.12.R01 on Dated: November 17, 2020)

5.0 Project Completion Period:

Delivery: Within 1 month after receipt of technically and commercially clear order and Advance payment.
Installation, Testing and Commissioning: Within 1 Month after delivery.

6.0. Payment Terms:

5.1 50% of the total order value will be paid along with the work order.
5.2 50% will be paid after factory inspection but before delivery
5.3 Mode of payment will be Pay Order/Account Payee cheque in favour of Energypac Engineering Limited.
7.0. Warranty:

Energypac undertakes any defect resulting from manufacturing defect at its own expense repair, modify or replace at its option
and as it deem necessary, the defective equipment or part thereof for a period of 18 months from the date of shipment of
materials or 12 months from the date of commissioning whichever is earlier. The warranty shall only apply to defects that appear
under normal operation and proper use and provided that the client has fully complied with Energypac instructions and guidance
relating to storage, installation, operation and maintenance of relevant equipment. The warranty period shall expire prematurely
the customer or a third party undertakes inappropriate alterations/modifications or repairs to the equipment or if the customer, in
event of a defect, does not immediately take all appropriate steps to mitigate the damage and give Energypac the opportunity to
remedy such defect.

8.0. After Sales Service:After sales service will be provided against payment as per standard valid rate after expiry of warranty period.

9.0. Quality Control:

Energypac is the largest private sector enterprise in Bangladesh for electrical products & services. Quality of our products is strictly
controlled in accordance to ISO guidelines and has been awarded ISO 9001:2000 & 14001:2004 certificates.

10.0 Title:

Title and property in the goods sold shall remain with Energypac Engineering Ltd until such time as full payment is made to
Energypac for all amounts owing by the purchaser so that the purchaser’s total indebtedness to Energypac under the terms
and conditions of sale is discharged

11.0 Patents and Design Rights:

The patent and design rights held by Energypac and relating to goods offered or supplied by Energypac shall remain the
absolute property of Energypac and Energypac designs and drawing shall not be reproduced or disclosed without Energypac
written consent. The Purchaser will not without Energypac written consent copy or allow others to copy any drawings, goods or
part thereof supplied by Energypac.

12.0 Liability of Energypac:

Energypac shall not be under any liability where in contract, tort or otherwise from any cause whatsoever, whether occasioned
by negligence or otherwise, for any injury, damage or loss, including consequential damages or loss or loss whether to persons
or property, arising out of this contract or the goods supplied pursuant hereto including any defects therein or anything
connected therewith or with repair or replacement or any other work related thereto.
