DESCRIPTION OF SERVICE

Mecha-Con Enterprise will render Construction Services and will perform as necessary and applicable according to our best
judgment to keep your equipment protected and properly operating with optimum efficiency.

An Engineer-on-site will be provided for the general supervision during the whole service, if deemed necessary.

We will provide tools/equipment necessary to complete the Construction Services.

Mecha-Con Enterprise will conduct a series of tests and/or actual testing before and after the rendered service for proper turn over.

TERMS OF AGREEMENT

The Construction Services will be for a period of 30 working day(s).

Schedule of activities and procedures will have to be coordinated and approved first by the owner or representative before we
conduct any activities.

A detailed Acceptance Form / Accomplishment Report will be issued to the customer. This report will also include equipment log
readings, over-all conditions of equipment/devices and recommendations/suggestions.

PRICE AND PAYMENT

The Supply-Installation Services detailed in this agreement will amount to Five Hundred Thirty-Nine Thousand Seven Hundred
Pesos Only (PHP539,700.00). 30% Down Payment amounting to One Hundred Sixty-One Thousand Nine Hundred Ten Pesos
Only (PhP161,910.00) will be requested to purchase major materials and Weekly Progress Billing until after rendered service is
finished and receipt of Invoice and/or signing of acceptance form / accomplishment reports covering the terms and conditions as
stipulated in this agreement will be furnished upon accomplishment.

Termination of agreement is subject for re-evaluation of billing.

SUPPLEMENTAL SERVICES

Additional services will be furnished upon request and proper authorization from both parties.
All additional services shall be invoiced by Mecha-Con Enterprise and payable by the customer.

EXCLUSIONS

a. Civil Works
b. Undeclared Replaceable Parts
c. Rewinding and / or reconditioning of the motors
d. Rewiring of electrical and / or electronic controls and accessories
e. Testing of Electronic Boards and components
f. Back job repairs or replacements necessitated by misuse/improper operation of covered equipment against our
recommendations, tampering and installation/maintenance of device or equipment made my person(s) other than our
authorized service personnel or negligence of customer, customer’s employees or invites.

CUSTOMER RESPONSIBILITIES

In order for Mecha-Con Enterprise to properly perform the services included in this agreement, Customer shall:

 a. Provide all permits requisite for the job.
b. Approve the schedule of activities that will be provided in advance by Mecha-Con Enterprise.
c. Provide reasonable and timely access to all equipment covered in this agreement.
d. Allow us to start and stop equipment, as necessary for testing and calibration procedures.
e. Provide necessary supplies and assistance of knowledgeable personnel for the equipment.

WARRANTY CLAUSE

Warranties will only cover new / replacement parts / unit and workmanship provided by Mecha-Con Enterprise for a period of Sixty
days upon acceptance.

LIMITATIONS OF LIABILITY

Mecha-Con Enterprise shall not be held liable for personal injuries or property damages arising from causes reasonably beyond
their control nor shall be liable for any delay or default in performing hereunder per se such as governmental restrictions, domestic
or international problems, acts of God, interruption or irregularities in electrical power or telephone services, embargoes, or the
unavailability of materials or parts.

IN NO EVENT SHALL MECHA-CON ENTERPRISE BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGE AFTER
PROPER THE TURN OVER WAS MADE.

ENTIRE AGREEMENT

When executed by both parties and approved by their authorized representatives this Agreement contains the extent of the
services covered herein. No other representations, warranties, or statements shall be honored unless expressly agreed to in writing
by authorized representatives of both parties.
