1 INTRODUCTION

Majis Industrial Services SAOC (MAJIS) has invited EPC Contractors to bid for EPC works for an ITT titled
“EPCC of Upgrading of Seawater Intake Pumping Station for Common Cooling Water System at Sohar
Industrial Port” (Project).

Vertex LLC (hereafter referred to as Vertex) has been invited by MAK to submit a techno commercial
proposal for providing Design Engineering Services (Services) for the Project. It is understood that in the
event of an award on Al-Hassan, Vertex would be engaged by them as their Engineering Subcontractor to
provide Services for the mutually agreed price and scope as detailed elsewhere in this proposal.

MAJIS have already performed the design of the facility through their consultants AAW and CivilPort for
implementation of the modifications to the existing sea water pumping station for common cooling water
system at Sohar industrial port and have issued the engineering package as part of the tender document
to enable MAK to proceed with procurement and construction of the new facilities coming under the
Project

MAK have requested Vertex to provide residual engineering as per agreed scope detailed in this proposal
document including procurement engineering support and preparation of detail structural fabrication
drawings and other installation drawings required for construction and installation works for the Project as
defined n this proposal.

1.2 Definitions

Company : Majis Industrial Services SAOC (MAJIS)

1.3 Project Description

Majis Industrial Services SAOC (MAJIS) is a closely held joint stock company owned by the Government of
Oman. Majis is the provider of various water utility services at Sohar Industrial Port Area (SIPA) and
Established the Sea water Intake facility to supply the sea water for the purpose of industrial equipment
cooling in the various industries located in the port.

MAJIS awarded a contract related to the hydraulic study and Engineering of Manifold and Bypass system
for Common Cooling Water System (CCWS) at Sohar Industrial Port Area to Oman Sustainable Water
Solutions Company (OSWS) after studying the CCWS with the current and future demands for the
industrial facilities in that area.

OSWS appointed M/s AAW to study and design all Electro-Mechanical and associated works related to
new proposed modification work of the CCWS designed by M/s Civil Port.

With the help of these enhancements Majis is expecting the improvement in the following main areas of
common cooling water system:

• CCWS manifold Reliability Improvement in terms of Anti-Corrosion material and having the
standby of the Manifold.
• CCWS Capacity & Reliability improvement in terms of enhancing the system with extra Pump and
Motor set.
• Enhance the operational life cycle of the assets which are going to acquire by it.
• Operational & Maintenance Technological improvements in the entire system.

1.4 Major Project Scope

Major project scope with respect to the Detailed Engineering, supply and construction activities are
described below:

• Topographic and geotechnical survey;


• Procurement and delivery of GRP pipes and fittings material as per the tender specifications;
• Supply, construction, Install, testing and commissioning steel structure works for new manifolds
• Piping system installation including hydraulic testing;
• Supply, install, testing and commissioning butterfly valves with actuators and air valves.
• Supply, install, testing and commissioning one CCWS vertical turbine pump;
• Supply, install, testing and commissioning of the power supply facilities for new pump and
associated works.
• Supply, install, testing and commissioning of new VCB, VFD, MV motor, Cables, Low Voltage
Switchgear and associated works.
• Supply, install, testing and commissioning for all HVAC equipment for retrofitting existing VFD
room.
• Supply, testing and commissioning, Integration of the instrumentation and SCADA system, for
complete enhancement of the scope specified in all tender documents which includes online
condition monitoring system;
• All Civil works related to the above.
• Integration and connection of all equipment, piping system with the existing system without any
disturbance to the operation of the system.
• Start-up, tests and trial run upon completion for the complete system;
• Maintenance organization, equipment and spare parts;
• Training of the Employer staff.
2 TECHNICAL PROPOSAL

The SOW of work for this proposal will be in line with company tender documents and clarifications and as
further clarified in this proposal. Comprehensive multidisciplinary design and engineering services for Detail
design covering all disciplines will be undertaken to meet the Project SOW for the mutually agreed scope
between MAK and VERTEX as detailed in this proposal.

3 METHODOLOGY

VERTEX will be managing the entire project delivery from its Muscat based office and will designate a well
experienced “Project Manager” who will be responsible for overall coordination, and complying with
project schedule and deliverables for the scope identified in this proposal and will be supported by a
multidiscipline team consisting of Discipline Lead Engineers/ Designers / Draughtsman (Process,
Mechanical / Piping, Pipeline, Civil, Electrical and Instrumentation) and Project Services Personnel.

Primarily the execution methodology will involve following steps:


a. Kick-off Meeting
b. Input data collection / Site Visit
c. Detail Design
d. AFC Package

3.1 Kick Off Meeting

Within two weeks of the formal award of contract on VERTEX, subject to availability of the relevant Client
staff, VERTEX would propose holding the formal Kick-off meeting with Client. This key meeting is so that
the project commences on the correct footing. The key aspects that will be addressed, as a minimum, at
this meeting can be summarized as follows:

• Introduction of focal points along with all contact details


• Alignment of common objectives for both Client and VERTEX
• Agreement on the principles of review and approvals
• Setting up Responsibility Matrix
• Agreement on nominal dates for all periodical meetings with Client.
• Weekly and Monthly Progress Reports

3.2 Site Visit / Data Collection

• Review pipe route and identified tie in points and assess the site constraints
• Identifications of site’s opportunities and constraints
• Actual electrical and instrumentation tie-ins and discuss interface requirements with client team
and capture it in the site visit report.
• Determine and inspect the supply of utilities in the area
• Determine all the ongoing interface and stakeholders

3.3 Detail Design

This shall be generally as per the requirements stated in the tender documents and as clarified in this
proposal.

The detailed design will broadly cover the following activities and generation of documents:

• Preparation of project design basis - not considered as design is already frozen by company and
defined in tender document
• Material Selection shall be followed as applicable for the project and will be as per tender documents
and client specifications and no new material selection study or activity is to be considered
• Design studies, calculations and simulations are not applicable to VERTEX scope. Only preparation of
detail fabrication drawings and installation drawings for electrical and instrumentation interfaces will
be developed as part of VERTEX scope
• Updating of PFD, PEFS, data sheets of the project based on detail design changes
• Detailing of piping layouts, equipment foundation drawings, electrical, instrument layouts and other
construction drawing as required . Detailing of piping layouts is not required to be carried out by
VERTEX and MAK will develop the pping installation drawings based on clients design inputs through
GRE vendor separately.

• Preparation of MRs, TBE, VDR etc. For all long lead items and tagged items procured for the proejct
• Conduct various reviews such as DR, HAZOP etc. as applicable for the project
• Generating Piping, Pipeline, Electrical, Instrumentation, Mechanical, Civil & Structural MTOs as
applicable for the project for the engineering performed by VERTEX is included

3.4 AFC Package

• Incorporating vendor data into detailed design drawings


• Civil design and drawings are developed based on vendor information, inputs from piping and
electrical disciplines.
• Approved for construction drawings will be issued in phased manner to match the construction
schedule.
• Final bulk MTOs are issued for procurement.
• Vendor information (critical dimensions etc.) to ensure any holds on pipe work or other equipment
can be cleared before issue of the construction drawings. This excludes GRE pipework drawings which
will be developed by FRE vendor separately

4 PROPOSED ENGINEERING PROJECT ORGANISATION

VERTEX’s personnel have a balance of international expertise with local knowledge which complement with
best engineering practices followed in any such leading engineering consultancy offices to provide a
value- added solution to EPC Contractor. Detailed Project Organization chart is enclosed in company
profile and CVs of key engineering personnel are enclosed in Attachment –5.

5 CODES AND STANDARDS

Company specifications, procedures, guidelines and applicable standards and codes defined in Technical
Specifications and Drawings of tender documents will be used for the execution of the detail engineering
activities predominantly supplemented by international codes and standards.

6 TIME SCHEDULE

Engineering deliverables will be dovetailed with EPC schedule. It is envisaged that substantial completion
of engineering will be completed in (20) weeks. A detailed engineering schedule will be prepared and
mutually discussed and agreed with EPC Contractor after contract award.

SITEVISIT OF HAZOP AFC PKG WITH HOLD
VERTEX will continue its support to the EPC Contractor during the construction phase of the project by
providing clarifications on the design deliverables as required.

In order to adhere this schedule EPC Contractor has an obligation to make available to VERTEX all
necessary site input data, design inputs and selected vendor data as per the need list identified after
award of work in a timely manner to enable VERTEX to prepare construction deliverables as per planned
schedule.

• This schedule is based on the first issue date of activities only, not approval.
• It is assumed that once deliverables have been issued, client will have 5 days of review including
across table resolution session with all teams involved and final issue for approval will be released the
following week.
• Up to two revision cycle for all deliverables is considered for this project.
• HOLDS for final vendor information in the AFC package will be removed upon receipt of all vendor
inputs from the contractor.

7 DELIVERABLES

Design and engineering deliverables as mentioned in Attachment –1, shall be provided as part of VERTEX
scope of services. Same will be defined in detail after award of project in form of EDR (Engineering
Deliverable Register). Any changes to the scope may have impact on commercial, which should be agreed
mutually before execution.

8.2 Basis of Price

The above lump sum price is based on following

a. The bid currency is in Rial Omani.


b. Currently no taxes and duties are applicable to this assignment.
c. Lump sum price in this Agreement is stated to be exclusive of VAT and other sales or indirect taxes,
which may be due on any invoice. If any such taxes are payable on the payments under this
Agreement, then the Client shall be responsible for the payment of such taxes to the consultant
(Vertex) following receipt of a valid tax invoice from the payee.
d. Engineering Delivery Centre for this assignment would VERTEX Home Office located in Muscat,
Sultanate
of Oman.
e. All engineering deliverables will be transmitted through email as soft copies and all communication
shall be in English.
f. EPC Contractor shall bear all expenses towards any travel of VERTEX personnel deployed on this
Assignment outside Muscat but not limited to airfare, board & lodge, visa charges, travel insurance,
local travel, diem rates etc. In addition, man-hours expended including travel time would be charged to
the EPC Contractor.
g. All progress reviews, vendor related meetings are assumed to be held in Muscat.
h. All drawings will be prepared in AutoCAD 2D format and documents in MS Word and Excel.
i. As- Building of existing facilities under the project scope will be verified /carried out, but As- Building
of any existing facilities or facilities that are outside the scope of this project is not included in scope.
j. All vendor drawing As-built shall be carried out by the respective vendors.
k. While all efforts will be made to complete the Project on schedule without any LDs and / or other
penalties shall be applicable to VERTEX.
l. Limited efforts for Office based support for all design queries during construction and commissioning
activity is considered as part of Vertex scope.
m. Vertex working hours is eight (8) hours a day and 5 working days a week, starting Sunday to Thursday,
Friday and Saturday being weekend holidays.
n. Site visit / transportation / food / accommodation/ permits to be arranged by client, in case Vertex
arrange the same cost to be paid back by company with 10% uplift.
o. Any Third-party service request issued through Vertex will entitle for 10% uplift on third party invoice
value and the invoices will be claimed immediate upon receipt of third-party invoice.
p. Any services related to inspection and expediting including vendor documents / drawings and Visit to
vendor shops is not considered.
q. No man-hours are considered in lump sum price for site secondment of Designer/Engineer from
VERTEX. Site queries during construction / commissioning will be addressed from VERTEX Muscat
Office. r. Any extension of the assignment duration due to reasons not solely attributable to VERTEX
will call for
an upward revision in the lump-sum price.
s. Any phase-wise implementation of the Project resulting in extended deployment of VERTEX personnel
will call for an upward revision in the lump-sum price.
t. All inputs including Pipeline route survey data, geotechnical report, FEED drawings and documents
shall be provided by Client in native files.
u. No MR shall go for client review or approval cycle.
v. Pump Hydraulics / Pipeline hydraulics, as these are not to be generated by VERTEX. Only review of
client tender inputs will be considered
w. Detailed Structural fabrication drawings for the platform and structures (approx. 120 tons) is
considered as additional as per the client (MKG) comments.
x. All VDR coming under review and approval category shall go through two review cycle. Any additional
cycle of revisions due to Vendors’ slippage will be back-charged to EPC Contractor to recover the same
from the defaulting Vendors. EPC Contractor shall ensure that adequate conditions/safeguards are
incorporated in their Subcontracts with Vendors for supply of various equipment/ packages/other
items towards timely delivery of Vendor Documentation in line with Project Schedule.
y. Technical Bid Evaluation (TQ & TBE) of bids received from Vendors limited to maximum 2 offers. All the
three bids shall be provided together for evaluation. Review of any additional Vendor offers calls for
variation to the Assignment.
z. The price quoted above excludes provision of office space to company/EPC Contractor representatives
unless otherwise specifically mentioned elsewhere in this proposal. However, free access to
conferencing facilities at VERTEX Muscat Office at any time during the engineering phase of the project
for holding meetings related to engineering progress and vendor discussions will be provided to EPC
Contractor and is subject to its availability.

8.3 Unit Rates

VERTEX unit rates in Omani Rials for any additional services beyond the agreed scope of services and
variation orders are as follows:

a. All unit rates are based on 8.5 hours working per day or part thereof and includes travel hours, if any.
Additional hours if any spent shall be charged pro rata basis.
b. Per diem rate for the deputation of VERTEX personnel for any visits outside Muscat shall be chargeable
at RO 160.000 per person-day of ten (10) hours including travel hours. Entire travel arrangements
(transport, boarding, accommodation, visa and travel insurance) for such visits shall be arranged by
Client at their cost.
c. Any day visits of duration of four (4) hours or part thereof for meetings/ discussions/presentations
within
Muscat capital area other than what is included in the lump sum price will attract a unit rate of RO
80.000 per person per visit or part thereof. All visits beyond four (4) hours duration will be treated on
day rate basis.

8.4 Payment Terms

Proposed payment terms are as follows.

a. 10.0% advance along with PO


b. 87.5% on monthly progress basis and balance
c. 2.5% on as-built submission

9 OTHER TERMS AND CONDITIONS

Design and Engineering Services are offered in accordance with the standard VERTEX General Terms &
Conditions for Services to be performed by VERTEX LLC (Attachment –2), except as specified otherwise in
this offer.

9.1 Exclusions

Following activities are excluded from VERTEX scope of services in this offer as these are considered as
either not required for this project or falling under obligations of others. Any specific exclusion can
however be considered and included separately based on EPC Contractor’s request.

a. All exclusions from the scope indicated in the tender documents and clarifications provided by

company. b. Construction procedure documents such as WPS, PQR, QAP, ITP’s, HSE plan, etc.

c. VERTEX has not considered any provision for bonds/Guarantees.

d. MTO for consumable items shall be considered by contractor.

e. WinPCS / CCMS shall be in contractor’s scope by engaging third party. CCMS database updating.

f. Construction method statements such as hydro-test procedures, construction work packs, job cards,
temporary structures for erection and field installation work, NDT procedures, inspection requests etc.

g. Procurement activities such as floating of enquiries, vendor follow up, expediting, inspection, quality
check of materials procured etc.

h. All interface management will be handled and managed by EPC contractor and is expected to support
VERTEX during engineering phase.

i. Liaising with any Utility company for any Client’s requirements/approvals.

j. Only Standard Engineering software are assumed, any special software requirement from EPC
contractor/Client are not part of this scope.

k. Field assistance, construction, pre commissioning, and commissioning assistance, if required, will be
carried out on a reimbursable basis as per the manhour rates given in Section 8.3. Our scope is limited
only to clarification of queries related to engineering performed by us.

l. Preparation of Excavation plans/drawings are not considered.

m. The Contractor shall continuously update the drawings with markups in red on the latest revision of the
drawings during execution and will be provided as red line marked up drawings for as-built.

n. Drawings generation / review / inputs for Temporary facilities or Camp for construction are excluded
from lumpsum cost. These are considered to be by EPC Contractor.

o. Any process or performance Guarantees/Warrantees of any sort for the equipment on this Project.
VERTEX’s Warrantee will be limited to its design deliverables as per terms stated in General Terms &
Conditions.

p. Special studies as applicable shall be carried out by engaging a Company approved specialist Consultant.
Percentage mark-up of 10% shall apply for third party services.

q. Obtaining necessary permissions including photography permits for VERTEX’s representative to visit
the locations for getting the necessary field data during pre-engineering and post-engineering visits).

r. Preparation of construction specifications and scope of work for construction subcontracts.

s. Engineering for demolishing and dismantling of temporary structures and existing facilities
encountered during execution.

t. Participation in Factory Acceptance testing (FAT).

u. Bar Bending schedule and Structural Steel fabrication drawings

v. It is assumed material selection is finalized and engineering for material section not considered.

w. 3D modeling

x. Soil investigation/Topographical Survey report are not considered as part of scope.

y. As informed by client, Piping scope is completely deleted and only co-ordination with vendors and
VDR is considered. Verification of Tender MTO’s will be performed as a checking activity as part of
procurement support to MAK and no new deliverables related to piping MTO’s will be generated.

z. Adequacy check for existing structure is not considered as part of scope.

aa. Adequacy check for existing foundation is not considered as part of scope.

bb. Demolition drawings for existing structures/foundations are not considered as part of scope.

cc. Any site activity like Instrument calibration and loop checking, site assistance for start-up, pre-
Commissioning and commissioning activities.

dd. Any Job risk assessment or Job safety analysis to identify all potential risks associated with lifting
operation prior to any lifting execution.

a. Preparation of Spare Part Interchangeability records.

b. Any other activity not specifically included in this proposal.

9.2 Validity

This proposal is valid for Six (6) months from date of submission and executed within twelve (12) months
from the release of the purchase order.

VERTEX ENGINEERING CONSULTANCY LLC formerly known as VALDEL LLC is a 100% Omani SME
engineering consultancy and engineering Service provider in Oman to Oil and Gas Industry, both
Upstream and Downstream Segments. Operating in Oman since 2009, VERTEX has been providing its
