Board of Directors Meetings under Companies Act

‫اجتماعات مجلس اإلدارة بموجب قانون الشركات‬

1. Board of Directors Meetings (Sec 173) 1. ً ‫اجتماعات المجلس (وفقا‬

)‫ من قانون الشركات‬173 ‫للقسم‬

a. Every company shall hold the first meeting of the Board of Directors within thirty days of the date of its
incorporation and thereafter hold a minimum number of four meetings of its Board of Directors every year in such
a manner that not more than one hundred and twenty days shall intervene between two consecutive meetings.

ً ‫المدة بين كل اجتماعيين متتاليين عن مئة وعشرين يوما‬/‫ على أال تقل الفترة‬،‫األقل في كل سنة‬.

b. in case of one-person company, small company, section 8 company and private company, this section is deemed
to have been complied with it at least one board meeting has been held in each half of a calendar year, and the gap
between two meetings shall not be less than 90 days.

‫ يُعتبر أن هذا القسم‬،‫ أو الشركة الخاصة‬،‫ من قانون الشركات‬8 ‫ أو الشركة المرخصة بموجب القسم‬،‫ والشركة الصغيرة‬،‫ في حالة الشركة الواحدة‬.‫ب‬
90 ‫الفترة بين كل اجتماعين متتاليين عن‬/‫ ويجب أال تزيد المدة‬،‫قد امتثل له على األقل عقد اجتماع واحد لمجلس اإلدارة في كل نصف سنة تقويمية‬
‫يوما‬.

c. Every officer whose duty is to give notice under this section but fails to do so shall be liable to a penalty of
twenty-five thousand rupees.

2. Meetings through video conferencing, or audio-visual means

‫ البصرية‬G‫االجتماعات التي تُعقد عن طريق مؤتمرات الفيديو أو الوسائل السمعية‬

a. The participation of directors in a board meeting may be either in person or through video conferencing or
audio-visual means as may be prescribed which are capable of recording and recognition the participants and
storing the proceedings of meetings.

،‫ تُحتسب مشاركة المديرين في اجتماعات مجلس اإلدارة إما شخصيا ً أو من خالل مؤتمرات الفيديو أو الوسائل السمعية والبصرية المنصوص عليها‬.‫أ‬
ً ‫األشخاص المشاركين وتسجيل االجتماعات واستخدامها الحقا‬/‫والتي تعمل على معرفة األعضاء‬.

b. The notice of meeting shall inform the participants that the option is available to them and shall provide the
necessary information to them for participating through video conferencing or audio-visual means.

‫ يتيح اشعار االجتماع هذا للمشاركين باختيار الطريقة الالزمة للمشاركة وذلك من خالل مؤتمرات الفيديو أو الوسائل السمعية البصرية‬.‫ب‬.
