‫‪OF YASH PAKKA LIMITED‬‬

‫النظام األساسي لشركة ياش باكا المحدودة‬

‫‪(1) In these Articles‬‬

‫في هذا النظام األساسي‪ ،‬يكون للتعابير (أو للمصطلحات) (أو تحمل التعابير أو المصطلحات) أدناه المعاني التالية‪:‬‬

‫‪(a) "Act' means the Companies Act, 2013 or any statutory modification or reenactment thereof,‬‬
‫‪for the time being in force, and the term shall )be deemed to( refer to the applicable Section‬‬
‫‪thereof which is relatable to the relevant Article in which the said term appears in these Articles‬‬
‫‪and any previous Company law, so far as may be applicable.‬‬

‫(أ) يُقصد بـ "قانون الشركات" قانون الشركات لسنة ‪ 2013‬أو نسخة معدلة منه أو صيغة جديدة له‪ ،‬كما هو مطبق )أو معمول‬
‫به( في الوقت الحالي )أو الراهن(‪ .‬ويشير المصطلح إلى القسم المعمول به (أو الواجب تطبيقه أو تنفيذه) من القانون والذي‬
‫يخص البند )أو وذي الصلة بالبند) الذي يظهر فيه المصطلح في هذا النظام األساسي وأي قانون سابق للشركة‪ ،‬حسب ما‬
‫يقتضيه الحال (أو األمر أو حسب االقتضاء)‪.‬‬

‫‪(b) “Articles" means these Articles of Association of the Company or as altered from time to‬‬
‫‪time.‬‬

‫ب) النظام‪ :‬ويقصد به النظام األساسي للشركة كما يجري تعديلهـ من وقت آلخر‪.‬‬

‫‪(c) "Board of Directors" or "Board", means the collective "Board of body of the Directors of the‬‬
‫‪Company.‬‬

‫ج) المجلس أو مجلس اإلدارة‪ :‬ويقصد به مجلس إدارة الشركة‪.‬‬

‫‪(d) "Company" means Yash Pakka Limited.‬‬

‫د) الشركة‪ :‬ويقصد به شركة ياش باكا المحدودة‪.‬‬

‫‪(e) "Rules" means the applicable rules for the time being in force as prescribed under relevant‬‬
‫‪Sections of the Act.‬‬

‫هـ) "القواعد" ويقصد بها القواعد المعمول بها في الوقت الحالي والنافذة على النحو المنصوص عليه في األقسام ذات الصلة من‬
‫القانون‪.‬‬

‫‪(f) "Seal" means the Common Seal of the Company.‬‬

‫و) "الختم"‪ :‬ويقصد به الختم الرسمي للشركة‪.‬‬

‫‪(2) Words importing the singular number shall include the plural number and words importing‬‬
‫‪the masculine gender shall, where the context admits, include the feminine and neuter gender.‬‬

‫ثانيا ً‪ :‬الكلمات التي ترد في هذا النظام األساسي في صيغة المفرد تشمل أيضا صيغة الجمع‪ ،‬والكلمات التي ترد في صيغة‬
‫المذكر تشمل أيضا صيغة المؤنث والمحايد حيثما يسمح السياق بذلك‪.‬‬

‫‪(3) Unless the context otherwise requires, words or expressions contained in these Articles shall‬‬
‫‪bear the same meaning as in the Act or the Rules, as the case may be.‬‬

‫ثالثا ً‪ :‬ما لم يقتض السياق عكس ذلك‪ ،‬تكون للمصطلحات أو العبارات المذكورة في هذا النظام األساسي نفس المعنى الذي تحمله‬
‫في قانون الشركات أو القواعد حسب مقتضى الحال‪.‬‬

‫‪Share Capital and Variation of Rights‬‬

‫رأس مال المساهمين وتباين الحقوق المرتبطة باألسهم‬

‫‪(4) Subject to the provisions of the Act and these Articles, the shares in the capital of the‬‬
‫‪Company shall be under the control of the Board who may issue, allot or otherwise dispose of‬‬
‫‪the same or any of them to such persons, in such proportion and on such terms and conditions‬‬
‫‪and either at a premium or at par and at such time as they may from time to time think fit.‬‬

‫(‪ )4‬مع مراعاة عدم اإلخالل بأحكام قانون الشركات وهذا النظام األساسي (أو رهنا بأحكام قانون الشركات‪ ،)...‬تكون األسهم‬
‫في رأس مال الشركة تحت سيطرة مجلس اإلدارة الذي يجوز له إصدار األسهم أو تخصيصها أو التصرف فيها أو في أي منها‬
‫لصالح أي أشخاص قد يراهم المجلس مناسبين وبأي نسبة يحددها المجلس ووفقًا للشروط واألحكام التي يراها مناسبة‪ ،‬وإما‬
‫بالسعر الرسمي لألسهم أو بسعر أعلى وفي أي وقت كان‪ ،‬حسبما قد يراه المجلس مناسبًا من وقت آلخر‪.‬‬
‫‪(5) Subject to the provisions of the Act and these Articles, the Board may issue and allot shares‬‬
‫‪in the capital of the Company, on payment or part payment of any property or assets of any kind‬‬
‫‪whatsoever sold or transferred, goods or machinery supplied or for services rendered to the‬‬
‫‪Company in the conduct of its business and any shares which may be so allotted may be issued‬‬
‫‪as fully paid up or partly paid up otherwise than for cash, and if so issued shall be deemed to be‬‬
‫‪fully paid up or partly paid-up shares as the case may be.‬‬

‫(‪ )5‬مع مراعاة عدم اإلخالل بأحكام قانون الشركات وهذا النظام األساسي (أو رهنا بأحكام قانون الشركات وهذا النظام‬
‫األساسي)‪ ،‬يجوز لمجلس اإلدارة إصدار حصص في رأس مال الشركة وتخصيصها عند الدفع الكلي أو الجزئي ألي ممتلكات‬
‫أو أصول من أي نوع كانت من خالل بيعها أو نقلها‪ ،‬أو ألي بضائع أو آالت وردت للشركة‪ ،‬أو مقابل خدمات قدمت إلى‬
‫الشركة في تسيير أعمالها‪ ،‬علما أن أي أسهم خصصت على هذا النحو يجوز إصدارها على أساس أن قيمتها قد دفعت بالكامل‬
‫أو جزئيًا بمقابل غير النقد‪ ،‬وفي هذه الحالة‪ ،‬تعتبر قيمة هذه األسهم مدفوعة بالكامل أو جزئيًا حسب الحالة (أو حسبما يقتضيه‬
‫الحال)‪.‬‬
