DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE made and executed by and between:

married to JOSE H. HABAN JR., both of legal age, Filipino citizen, with residence address at
No. 54 Bagong Buhay St., Brgy. San Isidro, Galas, Quezon City.

hereinafter referred to as the “VENDOR”;

In favor of

SPOUSES: JOEL A. LEDESMA and MELODY C. LEDESMA, both of legal age, Filipino
citizen, with residence address at Block 15 Lot 6 26 th St. Villa Caceres, Balibago, Sta. Rosa
City, Laguna.

hereinafter referred to as the “VENDEE”;

WITNESSETH That:

WHEREAS, the VENDOR is the registered owner of two (2) parcels of land, located with San
Lorenzo Subdivision, Brgy. Malitlit, Sta. Rosa, Laguna, with the following details:

THAT, for and in consideration of the sum of PESOS: SEVEN HUNDRED FIFTY THOUSAND
ONLY (Php 750,000.00), in hand paid by the VENDEE unto and in favor of the VENDOR, and the
receipt and acceptance of which is hereby acknowledged by the latter to its full and complete
satisfaction, the said VENDOR hereby SELLS, TRANSFERS and CONVEYS, and by these
presents has SOLD, TRANSFERRED and CONVEYED all its interest, rights and participation in
and over the PROPERTY absolutely and irrevocably unto and in favor of the VENDEE, his heirs,
and successors, the PROPERTY, together with any and all improvements thereon, subject to the
terms and conditions hereinafter stipulated.

THAT the VENDOR warrants that the PROPERTY is free from any and all liens,
encumbrances, and charges of whatever nature. The VENDOR further warrants valid title to and
possession of the said PROPERTY unto and in favor of the VENDEE, against any and all claims of
any third party or entity. The VENDOR likewise warrants that the PROPERTY is not tenanted nor
illegally occupied by any person or entity, not planted to rice or corn, and is not covered by any
agrarian reform program of the government.

THAT the VENDEE shall shoulder the capital gains tax of the Witholding Tax for this
transaction, whichever is applicable, as well as all other expenses that may be incurred incidental
to the transfer of the title to and tax declaration of the PROPERTY under his name, including but
not limited to the documentary stamps, transfer tax, registration fees, notarial and documentation
fees, and the like.
THAT this VENDOR shall shoulder all outstanding fees (such as association dues, etc…) prior
to completion of this transaction.

THAT the subject PROPERTY is deemed turned-over upon the execution of this Deed and
upon receipt by the VENDOR of the Full Payment in cleared funds by the VENDEE.

IN WITNESS WHEREOF, the parties hereby set their hands and affixed signatures this ____ day
