MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

That this Memorandum of Agreement is entered into the City of

Cotabato, Philippines by and between:

BHAE IZASHY M.MASTURA., of legal age, and a resident of

Barangay Darapanan, Sultan Kudarat, , hereinafter referred to as the FIRST
PARTY;

AND

HADJA MONIERA ABAS ALI., of legal age and a resident of Waling

Waling, Mother Barangay Baguil, Cotabato City, hereinafter referred to as
the SECOND PARTY;

WITNESSETH:

Whereas, the FIRST PARTY is a holder of an importation permit, which

allows it to import diesel, rice, and sugar;

Whereas, the said importation permit allows the FIRST PARTY to make
bulk orders from Vietnam;

Whereas, the FIRST PARTY is authorizing the SECOND PARTY to use

the said importation permit for a certain quota with the corresponding
consideration;

NOW THEREFORE, for and in consideration of the above-mentioned,

parties do hereby mutually agree and bind themselves to the following terms
and conditions:

1. That BOTH PARTIES agree that for every import, the FIRST PARTY
is entitled to a share of Two Hundred Fifty Pesos (PhP 250.00)
for every sack of sugar and Twenty Pesos (PhP 20.00) for
every sack of rice;

2. This Agreement represents the entire agreement between BOTH

PARTIES and supersedes all previous oral and written
communications, reprsentations, or agreements between the
parties;

3. The foregoing agreement shall take effect on the date of signing

and notarization and has a lifespan until the end of this year, 2022,
unless sooner terminated upon written notice served by either of
the PARTIES to the other Thirty days (30) prior to the date of
termination.

IN WITNESS WHEREOF, the parties hereunto signed the foregoing

agreement this ______ of August, 2022 at Makati City, Philippines.
