This DECLARATION OF HEIRSHIP WITH DEED OF SALE,executed this day

REMEDIOS MORALIDAD , of legal age, Filipino, widow and a resident of

loilo City, , Philippines, hereinafter referred to as the FIRST PARTY;

PRESENTACION B.FARILLAS,of legal age,Filipino, married to ALVIN

FARILLAS, and a resident of Iloilo City, Philippines, hereinafter referred to as the FIRST
PARTY

HEIRS OF DOMINGO MORALIDAD,namely:

CRISTIN MORALIDAD, of legal age, Filipino, and a residentIloilo

City,,Philippines, hereinafter referred to as the FIRST PARTY;

LUMEN CHRISTIS E. MORALIDAD, of legal age, Filipino, single and a

resident of Iloilo City, Philippines, hereinafter referred to as the FIRST PARTY;

JUNEFREY E. MORALIDAD, of legal age, Filipino single and a resident of

lloilo City, Philippines, hereinafter referred to as the FIRST PARTY;

TA-ALA FARMS INC.,REPRESENTED by BRION P. TA-ALA , of legal age,

married and a resident of Bacolod, Negros Occidental, Philippines, by virtue of
Secretary Certificate dated

hereinafter referred to as the SECOND PARTY;

Witnesseth:
WHEREAS, the REMEDIOS MORALIDAD is the Surviving Wife while CRISTIN
MORALIDAD,LUMEN CHRISTIS B. MORALIDAD,and JUNEFREY E. MORALIDAD are the
legitimate Children, respectively, of the late DOMINGO
MORALIDAD who died on December 11, 2012 at Pavia ,Iloilo without leaving

any will;

WHEREAS, the said deceased at the time of his death, left conjugal shares over the
real property situated in Brgy. Cabugao , Norte, Pavia, Iloilo, Philippines more particularly
described as follows to wit:

A parcel of land (Lot No. 1 , PCS -06-004423, being a cons-subd., of Lot

3628-b-1 AND Lot 3528 -B-2 Psd-06-01462, . situated in Brgy. of Cabugao
Norte, Mun. of Pavia, Province of Iloilo,Island of Panay , Bounded on the NE., ,
along line 1-2 by Lot 4, of this cons.,-subd., survey ; on the SE., along lines 2-3-4
by Right of Way , 6.0m. wide, portion of Lot 4, of this cons-subd., survey on the
SW., along line 4-5by Lot 2, of this cons-subd., survey; on the NW., along line 5-
1 by Lot 4, of this cons-subd. Survey. xxxx containing an area FIVE HUNDRED
square meters more or less.

The FIRST PARTY are the owners of a parcel of land known as Lot No. 1, Pcs-06-
000 covered by Transfer Certificate of Title No.T-210996 situated at Brgy. of Cabugao Norte,
Mun. Of Pavia , Province oflloilo, Philippines, equivalent to an area of 500 square meters,
more or less.

WHEREAS, by virtue of the death of the said DOMINGO MORALIDAD without

leavingany will, the afore named REMEDIOS MORALIDAD as the Surviving wife while
CRISTIN MORALIDAD,LUMEN CHRISTIS E. MORALIDAD, and JUNEFREY E.MORALIDAD
as the legitimate Children,hereby declare themselves to be the sole heirs and exclusive co-
owners over the conjugal shares of DOMINGO MORALIDAD of the aforedescribed parcel of
land;

NOW THEREFORE, for and in consideration of the sum of TWO MILLION FOUR
HUNDRED THOUSAND PESOS (Php 2,400,000.00)Philippine Currency payment in full is
hereby acknowledged by the FIRST PARTY do hereby sell, transfer, and convey to the
SECOND PARTY as BUYER the above-described parcel of land and its improvements and
house thereon.

That by virtue of these presents, the FIRST PARTY hereby declare that she has no
more claims of whatever nature and kind, her, assigns and successors-in-interest against the
SECOND PARTY;
