MEMORANDUM OF AGREEMENT

This Memorandum of Agreement made and executed between:

JONATHAN S. DIONSON AND BABY C. ARDIENTE,

both Filipino Citizen of legal age, married and a resident of 1059-2
Kalubihan, Talamban, Cebu City, Philippines, hereinafter referred
to as the SUBLESSOR;

- and -

MARIANNE S. PEPITO AND EMAN DARYL I.

YCOT, both of legal age, married, and a resident of Block 2 Lot
23, Rajah Townhomes, Julio B Alinsug St., Basak, Mandaue City,
Cebu, Philippines, hereinafter referred to as the SUBLESSEE;

WITNESSETH:

WHEREAS, the SUBLESSOR is the LESSEE of Lot No. 2137-B-4,

located at Basak, Mandaue City, Cebu, Philippines, containing an area of TWO
HUNDRED THIRTY SEVEN (237) sq. meters and covered under TCT No.
111-2018003557;

WHEREAS, the SUBLESSEE is interested to lease the above mentioned

leased property;

NOW THEREFORE, for and in consideration of the foregoing

premises, the parties hereby bind themselves to undertake this Agreement,
under the following terms and conditions:

1. The SUBLESSEE will sign the CONTRACT OF SUBLEASE and

pay the rental fees once the occupancy permit is available;

2. The occupancy permit expenses will be shouldered by the

SUBLESSEE and such expenses paid by the SUBLESSEE shall be
deducted from the rental fees of the leased property.

3. The payment scheme of the said expenses shall be paid in

staggered basis in the amount of _____________________
 4. The leased property shall not be subject to any other CONTRACT
OF SUBLEASE;

5. The SUBLESSOR shall return the expenses paid by the

SUBLESSEE in case of non-performance of obligations by the
SUBLESSOR;

6. The SUBLESSEE shall be free from any and all liabilities arising
from gross negligence in the performance of SUBLESSOR’s
duties and responsibilities;

7. This Memorandum of Agreement shall become effective upon

signature of both parties and implementation will begin
immediately.

acknowledged to me that they have read this document and confirmed that they executed the
same as their free and voluntary act and deed.
