Our above offer is based on our standard terms and conditions, which are enclosed herewith. These
terms and condition shall form part of the contract for supply of Concrete. Any variation or deviation
from the enclosed terms & Conditions shall require revision in the rates for supply of Concrete.

A. Technical

1. Scope of Work: The scope of work under this offer includes the supply of required grade of
Concrete in Bags at the required location of your Project site. Our scope of work does not
include spreading, vibrating, leveling, finishing curing of Concrete, which shall be performed
by you only.

Nuvoco shall not be held responsible for any blemishes in Concrete like shrinkage cracks,
settlement cracks, honeycombs etc. appearing due to bad workmanship, faulty formwork /
supports, delayed / insufficient curing or due to non-standard practices / materials. Further,
Nuvoco shall not be liable for performance of Concrete, in case of any addition at Project Site
without prior written approval of Nuvoco.

Nuvoco shall, on your request, provide specialized help or advice at the nominal charges for
the placement of Concrete. We shall not be held responsible for the strength and quantity
variations, if directions given by us for the placement of the Concrete are not complied with
fully.

The schedule for supply of Concrete at the Project Site shall be communicated to us at least
2-3 Days in advance to avoid any delay in supply.

2. Mix Design:

i. Instamix shall be designed as per Nuvoco design and your requirements based on IS:
456-2000
ii. We have considered usage of locally available raw material.
iii. We are using mineral admixture as per provision of IS: 456.
iv. Our Concrete mix design is based on the use of OPC 53/43Grade & PPC/PSC cement.
v. Our Concrete will be supplied with normal Concrete temperature.
vi. Interblending of all input materials, for arriving at the best possible mix design is in
our
scope.

3. Testing: The Concrete manufactured at our Plant shall be subject to regular testing
confirming to the requirement of IS 456 & IS 516 at our fully equipped laboratory at the Plant
to ascertain the strength of the Concrete on 7th day and 28th day of the placement of
Concrete at the Project Site. In case test certificates are required, customer’s representative
can witness specimen sampling at our Plant, from the consignment prior to its delivery to the
Project Site. The compressive strength of cubes tested at our Plant shall be final & binding on
both parties.

Any objection in the quality/quantity of Concrete supplied in a lot shall be intimated to us in

writing within 24 hours of delivery of Concrete at the Project Site. Any complaint regarding
the strength of Concrete supplied shall strictly be intimated in writing to the Plant Manager
within 30 days of such supply of Concrete, failing which, Nuvoco shall not be liable to
entertain any such complaint.

4. Mode of Measurement: The quantity of Concrete dispatched from our Plant will form the

 basis for measurement and invoicing. The Customer shall ensure that an authorized person at
Project Site signs the delivery challan and hand it over to the delivery man. The
acknowledgement given by the representative of the Customer at the Project Site shall be
final proof of the quality and quantity of the Concrete delivered at the Project Site.

Once Concrete is ordered and manufactured by us in our Plant and the Concrete or part
thereof is not utilized by you due to any reason whatsoever, the value of such quantity of
Concrete shall be billed to you and paid to us accordingly.

5. Transport: Our quoted price is for supply of Concrete from our Plant to your Project Site.
The Concrete will be transported in a suitable commercial vehicle, in wet condition, from our
Plant to your Project Site. The Concrete is designed for consumption within agreed retention
time from our plant in order to obtain best quality output and strength. You shall take the
adequate steps to consume the Concrete within the said timeline which is one of the vital
requirements for obtaining the desired strength. We may provide extended slump as per your
requirement at an additional charge.

In case the order quantity is less than 100 bags, transport charges will be charged at actual.
Unloading of vehicle at project site will be in client’s scope. Vehicle will need to be unloaded
immediately and released within one hour after arrival at site.

B. Commercial Terms and Conditions

1. Price : The above rates of Concrete are based on our mix design of Concrete. Any desired
alternation shall be charged extra.

2. Payment Terms: We supply Concrete on 100% advance payment, to be paid along with the
purchase order. In exceptional cases, if any credit period is allowed, the following provisions
shall be applicable:

i. The Customer shall provide us bank guarantee from a nationalised bank for the
amount equivalent to the value of the purchase order placed by the customer for the
supply of Concrete. We shall have the right to encash the bank guarantee in the event
of default on the part of the customer in making the payment of invoices and other
amount due on account of supply of Concrete.
ii. Any delay in payment beyond the negotiated credit period shall attract interest @ 24%
per annum.

All payment shall be made to us by Accounts Payee cheque/Demand Draft/RTGS

drawn in favor of “Nuvoco Vistas Corp. Ltd.”

3. Taxes: The rates are inclusive of GST prevalent at the time of quote generation. Taxes will
be as applicable at the time of invoice. Any other local taxes, levies, octori, cess, toll charges
etc. as applicable at the time shall also be borne by the customer.

4. Local Problem: All traffic problems, liaising with govt. Authorities etc. will have to be
taken care of by you.

5. Safety: The customer shall provide clear and unhindered (including suitable ground

 condition) access way for our vehicle at the Project Site.

It is strongly advised to follow a safe working pattern / safety standards while concreting at
Project Site. We shall not be responsible for any accidents occurring on account of any
negligence on part of the customer and/or its supervisory staff in observing/implementing
necessary safety precautions / measures. The customer undertakes to indemnify us for any
liability that may arise on us in this regard.

6. Force Majure: We shall not be liable for any claims for loss, damage or compensations etc
arisingdue to delay in or failure to supply Concrete due to any force major event including but
not limited to impending or actual wars, riots, uprisings, insurrection, floods, storms,
earthquakes, strikes, lockouts, labour disputes, picket lines (legal or illegal) or any other acts
of the man or God over which we have no control, whether or not similar to the foregoing.
Any breakdown in machinery or equipment at the Plant shall be force majure event. In case
of any force majure event, you shall be liable to pay for the value of Concrete as per the
invoice raised by Nuvoco.

7. Limitation of Liability: Any liability on Nuvoco arising out of or in connection with

performance of term of contract for supply of Instamix, for any reason whatsoever, shall be in
no event exceed 1/5 of the amount paid under the contract for supply of Instamix. In no event,
Nuvoco shall be liable for loss of profit, goodwill, business or any other direct or indirect
consequential loss or damage whatsoever.

8. Dispute Resolution: In the event any dispute arises between the parties out of or in relation
to the contract for supply of Concrete, shall be subject to the exclusive jurisdiction of courts
at Mumbai alone.
