DEED OF SALE WITH ASSUMPTION OF MORTGAGE

KNOWN ALL MEN BY THESE PRESENTS:

This Deed of Sale made and executed this _______________________ at _____________ CITY, Philippines, by:

Maragondon Cavite by virtue of powers conferred upon her/him, hereinafter referred to as VENDOR.

RODOLFO SANCHEZ LAYSON III., of legal age, single, filipino citizen and a resident of B48 L37 39St Wellington
Residence Brgy. Tres Cruses Tanza Cavite, by virtue of powers conferred upon him/her, hereinafter referred to as VENDEE.

WITNESSETH:

That the VENDOR is the absolute owner of a unit more particularly described as follows:

Address : BLOCK 47 LOT 10 PHASE 3 WELLINGTON RESIDENCE
Pro.Location : BRGY. TRES CRUSES TANZA CAVITE

That for and in consideration of the sum of *** EIGHTY THOUSAND PESOS ONLY (Php 80,000.00) ***, Philippine
Currency, receipt in full of which is hereby acknowledged by the VENDOR to its complete satisfaction, the latter hereby SELLS,
TRANSFERS and CONVEYS by way of deed of sale, unto the said VENDEE, its successors and assigns, the above described
property. VENDOR further warrants and represents that it has a perfect right to sell the same and that it will defend the title thereto
against lawful claims of all persons whosoever. Unit sold was used and this sale is on an “as-is-where-is” basis and without
warranty as to defect and condition, in favor of the VENDEE. Henceforth, the latter shall cause the transfer of registration of the said
Housing Unit in its own name, with all concomitant costs thereof for its exclusive account.
