This Memorandum of Agreement is made and entered into by and between:

GASCON, University President, and hereinafter referred to as BulSU;

The DEPARTMENT OF SCIENCE AND TECHNOLOGY – REGIONAL OFFICE NO. III,


a national government agency, with postal address at Diosdado Macapagal Government
Center, Maimpis, City of San Fernando, Pampanga 2000, represented herein by DR. JULIUS

WITNESETH

WHEREAS, DOST-III’s mandate is to provide central direction, leadership and


coordination of scientific and technological efforts and ensure that the results therefrom are
geared and utilized in areas of maximum economic and social benefits for the people;

WHEREAS, science, technology and innovation (STI) plays an important role in


achieving the region’s objectives toward inclusive and sustainable development;

that can strengthen existing businesses, create new industries, and increase job opportunities;

WHEREAS, DOST- III encourages and supports the promotion, transfer and
commercialization of technologies and innovations that have been generated from
government-funded research and development activities such that the social and benefits of
these products of research may redound to the people in the regions;

WHEREAS, the Central Luzon Regional Development Plan (CLRDP) 2017-2022


identified several challenges in advancing science and technology and innovation: weak S&T

culture; inadequate STI infrastructure; and weak linkages among players in the STI

ecosystem,
stakeholders of the Philippine innovation and entrepreneurship ecosystem is all the more
crucial.

WHEREAS, DOST- III acknowledges the important role of state universities and
colleges (SUCs) and higher education institutes (HEIs) in Region III in the effective
dissemination and transfer of these technologies to the intended beneficiaries and regards
these institutions as valuable partners in the innovation ecosystems;

WHEREAS, DOST- III in partnership with the USAID STRIDE project team has been
earnestly exploring the possibility of establishing a regional inclusive innovation center to
jumpstart the concept in Region III with SUCs playing a crucial role in the project;

WHEREAS, BulSU, through its Research, Development and Extension (RDE) Office,
has submitted
_________________________ a project proposal to DOST- III through the Provincial Science and Technology
Center-Bulacan
ENGR. ERWIN DR. MAGSAKAY (PSC-Bulacan), that seeks to pursue the establishment of a Business
Innovation Unit as a functioning unit that serves as a dynamic one-stop shop (helpdesk) and
valuable first contact for prospective innovators among businesses and a strategic
communications point for GIA stakeholders in the region;

WHEREAS, the DOST- III has endeavored to assist BulSU in its desire to implement
the project by allocating funds from the 2020 DOST- III Regional Grants-In-Aid Program;
and;

WHEREAS, DOST- III and BulSU agree to jointly undertake the project entitled:
“Establishment of a Business Innovation Unit for the Regional Inclusive Innovation
Center (RIIC): BRAID III – CLINIC Center.”

_________________________NOW, THEREFORE, for and in consideration of the foregoing premises, both parties
hereto mutually agree to the following terms and conditions:

I. PROJECT TITLE:

The project shall be entitled: “Establishment of a Business Innovation Unit for


the Regional Inclusive Innovation Center (RIIC): CLINIC Center” with the
approved project proposal here to attached as Annex A and made an integral part
of this Agreement.

II. OBJECTIVES OF THE PROJECT:

As stated in the attached approved project proposal

1. BulSU shall have the following responsibilities:

a. Be responsible for the overall implementation of the project and ensure that
activities and plans are carried out according to agreed schedules;
b. Designate from among its staff, a Project Leader/Coordinator, who shall
coordinate with DOST-III through the Provincial Science and Technology
Center-Bulacan (PSTC-Bulacan) all activities that will be undertaken during
implementation of the project;
c. Implement the project according to the identified technological interventions as

expenses as defined in the approved Line-Item-Budget hereto attached as
Annex B;
e. Allow DOST-III representatives access to the premises and facilities for
activities relevant to the implementation of the project;
f. Submit to DOST-III through PSTC-Bulacan required Technichal Semi-Annual
(DOST Form D) and Annual Progress Reports (DOST Form E) of all project
activities in two (2) hard copies and an electronic copy, within one (1) month
after respective due dates following the format in Annex C. Upon project
complementation, submit to DOST-III the Technical Terminal/Completion
Report (DOST Form N) reflecting the project’s major accomplishments,
problems met and actions taken. Reports shall be submitted to DOST-III
through PSTC-Bulacan in two (2) hard copies and an electronic copy, not later
than two (2) months after project completion;

g. Submit to DOST-III through PSTC-Bulacan a Semi-Annual/Annual Financial
ENGR. ERWIN DR. MAGSAKAY Report certified correct by the agency accountant within a month after each
due date following the format (DOST Form H) in Annex D. Upon completion of
a calendar year or completion of project duration, submit a Terminal Audited
Financial Report (AFR) (DOST Form I) within three (3) months after the due
date or completion of the project; The FR shall be supported by DOST Form K-
List of Equipment Purchased (Annex E) and Property Acknowledgement
Receipt (PAR);
h. Ensure all reports reports are duly endorsed by the Head of Agency;
i. Provide logistic support to DOST-III staff who will extend assistance to the
project;
j. Assist in the documentation, monitoring and evaluation of the project;
k. In coordination with DOST-III through PSTC-Bulacan, place on the individual
_________________________ equipment acquired out of the financial assistance, inventory stickers to be

l. Be responsible and accountable for the maintenance and safekeeping of
equipment and properties acquired out of the DOST-III GIA funds.
m. Put-up a signage at the project sites, at BulSU’s expense, two (2) weeks after
the receipt of the project assistance. The signage shall contain the following

2. DOST-III shall have the following responsibilities:

a. Designated the Provincial S&T Director of Bulacan as Project Coordinator who
shall oversee the smooth implementation of the project;
b. Provide financial assistance from its 202 Regional Grants-In-Aid Program for the
acquisition of equipment and other components of the project as per attached line-
item-budget;
c. Provide continuous technical assistance and support for the successful
implementation of the project including coordination with its attached
councils/institutes whenever necessary in order to maintain greatest impact;
d. Through PSTC-Bulacan, periodically monitor the progress of the project in
attaining the objectives and its set target and formulate written suggestions and
recommendations on constraints or problems being encountered; and
e. Through PSTC-Bulacan, conduct regular documentation and evaluation of the
project.

IV. FINANCIAL ARRANGEMENT:

1. DOST-III shall transfer to BulSU the amount of ONE MILLION FIVE
HUNDRED THOUSAND PESOS (1,500,000) from its 2020 Grants-In-Aid funds
to fill in the budgetary requirements of the project as defined in the line-item-
budget hereto attached as Annex B.
2. BulSU, on the other hand, shall provide fund to cover for the other expenses
defined in the line-item-budget. All other incidental expenses not indicated in
the line-item-budget shall as well be borne by BulSU.

V. OTHER CONDITIONS:

1. Project implementation shall commence within (2) months after the release of

ANGELITA Q. PARUNGAO 2. Failure to submit within six (6) months all the required financial, technical and
other reports prescribed deadlines, demand letter will be sent by DOST-III to
the Project Leader/ Coordinator and Head of Agency. Upon the recommendation
of DOST-III, the Project Leader/Coordinator and the Agency is prevented from
receiving further grants or any kind of support from within the DOST System until
he/she is cleared from all obligations pertinent to the previous GIA grant received.
For compelling reasons, subject to the endorsement of PSTC-Bulacan, the
Project Leader/Coordinator shall submit an Oath of Undertaking to allow him/or
her to receive further grant or support. DOST-III may instigate legal measures
against the Project Leader/Coordinator and the Agency for non-submission of
requirements.
______________________ 3. The activities, operation, books of accounts and records of the project shall be

auditor, whenever necessary.
4. Requests for extension of program/project shall be submitted three (3) months
before the expected date of completion, except for extensions as a result of
force majeure, together with the following documents:
a. Latest financial report (as of date of request)
b. Proposed Line-Item-Budget
c. Gantt Chart of activities for the extension period
d. Technical Report

5. DOST-III
III reserves the right to discontinue the project or its assistance in case
of violation of this Agreement or upon determination that results which are
obtained or reasonably expected do not justify further activity;
6. Authorize/Allow DOST-III to pull-out the units and other facilities acquired out of
the project funds in case of inability on the part of BulSU to successfully
implement the project;
7. Any changes in the original project plans or any modifications, amendments or
alterations of the foregoing terms and conditions shall not be undertaken
without the knowledge and consent of both parties as long as this Agreement
remains in force;
8. BulSU shall record the equipment purchased out of the project funds in
accordance with the Government Accounting Manual (GAM) subject to the
provisions of the Philippine Public Sector Accounting Standards 17
(PPSAS 17) – Property, Plant and Equipment (PPE).

9. BulSU shall record the Equipment Outlay in a subsidiary ledger upon procurement and
prepare PAR to be signed by the accountable officer.
10. The DOST-III Property Officer shall record all equipment procured out of the GIA fund
based on the PAR submitted by BulSU;

11. DOST-III shall maintain an inventory of equipment purchased for monitoring purposes;

12. BulSU shall liquidate the Equipment Outlay by submitting to DOST-III a copy of the list
of equipment purchased and copy of PAR, Journal Entry Voucher (JEV) for the
recognition/booking of equipment;
13. Acknowledge the assistance provided by DOST-III in all reports, papers and materials
produced out of the project activities;
14. All parties agree that in matters relating to this Agreement, whether during its existence
or after its termination, and also in all matters concerning the provision of this
Agreement where any question, dispute or difference shall arise among parties, every
such question, dispute or difference shall be settled mutually in good faith;
15. DOST-III and BulSU shall be free to publish under their respective names, information
generated from this joint undertaking such as the operation and performance of the
project, evaluation of utilities, and other relevant findings provided due acknowledgment
is given to the other party; and

16. Neither party shall be held liable in any way for failure to observe or perform any

provision of this Agreement if such failure shall be caused by any law, rule or regulation,
fortuitous events or of any cause beyond the control of the party in default.

VI. EFFECTIVITY

This Agreement shall take effect upon signing of the Memorandum of Agreement by
all parties and shall remain in force for one (1) year commencing upon the receipt of assistance,
renewable for another year thereafter, unless sooner terminated by either party provided that a
written notice shall have been served one month prior to its termination.

II. RATIONALE:

Science, technology and innovation (STI) plays an important role in achieving


the region’s objectives toward inclusive and sustainable development. Long-
term investments in building local STI capacity will spur innovations that can
strengthen existing businesses, create new industries, and increase job
opportunities. With access to new technologies for public goods and services,
Central Luzon will be better equipped to address development need, especially
of the disadvantaged in areas of health, education, energy, disaster resiliency,
climate change adaption, among others.

_________________________ The Central Luzon Regional Development Plan (CLRDP) 2017-2022 identified
ANGELITA Q. PARUNGAO several challenges in advancing science and technology and innovation were
presented: weak and S&T culture (resulting to low adoption of application of
new technologies among MSMEs and other sectors); inadequate STI
infrastructure; and weak linkages among players in the STI ecosystem, among
others. As such, connecting and integrating key elements and stakeholder of
the Philippine innovation and entrepreneurship ecosystem is all the more
crucial.

Based on recently conducted scoping activities with government, industry and


academia, there is an abundance of innovation cultivators/drivers whose
______________________ initiatives are not harmonized, resulting to underutilized R&D efforts (i.e.,
DR. CECILIA N. GASCON services are not packaged and communicated well to target users, low
proactive stance to attract utilization by MSMEs/target users, among others).
Moreover, MSMEs have low awareness for innovation and innovation work,
which limit them accessing and utilizing R&D efforts. The respondents also
noted that many industries have been greatly affected by the Covid-19
pandemic and the need to align efforts towards business recovery and
resiliency especially for small businesses that are now in the brink of closing
down. Overall, convergence of different productive sectors is wanting. Thus,
the need for a regional lead convenor to facilitate convergence.

On the other hand, Central Luzon is home to many R&D institutions and SSFs
(224 all over the region, based on data from DTI) that can be further optimized
in advancing innovation products and processes. The region has 28 Industry
Associations having network potential for the replication and
commercialization of innovative approaches and are also actively supporting
the needs of MSMEs. A stronghold of academia, Central Luzon has 183 Private
HEIs, 14 LUCs, 12 SUCs, and the greatest number of SUCs in the country, and
39 SUC Satellite (based on data from CHEDRO-III,s website), each having their
own technical expertise and resources that can translate to intellectual capital
for businesses.

Recognizing the important role of academic institutions in innovation, DOST,
DTI, and CHED aims to strengthen the involvement of the private sector in the
identification and funding of important industry research and expand data-
mapping efforts across sectors thru Cybernetics Research Development
Centers for industry-academe synergy.

III. OBJECTIVES:

a. General Objective

The establishment of the Business Innovation Unit, which forms part of the
RIIC Region 3 Innovation Program, aims to increase subscription of MSMEs to
the programs and services of the regional line agencies and in the uptake of

research outputs from key R&D partners in the region.

b. Specific Objectives:
- Strengthen network for increased synergy and resource-sharing
among innovation programs and services.
- Improve overall awareness and MSME guidance on innovation and
accessing appropriate resources.
- Harmonize existing assets and innovation efforts of MSMEs in the
region (with emphasis on business on business resiliency and
competitiveness).

IV. PROJECT DESCRIPTION:

A DTI-DOST initiative by USAID-STRIDE, the RIIC is one of the


cornerstones of the Inclusive Filipinnovation and Entrepreneurship
Roadmap to strengthen the capacity for innovation to drive inclusive
economic growth in the countryside. It is a mechanism to strengthen
industry-academe innovation agents that acts to synergize
government agencies, industries, universities, LGUs, startups,
MSMEs, R&D laboratories, S&T parks, incubators, Fab Labs, investors,
and other elements in the ecosystem, to harness the region’s innovation potential.
Below is the operational model of the RIIC which aims to have all

order to unlock and sustain competitive advantage for local
businesses towards local economic development in the region.

The establishment of the RIIC in the region is in response to the


call of DOST and DTI national offices for USAID-Sciences,
Technology, Research and Innovation for Development (USAID-
STRIDE) to expand its areas of assistance to four more regions:
Cagayan Valley, Central Luzon, CALABARZON and Zamboanga.

To ensure and strengthen the establishment of RIICs, sets of activities are laid
down using the Mapping-Linking-Aligning (M-L-A) Strategy. Using this approach,
STRIDE supports the mapping of innovation actors and their
capabilities, the linking of stakeholders by creating avenues for
_________________________ partnership, and the aligning of existing innovation infrastructures to
ENGR. ERWIN DR. MAGSAKAY industry needs.

Adapting to time constraints, projects implementation in RIIC-3 will


be initially based on a 12-week timetable. RIIC-3 core Group will
revisit strategies and plans by week 12 with primary partners. The
current priority is to deliver a proof of work – learn fast and identify
effective strategies, then revise (as necessary) and the focus will be
on laying out processes and developing activity design among key
partners.

RIIC-3 will implement the following activities that will serve as jump-
off points for collaboration with the RIIC ecosystem for the first six
months, applying the Mapping-Linking-Aligning (MLA) Framework of USAID-
STRIDE:

Mapping-related activities include the conduct of Inventory of
research and research facilities (DOST, CHED), MSMEs & local
products (DTI), and HEIs & experts (CHED). All these innovation
database data shall be endorsed to Bulacan State University for
consolidation in its newly established SCAD Network Center under
its Cybernetics Regional Development Centers. The innovation
database shall be made accessible through distributed access points
along the W-Growth Corridor.

Linkages-related activities include Capacity-building in IBR analog with TBIs and


______________________ related units (USAID-STRIDE) and Program design of innovation
DR. CECILIA N. GASCON consultations (Industry Partner/Chamber).

Alignment-related activities include Business process review and


design around promotion and marketing of facilities (Industry
Partner/Chamber) and Cluster-based approach in program and
facilities alignment Optional).

The RIIC-3 effort will work around pilot industry on agri-business


and food manufacture in Bulacan, as Proof of Concept.

RIIC-3 Innovation program will establish a Business Innovation Unit (BIU) which
shall be under the direct supervision of the Project Leader. The BUI is aimed to
increase subscription of MSMEs to the programs and services of the regional line

agencies and in the uptake of research outputs from key R&D
partners in the region. It is envisioned as a functioning unit that
serves as a dynamic one-step shop (helpdesk) and valuable first
contact for prospective innovators among business and a
strategic communications point for GIA stakeholders in the
region.

The goal of the BUI is to create as many connections for

innovation as possible and to serve as implementing arm for the

RIIC Region 3 Innovation Program.
The BIU will have the following components:

Qualified consultants – to develop technical content for RIICs


activities, who can be identified among HEI faculty and RDI
experts. Implementation and development of the technical
content (per activity) will be handled by qualified consultants and
experts.

Project Administration Unit – for coordination with member


agencies and regional industries and support to activity
implementation.

Monitoring & Evaluation Unit for progress and impact monitoring.

V. STRATEGY/MECHANISM OF IMPLEMENTATION:

a. Technical Aspect:

The proposed Central Luzon Innovation and Connectivity (CLINC) Center, which is
an operating center solely for the RIIC-3, will be spearheading unit that is
responsible in establishing linkage among the GIA stakeholders in
______________________ Region 3 thru a mapping database. It will also handle the technical

Equipment needed are listed in Annex B: Detailed Line-Item-Budget.


The recently approved and established SCAD Network Center in
Bulacan State University, with its designated Center Head, will be the
project coordinator that will handle and manage the proposed CLINC
Center.

b. Organization and Management Aspect:

The project will be implemented by a project Leader, supported by
__________________________________the RIIC Core Group (for the program direction setting) and the

implementation support). The Project Management Team will be
comprised of representatives from partner agencies involved in the
RIIC implementation. The development of the technical content (per
activity) will be handled by qualified consultants and experts.
Coordination and activity implementation will be handled by a
project administration unit. Progress and impact monitoring will be
handled by monitoring & evaluation unit.

In the proponent side, Bulacan State University through its RDE


CYBERNETICS RDCs (Regional Development Centers),

specifically the Strategic Communication & Alliance for

A communication strategy shall be formulated and implemented


to inform MSME’s and other stakeholders about the RIIC in
Region 3 and the programs and services around it through the
BIU.

e. Monitoring and Evaluation

The RIIC Region-3 Monitoring and Evaluation Unit shall conduct


progress monitoring of program implementation on a monthly basis to ensure
that all activities are implemented on time, that processes are improved, and to
determine what actions need to be undertaken to achieve intended results.
Monitoring will likewise encourage accountability on assigned tasks and outputs.
Monitoring can be done through the conduct of regular partners meetings,
learning forums, participatory reviews by stakeholders, and site visits (if
applicable).
