DEED OF ASSIGNMENT 

AND TRANSFER OF RIGHTS
 
 
KNOW ALL MEN BY THIS PRESENTS:
 
        This deed, made and entered into this ___ day of __________, 20__ at
___________, by and between:
 
MARK ANTHONY M. TY, Filipino Citizen, of legal age,
with residence and postal address at 7416 Juneau Lane,
Fontana, California 92336 United States of America (USA),
and ANNA MARIE T. THOMAS, Filipino Citizen, of legal
age, with residence and postal address at 27577 Sunset Way,
Murrieta, California 92563 USA, hereinafter referred to as the
"ASSIGNORS"
 
-and-
 
MARIA BLESILDA MONDERIN- BACHER, , of legal age,
Filipino, married and a resident of 758 Via Casitas Drive,
Hemet, California 92545 USA hereinafter referred to as the
"ASSIGNEE".
 
WITNESSETH that -
 
        WHEREAS, the ASSIGNORS are the legal and compulsory heirs being the
legitimate children of TERLINE MANZANO TY (deceased), who was an owner of
DBS Industrial Corporation, which was allocated by the DEPARTMENT OF
ENVIRONMENT and NATURAL RESOURCES, an aggregate area of 100 hectares
(ALLOTED LAND) located at Abinganan, Bambang, Nueva Vizcaya as a
“PARTICIPANT” of the Tree for Legacy Reforestation Program of open and
denuded forest land;
 
        WHEREAS, the ASSIGNOR  as the compulsory heirs of
TERLINE MANZANO TY has offered to assign all our rights, title and interest over
the above ALLOTED LAND, and the ASSIGNEE hereby accepts the assignment in
accordance with the terms herein set forth;
 
        NOW, THEREFORE, for and in consideration of the foregoing premises and the
sum of  SIX HUNDRED THOUSAND PESOS (Php 600,000.00),
PHILIPPINE CURRENCY, which the ASSIGNORS hereby acknowledged to have
received from the ASSIGNEE, the ASSIGNORS hereby assign, transfer and convey
unto the ASSIGNEE, all his rights, title and interest to the aforementioned ALLOTED
LAND and appurtenant interest in the ALLOTED LAND pursuant to
this Agreement and the ASSIGNEE by these presents hereby accepts the assignment
and agrees to be bound by the terms and conditions of the AGREEMENT and the
rules and regulations, and restrictions pertaining to the said ALLOTED LAND.
 
IN WITNESS WHEREOF, the parties have hereunto set their hands on the date and
place first above written.
