WHEREAS the VENDOR is the lawful owner of a certain registered parcel of

NINE (8,049) SQUARE METERS, more or less, and covered by Tax Declaration
No. 06-0014-00944;

WHEREAS the VENDEES has offered to buy and the VENDORS have agreed

NOW, THEREFORE, for and in consideration of the sum of ONE MILLION

and CONVEY by the way of Absolute Sale unto the said VENDEES, her heirs and
assigns, the property together with all the improvements found thereon;

That the VENDORS hereby covenant and agree with VENDEES that the
above-described property is free from all liens and encumbrances, that they have a
perfect right to convey the same, and that they will warrant and forever defend the same
unto the said VENDEES, their heirs, and assigns, against the lawful claims of all persons
whomsoever;

That the VENDEES will shoulder all the expenses for the transfer of tax
declaration, capital gains tax, documentary stamps tax, transfer fees, notarial fees, and all
other expenses incidental to the transfer of the title of the above-described property.
IN WITNESS WHEREOF, we have hereunto affixed our signatures this
