MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement is made and entered into by and between:

The BARANGAY GOVERNMENT OF BUNGUIAO, Zamboanga City, a legal government

unit existing under and by virtue of laws of the Philippines with principal office at Bunguiao, Multi-
Purpose Hall, Zamboanga City, duly represented herein by the Punong Barangay, Hon. NESTOR H.
ATILANO, hereinafter called and referred to as the CONSUMER:

SANGALI SHELL STATION, a duly authorized and licensed dealer of gasoline and other
petroleum and oil lubricants products with principal place of business at Sangali, Zamboanga City,
herein represented by its Owner/Proprietor ADIL HABING, of legal age, Filipino, married, and a
resident of Sangali, Zamboanga City, hereinafter called and referred to as the DEALER.

WITNESSETH: That –

WHEREAS, the CONSUMER in its conferences with different gasoline dealers of

Zamboanga, and the bidding conducted for the purpose on August 31, 2011, have reached an
agreement with said dealers regarding the maintenance of uniform pricing as well as the designation
by raffle of individual dealer to supply gasoline and other POL product of the office of Bunguiao
Barangay Council of the city of Zamboanga, for use and consumption of its three (3) vehicles
consisting of one (1) Barangay Multicab with Plate No. SGV-965, one (1) Barangay Mini-Dump
Truck with Plate No. SGD-354, and one (1) unit motorcycle with Plate No. SK-1554.

WHEREAS, pursuant to said agreement, a raffle was held for the purpose and the DEALER
is the one designated as the Official Dealer of gasoline and POL product to the office of the Bunguiao
Barangay Council, Zamboanga City.

NOW THEREFORE, for and in consideration of the above-premises, the parties hereto have
agreed and by these presents, hereby agree to the following terms and condition, to wit:

1. The DEALER shall supply all the needs for gasoline and other POL products of the office of
the bunguiao Barangay Council, Zamboanga City, the prices of which shall be in uniform
with other gasoline dealers similarly designated as the official dealers for other offices of the
City Government of Zamboanga, are as follows:

1. Regular Gasoline ………………………………... Php ___________________

2. Premium/Extra Gasoline ………………………... Php ___________________
3. Other POL Products – at prevailing prices

This AGREEMENT expires on December 31, 2012. However, should there any
change/price increase of gasoline and other POL products, the dealer is authorized to charge the
corresponding increase provided that the same is uniform with other dealers.

same persons who executed and signed the foregoing instrument and date acknowledged
to me that the same is of their own free will and voluntary act and deed and the free and
voluntary act and deed of the entities they both respectively represent.

This instrument consists of TWO (2) PAGES, including this page on which this
acknowledgment is written, signed by the parties and their instrument witnesses on each
and every page and sealed with my notarial seal.
