DEED OF ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Assignment is made and entered into by and between:

Rannie Alcoy Delgado, a sole proprietorship duly existing and organized under
and by virtue of the laws of the Philippines, with principal place of business at
Queens Bldg. Unit 1B Bonifacio St., Brgy. 4-A, Poblacion District, Davao City and
herein duly represented by its owner, Mr. Rannie Alcoy Delgado, hereinafter referred
as the ASSIGNOR;

- and -

RAD Group of Companies and Franchising Inc.., a corporation duly existing

and organized under and by virtue of the laws of the Philippines, with principal place
of business at Regina Complex, C.M. Recto St., Brgy. 35-D, Poblacion Dist., Davao
City and herein duly represented by its owner, Mr. Rannie Alcoy Delgado, hereinafter
referred as the ASSIGNEE;

WITNESSETH:

WHEREAS, the ASSIGNOR is a lessee of SM Prime Holdings. Inc.

Specifically at SM DAVAO ECOLAND referred to as (Location Code. Example 101
(A)) and is doing business under the name and style RAD TATTO STUDIO

WHEREAS, the ASSIGNOR is interested in assigning and the ASSIGNEE is

interested in acquiring whatever right, title or interest which the ASSIGNOR may
have over the leased area;

NOW THEREFORE, for and in consideration of the foregoing premises and of

the terms and conditions hereinafter set forth:

1. The ASSIGNOR hereby transfers, conveys and cedes unto the

ASSIGNEE the Contract of Lease and all her rights, titles, interest and participation
over the leased area, including the security deposit paid to SM DAVAO ECOLAND,
the improvements and the other assets therein.

2. The ASSIGNEE hereby assumes all obligations of the ASSIGNOR and

accepts all conditions, restrictions and stipulations which SM Prime Holdings, Inc.
impose over the leased area as provided in the Contract of Lease which shall be
entered into by and between SM Prime Holdings, Inc. and the ASSIGNEE.
