ROYALTY AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Royalty Agreement is entered into by and between:
MMI BUILDERS CORPORATION, a corporation duly organized and existing under the
laws of the Republic of the Philippines, with principal business address at The Trade &
Financial Tower, 22nd Floor, Unit Number 2208, herein represented by its President, Mr.
Mario Andrian S. Abear, hereafter referred to as the “CONTRACTOR”;
- AND -
R.F. HAMTO BUILDERS, a corporation duly organized and existing under the laws of
the Republic of the Philippines, with principal business address a No. 18 Barina
Compound, Merville, Pranaque City, herein represented by its General Manager, Engr.
Roque F. Hamto, hereafter referred to as the “SUB-CONTRACTOR”;
Witnesseth
WHEREAS, the CONTRACTOR has secured a 3 storey with roof deck - Commercial
Building Project with The Philippines Society of Anesthesiologist in Kalayaan Avenue,
Quezon City;
WHEREAS, the SUB-CONTRACTOR will be executing the works in connection with the
above-stated project as agreed with the CONTRACTOR base on the terms and agreement
set by both parties;
NOW, THEREFORE, for and in consideration of the foregoing premises and subject to
the terms and conditions hereinafter set forth, the parties have agreed as follows;
1. The remaining contract Amount of the said project is TWENTY THREE MILLION
TWO HUNDRED THOUSAND PESOS ( P23,280,000.00 ) about approve budget cost
final budgetary base on approve plan;

2. The SUB-CONTRATOR shall be known as the Technical and Implementation Group

of the CONTRACTOR;

3. The SUB-CONTRACTOR shall implement the processing of the billing thru

progressive billing system in the name of the CONTRACTOR;

4. The CONTRACTOR upon collection under his name, shall issue back to the SUB-
CONTRACTOR the amount due to SUB-CONTRACTOR less the percentage stipulated
in item number 5 of this Royalty Agreement;
 5. The SUB-CONTRACTOR shall pay the CONTRACTOR a Royalty Fee of Five Percent
(5%) on each Progress Billing Claim once collected from the Owner of the project
without any written notice to the SUB-CONTRACTOR.

IN WITNESS WHEREOF, the parties have hereunto set their hands this _____ day of
