Recitals:
(1) Whereas Reportage Prime Properties
LLC (“First Party”) intends to develop a
project in Abu Dhabi (C3, Al Reem
Island, Emirate of Abu Dhabi) (“Plot” -
Master Plan).
(2) Whereas the first party has disclosed
that it has real estate rights that allow it
to develop the above-mentioned plot of
land, sell the building to be erected on it,
and transfer the real estate ownership, in
accordance with a contract drawn up
between the first party and the current
owner of the plot, Mr. Sultan Abdullah
Muhammad Ghannoun Al Hameli.
(3) Whereas, according to the project
plan, the first party will build (2)
buildings on the plot (Building “A” and
“B”)
(4) Whereas the second party wishes to
purchase the entire building “B”, its share
in the land, and all the units located in it,
whether residential/commercial, and/or
parking units, etc.
(5) According to the terms of this
agreement, the second party must pay an
amount of 104,000,000 dirhams
(“investment value”).
(6) The obligations of the First Party
under this Agreement are guaranteed by
Felix Limited, a company organized and
existing under the laws of Abu Dhabi FD
Office, Ground Floor, Accelerator
Building, Masdar City Abu Dhabi -
Commercial License MC 11539
(“Guarantor”).
The Guarantor's Guarantee shall be an
irrevocable security upon request in
favour of the Second Party guaranteeing
(1) all the First Party's obligations under
the Agreement, and (2) the timely
completion of the project construction
work within the period stipulated in the
Agreement.

1. Investment value and payment method
1.1 The first party agrees to transfer
ownership of Building B to the second party
in exchange for the value of the investment
specified in the contract details (the
“investment value”) and is committed to
paying the due payment(s) on the dates
specified for payment, in accordance with
the payment schedule agreed upon in the
payment schedule (the payment schedule)".
1.2 In the event of an increase or decrease in
the units in the building, the two parties
agreed to consider the investment value
stated in the details of the payment schedule
as final and not subject to adjustment by
increase or decrease, regardless of
fluctuations in market prices, unless the two
parties agree in writing under a subsequent
agreement to amend.
1.3 The first party acknowledges that it has
received the first payment from the second
party, the value of which is specified in the
payment schedule on or before the date of
the agreement (“the date of the agreement”),
and the first party undertakes (on the
condition that the check is cashed) to record
the first payment as a payment on the
investment consideration account.
2. Completion and delivery
2.1 The first party will complete the
building on the expected date of completion
(“expected completion date”) in accordance
with the expected completion date specified
in the sale and purchase details. In the event
of a delay in completion, the delay period (if
any) must not exceed (12) months from the
expected completion date - except in the
event of force majeure - unless the parties
agree to a shorter period in this agreement.
2.2 Provided that the construction of the
building is completed (with finishing as the
case may be), and provided that the second
party has not failed to fulfil its obligations
under this agreement and considering the
event of force majeure (if any), the first
party is obligated to deliver all the building
units and the parking spaces allocated to
them. Free of concerns for the second party
upon completion of the project and final

registration in the real estate registry in
accordance with what was agreed upon in
this agreement.
2.3 When the building becomes ready for
receipt and the necessary approvals are
obtained from the competent authorities for
its occupancy, the first party will notify the
second party of receipt of possession of the
building on the specified receipt date
“delivery date” within a period of thirty (30)
days from the date of the building’s
readiness for occupancy.
2.4 The provisions of Clause (3.2) do not
affect the right of the second party to inspect
the building and request the completion of
defects and deficiencies upon the date of
actual receipt of the building, and in
accordance with what is stipulated in Article
(3) of this agreement.
2.5 In the event of a force majeure event that
would delay the expected completion date or
the expected delivery date, the first party
shall immediately notify the second party of
this event and determine for it the new
expected completion date or the new
expected delivery date, which must be
proportional to the downtime period arising
from the force majeure event.
2.6 In the event of delay in construction
work on the project in accordance with
clauses (1.2) and (5.2), the first party must
notify the second party of the dates for
making the amended payments to be
consistent with the updated construction
phase, according to what is agreed upon
between the two parties.
3. Building inspection:
The second party has the right to inspect the
building, accompanied by a representative
of the first party, at a reasonable date
determined in agreement with the first party
before the delivery date. At that time, the
two parties will prepare and sign a final list
of any defects and deficiencies in the
building (the agreed upon deficiencies), if
any, so that the first party will repair them
within a reasonable period of which the first
party will notify the second party, in this
case, the delivery date is calculated starting

5.17 Once he signs this agreement, the first
party acknowledges that he is the current
owner of the project land and has legal
possession of it or has contractual or
development rights on the land under an
agreement with the landowner authorizing
him to sell the project units, in accordance
with what is specified in the sale and
purchase details.
6. Approval of design and drawings
Before starting construction or submitting
plans to the relevant competent authorities
(whether the main developer, owner, or
government agencies), the first party must
submit to the second party approval of the
conceptual design of the building, the initial
architectural plans, and all other plans for
approval (which may not be withheld or
unreasonably delayed).
If any, the First Party shall immediately
consider the Second Party's comments and
resubmit the design or drawings for the
Second Party's approval within five (5)
business days. This procedure applies until
the design and drawings are approved.
If the second party proposes an amendment
to the plans submitted by the first party that
affect the increase in the areas of residential
units and/or the increase in residential units,
the first party is committed to amending the
plan as required by the second party unless
it conflicts with the laws, regulations, and
relevant authorities, and if the unit areas
and/or residential units are increased, the
first party is not entitled to claim any
additional sums of money in exchange for
that increase.

9. Agreement
9.1 The Parties acknowledge that they have
not acted or relied on any undertakings
except those contained in this Agreement
and that this Agreement constitutes the
entire agreement between the Parties and
their heirs, successors and assigns with
respect to its subject matter, as it replaces all
other negotiations, agreements and
understandings, whether oral or written,
between the parties regarding the matters
contained in this agreement, and no oral
statement, contract or other agreement can
prevail over the content of this agreement.
9.2 The general terms and conditions of this
agreement are considered the minimum
terms, and the two parties have the right to
agree on other terms “special conditions” to
the extent that they do not violate applicable
laws and the general terms and conditions of
this agreement.
9.3 In the event that the additional terms
and/or any special conditions attached to
this agreement or any of them are in
violation of the applicable laws and/or the
general provisions of this agreement, the
two parties know and acknowledge that it
does not create legal effects between them
or against third parties and is considered null
and void.
9.4 The two parties know that the general
terms and conditions of this agreement are
indivisible, and that any agreement between
them to amend, delete, or reformulate any of
those terms, or any waiver by either party of
the rights it has arranged for its benefit, then
this agreement is considered invalid and
does not have any legal effects for either of
them or for others. This is unless any of the
articles explicitly stipulates that the two
parties may agree contrary to what is
stipulated therein.

10. Amendment to the Agreement:
10.1 Any amendment, addition, or deletion
of any article or special clause of this
agreement must be implemented through a
joint agreement between the two parties, if it
is in writing and signed by the authorized
signatory for each party.
10.2 The two parties are obligated to register
any amendment to this agreement from time
to time, and that amendment, once
registered with the department, is considered
an integral part of this agreement.
11. Notices
11.1 Any notice or notification required to
be given under this Agreement must be in
writing and shall be deemed to have been
properly given when sent by express post,
registered mail, delivery service, electronic
mail or pre-paid post to the relevant party’s
address set out in the purchase and sale
details. "Selected address".
11.2 Any notice delivered by hand will be
deemed received on the date it is sent, any
notice sent by registered mail will be
deemed received two days after the date on
which it is sent, and any notice sent by email
will be deemed received on the same date it
is sent.
11.3 If there is any change and/or
amendment to the address chosen by either
party, he must notify the other party of the
new address. Otherwise, any notifications or
notifications sent to the party at the address
specified in the sale and purchase details
will be considered valid and enforceable
against that party.
12. Interpretation and settlement of
disputes
12.1 This Agreement shall be governed by

and construed in accordance with the local
and federal laws and legislation in force in
the Emirate of Abu Dhabi.
12.2 Without prejudice to the periods
referred to in the general terms and
conditions of this agreement, all disputes
between the parties to this agreement,
including those related to or arising from
this agreement, shall be settled amicably
between the parties within (30) thirty days
from the date on which one party notifies
the other of the occurrence of that dispute, if
an amicable solution is not reached between
the parties, the courts of the Abu Dhabi
Judicial Department shall have exclusive
jurisdiction.
12.3 This agreement and the initial
registration of the units sold on the plan
pursuant to it are subject to all provisions of
Law No. (3) of 2015 regulating the real
estate sector in the Emirate of Abu Dhabi
and its executive regulations issued pursuant
to the Department Head’s Decision No.
(246) of 2015 issuing the executive
regulations regarding the initial real estate
registry, and any change or replacement or
modification thereof from time to time.
12.4 If any conflict or difference in
interpretation between the Arabic text and
the English text in the provisions of this
agreement, the provisions stated in the
Arabic text shall prevail and be applicable.
