MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement (“For the property TRANSFER OF CERTIFICATE OF

TITLE (TCT) No. 042-2018000234) is made and entered into on this ______ day of _________,
2023, by and between:
JAENA LORELIE P. SANTOS, Original Owner of Transfer Certificate of Title (TCT)
No. 042-2018000234, of legal age, Filipino citizen with residence and postal address at
2-071 PRK 2 Sucad Apalit, Pampanga

and

JAYSON SUNGA PUNLA, married to CARMINA SALTA REYES, both of legal age,
Filipino citizen and with residence and postal address at 2-071 PRK 2 Sucad Apalit,
Pampanga and JAENA LORELIE P. SANTOS.

(collectively referred to as the “Parties”).

WHEREAS, JAENA LORELIE P. SANTOS is the lawful and registered owner of TRANSFER
OF CERTIFICATE OF TITLE (TCT) No. 042-2018000234), covering a property situated at Barrio of
Sucad Municipality of Apalit Province of Pampanga, Containing and area of TWO HUNDRED
(200) square meters”, duly recorded with the appropriate government office;

WHEREAS, JAYSON SUNGA PUNLA, the Uncle of JAENA LORELIE P. SANTOS seeks to
temporarily utilize the aforementioned TRANSFER OF CERTIFICATE OF TITLE (TCT) No. 042-
2018000234) for the sole purpose of applying for an Australian visa to facilitate his travel and
stay in Australia.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained

herein, the Parties agree as follows:

1. TEMPORARY USE OF TRANSFER CERTIFICATE OF TITLE (TCT): a Jaena Lorelie P. Santos

agrees to temporarily transfer and allow Jayson Sunga Punla to use Transfer Certificate
of Title (TCT) No. 042-2018000234 for the purpose of applying for an Australian visa. b.
Jayson Sunga Punla agrees to use the aforementioned TCT solely for the purpose of his
Australian visa application and guarantees not to use it for any other purpose or share it
with any third party without explicit written consent from Jaena Lorelie P. Santos.

2. TEMPORARY USE OF TRANSFER CERTIFICATE OF TITLE (TCT): a. Jaena Lorelie P. Santos

agrees to temporarily transfer and allow Jayson Sunga Punla to use Transfer Certificate
of Title (TCT) No. 042-2018000234 for the purpose of applying for an Australian visa. b.
Jayson Sunga Punla agrees to use the aforementioned TCT solely for the purpose of his
Australian visa application and guarantees not to use it for any other purpose or share it
with any third party without explicit written consent from Jaena Lorelie P. Santos.

3. LIABILITY AND INDEMNIFICATION: a. Jayson Sunga Punla acknowledges that he shall be

solely responsible for any damages, loss, or legal consequences arising from the misuse
or mishandling of the Transfer Certificate of Title (TCT) No. 042-2018000234 during the
term of this Agreement. b. Jayson Sunga Punla agrees to indemnify and hold Jaena
Lorelie P. Santos harmless from any claims, demands, suits, or liabilities resulting from
his actions or use of the TCT during the term of this Agreement.
 4. NOTIFICATION OF PROGRESS: Jayson Sunga Punla agrees to provide regular updates to
Jaena Lorelie P. Santos regarding the status of his Australian visa application and
promptly inform her once the application is completed or denied.

5. GOVERNING LAW: This Agreement shall be governed by and construed in accordance

with the laws of [Jurisdiction], without regard to its conflict of law principles.

IN WITNESS WHEREOF, we have hereunto affixed our signatures this _____ day of

acknowledged to me that the same is their free and voluntary act and deed.

This Memorandum of Agreement consisting of two (2) pages including the page on
which this acknowledgement is written has been signed by the parties and their instrumental
witnesses on page two hereof and on the left margin of page one;
