Tóm tắt: Dưới góc độ kinh tế trong nhiều trường hợp vi phạm hợp đồng mang lại lợi
ích nhiều hơn là thực hiện hợp đồng. Người ta gọi đây là vi phạm hợp đồng hiệu quả.
Bài viết này góp phần cho người đọc nhận thấy như thế nào là vi phạm hợp đồng hiệu
quả. Đặc biệt bài viết đi sâu phân tích, luận giải vấn đề: trong những trường hợp nào
thì vi phạm hợp đồng được coi là vi phạm hiệu quả. Bài viết dành trọng tâm cho việc
phân tích mối liên hệ giữa vi phạm hợp đồng mang lại hiệu quả với chế tài bồi thường
thiệt hại, chế tài yêu cầu buộc bên vi phạm từ bỏ lợi ích có được từ sự vi phạm, chế tài
buộc thực hiện nghĩa vụ hợp đồng. Bài viết cũng đề cập đến mối quan hệ giữa vi
phạm hợp đồng mang lại hiệu quả với đạo đức. Các quy định liên quan của pháp luật
Việt Nam cũng được phân tích, so sánh trong bài viết.
Thiệt hại do “thu nhập thực tế bị mất hoặc bị giảm sút” có phải là sự mất đi
khoản lợi đáng lẽ được hưởng (thiệt hại kỳ vọng) hay không. Nếu coi đây là khoản lợi
đáng lẽ được hưởng bị mất thì quy định của pháp luật Việt Nam là phù hợp với cách
xác định thiệt hại được nói ở trên. Và nếu vậy thì có thể nói đến vi phạm hợp đồng
hiệu quả trong pháp luật Việt Nam. Bởi lẽ theo quan điểm của các nhà kinh tế học

cũng như luật học –thì nguyên tắc bồi thường thiệt hại được đưa ra để đặt bên bị vi
phạm vào đúng vị trí họ kỳ vọng như khi hợp đồng được thực thi chứ không phải để
ngăn cản việc vi phạm15. Hay nói rõ hơn đối với nguyên tắc bồi thường thiệt hại kỳ
vọng, các bên có động cơ vi phạm nếu lợi ích từ việc vi phạm vượt quá thiệt hại của
bên bị vi phạm – khoản thiệt hại mà bên vi phạm sẽ phải bồi thường. Tuy nhiên thu
nhập thực tế bị mất hoặc giảm sút có thể hiểu là bao gồm cả những thiệt hại: i) là
khoản lợi kỳ vọng (khoản lợi đáng lẽ được hưởng) và; ii) là những thiệt hại không có
mối quan hệ trực tiếp với hành vi vi phạm hợp đồng của bên kia, ví dụ, vì người bán
không giao hàng cho người mua nên người mua không thể thực hiện nghĩa vụ giao
hàng cho đối tác của họ, hậu quả là có một số khách hàng của người mua từ bỏ người
mua và thu nhập của người mua từ đó bị giảm sút đáng kể. Hay nói cách khác là thu
nhập bị giảm sút do uy tín bị giảm sút. Nếu phải bồi thường cả loại thiệt hại này thì sẽ
không có vi phạm hợp đồng hiệu quả. Có thể hiểu rằng, vì Điều 361 BLDS 2015 quy
định cả cho bồi thường thiệt hại ngoài hợp đồng nên việc bồi thường thiệt hại do “thu
nhập thực tế bị mất hoặc bị giảm sút” có lẽ chỉ áp dụng cho bồi thường thiệt hại ngoài
hợp đồng.
Theo quan điểm của chúng tôi thì vi phạm hiệu quả chỉ có thể khi hoặc là thiệt
hại cần phải được bồi thường có mối quan hệ nhân quả với hành vi vi phạm hợp đồng,
hoặc là các bên trong hợp đồng có thể nhìn thấy trước thiệt hại do hành vi vi phạm
hợp đồng gây ra. Việc xác định “thu nhập thực tế bị mất hoặc bị giảm sút” phải dựa
trên nguyên lý này. Có nghĩa là tiền bồi thường thiệt hại này không thể cao hơn tổn
thất và số lợi bỏ lỡ mà bên bị vi phạm đã dự liệu hoặc đáng lẽ phải dự liệu được vào
lúc ký kết hợp đồng như một hậu quả có thể xảy ra do vi phạm hợp đồng.16
3. Vi phạm hiệu quả và việc yêu cầu bên vi phạm từ bỏ lợi ích có được từ việc vi
phạm hợp đồng
Trong pháp luật hợp đồng của Anh Mỹ có một loại trách nhiệm khi vi phạm
hợp đồng đó là disgorgement – từ bỏ lợi ích do vi phạm mà có được. Disgorgement
được định nghĩa trong từ điển luật học Black’s Law là: “hành động từ bỏ một cái gì
đó (chẳng hạn như lợi nhuận thu được bất hợp pháp) theo yêu cầu hoặc bắt buộc
pháp lý”17. Đối với pháp luật Anh thì trách nhiệm từ bỏ lợi ích có được do vi phạm
này xuất phát từ án lệ có tên Attorney General v. Blake18. Theo đó George Blake là
một thành viên của cơ quan tình báo thuộc chính phủ Anh. Ông đã có một hợp đồng
với chính phủ về việc không được phép công khai bất kỳ thông tin nào liên quan đến

công việc tình báo của mình. Tuy nhiên sau đó George Blake đã vi phạm hợp đồng để
xuất bản một quyển sách liên quan đến hoạt động tình báo của mình và chính phủ Anh
đã tìm cách truy thu toàn bộ lợi ích mà George Blake có được từ hoạt động xuất bản
sách này. Tòa án đã ban hành quyết định về việc thu hồi toàn bộ lợi nhuận có được từ
sự vi phạm này. Trong “The disgorgement interest in contract law”, Melvin A.
Einsenberg cũng đã thảo luận rất kỹ về sự tồn tại của biện pháp tịch thu toàn bộ lợi ích
do vi phạm này trong hệ thống luật tư. Theo đó việc chỉ đề cập đến 3 lợi ích của người
bị vi phạm cần được bảo vệ bao gồm (i) lợi ích phục hồi (restitution interest), (ii) lợi
ích tin tưởng( reliance interes), (iii) lợi ích kỳ vọng(expectation interest)19 là chưa đủ
mà phải bao gồm cả lợi ích mà người bị vi phạm phải từ bỏ do có được từ sự vi phạm
lời hứa của mình (disgorgement interest).20
Mặc dù pháp luật Anh Mỹ đều ghi nhận và áp dụng biện pháp yêu cầu thu hồi
toàn bộ lợi ích người bán có được từ sự vi phạm 21, tuy nhiên Tòa án thường không ưu
tiên lựa chọn mà thường chỉ được áp dụng trong các trường hợp sự vi phạm liên quan
đến vấn đề ủy quyền và quyền sở hữu 22. Đối với vấn đề vi phạm liên quan đến ủy
quyền, người được ủy quyền đã tạo ra lợi ích cá nhân từ việc sử dụng tài sản, thông
tin, vị trí mà mình có được nhờ sự ủy quyền, vì thế việc thu hồi lại lợi ích này là hoàn
toàn hợp lý mặc dù bên ủy quyền có thể không chịu bất kỳ sự thiệt hại nào 23. Liên
quan đến vấn đề quyền sở hữu, có thể hình dung nếu quyền sở hữu tài sản đã được
chuyển sang cho người mua trước khi người bán vi phạm thì biện pháp bồi thường
hoàn trả lại lợi ích được áp dụng. Bởi lẽ, một người khi bán tài sản mà không thuộc sở
hữu của mình là vi phạm pháp luật. Khi quyền sở hữu đã được chuyển giao từ người
bán sang người mua thì việc bán hàng bất hợp pháp đó của người mua còn vi phạm
đến pháp luật về trách nhiệm ngoài hợp đồng (Tort Law)24. Hành vi bán hàng thuộc sở
hữu của người khác bị coi là hành vi chiếm đoạt tài sản và cần thiết phải trả toàn bộ số
tiền thu được tử việc bán lại tài sản đó.
Sự đền bù bằng việc từ bỏ lợi ích có được do vi phạm (disgorgement remedy)
tồn tại trong hệ thống pháp luật Anh Mỹ, tuy nhiên việc áp dụng biện pháp này là
không nhiều. Điều này có thể lý giải là do từ bỏ lợi ích có được do sự vi phạm cũng
như biện pháp buộc thực hiện đúng hợp đồng đều là những sự lựa chọn thứ yếu mà lợi
ích kỳ vọng mới là thứ được ưu tiên hàng đầu. Và hơn nữa trong một số trường hợp từ

bỏ lợi ích có được do sự vi phạm (disgorgement) và thiệt hại kỳ vọng (expectation
damages) sẽ là tương đương bởi vì sau khi người bán đã trả khoản bồi thường kỳ vọng
thì họ cũng không còn lợi ích gì để hoàn lại nữa. Có thể vấn đề hoàn lại lợi ích sẽ phát
sinh tuy nhiên nó không phải với trường hợp vi phạm hiệu quả. Từ bỏ lợi ích có được
do sự vi phạm (disgorgement) sẽ là không cần thiết khi nếu hàng hóa là vật đồng loại
và không hề khan hiếm trên thị trường thì người mua thứ hai sẽ không thể trả cho
người bán mức giá cao hơn giá thị trường. Lúc này lợi ích bên bán thu được khi bán
cho bên thứ ba sẽ là chênh lệch giữa giá thị trường với giá bán cho người mua. Tuy
nhiên sự chênh lệch này cũng là thước đo thiệt hại kỳ vọng của người mua. Vì thế khi
bồi thường thiệt hại kỳ vọng xong thì người bán cũng không còn lợi ích gì thêm để thu
hồi. Giả sử hàng hóa là vật đặc định hoặc người thứ ba trả cho người bán mức giá cao
hơn cả giá thị trường, lúc bấy giờ người mua có thể sẽ có lợi hơn yếu yêu cầu Tòa án
thu hồi lợi ích của người bán so với yêu cầu bồi thường thiệt hại kỳ vọng. Tuy nhiên
để áp dụng biện pháp yêu cầu người bán từ bỏ lợi ích có được do sự vi phạm hợp
đồng là điều không hề dễ dàng, bởi lẽ người mua sẽ rất khó khăn trong việc xác định
tổng những lợi ích mà người bán có được từ sự vi phạm, có khi lợi ích đó không chỉ
dừng lại ở chênh lệch giá hợp đồng và biện pháp này sẽ còn là không cần thiết khi
người mua yêu cầu buộc thực hiện đúng hợp đồng.
Có thể tìm thấy quy định tương tự từ bỏ lợi ích có được do sự vi phạm
(disgorgement) trong pháp luật của Liên Bang Nga. Theo quy định tại Điểm 2 Khoản
2 Điều 15 BLDS Liên Bang Nga thì bên bị vi phạm không những có quyền đòi bồi
thường thiệt hại mong đợi mà còn có quyền đòi bên vi phạm phải chuyển giao tất cả
thu nhập mà bên bị vi phạm có được từ hành vi vi phạm hợp đồng 25. Nếu quy định
cứng nhắc như vậy thì sẽ không có vi phạm hợp đồng hiệu quả. Thực tiễn cho thấy,
không phải ai cũng có cơ hội giống ai. Người bán vi phạm hợp đồng vì bán được giá
cao hơn cho người mua khác, điều này không có nghĩa là người mua cũng bán được
với giá đó cho bất kỳ ai để xứng đáng được hưởng lợi ích tương ứng khi yêu cầu
người bán phải chuyển giao tất cả những lợi ích có được từ vi phạm hợp đồng. Có thể
thấy yêu cầu tịch thu lợi ích này của người vi phạm không phải xuất phát từ sự mất
mát của người bị vi phạm mà xuất phát từ lợi ích của người vi phạm. Sẽ là không hợp
lý nếu một người đòi quyền lợi đối với những lợi ích mà vốn dĩ nó không thuộc về
mình, cho dù mình có đang là bên bị vi phạm. Dường như điều này đang đi ngược lại
với những giá trị đạo đức vốn có.
4. Vi phạm hiệu quả và buộc thực hiện đúng nghĩa vụ hợp đồng
Theo pháp luật hợp đồng, khi bên bán vi phạm nghĩa vụ hợp đồng thì bên mua
có thể sử dụng các biện pháp để đảm bảo lợi ích cho mình trong đó có việc buộc bên
vi phạm thực hiện đúng nghĩa vụ hợp đồng. Bên vi phạm chỉ có thể được miễn thực
hiện hợp đồng khi có sự đồng ý của bên bị vi phạm. Nếu bên vi phạm hành động đơn

phương mà không có sự đồng ý của người bị vi phạm thì Tòa án sẽ bắt buộc người vi
phạm phải thực hiện đúng hơp đồng. Buộc thực hiện đúng hợp đồng là một yêu cầu
bắt buộc của Tòa án đối với người đưa ra lời hứa hẹn yêu cầu người đưa ra lời hứa sẽ
thực hiện lời hứa hợp đồng của mình hoặc ngăn cấm anh ta thực hiện lời hứa với bất
kỳ bên nào khác26. Có quan điểm cho rằng, biện pháp này bảo vệ cho quan hệ hợp
đồng và giúp cho các bên đạt được những lợi ích mà họ hướng tới khi giao kết hợp
đồng27. Có lẽ những người theo quan điểm này cho rằng, mục đích của việc ký kết
hợp đồng mua bán là người bán bán được hàng và nhận được tiền, người mua mua
được hàng họ cần.
Thật vậy, đối với các nước theo hệ thống pháp luật châu Âu lục địa thì buộc
tiếp tục thực hiện đúng hợp đồng thường được ưu tiên áp dụng. Trong trường hợp vi
phạm, kể cả trường hợp vi phạm nghiêm trọng thì chế tài buộc thực hiện đúng hợp
đồng vẫn được áp dụng và hợp đồng không bị hủy bỏ. Vì bị ảnh hưởng bởi hệ thống
Dân luật nên tinh thần này vẫn được thể hiện rõ trong pháp luật hợp đồng Việt Nam.
Theo quy định tại Khoản 2 Điều 356 BLDS 2015, trường hợp nghĩa vụ giao vật cùng
loại không được thực hiện thì bên bị vi phạm có quyền yêu cầu bên vi phạm phải giao
vật cùng loại khác; nếu không có vật cùng loại khác thay thế thì phải thanh toán giá trị
của vật. Chúng tôi cho rằng, quy định nói trên có thể hiểu theo hai cách: thứ nhất, bên
vi phạm phải thực hiện đúng nghĩa vụ giao vật cùng loại chừng nào vẫn còn vật cùng
loại và chỉ khi nào không còn vật cùng loại thì mới được phép thanh toán giá trị của
vật; thứ hai, bên bị vi phạm được quyền lựa chọn, hoặc là bắt bên vi phạm thực hiện
đúng nghĩa vụ giao vật, hoặc là yêu cầu bên vi phạm thanh toán giá trị của vật. Hoặc
theo quy định tại Khoản 1, Điều 358 BLDS 2015, trường hợp bên có nghĩa vụ không
thực hiện một công việc mà mình phải thực hiện thì bên có quyền có thể yêu cầu bên
có nghĩa vụ tiếp tục thực hiện hoặc tự mình thực hiện hoặc giao người khác thực hiện
công việc đó và yêu cầu bên có nghĩa vụ thanh toán chi phí hợp lý, bồi thường thiệt
hại. Cũng theo quy định nói trên thì buộc thực hiện nghĩa vụ cũng được coi là biện
pháp ưu tiên.
Như vậy theo pháp luật Việt Nam, với các cách tiếp cận tại khoản 2 Điều 356
và Khoản 1 Điều 358 BLDS 2015 thì vi phạm hiệu quả khó có thể được thừa nhận.
Khác với các nước thuộc hệ thống luật châu Âu lục địa, đối với các quốc gia
theo hệ thống luật Anh – Mỹ thì bồi thường thiệt hại là biện pháp được ưu tiên lựa
chọn áp dụng. Chỉ khi việc bồi thường thiệt hại tỏ ra không thích hợp thì mới áp dụng
biện pháp buộc thực hiện đúng hợp đồng. Tuy nhiên hiện nay nhiều quan điểm cho
rằng sự khác biệt giữa hệ thống Luật Anh – Mỹ và Luật Châu Âu lục địa về buộc thực
hiện đúng nghĩa vụ hợp đồng chỉ còn có ý nghĩa về mặt lý thuyết chứ không tồn tại

mấy sự khác biệt trong thực tiễn28. Điều này có nghĩa là các tòa án của các quốc gia áp
dụng Luật Anh - Mỹ như Mỹ, Canada và Úc không có nghĩa vụ phải ra phán quyết
buộc bên vi phạm phải thực hiện đúng nghĩa vụ hợp đồng. Trong nhiều trường hợp
pháp luật các quốc gia thuộc hệ thống dân luật cũng ưu tiên sử dụng biện pháp bồi
thường thiệt hại hơn buộc thực hiện đúng hợp đồng bởi liên quan đến vấn đề về chi
phí giao dịch29. Công ước viên 1980 (CISG) về hợp đồng mua bán hàng hoá quốc tế
chọn giải pháp hài hoà hơn. Điều 46 quy định người mua có thể yêu cầu người bán
thực hiện nghĩa vụ, song Điều 28 quy định Tòa án không bị ràng buộc để đưa ra phán
quyết cho việc thực hiện đúng nghĩa vụ trừ khi tòa án có thể thực hiện theo luật của
riêng mình đối với các hợp đồng bán hàng tương tự.
Có thể nói rằng, việc bắt buộc bên vi phạm phải thực hiện đúng nghĩa vụ hợp
đồng thường làm gia tăng chi phí giao dịch. Các khoản chi phí đó có thể bao gồm:
Thứ nhất, chi phí để xác định rõ nghĩa vụ của bị đơn. Nếu biện pháp buộc thực
hiện đúng nghĩa vụ được áp dụng thì biện pháp này thường phải được thực hiện chính
xác với những gì đã được thỏa thuận trong hợp đồng. Điều này có thể gây tốn kém
cho Tòa án vì trong một số trường hợp cần phải xác định rõ nghĩa vụ chính xác của bị
đơn là nghĩa vụ gì. Mặt khác nếu áp dụng biện pháp bồi thường thiệt hại thì chi phí
xác định số tiền thiệt hại cũng có thể được đặt ra, tuy nhiên dường như chi phí này
không cao hơn so với chi phí để liệt kê chính xác các nghĩa vụ bởi lẽ nguyên đơn có
nghĩa vụ chứng minh về những thiệt hại mà mình yêu cầu.
Thứ hai, chi phí liên quan đến việc cưỡng chế thực hiện. Nếu bị đơn không
thực hiện theo phán quyết của Tòa án thì có thể sẽ bị cưỡng chế thi hành, tuy nhiên
việc cưỡng chế thi hành đối với biện pháp bồi thường thiệt hại thường tương đối đơn
giản và tốn ít chi phí hơn so với buộc thực hiện đúng nghĩa vụ vì tài sản của bị đơn có
thể bị tịch thu để đảm bảo nghĩa vụ bồi thường trong trường hợp cần thiết. Trong khi
đó để có được thông tin về việc các nghĩa vụ của bị đơn đã được thực thi đến đâu là
điều không mấy dễ dàng và tốn kém.
Thứ ba, biện pháp buộc thực hiện đúng nghĩa vụ có khả năng sẽ làm phát sinh
chi phí cho các vụ kiện tiếp theo khi mà mối quan hệ giữa các bên đã trở nên không
còn tốt đẹp và bị đơn phải thực hiện một công việc mà mình không mong muốn. Theo
lẽ thường thì khi miễn cưỡng thực hiện một công việc ngoài ý muốn của mình thì hiệu
quả thường sẽ không cao, điều này có thể làm phát sinh những vụ kiện tiếp theo khi
nguyên đơn cho rằng bị đơn đã không thực hiện đúng nghĩa vụ.
Thứ tư, bắt buộc phải thực hiện đúng nghĩa vụ hợp đồng khi mà sự vi phạm
mang lại hiệu quả cũng có nghĩa là sự lãng phí trong sử dụng của cải, thời gian. Nếu

thừa nhận vi phạm hợp đồng hiệu quả và áp dụng chế tài bồi thường thiệt hại thay vì
áp dụng chế tài buộc thực hiện đúng hợp đồng thì thời gian và của cải đó sẽ được sử
dụng cho việc khác hữu ích hơn.
Từ những phân tích và lập luận trên chúng tôi đồng ý với quan điểm, theo đó vi
phạm hiệu quả có thể cùng tồn tại với quy tắc bồi thường thiệt hại, nhưng không thể
tồn tại với quy tắc buộc thực hiện đúng hợp đồng30.
5. Vi phạm hiệu quả với vấn đề đạo đức
Khi thảo luận về vi phạm hợp đồng hiệu quả người ta hay nói đến khía cạnh
đạo đức của hành vi, đặc biệt là những người không cổ suý cho loại vi phạm hợp đồng
hiệu quả này. Thật vậy, cũng như nhiều học thuyết khác, bên cạnh những người ủng
hộ thì thuyết vi phạm hiệu quả gặp phải không ít những phản đối. Nhiều người tỏ ra e
ngại về yếu tố đạo đức của vi phạm hiệu quả 31, họ cho rằng vi phạm hiệu quả là sự
không vẹn toàn về mặt đạo đức khi người vi phạm đã phá vỡ đi lời hứa của mình 32. Cụ
thể, một cam kết hợp đồng đã tạo ra một nghĩa vụ đạo đức ràng buộc người đưa ra lời
hứa phải thực hiện lời hứa đó của mình chứ không phải chỉ là nghĩa vụ thực hiện nếu
sự thực hiện đó là hiệu quả. Đồng quan điểm trên, Gregory Klass cho rằng, một vi
phạm dù là hiệu quả thì vẫn là vi phạm và đó là một sự sai trái, luật pháp không nên
khuyến khích sự sai trái này trong kinh doanh33.
Chúng tôi cho rằng, vi phạm hợp đồng trong nhiều trường hợp và về mặt
nguyên tắc là không tốt và không nên khuyến khích, tuy nhiên sẽ không thiếu trường
hợp, việc thực hiện hợp đồng được coi là thiếu sáng suốt nếu không muốn nói là mù
quáng. Nếu điều kiện hoàn cảnh trong quá trình thực hiện hợp đồng được các bên nhìn
thấy trước tại thời điểm ký kết hợp đồng thì không nên khuyến khích sự vi phạm. Tuy
nhiên cũng có những ngoại lệ là hoàn cảnh tại thời điểm thực hiện hợp đồng có sự
thay đổi cơ bản mà các bên không dự liệu được. Trong bối cảnh đó việc thực hiện hợp
đồng sẽ làm cho các bên phải chịu thiệt hại nhiều hơn là không thực hiện. Trong
trường hợp này không thể coi việc không thực hiện hợp đồng - không thực hiện lời
hứa là vi phạm đạo đức mà là ngược lại.
Trong bài viết “English Contract Law and the Efficient Breach Theory: Can
they co-exist?” tác giả Tareq Al-Tawil cho rằng thuyết vi phạm hiệu quả sẽ làm giảm
hiệu quả của hệ thống hợp đồng bởi lẽ: (i) sẽ có nhiều vụ kiện tụng và chi phí liên
quan vì nhiều người hứa hẹn sẽ vi phạm hợp đồng; (ii) nó sẽ làm giảm sức mạnh của

sự tin cậy trong hợp đồng, bởi vì các ràng buộc hợp đồng phần nào đóng vai trò quan
trọng trong các chuẩn mực đạo đức34.
Chúng tôi cho rằng, mỗi khi pháp luật đã thừa nhận vi phạm hợp đồng hiệu quả
thì hiệu quả của hệ thống hợp đồng không những không suy giảm mà còn sẽ được
nâng cao. Bởi lẽ nó sẽ làm cho hợp đồng trở nên mềm dẻo và uyển chuyển hơn. Điều
này thể hiện qua việc pháp luật thừa nhận nguyên tắc Rebus Sic Stantibus 35 trong việc
thực hiện hợp đồng bên cạnh nguyên tắc Pacta Sunt Servanda. Hoặc là ví dụ, pháp
luật của nhiều nước cho phép toà án can thiệp điều chỉnh mức phạt vi phạm hợp đồng
hoặc mức bồi thường thiệt hại dự tính trước theo yêu cầu của bên liên quan nếu có
bằng chứng xác thực rằng, thiệt hại xảy ra lớn hơn rất nhiều so với mức phạt hoặc
mức bồi thường do các bên thoả thuận trước đó.36
Khó có thể chia sẻ với luận điểm rằng, nếu thừa nhận vi phạm hợp đồng hiệu
quả thì sẽ có nhiều vụ kiện tụng và chi phí liên quan vì nhiều người hứa hẹn sẽ vi
phạm hợp đồng. Thật vậy, mỗi khi pháp luật đã thừa nhận vi phạm hợp đồng hiệu quả
thì khả năng tranh chấp dẫn đến kiện tụng là khó có thể xảy ra. Bởi lẽ trước khi vi
phạm hợp đồng bên vi phạm phải tính toán xem liệu vi phạm của họ có phải là vi
phạm hiệu quả hay không và để xác định được điều đó thì bên bị vi phạm biết về hành
vi vi phạm này. Và rõ ràng, mỗi khi bên bị vi phạm biết vi phạm đó là hiệu quả và
được pháp luật thừa nhận thì không lý gì họ khởi kiện.
Nhìn chung, theo quan điểm của những người phản đối thuyết vi phạm hiệu
quả thì nếu cổ suý cho việc vi phạm hợp đồng, cho dù là vi phạm hiệu quả thì nguyên
tắc Pacta Sunt Servanda bị phá vỡ. Điều này cũng có nghĩa là dưới góc độ đạo đức thì
không nên cho phép một trong các bên vi phạm nghĩa vụ hợp đồng vì bất cứ lý do gì.
Nhưng đối với những người ủng hộ cho thuyết vi phạm hiệu quả thì ngược lại, họ xem
vi phạm hiệu quả là trường hợp ngoại lệ của nguyên tắc Pacta Sunt Servanda.
Theo quan điểm của Richard A. Posner, “sẽ không có bên nào ký kết hợp đồng
trừ khi một bên nghĩ họ sẽ có kết quả tốt hơn” 37, và vì thế nếu ở một thời điểm khác
lợi ích của họ sẽ có khả năng được gia tăng thì không có lý do gì họ lại không muốn
thay đổi ý định của mình vì lợi ích cao hơn đó. Vì vậy dù có hay không có thuyết vi
phạm hiệu quả thì theo chúng tôi người hứa hẹn vẫn sẽ vi phạm để đạt được một lợi
ích lớn hơn cho mình và thậm chí theo quan điểm của chúng tôi thuyết vi phạm hiệu

quả còn góp phần làm giảm chi phí và tăng lợi ích cho xã hội. Đặc biệt là đối với hệ
thống pháp luật Anh – Mỹ khi trường phái luật tự nhiên phát triển với những tuyên bố
nổi tiếng như của John Stuart Mill: “Sự tự do duy nhất xứng đáng với tên gọi của nó
là theo đuổi lợi ích của riêng chúng ta theo cách riêng của mình, miễn là chúng ta
không cố gắng tước đi lợi ích của những người khác, hoặc cản trở nỗ lực của họ để có
được lợi ích đó”38 thì sự lựa chọn vi phạm để có được hiệu quả tốt hơn càng là điều dễ
hiểu. Như vậy, không những dưới góc độ kinh tế, mà còn cả dưới góc độ quyền tự do
thì vi phạm hợp đồng hiệu quả là hành vi có vẻ là đáng khuyến khích.
Thẩm phán Oliver Wendell Holmes, người ủng hộ mạnh mẽ cho thuyết vi
phạm hiệu quả cho rằng: “Nghĩa vụ giữ đúng hợp đồng theo thông luật không có gì
khác ngoài việc bạn phải trả tiền bồi thường nếu bạn không giữ đúng nó” 39 và đồng
thời ông cũng cho rằng luật hợp đồng chỉ đơn giản là bồi thường cho sự vi phạm mà
không trừng phạt bất kỳ vi phạm về mặt đạo đức nào. Chức năng của bồi thường thiệt
hại đặc biệt là theo hệ thống pháp luật Anh – Mỹ đó là bù trừ chứ không nhằm mục
đích trừng phạt40. Vì vậy lý do vi phạm của một bên trong quan hệ hợp đồng là không
quan trọng. Như Posner đã nói: Luật hợp đồng không thực sự quan tâm đến ý định của
các bên, cách khắc phục hậu quả là như nhau ngay cả khi vi phạm được coi là “vi
phạm đạo đức”41. Chúng ta có thể tìm thấy sự đồng thuận giữa Posner và Holmes khi
cho rằng trách nhiệm pháp lý để giữ lời hứa chỉ đơn thuần dự đoán rằng nếu bạn
không giữ nó bạn sẽ phải trả giá cho bất kỳ thiệt hại nào liên quan đến sự vi phạm lời
hứa của mình.
Chúng tôi cho rằng, vi phạm hiệu quả không những mang lại lợi ích kinh tế mà
còn là vấn đề của đạo đức. Thiết nghĩ, một người được coi là có đạo đức là khi người
đó không muốn và không thực hiện hành vi gây thiệt hại cho người khác, người có
đạo đức là người mang lại hạnh phúc và niềm vui cho người khác. Vi phạm hợp đồng
hiệu quả thỏa mãn cả hai yêu cầu trên. Khi mà bên bị vi phạm biết rõ rằng sự vi phạm
hợp đồng không hề gây thiệt hại cho họ, họ vẫn nhận được khoản lợi mà họ mong đợi
khi giao kết hợp đồng thì việc họ ngăn chặn vi phạm hay bắt buộc bên kia phải thực
hiện hợp đồng có thể được coi là hành vi thiếu thiện chí. Hành vi đó có lẽ chỉ có thể
được giải thích bởi tâm lý không muốn người khác hơn mình. Đồng thời khi sự vi
phạm hợp đồng là hiệu quả thì tổng lợi ích các bên thu được lớn hơn khi hợp đồng
được thực hiện và vì vậy mà lợi ích xã hội có được cũng cao hơn, điều này góp phần
mang lại hạnh phúc cho người khác. Vì vậy, nếu là một người có thiện chí thiết nghĩ
bên vi phạm nên chấp nhận cho việc vi phạm hiệu quả này và đó là đạo đức.

6. Pháp luật có nên thừa nhận vi phạm hợp đồng hiệu quả?
Khi có vi phạm hợp đồng hiệu quả, bên bị vi phạm có 2 sự lựa chọn: i) chấp
nhận cho bên kia vi phạm; ii) Bắt buộc bên vi phạm phải thực hiện đúng hợp đồng.
Lựa chọn nào cũng khiến cho bên bị vi phạm có khoản lợi như nhau. Với tư cách là
người có lý trí bên bị vi phạm sẽ chấp nhận cho bên kia vi phạm hợp đồng, bởi lẽ họ
không phải làm gì mà vẫn nhận được khoản lợi mong đợi. Tuy nhiên không phải bao
giờ bên bị vi phạm cũng chọn cách đó. Chúng ta biết rằng, con người không phải bao
giờ cũng hành động theo lý trí, mà trong nhiều trường hợp hành vi của họ bị chi phối
bởi cảm xúc. Thường thì bên bị vi phạm không mấy dễ chịu đối với bên vi phạm, đặc
biệt là khi sự vi phạm này mặc dù vẫn mang lại cho bên bị vi phạm khoản lợi mà họ
mong đợi, nhưng mang lại cho bên vi phạm nhiều lợi ích hơn so với khi bên vi phạm
thực hiện hợp đồng. Chính cảm xúc này làm cho bên bị vi phạm bắt buộc bên vi phạm
phải thực hiện đúng hợp đồng.
Bên bị vi phạm không chấp nhận vi phạm hiệu quả còn có lý do là con người
vốn dĩ không muốn người khác được lợi nhiều hơn mình, nhất là khoản lợi đó do vi
phạm mà có. Bản chất của con người vốn dĩ là ích kỷ, hành vi của con người vốn dĩ là
tìm kiếm lợi ích cho chính mình. Thomas Hobbes cho rằng mỗi hành vi mà chúng ta
thực hiện dù có vẻ ngoài là tử tế hoặc vị tha thì thực ra cũng là nhằm mục đích vị
lợi42. Cũng chính bởi bản tính ích kỷ và đố kỵ của con người mà bên bị vi phạm sẽ
khó có thể chịu nổi với ý nghĩ bên kia đã vi phạm hợp đồng mà còn được nhiều lợi ích
hơn mình. Chính vì vậy điều họ mong muốn trong những hoàn cảnh này thường là
buộc bên vi phạm phải thực hiện đúng nghĩa vụ hợp đồng. Rõ ràng như đã phân tích ở
trên, cơ chế buộc thực hiện đúng hợp đồng không phải là sự khuyến khích cho vi
phạm hiệu quả mà nó cản trở hành vi vi phạm hiệu quả này. Lúc bấy giờ, xét dưới góc
độ kinh tế thì việc buộc thực hiện đúng nghĩa vụ có thể giữ nguyên được lợi ích của
bên bị vi phạm song lợi ích của bên vi phạm và tổng lợi ích xã hội sẽ bị giảm xuống
so với việc thừa nhận vi phạm hiệu quả. Chính vì lẽ đó sự can thiệp của pháp luật
trong những hoàn cảnh này là cần thiết. Điều này cũng hoàn toàn phù hợp với tư
tưởng luật tự nhiên: quyền tự nhiên của con người đó là quyền được làm những gì có
lợi cho bản thân miễn không xâm hại đến lợi ích của người khác. Theo quan điểm của
John Locke, sự không xâm hại lẫn nhau về “cuộc sống, sức khỏe, tự do và tài sản” này
chính là sự giới hạn của luật tự nhiên lên quyền tự nhiên của con người 43. Người bán
vi phạm hợp đồng để mang lại lợi ích cao hơn cho bản thân mình và đồng thời không
làm giảm đi lợi ích của người mua khi những khoản lợi, thậm chí là lợi ích kỳ vọng
của người mua đều được đền bù thỏa đáng. Nếu ai cũng nhận thức được rằng việc có

thực hiện hợp đồng hay không không quan trọng, miễn sao họ vẫn có được khoản lợi
ích dự kiến của mình thì không cần đến sự quy định của luật pháp. Chính vì lẽ đó
trong một số trường hợp, xét cả dưới góc độ kinh tế và cả dưới góc độ đạo đức thì việc
pháp luật thừa nhận vi phạm hiệu quả nhằm nâng cao lợi ích của các bên và tổng lợi
ích xã hội là điều cần thiết.
Pháp luật Việt Nam, cụ thể là BLDS 2015 có vẻ đã thừa nhận vi phạm hợp
đồng hiệu quả khi cho phép một bên hủy hợp đồng, đơn phương chấm dứt hợp đồng
và bồi thường thiệt hại. Theo quy định tại Khoản 5 Điều 427 và Điều 428 BLDS 2015,
trường hợp việc hủy bỏ hợp đồng hoặc đơn phương chấm dứt hợp đồng mà không do
sự vi phạm của bên kia thì bên hủy bỏ hợp đồng, đơn phương chấm dứt hợp đồng
được xác định là bên vi phạm nghĩa vụ và phải thực hiện trách nhiệm dân sự do không
thực hiện đúng nghĩa vụ theo quy định của Bộ luật này, luật khác có liên quan.
Tuy nhiên đồng thời với các quy định nói trên, BLDS 2015 cũng quy định
rằng, khi có sự vi phạm của một bên thì pháp luật cũng trao cho bên bị vi phạm quyền
yêu cầu bên vi phạm thực hiện đúng nghĩa vụ. Theo quy định tại Khoản 2 Điều 356
BLDS 2015, trường hợp nghĩa vụ giao vật cùng loại không được thực hiện thì bên bị
vi phạm có quyền yêu cầu bên vi phạm phải giao vật cùng loại khác; nếu không có vật
cùng loại khác thay thế thì phải thanh toán giá trị của vật. Có thể nhận thấy rằng, với
cách quy định trên thì pháp luật Việt Nam có vẻ trao cho bên bị vi phạm trước hết là
quyền yêu cầu thực hiện đúng nghĩa vụ giao vật. Và chừng nào nghĩa vụ giao vật
không thể thực hiện được thì mới áp dụng biện pháp khác - thanh toán giá trị của vật.
Các quy định này gần như không thừa nhận vi phạm hiệu quả theo cách tiếp cận của
bài viết này.
Kết luận: Lý thuyết về vi phạm hợp đồng hiệu quả được xem là một trong những góc
nhìn mới về vi phạm hợp đồng của trường phái kinh tế học pháp luật 44. Chúng ta đều
coi trọng việc các bên cần phải thực hiện nghĩa vụ hợp đồng, tuy nhiên không thể
không có những ngoại lệ khi vi phạm hợp đồng mang lại hiệu quả kinh tế cho các bên
và không gây thiệt hại cho người thứ ba khác. Thừa nhận vi phạm hợp đồng hiệu quả
không những không trái với các quy tắc đạo đức mà còn mang lại lợi ích kinh tế - là
mục đích lớn nhất của việc thiết lập hợp đồng. Do đó, nếu ngăn cản người bán nhận
đơn đặt hàng của người mua khác thì người bán sẽ bị lãng phí năng lực và tài nguyên
của mình mà cũng không đem lại thêm lợi ích gì cho người mua ban đầu từ năng lực
và tài nguyên lãng phí đó.
Từ những phân tích trên chúng tôi cho rằng, ii) vi phạm hợp đồng hiệu quả chỉ
tồn tại khi pháp luật giới hạn thiệt hại mà bên vi phạm phải bồi thường không thể cao
hơn tổn thất thực tế và khoản lợi mà bên bị vi phạm đáng lẽ được hưởng trong
trường hợp hợp đồng được thực hiện; ii) BLDS 2015 của Việt Nam nên có quy

định riêng về bồi thường thiệt hại do vi phạm hợp đồng (không nên quy định chung
với bồi thường thiệt hại ngoài hợp đồng); iii) Nên bỏ khoản 2 Điều 356 BLDS 2015.

ABSTRACT
From an economic view, in many cases, a breach of contract is more beneficial than contract
performance. It is called efficient breach of contract. This article tries to indentify the type of
contract breach then leads to provide a significant analysis of criteria of efficient breach.
Legal rules of damages recovery have an important role to determine an efficient breach.
The writing therefore focuses on a relationship between the efficient breach of contract and
damages recovery as well as disgorgement, specific performance and morality with
empirical evidences of corresponding provisions of Vietnamese law.

Introduction
In practice, violations of the law in general and breach of contract in particular are
common behaviors, and are often viewed negatively and condemned. Subjects who violate
the law, breach the contract are also therefore forced to bear sanctions that the severity
depends on the level of danger to society and the extent of the damage caused by the
violation
Is the rule of law always good and does it always ensure justice? Perhaps it is not always,
because a rule of law no matter how good it is at the time of issuance, it may become
irrelevant when society changes. The terms of the contract agreed by the parties or by law
do not always predict all future situations when the contract is made and do not exclude the
case would be better for parties, for the state or for society if one party breaches the
contract.
From an economic view, when the subject performs any action, it means that they
aim to their benefits, so breach of the contract should be considered, measured by means of
efficiency. From a legal perspective, breach of contract is always considered in reciprocal
relationship with responsibility due to breach of contract, especially with specific
performance and damages. We believe that, in relation to efficient breach of contract, the
view of law and economics about specific performance and damages is also different from
the law view.
In this article, we initially mention the following issues: i) What is efficient breach of contract;
ii) Analysis of the relationship between efficient breach of contract and damage
compensation; iii) Efficient breach and the request of the offending party to waive the profit
from breach of contract; iv) Efficient breach and Specific Performance and; v) Morality and
Efficient breach.

parties overall. In legal science, these violations are considered to be efficient breach of
contract (efficient breach).
Efficient breach is not just a legal act or opinion of one or some people but it is a
theory. Efficient Breach Theory is defined in the Black's Law Dictionnary: " The view that a
party should be allowed to breach a contract and pay damages, if doing so would be more
economically efficient than performing under the contract” 47 . The view of efficient breach of
contract was first introduced by Robert Birmingham in his 1970 article, Breach of Contract,
Damage Measures, and Economic Efficiency in which: resignation to the performance of the
committed party's contractual obligation should be encouraged if the breach makes him more
benefit and ensures the other party in the contract also benefits. exactly what they believe is
achieved if the violating party fulfills its contractual obligations48.
One of the basic theory bases of efficient breach is the Pareto improvement. If a change
from State A to State B makes at least one person better off and nobody worse off, the change
is a Pareto improvement49. This is considered to be the case when the seller gets more benefits
if they breach the contract and the buyer is not damaged or the benefit is not changed (meaning
no less more in the case of the seller performing the contract).
This situation can be explained with an example: A spent $1 to make a unit. The
contract is signed between A and B, whereby A will sell B 100 units for $2 per unit. Thus, A
will earn $100 profit from selling 100 units to B, while using 100 units to manufacture other
goods, B will gain $50. Thus the total benefit of A and B is $150. Suppose after signing a
contract with B, A receives an offer from C for $3 per unit. The efficient breach theory states
that A should breach the contract with B and sell it to C at the suggested price 50. At that time,
A will earn $150 profit ($300 price - $100 production costs - $50 damages) higher than $100
earned from selling to B ($200 price - $100 USD production costs). This choice of A is
considered an effective breach of contract because it not only brings benefits to A but also
social welfare and does not affect the benefits of B: A with $150 profit from selling 100 units

to C; B is paid $50 by A; and the value of the product has been enhanced. If the product
belongs to B, it is only assessed at $1 but when it belongs to C, the product is worth up to $3.
Therefore, according to the efficient breach theory, when the seller's profits exceed the
amount of damages of the buyer, the breach of contract should be allowed or encouraged,
provided that the buyer is fully compensated and deserved for the benefits they expect that is
lost. After receiving the compensation, the position of the buyer's interests there is no
difference compared to the position of benefits that they will get as if the contract is
performed51. Such breach contract is considered a Pareto improvement52. From an economic
view, A's case of breach of contract brings economic efficiency because the resources have
been distributed to bring higher efficiency. Not only that, the breach of contract of A also
makes social welfare significantly increase.
Under our understandings, in order to determine whether the breach of the contract
is effective, it is necessary to set a review of the provisions of the law to demonstrate the
damages that need to be compensated due to the breach of contract
Given on the provisions of the laws of most countries and in accordance with the
provisions of the Vietnam Commercial Law in 200554, when a party breaches a contract, the
aggrieved party has the right to claim: i) actual damage; ii) due benefits. Likewise the law of
Vietnam but the certain 2015 Civil Code has other regulations on this issue; such as material
damage under the provisions of Article 361.2 involves: i) actual material losses, including
assets losses, reasonable expenses to prevent, limit and overcome damages. and; ii) actual
income either lost or reduced.
Under the consideration from both theory and practice, the determination of actual
damage - loss of assets, reasonable expenses to prevent, limit and overcome damages
creates serious questions. About this type of damage there are several understandings: first,
the aggrieved party has relied on the promise of the breaching party in order to give values
to the breaching party. And in case the failures of the breaching party to fulfill its promise, the
Court has its requirement on the breaching party to return the value received from the
aggrieved party. This benefit may be called recovery benefits (restitution interest). This
benefit corresponds to the compensation for damage means to restore the condition of the
aggrieved party as good as when the contract has not been signed (restitution damages)55;
second, the aggrieved party has relied on the promise of the breaching party in order to
change its conditions, ie some acts have been done and some costs have been spent by the
aggrieved party. For example, a buyer party which relied on a car sales contract has spent
the cost of building a garage, or trusting a real estate contract with the seller party that the
buyer has missed the opportunity to enter into the other valuable contracts. This benefit of
the aggrieved party again need to be compensated by the breaching party (reliance interest).
This benefit corresponds to the compensation for damage that the aggrieved party has
acquired because of its regards that the contract is certain (reliance damages)56.
Furthurmore in our understanding, the determination of the expected profit or the loss
of profit is another complication, however it is still simpler than the determination of the

actual loss or reduction in income. Because when mentions expected damage or loss of
profit which means the expectation of the aggrieved party with the profits from the adaptation
of the contract. This can be interpreted as expected profits associated with contracts.
Indeed, when entering into contracts, the parties regularly set expectations for themselves,
which is the value of the expectations that the contract has created or in other words the
possible acquired values that is expected by the aggrieved party when entering the contract
(expectation interest). This benefit corresponds to the compensation for damage and places
the aggrieved party in a as favorable as possible position in case the offending party breach
the contract (expectation damages)57.

reduced. In other words, the income is reduced due to declining reputation. In case this type of
damge is compensated in even, then there is non-existence of effecient breach of contract.
For furthur understanding, because Article 361 of the 2015 Civil Code additionally provides for
compensation for torts, hence the compensation for losses caused by "lost or reduced income"
applies perhap to tort primarily.
In our poin of view, efficient breach might only be caused when or either the damage
needs to be compensated for in a causal relationship with a breach of contract, or the parties
in certain contract manage to predict the damage caused by breach of contract.
Undoubtedly, the determination of "lost or reduced actual income" must be based on this
principle. This means that the damage compensation could not exceed the loss and the
amount of loss that the aggrieved party has anticipated or capabled of anticipate at the time
of signing the contract as a possible incident by breach of contract60.
In the UK contract law there is a kind of responsibility when breaching the contract is
the disgorgement - forced to pay back money that parties have made in an illegal way. The
disgorgement is defined in the Black’s Law dictionary: "The act of giving up something (such
as profits illegally obtained) on demand or by legal compulsion"61. For British law, the
responsibility to give up the profits arising from this violation comes from the case of Judicial
General v. Blake62. Accordingly. George Blake is a member of the intelligence agency of the
British government who had a contract with the government about not being allowed to
disclose any information related to his intelligence work. However eventually George Blake
breached the contract by published a book related to his intelligence activities and the British
government sought to collect all the profits that George Blake obtained from this book
publishing. The court issued a decision on the recovery of all profits from this violation. In
"The disgorgement interest in contract law", Melvin A. Einsenberg once again discussed
thoroughly the existence of a method of confiscating all the profits due to this violation within
the private law system. Thus solely mentions the three profits of aggrieved party under
protection which including (i) recovery profit (restitution interest), (ii) trust profits (reliance
interest), (iii) expected profit (expectation interest)63 is insufficient, though needs furthur
involve the profits that the offending party must give up due to the promise’ violation
(disgorgement interest)64.
Although UK law recognizes and applies a measure that requires the recovery of all
the profits of the seller from the violation65, however, the Court rarely prioritize the selection yet

usually applies in cases of violations related to authorization and ownership66. For violations
related to authorization, the authorized person has created personal interests from the use of
the property, information, position obtained through authorization, hence the recovery of this
profit is perfectly reasonable even though the authorizing party suffers no damage 67. Likewise,
concerning the issue of ownership, it is conceivable if the ownership of the property has been
transferred to the buyer before the seller commits a breach, the measure of compensation for
reimbursement of profits is applied. Because selling a property that is not owned by the seller
is a violation of the law. When the ownership transference between the seller and the buyer
has been completed, the illegal sale of the buyer in addition violates the law of tortious act
legal liability (Tort Law)68. The act of selling goods owned by others is considered an act of
appropriating property and it is necessary to return the entire profits from the sale of such
property.
There are provisions are found to be similar with the disgorgement in the law of the
Russian Federation. According to the provisions of Point 2, Clause 2, Article 15 of the
Russian Federation, the aggrieved party not only has the right to claim compensation for the
expected damage but also has the right to demand that the offending party transfer all the

income that the offending party obtained from breach of contract 69. If such regulations are
rigid, efficient breach of contract is no longer a bothersome question. Despite that, the
practical events shows the reality that opportunities are difference between each individuals.
The seller breaches the contract with the logics of apparently higher sale price for another
buyer, yet not the same conditions ought to be bestowed on the buyer which leads to the
same extra profits such as the seller to deserve a corresponding profit when request for the
transfer of all the profits gained from the seller by breach of contract. It described that the
request for confiscation of this profit of the offending party does not stem from the loss of the
aggrieved party but from the profits of offending party itself. It is unreasonable and absurd in
our understanding for profit claims which are inherently non-existent, even granted that
position of aggrieved party. Eventually it seems that this is going against the inherent moral
values.
Under the contract law, when the seller breaches the contractual obligations, the
buyer may use measures to ensure theirs interests, including the enforcement of performing
contractual obligations by the offending party. The exemption of performing contractual
obligations of the offending party is reside in the decisions of the aggrieved party. In case
the offending party has its unilateral action without the consent of the aggrieved party,
specific performance is directed from the Court. The rendering, as nearly as practicable, of a
promised performance through a judgment or decree; specif., a court-ordered remedy that
requires precise fulfillment of a legal or contractual obligation when monetary damages are
inappropriate or inadequate, as when the sale of real estate or a rare article is involved 70.
There is an opinion that this measure protects the contractual relationship and supports the
parties achieve the targeted profits when entering into a contract 71. Perhaps those who
follow this point of view believe that the purpose of signing a sale contract is that the seller
sells the goods and receives the money, while the buyer buys the goods in need.
Indeed, for countries following the continental European legal system, it is imperative
to continue to comply with the contract. In the case of a violation, including a serious
violation, the sanction for enforcing the contract is still valid and the contract is still available.
Because of being affected by the Civil Law system, this spirit is still clearly reflected in the
Vietnamese contract law. According to the provisions of Clause 2, Article 356 of the 2015
Civil Code, in case the obligation to delivery the same object is fail to accomplished, the
aggrieved party may request the offending party to delivery another same object; further
cases when there is no alternative same object, then the value of the object is the alternative
payment. The above provisions as our understanding are decribed in two ways: first, the
offending party must comply with the obligation of delivery the same object whenever there
are still same objects available and use value of the object as the alternative payment when
and only there is no other same object; second, the choices rest on the aggrived party, either
to request the offending party to fulfill the object delivery obligation, or to request the offending
party to compensate the value of the object. Or as stipulated in Clause 1, Article 358 of the

Civil Code 2015, in cases where the obligor fails to perform a task that is mandatory, the
obligee may request the obligor to continue to perform or carry out the work by itself or hand
over to a third party to perform such work and request the party who is obliged to compensate
those reasonable expenses damages. Thus according to the above provisions, the
enforcement of obligations is again considered a priority measure.
Next, unlike other countries in the continental European law system, damage
compensation with countries under the UK law system is the preferred measure of choice.
And simply when compensation is an inappropriate measure, then the measure of forcing to
comply with the contract shall be applied. However, nowadays’ opinions propose that the
difference between the UK Law system and the Continental Law of Europe on the
enforcement of contractual obligations is merely theoretical yet dismishingly on practical
events72. This means that the courts of the countries that currently implementing the UK Law
such as the US, Canada and Australia, have no obligation to compose their judgments that
force the offending party to fulfill the contractual obligations. In many cases, the law of the
countries followed the civil law system still prioritizes the adoption of compensation
measures rather than enforcing the contract performance on account of the issues relate to
transaction costs73. Inbetween, the 1980 Convention (CISG) on international sales contracts
selects a considerable harmonious solution. With article 46 stipulates that the buyer has the
right to require the seller to perform the obligation, though Article 28 stipulates that the Court
is not bound to make a judgment for the proper implementation of the obligation unless the
court is able to comply with its own law for similar sales contracts.
It can be said that the enforcement of performing the contractual obligation of the
offending party normally increases transaction costs. Such expenses may include:
First, the cost to certainly determine the defendant's obligations. Assume that the

necessity. Meanwhile it is not easy and expensive to get information on how much the defendant's
obligations have been implemented.
Third, the measure of enforcing the obligation is likely incurring the costs of
subsequent lawsuits when the relationship between the parties has become no longer
positive and the defendant is obliged to accomplish a painful task. And normally, the effect is
never satisfied while working on an unwanted task, which creates a loop of subsequent
lawsuits when the plaintiff concludes that the defendant's obligations is again failing in
performence.
From the above analysis and arguments, our conclusion is drawn out that efficient breach is
a reasonable coexist with the damage compensation rules, yet incompatibles with the
enforcement of contract rules74.
The moral aspect is frequently mentioned alongside with economic aspect whenever
the discussion of behaviors relate to efficient breach of contract aroused, especially
invididuals against the promotion of this so-called behaviors. Indeed, compare to other
doctrines and with the obvious truth is the supportings and the objections consistently co-
exist, efficient breach shares the same fate as besides advocates, objections is inevitable.
The public shares concerns about the moral factor of efficient breach of contract 75, such as
arguements that efficient breach is morally incomplete when the offender intentionally breaks
the contract promise76. In particular, a contractual commitment has created a moral

obligation to perform only when that performance is effective. In the same point of view,
Gregory Klass stated that a violation, whether it is effective, is still a violation and it is an
injustice, an insult to the law encouraged this wrong in business77.
Our understanding points out that breach of contract in many cases and in principle
is an immorality and disapproval pattern, however, there are available cases that the
performance of the contract is considered to be unwise if not to say mindless. In case the
circumstances in the contract implementation process are foreseen by the parties at the time
of contract signing, the violation encouragement is a false option. There are exceptions,

however, that the situation at the time of contract implementation has a fundamental change
which is unpredictable by the parties. In that context, the implementation of the contract is
causing serious damage to the parties than just let it to be voided. In this case, it is
impossible to consider the non-performance of the contract - unable to fulfill the promise of
an ethical violation yet otherwise.
In the article "English Contract Law and the Efficient Breach Theory: Can they co-
exist?", author Tareq Al-Tawil stated that the theory of efficient breach reduced the
effectiveness of the contract system because: (i) there are going to be numbers of lawsuits
and related costs because the compromise to breach the contract; (ii) the reduction of the
power of trust in contracts, because contractual contracts play an important role in ethical
standards78.
Once again, our understanding point out that the moment the efficient breach of
contract is adopted into the law, the effectiveness of the contract system is not only remain
the same but also improve to another level. Because this adoption is changing the contract
to be more flexible and adjustable. This is reflected in the law recognizing the principle of
Stantibus Rebus Sic79 in the implementation of the contract next to the Pacta Sunt Servanda
principle. Or, for example, the laws of many countries allow the court to intervene in
adjusting the penalty for breach the contract or the expected damage compensation
according to the request of the concerned parties in case there is evidence that the existing
damage is completely greater than either the penalty or the compensation levels previously
agreed by the parties80.
Furthermore, it is found to be difficult to agree with the explaination that the adoption
of the efficient breach of contract into the law generates numbers of lawsuits and related
costs because the compromise to breach the contract. To be frankly, the moment the law
has adopted the efficient breach, the possibility of disputes leading to litigation is unlikely.
Because in prior of breaching the contract the offending party needs to calculate whether its
violation is an efficient breach and the determination of that event tickles the aggrieved party
to find out about this violation. And obviously, without exception that the moment the
aggrieved party learns that the efficient breach is recognized by law, it is abnormal to find a
legal resolution.
In general, from the against the efficient breach theory’ point of view, it is
understandable that the promotion of breach the contract, whether it is called efficient
breach, still result in that the Pacta Sunt Servanda principle is broken. This concluded that

from a moral perspective, there is no exeption or permission the breach of contract
obligations from one of the parties for whatsoever reasons. On the contrary with the
supported theory’ point of view, the efficient breach is acknowledged as the exception of the
Pacta Sunt Servanda principle.
Following Richard A. Posner's point of view: no party will sign a contract unless one
side thinks they will get better results 81, for that reason there is a possibility at another time
their profits might be increased, and there is no reason how to stop them from changing their
minds for the higher profit. So whether or not there is an efficient breach of contract theory, it
is in our opinion that the promiser still violates the contract to acquire a greater profit and
even in our profound opinion, the efficient breach theory genuinely contributes in reducing
costs and increasing benefits for society. Especially for the UK legal system when the school
of natural law developed with renowned statements such as the one of John Stuart Mill: The
only freedom worthy of its name is to pursue our own interests in our own way, as long as
we do not try to take away the interests of others, or hinder their efforts to get that interest 82,
thus the choice of efficient breach for a better results is understandable. In the end, not only
from an economic perspective, but also from the perspective of freedom, the efficient breach
of contract indeed is a behavior that worths to be encouraging.
Judge Oliver Wendell Holmes, a strong advocate of efficient breach theory, stated:
The obligation to keep a contract by law is nothing but you have to pay compensation if you
don't keep it right83, and at the same time affirmed that the contract law simply is the
compensation for the breach of contract without further punishment on any ethical violations.
The function of damage compensation especially under the UK legal system is to
compensate rather than to punish84. Thereby the reason for a party's breach in the
contractual relationship is unimportant. As Posner stated: Contract law does not really care
about the intentions of the parties, the remedy is the same even if violations are considered
"ethical violations"85. The concensus between Posner and Holmes is mutually found to
assume that the legal responsibility to keep the promise is merely to predict that unless
keeping it properly or the compensation is mandatory for any damage related to the
compromises.
In our understanding, the efficient breach is not only deliver economic benefits but
also moral issues. In common thinking, an ethical behavior is obviously a behavior which
either brings no harm or creates no loss for others, thus a morality behavior in contrast is the
one brings happiness and joyfulness to others. Effecient breach of contract satisfies both of
the above requirements. When the aggrieved party knows that the breach of the contract
certainly causing no damage, and the expected profits when entering the contract is still
secured, whether they prevent the violation or force the other party to performing the
contract is considered a lack of goodwill. That behavior has only one explaination by
psychology that the selfishness of wanted to be the solely pinnacle. At the same time, when

the breach of contract is effective, the total profits of the parties is greater than when the
contract is implemented and so the social benefits are, which contributes to the happiness
for others. Therefore, it is considered as a well-intentioned behavior assume that the
acceptance of the aggrieved party with this violation and that is moral.
When there is an efficient breach of the contract, the aggrieved party is given two
options: i) to accept the other party's breach; ii) to force the performance of the contract to
offending party. Either choice provides the aggrieved party with the same profits. As the
rational side, the aggrieved party shall accept the other party in breach of the contract,
because the expected profist is still being received while nothing needs to be done.
However, not always the aggrieved party makes that choice. It is in common that people are
not always acting rationally, yet in many cases their behavior is dominated by emotions.
Normally the aggrieved party is not comfortable with the offending party, especially when this
violation still gives the aggrieved party the expected profits, though brought the offending
party a greater profits compare to the inplementation of the contract. This emotion is vital
that causes the aggrieved party to compel the offending party to comply with the contract.
Another fundamental reason for the unacceptable of the efficient breach of contract is
the renowned characteristic of humanity that noone has the right to get higher profits,
especially that profit is obtained through a violation. Human nature is inherently selfish,
human behavior is inherently seeking for one's own benefit. Thomas Hobbes argues that
each one of behaviors we show, whether it is kind or altruistic, is actually for the sake of self-
profit86. Because of those selfish and jealous natures of the human that the aggrieved party
finds it is hard to bear with the thought that the other party has breached the contract yet
gaining higher profits. Therefore, it is resovled into one solution for these circumstances is
the aggrieved party exploit the enforcement toward the offending party to comply with the
contractual obligations. Apparently, as analyzed above, the mechanism of enforcing the
contract is not an incentive for efficient breach because it hinders this effective violation. At
that time, considering the economic perspective, the forced implementation of the right
obligations manages to preserve the benefits of the aggrieved party however the benefits of
the offending party as well as the total social benefits is being reduced compared to the
acceptance of efficient breach. This is when legal intervention is necessary because of these
circumstances. This is also entirely consistent with the natural law ideology: the natural right
of a human being is the right to do what is beneficial to himself, not to harm the interests of
others. From John Locke's point of view, this non-aggression of life, health, freedom and
property is the limit of natural law on human's natural rights87. The violation toward the
contract of the sellers is to bring higher benefits to themselves and at the same time there is
no reduction on the benefit of the buyer when the benefits, even the expected benefits of the
buyer are adequately compensated. . It should be awared that whether the contract is
performed is insignificant, as long as the expected benefits still recoverable, thus there is no

need for legislation. For that reason, in some cases, from both an economic perspective and
an ethical perspective, the law recognizes that efficient breach to enhance the benefits of the
parties as well as the total social benefits are necessary.
The law of Vietnam, particularly the Civil Code 2015, seems to have admitted the
efficient breach of contract when allowing a party to cancel the contract, unilaterally terminate
the contract and compensate the damages. Under the provisions of Clause 5, Article 427 and
Article 428 of the Civil Code 2015, in case the cancellation of the contract or the unilateral
termination of the contract without the breach of the other party, the party canceling the contract
or unilaterally terminating the contract is determined as the party violates its obligations and
therefore needs to perform its civil liability due to failure to comply with its obligations under this
Code and other relevant laws.
However, correspond with the above provisions, the Civil Code 2015 additionally
stipulates that, when there is a violation of one party, the law still grants the aggrieved party
the right to request the offending party to fulfill its obligations. According to the provisions of
Clause 2, Article 356 of the 2015 Civil Code, in case the obligation to delivery the same
object is fail to accomplished, the aggrieved party may request the offending party to delivery

of the object is the alternative payment. It can be acknowledged that, with the above

value of the object. These regulations almost sound like there is no recognition of efficient
breach according to the approach of this article.
Conclusion
From the above analysis, our understanding drew out, i) efficient breach of contract
only exists when the law limiting the damage that the offending party obliged to compensate
is not higher than the actual loss and the loss of profit of the aggrieved party in case the
implementation of the contract; ii) Vietnamese Civil Code 2015 should have separate
provisions on compensation for damages caused by efficient breach of contract (should not
be inclued in Tort law); iii) Abolish Clause 2 Article 356 Civil Code 2015.
