Trường hợp khách hàng không chuyển hoặc không chuyển đủ số tiền ký quỹ cho Techcombank theo đúng
thời gian nộp ký quỹ, Techcombank có quyền/ If the Customer does not transfer of does not fully transfer the
deposit, at Deposit date, Techcombank shall have the right to:
a) Tuyên bố hủy Hợp đồng hoặc đơn phương chấm dứt thực hiện Hợp đồng này. Khách hàng có trách nhiệm
bồi thường các thiệt hại phát sinh do hủy giao dịch cho Techcombank , hoặc/ Declare to cancel the contract
or unilaterally terminate the Contract. The Customer has to pay a contractual violation penalty and
compensate Techcombank of any damage incurred as cancelling the Contract, or
b) Thông báo cho khách hàng về việc tiếp tục thực hiện Hợp đồng và gia hạn thời gian nộp ký quỹ đến
ngày ... ... Trong trường hợp này, khách hàng có nghĩa vụ thanh toán cho Techcombank khoản lãi chậm trả
tiền đặt cọc với mức lãi suất chậm thanh toán bằng 150% lãi suất cơ sở VND thấp nhất dành cho Khách hàng
doanh nghiệp do Techcombank tại ngày khách hàng vi phạm thanh toán tính trên số tiền đặt cọc chậm
chuyển và số ngày chậm chuyển thực tế./ Notify the Customer of the continuation of implementing the
contract and extending the timeline for deposit to ... ... . In this case, the Customer has to pay Techcombank a
late payment penalty charge on the overdue deposit calculated on the actual overdue amount and the actual
overdue days at interest rate of 150% of the lowest VND base interest rate for Corporates as announced by
Techcombank on the violated date.

Xử lý số tiền ký quỹ/ Handling the deposit:

a) Trong trường hợp khách hàng không thực hiện đầy đủ các nghĩa vụ hợp đồng toán theo quy định tại Điều
1 Hợp đồng này, số tiền ký quỹ này sẽ thuộc về Techcombank./ In case the Customer breaches any
provisions of this Contract or don’t make payment on due date as stipulated in Article 1 of this Contract, the
deposit shall belong to Techcombank.
b) Trong trường hợp Khách hàng hoàn thành nghĩa vụ theo Hợp đồng này, Techcombank sẽ hoàn trả cho
Khách hàng số tiền ký quỹ, hoặc sử dụng số tiền ký quỹ này để khấu trừ vào nghĩa vụ thanh toán của khách
hàng./ In case the Customer fulfills all obligations under this Contract, Techcombank shall return the deposit
to the Customer upon expiry of the deposit term or the Customer shall use the deposit for the payment
responsibility.

2. Bảo đảm giao dịch bằng biện pháp cầm cố tài sản bảo đảm là số dư tiền gửi trên tài khoản tiền gửi, sổ tiết
kiệm, chứng chỉ tiền gửi, tiền gửi theo hợp đồng tại Techcombank/Guarantee the transaction by collaterals
which are deposit balances on accounts, saving books, certificates of deposit, deposit contracts at
Techcombank

Để đảm bảo cho việc thực hiện các nghĩa vụ của Khách hàng theo quy định tại Hợp đồng này, Khách hàng
đồng ý cầm cố tài sản của Khách hàng cho Techcombank theo Hợp Đồng Cầm Cố số …….. ký ngày
……….. và các Phụ lục kèm theo (nếu có)/In order to secure the Customer's performance of the Contract,
the Customer agrees to pledge the Customer's property to Techcombank in accordance with the Credit
security Contract No. ……. dated …………. . and attached Appendices (if any).
Điều khoản chung/ General provision
1. Hợp đồng có hiệu lực kể từ ngày ký đến ngày các bên hoàn thành các nghĩa vụ theo Hợp đồng này/ The
Contract shall be effective from the date of signing to the date by which the Parties have competed all their
obligations hereof.

2. Trong trường hợp khách hàng mua ngoại tệ để thực hiện việc chuyển tiền đi nhưng không sử dụng hoăc
không sử dụng hết số ngoại tệ đã mua hoặc ngoại tệ bị trả lại tiền vì bất kỳ lý do gì, Khách hàng có nghĩa vụ
bán lại khoản ngoại tệ đó cho Techcombank. Sau 3 (ba) ngày làm việc kể từ ngày tiền được hoàn trả về hoặc
ngay sau ngày Khách hàng có nghĩa vụ chuyển tiền/thanh toán theo bộ chứng từ xuất trình và theo quy định
của pháp luật mà Khách hàng không thực hiện việc chuyển tiền/thanh toán đối với toàn bộ số ngoại tệ đã
mua theo đúng mục đích mua ngoại tệ và Techcombank không liên hệ được với Khách hàng hoặc hai bên
không thỏa thuận được việc bán lại ngoại tệ cho Techcombank, Techcombank có quyền tự động mua lại số
lượng ngoại tệ kể trên theo tỷ giá mua vào của Techcombank tại thời điểm Techcombank xử lý giao dịch và
thông báo bằng văn bản cho Khách hàng về việc xử lý giao dịch này/In case the Customer buys foreign
currency to transfer money but does not transfer or use up all purchased amount or the foreign currency is
returned for any reason, the Customer is obliged to sell such foreign currency to Techcombank. After 3
(three) working days from the date of receipt of the returned one or or right after the due date of payment
obligation complying with legal regulations, if the Customer does not transfer money and Techcombank
could not contact the Customer or the Parties counld not agree to deal exchange rate, Techcombank has the
right to automatically redeem the above-mentioned value of foreign currency at the bid exchange rate of
Techcombank at the time Techcombank processes the transaction and notify the Customer in writing.
3.
Khách hàng cam kết hoàn trả cho Techcombank các chứng từ bổ sung chứng minh khách hàng đã sử dụng số
ngoại tệ mua của Techcombank để thanh toán đúng mục đích chậm nhất ngày .......................... và khách
hàng hoàn toàn chịu trách nhiệm về việc chậm hoàn trả chứng từ. Đồng thời khách hàng chấp nhận chịu phạt
theo quy định của Techcombank và đồng ý ủy quyền cho Techcombank tự động trích nợ tài khoản của khách
hàng tại Techcombank để thu khoản phạt chậm bổ sung chứng từ theo cam kết/ The Customer undertakes to
provide Techcombank with supporting documents evidencing that the Customer has properly used the
foreign currency amount purchased from Techcombank for the declared purposes no later than …… and the
Customer shall take full responsibility for the late provision of such supporting documents to Techcombank.
Also, the Customer agrees that, in case of the Customer’s late provision of the supporting documents to
Techcombank, the Customer shall pay a penalty in accordance with regulations of Techcombank and
authorize Techcombank to debit funds from the Customer’s account opened with Techcombank an amount
equal to such penalty.

4. Trong trường hợp chậm thanh toán cho các nghĩa vụ tại Hợp đồng này, Khách hàng đồng ý chịu chi phí phát
sinh trên khoản chậm trả bằng 150% lãi suất cơ sở VND thấp nhất dành cho Khách hàng doanh nghiệp do
Techcombank công bố từng thời kỳ. Trong trường hợp Khách hàng vi phạm nghĩa vụ thanh toán,
Techcombank có quyền đơn phương hủy Hợp đồng và thực hiện các biện pháp thu hồi phần bù đắp tổn thất
phát sinh bao gồm nhưng không giới hạn bởi: (i) khấu trừ bất cứ số dư có nào tại các tài khoản của Khách
hàng tại Techcombank hoặc (ii) tất toán bất cứ số dư có trên tài khoản tiền gửi, sổ tiết kiệm, chứng chỉ tiền
gửi, Hợp đồng tiền gửi tại Techcombank để thực hiện thu hồi phần bù đắp tổn thất/ In case of late payment
for any obligation under this Contract, the Customer agrees to pay the cost incurred on the late payment
equal to 150% of the lowest VND base interest rate for Corporates as announced by Techcombank each
period. In case the Customer violates any obligation of the Contract, Techcombank is liable to unilaterally
cancel the Contract and take measures to recover the incurred loss including but not limited to: (i) debit any
balance at the Customer's accounts at Techcombank or (ii) terminate any balance on deposit account,
passbook, certificate of deposit, Deposit contract at Techcombank to recover the offset cover losses.

Khách hàng xác nhận đã được Techcombank cung cấp, giải thích, đã đọc, hiểu rõ và hoàn toàn đồng ý nội
dung Bản Điều khoản và Điều kiện chung về Sản Phẩm và Dịch vụ dành cho Khách hàng tổ chức (sau đây
gọi là “Điều khoản và Điều kiện chung”) được đăng tải trên trang điện tử chính thức của Techcombank và
Bản Điều khoản và Điều kiện chung này sẽ là một phần không thể tách rời của các thỏa thuận, hợp đồng,
đăng ký, hoặc đề nghị sử dụng sản phẩm và/hoặc dịch vụ mà khách hàng ký, ký kết với Techcombank, có giá

Conditions will form an integral part of all contracts/ applications/ requests for provision of services and
