 SPECIFICATION AND SCOPE OF OFFER
The Specification of Work under the Offer is provision of Reverse Osmosis Plant for being
used as in your factory premises.

Scope of Work:

Scope of Work under the proposal includes the provision of under mentioned services &
supplies:

A] Preparation of Drawings & Documents for the Project Including:

i) Line Flow Chart
ii) Plan and Elevation Views of the Systems
iii) Outline of Civil Work for the Systems
iv) Operations & Maintenance Manual (Containing O&M Instructions with step-
by-step guides, troubleshooting for problems, Recommended spares list,
Electrical Diagrams, P&I Diagrams, Equipment manual from suppliers)
v) List of supplies including equipment & manpower required from client.

B] Supply of Equipment as per Specifications Mentioned in this Proposal

C] Supervision of Erection of the Electro-mechanical Units of the Systems

D] Commissioning of the complete Unit

E] Training of personnel including supply of O&M Manuals

The Water Treatment Plant has been designed to operate for the following parameters of
Raw Influent, as was observed in your chemical analysis report for the following parameters:

if seen to cause issue in treatment is beyond our scope for future rectification.
*This is a plant designed on the basis of raw water assumption as directed from your end. In
case complete customized plant is required, then complete raw water analysis has to be
provided by client for design.
*No equipment modification can be done after order finalization subject to any raw water
changes. In case the same has to be done will be at extra cost.

*Inclusion for raw water tank and treated water tank into the system and their connection
to the plant shall be on Client scope as per our direction.

SCHEDULE OF EXCLUSIONS

1. Storage for equipment during erection/servicing work.

2. All piping and plumbing beyond termination points.
3. Continuous power supply with grounding (earth connection) to our system.
4. Power/Lighting/Water at the site on 24-­­hour basis during installation.
5. Lighting & ventilation in the plant area as/if required.
6. Backwashes water/rinsing water disposal pipeline beyond plant area and its disposal.
7. Any other services/supply not clearly mentioned in our scope of work.
8. Unloading, shifting of supplied materials before, during and after erection/installation
and storage.
9. All Civil/R.C.C./Foundation/Structural constructions should strictly be as per outline.
details and specifications provided by the client.
10. All Interconnecting pipeline between all treatment units, and all pipelines to and from
our end units.
11. All earth cutting, reinforcement, concreting etc.as/if required.
12. All Chemicals for Commissioning and Safe Custody of machineries during installation.
13. All or Any Chemicals required for commissioning of the units including disinfectants
such as Chlorine or coagulants such as Polyelectrolyte. They will be provided by client
as per quantities recommended by SKD.
14. All Electrical Cables from main / standby power source to our Control Panel/motors.
Ensuring provision of 3 phase uninterrupted and constant industrial grade power supply
at each site would be Client’s responsibility including provision of Generator Sets, as
required. Any fuel costs/ consumables/ parts for operation of the same will be to
Client’s scope. Proper lighting at site as well as ventilation will be to Client’s scope.
15. Arrangement of Mobile Crane for placement and unloading of equipment, as required,
will be to Client’s scope. Also, to Client’s Scope will be provision of LPG/O2 if required
for fitting purposes as well as stairs and scaffoldings, if required.
16. Any other item not specifically mentioned in to be included in this offer.
17. Repair/rewinding of motors, dewatering of plant area due to natural calamity,
flood etc. during erection/commissioning stage.

NOTE: -
1. THESE PRICES ARE SUBJECT TO TERMS AND CONDITIONS ENCLOSED WITH THIS OFFER.
2. PRICES ARE AS ON 28.03.2024.

COMMERCIAL TERMS AND CONDITIONS

1. The above quoted prices are Ex Works, Kolkata basis, i.e., transportation, unloading,
insurance and other charges related to sending the finished material from our works to
client’s site will be paid by client.

2. GST @18% as applicable with be charged extra.

3. DELIVERY: Delivery period for dispatch from our works is 90-120 days from the date of
receipt of Purchase Order along with advance. Delivery and Handling charges shall be
extra as actual payable at the time of dispatch or on Client scope.

4. PAYMENT TERMS: Payment terms are as under: -

- 75% advance along with order.
- 25% + All taxes and duties against tax invoice on readiness of all items prior to
dispatch.
- Non lifting of Finished Material after 15 days of raising of Proforma Invoice will lead
to levy of holding charges at 2.5% pm for the balance amount for the period starting
 from the date of such Proforma Invoice till the date of actual payment, payable before
lifting of equipment.
- Non-payment within the above-mentioned timelines shall attract interest @12.5% on
the remaining amount per month from the stipulated date of payment.

5. WARRANTY: SKD warrants that the Material is constructed and assembled in accordance
with SKD’s recognized standards, methods, as well as Client’s specifications as more fully
described in this Agreement. SKD warrants that the Material shall be free from defects
for a period of one (1) year commencing at the date of Material’s dispatch. During this
period, SKD shall provide, free of service charge, a replacement/repair part for any
defective part, provided that the Client returns the defective part to SKD. And SKD does
not warrant:
a) items consumed by the Material (grease, silicon, Teflon, etc.)
b) items or parts subject to normal wearing
c) defects due to abuse, improper installation, improper water quality, faulty use or
abnormal conditions of temperature, humidity, storage, dirt, corrosion, etc.
d) Labour and transportation costs for the replacement of the defective part.
e) Consumable items like resin, membranes, filter media etc. do not get covered under
warranty.
f) Fire, explosion, flood or similar perils.

If, during the warranty period, a Client’s employee or a third party other than SKD’s
authorized representative modifies, repairs or transforms the Material, without S.K.D
Consultancy & Services prior written consent, the warranty shall cease to apply upon
knowledge by SKD of such prohibited handling on the Material, and therefore S.K.D
Consultancy & Services shall be authorized not to accept any warranty claim that would
otherwise have been covered in virtue of the warranty. In such case, the Client shall
assume all costs for the Material repairs. No additional warranty, express or implied,
excluding any direct or indirect consequential damages (not limited to but including loss
of profit and Client’s liability to its customers or to third parties, etc.) concerning the
design, sale or use of the Material and/or services provided by SKD is hereby granted.
S.K.D Consultancy & Services liability under its warranty obligation shall in no case
exceed the cost of the Material. The parties agree that no performance warranty is
granted under this Agreement and no treated water quality/quantity is under warranty
as raw water characteristics was not provided by Client.

6. VALIDITY: The above offer is valid for the period of 30 days from the date of offer after
which it would be subject to our confirmation.

7. FORCE MAJEURE: The above delivery is subject to Force Majeure conditions

8. The client will have to provide proper Electricity connections and freshwater line at
required flow and pressure at site for timely execution of job.
9. The Client will have to depute exclusively one person to the unit for carrying over the
commissioning of the same in our guidance, with our engineer.

10. Specifications of Equipment are subject to minor modifications if required at the time of
detailed designing after finalization of order.

11. Erection and Commissioning – Shall be charged extra as applicable based on installation
schedule and scheme fixed after dispatch. However, transportation, food and
accommodation of our personnel to be provided by Client.
