1.0 INTRODUCTION AND BACKGROUND
1.1 Project Overview and Location

1.1.1 Khalifa Port is located at Taweelah, in the Emirate of Abu Dhabi, UAE approximately 80km
North-East of Abu Dhabi city. Khalifa Port has been operational since September 2012. The
power required for Khalifa Port operations from 2012 to date is being provided via the existing
33/11kV substations KPZPRY-1, KPZPRY-2 and KPZPRY-13 shown in figure 1.

1.1.2 Furthermore, Abu Dhabi Ports have recently received approval for further increase in
container/cargo handling capacity by undertaking the following works at Khalifa Port, namely
Shamal development CT3 as shown in figure 2.

1.1.3 The power requirements to support the operations of these new developments cannot be
met from the existing 33/11kV substations. Therefore, construction of a new 33kV substation
is needed in order to meet this additional power demand. The tentative location of the new
33/11kV substation is identified in figure 2 which will be developed by Abu Dhabi Ports
(hereinafter referred to as “Employer”).

1.1.4 The project can broadly be categorized into following three packages as below,

 33/11 kV Substation works including all the Civil, Architectural, Structural and MEP
works
 Four 20MVA transformers and all associated switchgear for the capacity of 60MVA (n-
1)
 Access road and all utilities up to the tie-in connections
 Cabling works including all associated elements from Taweelah Grid station or KIZAD
KP4 Grid station / South Quay / Building 55 (refer to Optional scope for details)
 The detailed Scope of Works is described in Section 3.0 of this document

1.2 Existing Facilities

1.2.1 Khalifa Port infrastructure have been built over the years under various Contracts. Contractor
shall refer to Exhibit F [Information] for the details of the existing roads and utilities.

1.2.2 Reclamation works are currently ongoing for the expansion areas and Contractor shall refer
to Exhibit D Part 2 [Specifications] for the reclamation specifications.

1.3 Project Purpose and Intent

1.3.1 This Project is developed to provide the power for the Shamal development developed for the
Container Terminal CT3 Expansion which is planned for the quay wall (800 m length) with the
future expansion planned for the quay wall (400 m length). This will serve also future
expansion areas planned foYr the bulk cargo handling.

1.4 Project Phasing

1.4.1 All the Works under this Contract shall be delivered in one phase.

1.5 Codes & Standards

1.5.1 Contractor shall follow all relevant local and/or international codes & guidelines for the
Project as provided in the Specifications and standards listed in Exhibit D Part 2
[Specifications].

1.5.2 All design and sizing calculation shall be carried out accordance to ADDC/TAQA/RSB
specification and standards

1.5.3 Contractor shall check and comply with all regulations, acts, orders or codes which apply to
any part of the contract as well as all relevant plant by-laws, plant regulations, etc.

1.5.4 In the event of any inconsistency or discrepancy between the documents, the most stringent
requirements shall be followed to complete the Scope of Works.

1.5.5 All materials, testing, design and execution shall be in conformity with these codes and
standards, unless otherwise stated in the Contract.

2.0 GENERAL SCOPE OF WORK


2.1 Project Management

2.1.1 Contractor shall be responsible for providing all required project management resources and
management structure necessary in order to achieve the requirements of the contract and to
liaise and interface with Employer counterparts.

2.1.2 Contractor shall, within fourteen (14) calendar days of the effective date of the Contract,
submit its project management team structure for review and approval by Employer. The
submittal shall include:

 An organization structure showing the project management team positions.


 A brief description of the roles and responsibilities of the senior positions of the
project management team and the division of responsibility for the management of
the obligations under the Contract.
 Proposed CV’s of the candidates Contractor is proposing to fill the positions stated.

2.1.3 Employer will review and, at its sole discretion, may select some or all of the proposed
candidates for the positions for interview. Employer will have the right to reject any of the
proposed candidates and, upon such rejection, Contractor shall submit alternative candidates
for consideration.

2.1.4 As part of the review process, Employer will identify the positions it determines to be critical
for the project and Contractor shall not demobilize or remove the approved candidates for
these positions without Employer’s written approval. Approved candidates shall be allocated
full time for the Works (i.e. not shared resources with other projects) unless expressly agreed
by Employer in advance.

2.2 Contractor Deliverables

2.2.1 Contractor shall be responsible for the production and submittal of all deliverables necessary
for the execution of the Works.

2.2.2 All deliverables produced on the project shall be in strict accordance with the requirements
of both Employer and any applicable Government Authority. In the event of a conflict between
the requirements of either Employer or any applicable Government Authority, Contractor
shall notify Employer of such conflict and request direction on the appropriate option to
proceed.

2.2.3 Contractor shall be required to submit each deliverable through Employer’s Electronic
Document Management System (EDMS). Submittals shall be in pdf and native formats.

2.2.4 As stated in the various sections below, Employer shall only be obliged to review and respond
to the deliverables which Employer selected for review and comment. While Contractor shall
submit all documentation and deliverables produced during the execution of the Works,
Employer shall not be obliged to review and comment on them but hereby reserves the right
to review and respond even if the deliverable has not been identified previously for review.
However, such review shall not affect Contractor’s performance of the Works, subject to
Contractor’s compliance with the Contract.

2.2.5 Employer’s review and comment or non-review of any document or deliverable produced by
Contractor shall not relieve Contractor of any obligation or requirement of this Contract.

2.3 Baseline Schedule

2.3.1 Within fourteen (14) calendar days of the Commencement Date, the Contractor shall submit
a ninety (90) Day schedule showing all initial activities for the first ninety (90) Days. The ninety
(90) Day schedule shall include summary activities depicting the general sequence of work
leading to the completion milestones identified in Exhibit B, Attachment 6. An accompanying
narrative describing the critical path and the key resources required to perform the work shall
be included.

2.3.2 Within twenty-eight (28) Calendar days after the Commencement Date, Contractor shall
submit, to Employer for its Approval, a schedule for the Works. The schedule shall be
submitted in native electronic format together and include a detailed narrative report
describing the Contractor’s plan for performing the Works.

2.3.3 The Baseline Schedule shall consist of a precedence network diagram using the critical path
method (“CPM”) using Primavera software version 6.0 to clearly show each individual
essential activity in sequence to meet every Key Dates Schedule milestone identified in Exhibit
B, Attachment 6 [Key Dates Schedule] and the Time for Completion of the Works or Section.
Float in the Baseline Schedule shall not be considered to be for the exclusive benefit of either
Employer or Contractor.

2.3.4 Extensions of time for performance required under other Contract clauses, including
extension of the required dates of completion of the milestones, shall be shown only where
contractual entitlement has been notified by the Employer in accordance with the Contract.

Extensions of time shall be made only to the extent that agreed-upon extensions for affected
activities exceed the current total float available along those activities paths.

2.3.5 The Contractor shall ensure its major Subcontractors actively participate in developing and
updating the schedule and that all schedules submitted to the Employer are consistent with
its Subcontractors' schedules approved by the Contractor. The Contractor shall include in the
schedule activities of the Employer and any other party that could impact the Works. The
Contractor shall ensure that the schedule is an accurate representation of the plan for the
execution of the Works and that the Contractor uses such schedule to execute the Works in
accordance with the Contract.

2.3.6 The Contractor shall develop and maintain, as required from time to time, including when
directed by the Employer, recovery schedules and time impact analyses.

2.3.7 The Contractor shall submit in hard copy and its native electronic format, a weekly and
monthly updated schedule that accurately reflects all Works performed and the plan for
completing the Works. In providing this update the Contractor shall not adjust the Time for
Completion for the Works or Section unless expressly permitted in accordance with the
Contract. The most current updated schedule shall be used by Contractor, in conjunction with
other means, for planning, organizing, and directing the Works. All schedule submittals
including all updates and/or changes by the Contractor shall include but not be limited to the
following Clauses.

2.4 Activity Diagram

2.4.1 An activity diagram shall include but not limited to the following information for each activity:

 Identification by activity ID
 Description of the task or event
 Duration
 Dependency
 Personnel by discipline and man-hours
 Earliest start and finish dates
 Latest start and finish dates
 Total float and free-float time
 Critical Path
2.4.2 Activity descriptions shall be brief but shall convey the scope of work described. Unusual
abbreviations shall be explained in a legend or in the narrative report. In general, activity
durations shall not exceed thirty (30) work days, except where appropriate to reflect the
Works, e.g. procurement or level of effort activities.

2.4.3 All activities shall be logically driven with mostly finish to start relationships and minimal
constraints, unless accepted by Employer.

2.4.4 Activities shall be resource loaded with quantities, workforce and equipment. Unit rates shall
be explained and presented in the narrative report. The resource loading in the schedule shall
be consistent with Contractor’s approved workforce and equipment projections.

2.5 Narrative Report

2.5.1 A detailed narrative report shall describe the Contractor’s plan for performing the Works as
shown on the activity diagram. The narrative description shall summarize personnel
requirements by discipline and the other resources included in the resource loaded schedule.
The Narrative Report shall also include the Contractor’s proposal for the basis for recording
progress including any graphs, histograms, charts, and other graphical depictions of data.

2.5.2 As a minimum the Narrative report shall briefly explain the following headings with supporting
documents:

 Project Scope / Scheduling approach / WBS


 Sequence of work / crew movement / definition of zones
 Logistics plan / dewatering disposal plan
 Assumed productivity rates
 Project calendar – holiday, summer and Ramadan allowance
 Engineering / procurement / construction / testing / commission / handover
 Procurement schedule coordinated with schedule
 Organization of planning team
 Progress S curve based on BOQ cost weighting
 Resource histogram – material, workforce, machinery, shop drawing, method
statement and material submittal coordinated with schedule
 Execution Risk Assessment Matrix indicating Proposed Mitigation Measures and
Resultant Residual Risk

2.6 Progress Reports

2.6.1 During the performance of the Works, the Contractor shall submit to Employer reports in
accordance with the Contract including but not limited to daily and weekly reports on the
actual progress. Such progress reports shall include but not be limited to the following reports
described in this section. Templates for these reports will be provided by the Employer at the
Kickoff meeting and be reissued from time to time by the Employer and be adopted by the
Contractor to be part of the Contract.

2.7 Weekly Progress Report

2.7.1 Contractor shall submit a Weekly Construction Status Report before 10:00hr on the following
Business Day after the end of each workweek. This should include a summary of the Works
accomplished during the preceding week and planned for the next three (3) weeks, and any
key changes to the status of the Works. The report shall show all Contractor’s Personnel,
Contractor’s Equipment, and Goods together with all Contractor’s supervision required to
manage the elements of the Works shown.

2.7.2 The report shall be comprised of, but not be limited to, the following sections:

 Weekly Design and Construction Status Report (to be provided by Employer


during Kick-Off meeting)
 Activity percent complete report
 Rolling Four Week Schedule
 Updated schedule of Works
 Level II Schedule
 List of Technical Submittal
 Weekly Health and Safety Report
 Weekly Environmental Report
 Weekly NOC and approval tracker
 Weekly RFI Report
 Weekly QA / QC Report
 Weekly Progress Drawing
 Procurement Log
 Equipment Mobilization Log
 Key Quantity Tracking sheet
 Project Trends
 Engineering Status
 Photographic record of progress of the Construction
 And any other document as shall be required by the Employer

2.8 Daily Construction Status Report

2.8.1 Contractor shall submit a Daily Construction Status Report before 10:00h on the following
Business Day that shall include but not be limited to details of:

 Health, Safety and Environment incidents / accidents / near misses, and any HSE
training provided
 Contractor’s Equipment used at the Site, both planned and actual. Such
information shall also be provided for each Subcontractor.
 Contractor’s Personnel engaged in execution of the Works at the Site, both
planned and actual. The total shall be stated separately for manual and non-
manual. Such information shall also be provided for each Subcontractor.
 Description of the works performed
 Listing of tests performed, and detailing any failures
 Description of any special events / delay and downtime
 Quantum of work performed

2.9 Weekly Progress Meetings

2.9.1 Contractor shall be required to arrange Weekly Progress Meetings (WPMs) with Employer’s
representatives during the execution of the Works. During the WPMs, Contractor shall report

on overall progress achieved during the previous period and follow-up on any actions assigned
to either Contractor or Employer.

2.9.2 Contractor shall be responsible for preparing detailed minutes of meeting capturing the
various discussions and agreed actions as an outcome of the Weekly Progress Meetings
(WPMs) and submit the same for Employer review, input and approval. Contractor shall
ensure that the minutes of meeting are circulated to Employer for review and approval not
more than one (1) day after the date of the WPM.

2.10 Health, Safety and Environment (HSE)

2.10.1 Contractor shall ensure that, at all times, work is carried out in accordance with the laws, rules,
regulations and in strict accordance with the requirements of the Abu Dhabi Occupational,
Safety, Health (OSHAD) System.

2.10.2 Additionally, Contractor shall ensure fully comply with and follow HSE requirements of
Employer. Depending on the classification type (A, B, C or D) which are based on the HSE risks
associated with the nature of the work / services under the Contract, the HSE requirements
of Employer may vary. Contractor shall refer to the Abu Dhabi Ports HSE requirements at
https://www.adports.ae/port-users/general-information/guidelines/ .

2.10.3 Contractor shall, within twenty (20) calendar days of the effective date of the Contract submit
its Environmental, Health and Safety Management Plan for review and approval by Employer.
The submittal shall include but not be limited to:

 An overview of the HSE management system to be implemented on the Project


 An organization structure showing the project management team positions.
 Proposed HSE CV’s of the candidates Contractor is proposing to fill the positions
stated.
 A brief description of the roles and responsibilities of the senior positions of the
project management HSE team and the division of responsibility for the HSE
management of the obligations under the Contract.
 Process for development, review and approval of risk assessments for the Works
 Process for development, review and approval of method statements for the
Works
 Process for development, review and approval of HSE training programmes
 Process for monitoring Site activity compliance during operations
 Process for incident notification, management, investigation and corrective
action
 Process for monthly measuring, reporting and analyzing HSE statistical
information
 Proposed pro-active HSE programmes for implementation on the project
2.10.4 Contractor shall be required to attend periodic meetings with Employer’s Head of
Construction HSE during the execution of the Works to discuss areas of concern, good practice
and issues.

2.10.5 Contractor shall be required to actively participate in Employer’s programme-wide (i.e. across
all projects being executed by Employer) HSE initiatives and campaigns that will be
implemented from time to time.

2.10.6 In respect to Health and Safety incidents Employer shall be entitled to effect deductions/
withholdings as specified herein below:

2.10.7 In respect of environmental incidents Employer shall be entitled to effect

2.10.8 The foregoing deductions and withholding are without prejudice to Employer other rights and
remedies under the Contract.

2.10.9 Employer may in any Payment Certificate make any correction or modification that should
properly be made to any previous Payment Certificate. A Payment Certificate shall not be
deemed to indicate the Employer’s acceptance, approval, consent or satisfaction.

2.10.10 Employer shall be entitled, at Contractor’s cost, to appoint a third party to undertake tasks to
remedy any findings from the incident which are the obligation of Contractor in event of
Contractor’s failure to do so.

2.11 Design and Engineering

2.11.1 The Contractor’s Design shall be in accordance with the Employer’s Design requirements and
specifications as provided in Exhibit D - Part 2 [Specifications], Exhibit E [Drawings] and
Exhibit F [Information] of the Contract. Any further, additional design / engineering Works
which are required to design, construct and handover fully operational infrastructure facilities
in accordance with Employer’s requirements shall be considered as included in the Contractor
Scope of Works and shall be carried out by the Consultant and/or supervision Consultant
appointed by the Contractor.

2.11.2 Any design drawings or activity which is not explicitly stated in this Scope of Works document
or included in Employer’s documents and drawings provided in Exhibit D – Part 2
[Specifications] or Exhibit E [Drawings] or Exhibit F [Information], but is either implied or
necessary in order to be able to execute the Works, shall be the responsibility of the
Contractor.

2.11.3 Employer’s obligations with regard to engineering and design activities shall be strictly limited
to the documents provided in Exhibit E [Drawings] and Exhibit F [Information]. All engineering
and design activities necessary in order to execute the Works shall be provided by the
Contractor, including any further site investigations required to determine the conditions
required to inform and validate elements of the Works to be designed by the Contractor.

2.11.4 Employer shall not carry any liability with regards to additional information provided in Exhibit
E [Drawings] or Exhibit F [Information].

2.11.5 The Contractor has been identified as being responsible for the Design of the Works. The
Contractor shall be responsible for reviewing, validating and modifying the details provided in
Exhibit E [Drawings] or Exhibit F [Information] to ensure applicability to the location of the
physical infrastructure to be built under this Contract as part of the Works. As part of
Contractor’s review, validation and modification, Contractor shall accept any and all design
liability for these elements of the Works.

2.11.6 Contractor shall provide all engineering and design activities necessary in order to execute the
Works, including any further site/geotechnical investigations required to determine the
conditions which is required to review, validate, add and modify Employer provided design.
All the design works shall be carried out by the approved design consultant, supervision

consultant and sub-consultants/subcontractors as per the local Authorities legislations,
regulations and guidelines.

2.11.7 The Contractor’s engineering and design activities shall be in accordance with and be able to
demonstrate compliance with all Abu Dhabi Government Authority requirements and
regulations for the Works involved. Contractor shall be solely responsible for obtaining any
required approvals from Abu Dhabi Government Authorities for any Contractor engineering
and design activities.

2.11.8 Contractor shall responsible for effective coordination between the Authorities and
Stakeholders during the project phase and arrange the necessary meetings, workshops and
proposals if any comments/discussions/review required during the project duration with the
Authorities and Stakeholders.

2.11.9 Contractor shall be required to submit and obtain approvals and/or permits from all the
relevant authorities for the works, in accordance with the requirements of the respective
authority. For clarity, Contractor shall be required to obtain the approval of Employer prior to
submitting any deliverables to any authorities.

2.11.10 Contractor shall, within twenty-eight(28) calendar Days of the effective date of the Contract,
submit to Employer for review and approval a list of all design and engineering documents
that Contractor envisages will be required to be produced for the execution of the work along
with the planned date for the submittal. During such review, Employer will identify the
engineering and design documents which Contractor shall be required to submit for approval
prior to proceeding with the work.

2.11.11 For any design and engineering documents identified by Employer to require Employer review
and approval, Employer will review and respond to such submittals within fourteen (14)
calendar days of receipt. Employer’s response shall take the form of;

 Code 1 – Approved with no comments, work may proceed


 Code 2 – Approved with comments, work may proceed
 Code 3 – Rejected with comments, work may not proceed until comments are
resolved
 Code 4 – Review not required

2.11.12 Employer’s commitment to review design and engineering deliverables within fourteen (14)
calendar days considers the below-listed items. Failure to meet these items will lead to a delay
in Employer’s review, for which Employer shall not be held responsible.

 Prior to submission to Employer, Contractor has undertaken a thorough quality


control of the deliverables and has satisfied itself that deliverables are technically
correct and are professionally formatted and presented.
 Contractor has ensured that engineering deliverables comply with both
Employer’s technical requirements, and all associated local and/or international
codes and guidelines.

 Deliverables are presented in a clear and logical manner, to allow an efficient
review.

2.11.13 Further to above clause, at the discretion of Employer, should Contractor fail to submit quality
controlled and verified design/engineering deliverables, Employer reserves the right to
instruct Contractor to appoint a third-party checking engineer to review engineering
deliverables prior to submission to Employer. If required, such reviews are considered
included in Contractor’s scope of work.

2.11.14 For preliminary and detailed design documents returned to Contractor with code 2 or code 3,
Contractor shall be responsible for addressing the comments and resubmitting the document
for review and approval within seven (7) calendar days until a code 1 status is achieved prior
to proceed with the next status of the design.

2.11.15 For all construction and as built engineering submission returned to Contractor with code 2
or code 3, Contractor shall be responsible for addressing the comments and resubmitting the
document for review and approval within fourteen (14) calendar days until a code 1 status is
achieved.

2.11.16 Contractor shall be solely responsible for ensuring that the incorporation of comments and
resubmittal do not impact the execution of the Works in accordance with the requirements
of the Contract.

2.11.17 Should Contractor elect to propose any functional changes to Employer’s Design to facilitate
the execution of the work or to value engineer the design, Contractor shall present such
changes with suitable justification for changes for Employer review and approval. However,
Employer shall not be obliged to accept any proposed changes to Employer’s design and shall
at all times retain the right to reject such proposals and direct Contractor to execute the works
in accordance with Employer’s Schematic design.

2.11.18 Contractor shall comply with the Employers Document and Drawings formats for the
deliverable’s submission to Employer. Also, Contractor shall comply with the Employer’s
drafting standards. Details will be provided to Contractor after the Contract award.

2.11.19 Any delays in the approval process from Authorities does not relieve the Contractor from the
responsibilities under the Contract.

2.11.20 Contractor shall be responsible for a timely appointment of any third-party consultants
required for the design carried out by the Contractor.

2.11.21 Contractor shall carryout all the Works through Contractor appointed Consultant and/or
Supervision Consultant who are authorized to carry out the similar works in Abu Dhabi. Also,
Contractor’s Consultant and/or Supervision Consultant shall ensure that all the necessary
approvals obtained from the governing authorities. Design deliverables shall include the
below but not limited to;

 Any other deliverables/approvals as required by the various authorities and/or
Stakeholders
 Update of the any document provided by Employer to facilitate the fully
operational and approved facility from the Stakeholders

2.11.22 Contractor shall obtain all NOCs and permits required from all applicable stakeholders,
organizations, government bodies and utility companies for the Works including, but not
limited to, the following;

 Issuing Notices of Intent and obtaining NOCs from appropriate Stakeholders


 Obtaining design NOCs for all elements of the Works
 Obtaining NOCs required prior to commencing and associated with the design
and construction of Permanent and/or Temporary Works, including Building
Permits from Abu Dhabi Municipality (ADM) Building Permit department,
construction permits from ADM and final inspections and certificates.
 Any other permit or consent required to complete the Contract.

2.11.23 Contractor shall be aware that the requirements and timescales for obtaining NOCs and
permits are determined by the relevant awarding body and may vary from time to time.
Contractor shall determine the requirements and timescales for obtaining each NOC and
permit and include such in the Programme.

2.12 Procurement

2.12.1 Contractor shall be responsible for all procurement activities required for the execution of the
Works.

2.12.2 Within twenty-eight (28) calendar days of the effective date of the Contract, the Contractor
will submit for Employer review and approval a project procurement plan identifying all
procurement activities required for the execution of the Works. Such project procurement
plan shall include but not be limited to the following:

 Each item requiring procurement activities


 The planned dates for each key step of the procurement activities; i.e. preparing
bid documents, issuing bid documents to market, receiving quotations,
awarding, commencement of delivery, completion of delivery
2.12.3 Upon receipt of the project procurement plan, Employer will review such plan and provide a
written response within ten (10) calendar days. Employer’s review will identify which of the
procurement items Contractor shall submit for Employer’s review and approval prior to
awarding of the work.

2.12.4 Throughout the execution of the work, Contractor shall maintain and update such project
procurement plan with regard to actual dates and any changes.

2.13 Customs Duty Exemption

2.13.1 In order to clear Equipment and Plant from Abu Dhabi customs authorities without payment
of customs duty, Contractor shall request Employer to issue a Consignment Clearance
Authorisation (CCA) / Duty Exemption Letter addressed to Abu Dhabi Customs Authorities,
along with the following details as a minimum:

2.13.2 Contractor shall also provide any additional details and documents if required by Employer to
issue a Consignment Clearance Authorization (CCA) / Duty Exemption Letter.

2.13.3 The CCA letter issued by Employer will allow Contractor to avoid customs duty on Equipment
and Plant. However, any handling, storage and other miscellaneous costs charged by Abu
Dhabi customs authority shall be borne by the Contractor.

2.13.4 Contractor is required to submit Suppliers Custom Purposes Invoice, based on CIF (as per
latest INCOTERMS) value. However, as transit insurance will be arranged and paid by
Employer, Suppliers Custom Purposes Invoices shall include transit insurance charges as
actually paid by Employer. Employer will advise to the Contractor the percentage transit
insurance charges payable for the project during execution phase.

2.13.5 Wherever applicable, Contractor along with CCA application letter will also be required to
submit Chemical, Radioactive & Hazardous Material Release Permit from environmental
agencies such as Environmental Research & Wildlife Development Agency, Abu Dhabi or
Environmental Agency, Abu Dhabi, etc. as applicable.

2.13.6 Contractor shall, where applicable, forward copies of complete and full shipping documents
to Employer within one week after shipping. In the event of air freight, the documents shall
be forwarded by fast courier service such that these are received by Employer prior to arrival
of the consignment in the Emirate of Abu Dhabi. Responsibility for delays, loss or damage of
shipping documents shall rest with the Contractor.

2.13.7 The shipping documents provided by Contractor are for information purposes only and in no
way release Contractor of its obligation to ship, deliver and install the Equipment and Plant at
the Site in accordance with the terms of this Contract.

2.14 Mobilization

2.14.1 Contractor shall be solely responsible for undertaking any actions necessary in order to
mobilize the resources to execute the Works in accordance with the requirements of the
Contract. This shall include but not be limited to:

 Obtaining all required permits, licenses and permissions necessary


 Conducting pre-mobilization inspections of equipment to ensure the equipment
is in full working order prior to mobilization
 All transportation requirements necessary for mobilization
 Ensuring that suitable temporary facilities are available at the Site to enable the
mobilized resources to be received when mobilized.
2.14.2 Within twenty (28) calendar days of the commencement date of the Contract, the Contractor
shall submit for Employer review and approval a mobilization plan for the project to
demonstrate the activities that will be undertaken from the effective date of the Contract until
full mobilization of resources for the Works will be completed. Such mobilization plan shall
include but not be limited to:

 Layouts of Contractor’s temporary facilities to be established for the Project
 Detailed schedule showing all activities associated with the mobilization of
resources including project management team, equipment, materials, and any
other resource necessary for executing the Works.
2.14.3 Upon receipt of the mobilization plan, Employer will review such plan and provide a written
response within ten (14) days.

2.14.4 Prior to any mobilization activities taking place, Contractor and Employer shall conduct a joint
survey of the temporary facilities area(s) to document the condition of the area(s), including
as a minimum photographic records of the area(s). Such joint survey(s) will then be utilized
for verification of the completion of demobilization activities.

2.14.5 Contractor shall be responsible for obtaining all required gate passes, permits to work and any
other permissions and permits necessary to mobilize resources within the Site. The processes
for obtaining Gate Passes and permits to work can be found at https://www.adports.ae/port-

2.15 Temporary Facilities

2.15.1 Contractor shall be responsible for the provision, operation, maintenance and removal of all
temporary facilities required for the execution of the Works in areas designated by Employer.
This shall include but not be limited to:

 Offices for project management team and for Contractor’s administration


 Messing facilities for Contractor’s personnel
 Parking for Contractor’s vehicles and land-based equipment
 Temporary utilities facilities for power, water, communications, etc.
2.15.2 Contractor shall be responsible for provision of all utilities for the temporary facilities. Should
Contractor intend to connect the temporary facilities to any permanent utility connections,
such proposal shall be submitted for review and approval by Employer. Should such proposal
be accepted by Employer, all costs associated with making and maintaining such connections
and for consumption of the utilities shall be borne by Contractor.

2.16 Pre-Commencement Surveys

2.16.1 Prior to commencing any element of the Works, Contractor shall be required to undertake a
detailed photographic pre-commencement survey of the work area in order to determine the
precise nature and condition of the area.

2.16.2 Such survey shall be conducted with Employer’s personnel in attendance and witnessing the
survey activities. Once each pre-commencement survey is completed, Contractor shall submit
to Employer a pre-commencement survey report documenting the results of the survey. Each
survey report shall be submitted as a hard copy document accompanied with the native files
for each element of the survey.

2.16.3 Upon receipt of each survey, Employer will review and provide a written response within ten
(14) calendar days. All pre-commencement surveys must be submitted, reviewed and
approved as either code 1 or code 2 prior to commencing any physical works.

2.17 Survey

2.17.1 Contractor shall perform all necessary surveys necessary for the design and construction of
the Works. The Contractor shall perform pre-construction, progress, post-construction
topographic surveys, as applicable, witnessed and approved by the Employer. The survey
reports and data in both ASCII and DWG format shall be submitted to the Employer for review
and approval.

2.17.2 Contractor shall perform all the necessary trail pits and site investigations to identify the
existing services in coordination with Employer and Authorities.

2.18 Construction

2.18.1 Contractor shall be responsible for all construction activities necessary for the execution of
the Works under the Contract. This shall include but not be limited to;

 Provision of sufficient equipment, workforce and materials to execute the Works


 Any and all temporary works necessary in order to execute the Works
 Implementation of a quality management system to ensure all Works performed
achieve as a minimum the requirements of the Contract
 Provision of sufficient competent supervision to ensure that all requirements for
HSE, quality, schedule, and security are fulfilled at all times during the execution
of the Works
2.18.2 Dewatering and Use of Employer Storm Drainage Network

2.18.3 The use of storage lagoons for temporary dewatering of excavations and other areas shall not
be permitted. Contractor shall be permitted to use the existing storm water drainage system
based on explicit permission of Employer and any other relevant stakeholders. This shall be
subject to acceptance of Contractor’s proposal for use of the system.

2.18.4 Contractor shall be solely responsible for the operation and maintenance of all storm water
drainage system that Contractor discharges into, inclusive of all downstream connected
networks. Contractor shall maintain, to Employer’s approval, a regular preventative
maintenance programme on the section of network under Contractor responsibility, including
network including open channel, gravity pipes and forced main pumping stations, oil
separators, settlement basins and outfall.

2.18.5 Contractor shall provide additional pumps, rising mains, settlement tanks and any other
enhancements to the existing storm drainage system as to meet the requirements of
Contractor’s discharge and any other discharge into the network. This may include additional
rising mains to the sea outfall. Contractor shall be responsible for obtaining the relevant
approvals for additional outfalls, if required.

2.18.6 Upon completion of the dewatering activities of Contractor the storm drainage network shall
be emptied and cleaned to the satisfaction of Employer. All temporary works shall be removed
by Contractor and the area shall be made good.

2.18.7 All basins, tanks and mechanical and electrical equipment shall be fully serviced and
warranties on the service shall be provided to Employer for their use.

2.18.8 Contractor shall, within twenty-eight (28) calendar days from the effective date of the
Contract, submit to Employer a construction management plan for the Works. Such plan shall
include but not be limited to:

 Overview of Contractor’s construction execution methodology for the work,


detailing methods for key elements of the work and critical interfaces and how
these will be managed
 A risk register identifying Contractor’s identified risks associated with the
construction execution and mitigation measures developed for such risks
 Processes and procedures to demonstrate how quality assurance and quality
control will be managed and implemented
 Process for development of method statements for execution of each
component of the Works along with a list of all method statements planned to
be developed for the project.
 Process for development of inspection and test plans (ITPs) for each component
of the Works in order to ensure all specification and requirements are addressed
contemporaneously with the work along with a list of all ITPs to be developed
for the project.
 Process for integrating construction activities with the HSE plan

2.18.9 Upon receipt of the construction execution plan, Employer will review such plan and provide
a written response within ten (10) calendar days. Employer’s review will identify which of the
construction execution management documents Contractor shall submit for Employer’s
review and approval prior to proceeding with the Works.

2.18.10 Contractor construction deliverables shall include but not be limited to:

 Method statements for each element of the Works


 Inspection test plans for each element of the work (ITP)
 Material approval requests (MAR)
 Red-Line IFC drawings marking up any changes
 Pre-construction, progressive and post-construction topographic and
bathymetric survey as applicable
2.18.11 Contractor shall ensure that the contents of all method statements, MARs, ITPs are
communicated clearly and effectively to all personnel executing the work. The relevant
method statements, MARs and ITPs shall be displayed at each work location and shall be
utilized during the daily toolbox talks and briefings.

2.18.12 Contractor shall maintain a physical set of “controlled copy” construction deliverables in its
temporary facilities at all times that shall clearly indicate the current review code status and
any comments associated and shall be used as the controlled construction documents for the
Works.

2.19 Inspection and Testing

2.19.1 Contractor shall be responsible for carrying out all inspection and testing activities required
to demonstrate that all of the Works is fully compliant with the requirements of the Contract
and shall include but not be limited to:

 Quality assurance and quality control audits to confirm compliance with all
approved plans, procedures and processes
 Material testing
 In-situ testing of constructed elements
 Visual inspections
 Surveillance
 Surveying
 Development of as-built engineering documentation (drawings, specifications,
etc.)
2.19.2 All testing conducted shall be performed by an independent 3rd party testing services provider
employed by Contractor. The nominated independent 3rd party testing services provider and
the testing process to be implemented shall be submitted to Employer for review and approval
prior to commencing work. Contractor shall ensure that the sufficient qualified and no of
personnel dedicated testing engineer employed to handle the testing works.

2.19.3 Contractor shall be responsible for ensuring that all inspection and testing activities are
documented contemporaneously with the physical execution of the work.

2.19.4 Contractor shall, within twenty-eight (28) calendar days from the effective date of the
Contract, submit to Employer an inspection and testing plan for the Works. Such plan shall
include but not be limited to:

 Physical location and conditions within Contractor’s temporary facilities in which


the inspection and testing documentation will be maintained and stored.
 Procedures and processes for inspection and testing that demonstrate the
integrity of the testing and inspection process and method for recording and
resolving non-compliances
 Template for inspection and testing log
 CV’s of Contractor’s proposed team responsible for supervising and managing
Inspection and testing activities.
2.19.5 Upon receipt of the Inspection and testing plan, Employer will review such plan and provide a
written response within fourteen (14) calendar days.

2.20 Handover

2.20.1 Contractor shall be responsible for carrying out all handover activities required for the Works.

2.20.2 Contractor shall, within twenty-eight (28) calendar days from the effective date of the
Contract, submit to Employer an inspection and testing plan for the Works. Such plan shall
include but not be limited to:

 Standard Index, binder size and labelling for handover packs


 Planned sub-division of the Works identifying the physical sections of the Works
and sequence in which Contractor intends to handover to Employer
 Populated Excel Spreadsheet for each Handover Pack to be used for calculating
numbers of physical documents to be provided along with an estimate of the
total number of documents that will constitute the handover packs
2.20.3 Within twenty (20) calendar days of Employer’s approval, Contractor shall prepare a full set
of unpopulated handover packs complete with the following:

 All approved labelling


 Index for each Handover Pack
 Dividers for each section shown on the invoice
 Spare sets of binders with dividers required for compilation of handover package
2.20.4 When any agreed portion of the work is ready for handover to Employer, Contractor shall
notify Employer in writing of such readiness. Immediately upon receipt of Contractor’s
notification, Employer will carry out the following activities facilitated and supported by
Contractor:

 Physical inspection of the portion of the Works


 Detailed audit and verification of the completeness of the handover pack
 Identification of any deficiencies or incomplete sections of the work
2.20.5 Within thirty (30) calendar days of receipt of Contractor’s notification, Employer will respond
to Contractor’s notification with the results of the above activities and advise if Employer
agrees that such Handover can take place or not.

2.20.6 Within three (3) calendar days of receipt of Employer’s response confirming Employer’s
agreement that handover can take place, Contractor shall deliver each handover pack with
the original documentation to Employer and will provide the copy that had been maintained
within Employer’s facilities to Contractor.

2.20.7 The Contractor shall provide all necessary documentation and assistance to the Employer for
the handover of all of the Works to the stakeholder asset owner, including but not limited to:

 Identifying all stakeholder requirements and documentation required for asset


handover.
 Providing all necessary approvals, certifications and relevant documentation
from the Contractor for asset handover.
 Obtaining stakeholder approvals on all as built documentation and operational
and maintenance manuals.

 Arranging and undertaking all joint surveys and inspections with the relevant
stakeholder asset owner and complete any punch list items identified.
 Obtain stakeholder sign off on all punch list items.
 Co-ordination with all relevant authorities to ensure on time, safe and compliant
commissioning
 Testing and commissioning (start-up) Plan (including operator training program
for end-users / operators)
 Construction testing (statutory tests)
 Pre-commissioning or pre-operational testing (component tests)
 Commissioning tests (system cleaning and initial system operations)
 Start-up and integrated system operations testing
 Performance testing (verification of specifications)
 Training of end-users / operators / stakeholders
 Operations and Maintenance manuals that include but are not limited to all
records of tests performed in full compliance with stakeholder requirements
 Testing of temporary construction facilities
 Arrangement of all the facilities (e.g. power) required for testing &
commissioning
 Road Safety Audits including the appointment of a third-party consultant in
accordance with stakeholder requirements
2.20.8 Contractor shall be responsible for any fees and related expenses related to all inspections,
testing and commissioning of assets required by Employer and/or stakeholders.

2.20.9 Contractor shall be responsible for undertaking all inspections and testing required by
Employer and/or stakeholders.

2.20.10 Where applicable, the Contractor shall prepare Bills of Quantities and as built GIS files for all
constructed Works based on as-built information in a format acceptable to the relevant
utility/road owners and obtain relevant stakeholder asset owners’ approval of the Bills of
Quantities and as built data.

2.20.11 Contractor shall be responsible for the timely close out of all punch list items. Contractor shall
provide a weekly report on the status of the close out of all punch list items. If Contractor fails
to close out all punch list items within a reasonable period, Employer reserves their right to
complete the remaining punch list items through another party at Contractor’s cost and risk.

2.21 Demobilization

2.21.1 Contractor shall be responsible for all actions required for the demobilization of their facilities
and resources from the Site. Contractor shall be responsible for restoring the temporary
facilities area(s) to the same condition in which they were prior to Contractor’s mobilization
and use. The joint pre-mobilization survey previously conducted shall be referred to ascertain
the original condition of the area.

2.21.2 Contractor shall be responsible for obtaining all required gate passes, permits to work,
permissions and any other processes necessary to demobilize resources from the Site. The

3.0 SPECIFIC SCOPE OF WORK
3.1 Introduction

3.1.1 Contractor shall be responsible for any and all activities, unless specifically excluded
from this scope of work, as required in order to be able to execute the Works in
accordance with the requirements of the Contract.

3.1.2 The sections below provide specific detail of the work that is included in each element
of the Works. Any activity required to execute the Works which is not be explicitly
stated below but is either implied or necessary in order to be able to execute the
Works, Contractor shall be responsible for its execution.

3.1.3 The scope detailed in the following subsections shall be read in conjunction with the
performance specifications provided in Exhibit “D”, Part 2 [Specifications], the
drawings provided in Exhibit “E” [Drawings] and the information provided in Exhibit “F”
[Information].

3.1.4 All Works shall be fully compliant with ADDC/TAQA applicable Standards,
Specifications and requirements acceptable to ADDC.

3.1.5 Contractor shall be aware that in this contract and all documents included are based in
the Abu Dhabi Datum (ADD). If any existing level is expressed in meters Contractor shall
use the following figures to convert between the datum systems: 0.0m ADD equals -
0.053 NADD. The main datum system for this contract shall be m ADD. Contractor is
responsible to verify the levels as per site conditions as required.

3.1.6 Contractor shall also submit for approval operation and maintenance manuals of the
permanent works completed, in sufficient detail to enable Employer to operate,
maintain, dismantle, reassemble and adjust the permanent works. The Works shall not
be considered completed for the purpose of taking over until such operation and
maintenance manuals have been submitted and approved by Employer.

3.1.7 Construction Environment Management Plan (CEMP) shall be carried out by


Contractor.

3.1.8 Information pertinent to design and construction of an existing 33/11kV substation,


including drawings, reports, etc. is included in Exhibit “F” [Information]. However,
contractor’s sole responsibility to develop the designs which shall be in line with
ADDC/TAQA standards and specification.

3.1.9 Proposed substation scope of work is 4X20MVA transformer configuration hence


contractor design shall meet accordingly with detail design, supply, installation, testing
and commissioning shall fulfil with 4X20 MVA transformer configuration.

3.1.10 Contractor shall appoint ADDC approved 33/11kV Design and Supervision Consultant
for developing the detailed design, site supervision and associated works. Design and
Supervision Consultant shall be approved by Employer.

3.1.11 Contractor shall be responsible to coordinate with Authorities for the connection fees
and tariff meters. Connection fees and tariff meter costs will be borne by Employer.

3.2 33/11 kV Primary Substation Electrical Works

3.2.1 Employer has provided a layout of the asphalt roads in Exhibit “E” [Drawings]. The
performance requirements for the proposed roads are provided in Exhibit “D”, Part 2
[Specifications]. All works shall comply with
ADM/ADDC/TRANSCO/TAQA/RSB/DOT/AD QCC and all other Authorities
specifications.

3.2.2 Contractor shall undertake all works associated with the design, procurement,
construction, installation, testing and commission of the 33/11 kV substation and it’s
infrastructure. Contractor’s scope includes, but is not limited to, the following:

 Site clearance

3.2.3 33/11kV SCMS works shall be carried out as per ADDC standards and specification.

3.2.4 As per ADDC guidance SCADA integration to be performed with ADDC DMS control
Center with FO communication and GPRS communication if require.

3.2.5 In addition to SCMS works redundant historian servers shall be provided with
engineering station and workstations for historical data archives,

3.2.6 The historian server shall have the redundant communication with all IEDs

3.2.7 All 33kV incomer feeder metering CT/VT accuracy shall comply with ADDC and RSB
Standards, Specifications and requirements, hence 33kV incomer panel shall have
dedicated CT/VT core for Main and Check meter. In comer Tariff CT accuracy shall be
0.2S and VT shall be 0.2

3.2.8 All 11kV outgoing CT shall be 0.5 Class accuracy for tenant metering purpose, similarly
all other 33kv, 11kv CT/VT local metering, protection accuracy and burden shall meet
the ADDC specs.

3.2.9 Incomer 33kv VT shall be stand alone with dedicated panel for easy maintenance, plug
type VTs are not acceptable.

3.2.10 Substation/Plant SCMS operation, Local operation Protection scheme, interlock


scheme, Transformer parallel operation, Common alarm shall comply with Exhibit “F”
Drawings and ADDC specifications and standards.

3.2.11 Substation accessories shall be provided as per ADDC standards and specification for
example SCMS accessories, SF6 Gas handling unit (Complete set), Dummy plugs and
testing cables, CB trolleys, test plugs etc., For battery room require accessories to be
provided.

3.2.12 All design calculation shall be carried out as such Short circuit, Load flow, Earthing,
Lightning, Harmonic analysis, relay coordination and setting adoption.

3.2.13 Contractor shall follow ADDC procedures for commissioning and energization. During
the testing and commissioning OEM engineer must be available at site relevant ADDC
competency certificate for each category of testing.

3.2.14 33kv and 11kv Switch gear testing shall be carried out after successful commissioning
of 110V DC system for control power supply. Hence contractor will be responsible for
DG power source for 110V DC commissioning until substation energization.

3.2.15 Contractor shall be responsible to address the correct numbering of the new 33/11kV
substation and the exact location as part of its design scope.

3.2.16 Load Demand Notification submission to ADDC further all necessary coordination to be
completed i.e., STEP1 to STEP 5 procedure until energization shall be Contractor scope
of work.

3.2.17 Since the source of power shall be coordinated with ADDC/Transco, Contractor shall
be responsible to coordinate with Authorities as part of the design development to
identify the proposed routing and obtain all the necessary approval for the 33 kV cables
and FO cables with the corridor routing and crossings. Upon obtaining the approval,
Employer will provide instruction to proceed with the Optional scope of works as

described in Section 4 of the Scope if works. For clarity, all the works inside and around
the Substation plant is under contractor scope of work.

3.2.18 Contractor shall carryout all the necessary trail pits, site surveys and coordination as
part of this works and this is to be carried out as a base scope of works.

3.2.19 For indicative purposes, an example of existing configuration of the 33/11 kV


substation is shown in drawings under Exhibit “E” as per the below drawings,

3.2.20 Contractor shall be responsible for testing and commissioning (startup), power on /
energization, and turnover of the Works. This includes but is not limited to:

 All coordination with ADDC and relevant authorities to ensure on time, safe and
compliant energization
 Contractor shall follow ADDC procedures for commissioning and energization.
During the testing and commissioning OEM engineer must be available at site
relevant ADDC competency certificate for each category of testing.
 33kv and 11kv Switch gear testing shall be carried out after successful
commissioning of 110V DC system. Hence contractor will be responsible for DG
power source for 110V DC commissioning until substation energization.
 Testing and Commissioning (start-up) Plan (including training program for end-
users / maintainer)
 Construction testing (statutory tests)
 Pre-commissioning or pre-operational testing (component tests)
 Commissioning tests (system cleaning and initial system operations)
 Start-up and integrated system operations testing
 Performance testing (verification of specifications)
 Training of end-users / maintainers
 Operations and Maintenance manuals that include, but are not limited to, all
records of tests performed
 Contractor shall follow ADDC procedures for commissioning and energization.

3.2.21 Contractor shall maintain the Permanent Works in accordance with the Contract,
including the provision of Operation and Maintenance manuals, up to the date of issue
of the Taking-Over Certificate for the whole of the Works. Contractor's Personnel for
the maintenance element of the Works shall include a continuation of sufficient
personnel who were present during execution of the Permanent Works with detailed
knowledge of the associated elements of the Permanent Works.

3.2.22 Contractor shall be responsible to obtain all the required authorities approvals from
ADM/DOT/ADDC for the proposed roads.

3.2.23 Contractor shall be responsible to survey the existing levels, roads at tie in location and
as per the proposed road/building levels. Any modifications, removal and relocations
required to the existing roads, road furnishes, and utilities shall be carried out by
Contractor.

3.2.24 Details of the existing and proposed tie-in locations are indicative only and shall be
verified and developed by Contractor to the approval of Employer during the design
development phase.

3.2.25 Employer will provide the Affection Plans from ADM, for which purpose, Contractor
shall produce plans showing the Electrical substation compound and cable route
corridors locations with coordinates of the boundaries. Employer will advise on
appropriate building numbering.

3.2.26 Contractor shall liaise with Employer and relevant stakeholders and record meetings
to enable Contractor to confirm the following:

 Interfaces between this Contract and other contracts for shared access to the
utility corridors
 Interfaces between this Contract and Ports Operations for shared access to
public roads and other Port areas
 Interface with the Taweelah Power Plant and/or KIZAD KP4 Grid station for laying
of 33 kV cables, their routing inside the Taweelah Power Plant and/or KP4 Grid
station and terminations to the connection points inside the Taweelah Power
Plant
 Interface with any other relevant stakeholders for any other aspects related to
the Works subject to this Contract
3.2.27 Design and Construction supervision consultant must have ADDC approval for 33/11kV
primary substation installation, testing and commissioning works with previous track
record. Supervision consultant shall be available full time at site with each discipline
engineers till completion of the construction period and commissioning engineer shall
be available until successful energization of the substation.

3.2.28 Design and construction supervision consultant shall be responsible for ADDC
coordination regarding any design discrepancies, non-compliances, deviations and
etc., for obtain all approvals.

3.2.29 Design and supervision consultant shall be responsible for testing witness of FAT, SAT
and any other witness require as per ADDC standards and specification.

3.2.30 Contractor shall be responsible for the design of the MV (33 kV cables)/FO cabling
network including all the Authority approvals as part of the base scope of works.

3.2.31 Contractor shall investigate the existing 3 MV (33 kV cables) and 2 FO cables from the
from Taweelah Grid Station to the Building 55 roundabout area and possibility of
utilizing the same for the proposed substation with the extension. Contractor shall
carryout all the necessary works including the detailed report which will cover the
location, condition of the cable with the necessary rectification measures/replacement
works which are required to be carried out.

3.2.32 All the rectification/replacement works of the existing cables are not part of the
Contractor scope of works which shall be dealt separately in accordance with the
Contract after the completion of the investigation works.

3.2.33 For the existing cables, Contractor shall be responsible for carrying out all site surveys,
trail pits, cable detection, testing, verification, condition checks, identification of the
routes to ensure that the existing cables locations and its conditions. All shall be
coordinated with the Transco/ADDC for the necessary work permits and approvals.

3.3 Soil Investigation

3.3.1 The scope of these Works shall include soil investigation, compilation, organization,
and evaluation of data from field investigations and laboratory testing. It shall include
geotechnical analyses and evaluations pertaining to foundation recommendations and
design criteria. CONTRACTOR shall prepare and submit the below to EMPLOYER for
review and approval:

 GI Factual reports (in accordance with all relevant Authority requirements)


 GI Interpretative report (in accordance with all relevant Authority requirements).
This report shall make detailed design recommendations which will include but not
limited to all pertinent geotechnical parameters to be used in the design for utility
structures, road embankments, cut and fill slopes, dewatering system and
pavements. These parameters shall include, but not limited to, the following:
a) Soil and rock unit weight and strength and stiffness properties.
b) Bearing capacities, settlements and modulus of subgrade reaction for
footings and slabs.
c) Bearing capacities and settlements for applicable pile types (if any)
d) Groundwater level

 Geophysical Survey reports (in accordance with all relevant Authority requirements)
3.3.2 CONTRACTOR shall be responsible for obtaining all necessary authority
approvals/NOCs for undertaking the Ground Investigations (GI). CONTRACTOR shall be
responsible to ensure that all the GI works are undertaken in accordance with the
requirements of Abu Dhabi Municipality (ADM) and any other relevant Authorities.

3.3.3 CONTRACTOR shall appoint a GI subcontractor for performing the works and obtaining
the required permits and approvals. CONTRACTOR shall be responsible for managing
all the activities associated with the permitting process of the GI works leading up to,
and including, the approval of GI reports.

3.3.4 Number of boreholes & trial pits, depth of bore holes and type of investigation shall be
as per the relevant authority requirements.

3.4 Earthworks

3.4.1 Contractor shall construct the earthworks, cable berm, surcharge fill and importation
of engineering fill material as necessary to achieve electrical substation compound and
cable route surface levels.

3.4.2 The execution of earthworks backfill to electrical substation building, electrical


substation compound and construction of the cable berm is to be compliant with ADDC
applicable Standards, Specifications and requirements.

3.4.3 Excess or unsuitable ground material shall be removed, transported and placed /
disposed of as follows:

 Material that complies with Employer's requirements for acceptable fill shall be
either reused in the Permanent Works or transported to locations specified by
Employer. Such material shall be stockpiled to levels agreed with Employer.
 Material that does not meet these requirements may be used by Contractor in
Temporary Works or shall be disposed of offsite by Contractor to areas approved
by Employer including ADM-licensed disposal sites where required.
3.4.4 Retention and protection of any surcharge or associated settlement monitoring
equipment by previous contracts if Employer requires the continuation of such works
subsequent to Employer granting Contractor access to the Site. Contractor shall seek
and gain Employer's agreement before any monitoring equipment is removed.

3.5 Compound Wall and External Works

3.5.1 Contractor shall design, construct, supply and install all elements of the 33/11kV
electrical substation compound, in accordance with the ADDC applicable Standards,
Specifications and requirements including, but not limited to:

 Permanent Access Road


 Interlock paved roads and associated sub structures including all the elements
 Finish grading, sub-base, base, kerbs and paving
 Marking and striping
 Area Lighting
 Fencing, barriers and gates
 Road signage
 Parking areas and all other pavements
 Surface water drainage
 Footpaths (sidewalks)
 Protective bollards
 Building compound perimeter and interior security fencing, gates and barriers
 Utilities and other associated MEP services, protection and containment works

 Tie-in all building and building compound utilities, including but not limited to
potable water, telecommunication, sewage collection and storm water drainage,
to the existing/proposed network. Tie-in points for the utilities will be specified
later for the following
o Potable water tie-in works
o Telecommunication tie-in works
o Sewage collection tie-in works
o Storm water drainage tie-in works
3.5.2 Contractor is responsible for the construction, maintenance, alteration, removal and
restoration of all required temporary accesses and roads for the performance of the
Works. Access shall be provided by Contractor for all other contractors for the Project
and others who are permitted by Employer to access and work on the Site. Temporary
roads are not for the exclusive use of Contractor. These requirements shall include, but
not be limited to, temporary laydown areas, access gates and security, access roads,
construction access roads, etc.

3.5.3 Contractor shall supply and apply all road markings and place al road signage, traffic
calming and wayfinding, in accordance with the design and in compliance with
Authority requirements.

3.5.4 Contractor shall refer to Exhibit D Part 2 for the specifications for the Access road and
paving works in the substation compound. Pavement layer section shall be as below,

 80/60 mm heavy duty rectangular interlock pavers, 45-degree herringbone


pattern (80 mm for traffic areas and 60 mm for the pedestrian areas)
 Color of the paver shall be grey for traffic areas and red for the pedestrian areas
 30 mm bedding sand
 250 mm compacted subbase to minimum CBR of 125%
 Subgrade compacted to minimum CBR of 30%
 Flush and raised kerbs

3.6 Building Works

3.6.1 Contractor shall design, construct, supply and install all elements of the 33/11kV
electrical substation building, in accordance with the ADDC/TAQA applicable
Standards, Specifications and requirements, including, but not limited to:

 33kV switch gear room, 11kV switchgear room, LV switch gear room, SCMS/
Control room
 LVAC switchgear room, Battery room, HVAC room, DMS room,
 Firefighting pump room and associated tank works
 Potable water pump room and associated tank works
 Transformer bays and 11kv Capacitor bank and Reactor shed etc.
 All Utility rooms including cable cellar room
 Internal road work, Street light poles

3.6.2 The building shall be deemed ‘weather tight’ when it is secured against the climatic
elements, i.e. wind, rain, temperature. Contractor shall confirm that installation of
equipment and plant / fit out of the building can occur without risk of damage to
equipment.

3.6.3 Contractor shall be responsible to obtain all the NOC’s, approvals, Building permit and
Building Completion Certificates for the proposed building and utilities. All the
necessary approvals for the utility corridors for the cable routing shall also require to
be obtained by the Contractor.

3.6.4 Contractor shall note that pile is not required for the proposed structure. Contractor
shall consider all the necessary ground improvements to design with the raft structure.

3.6.5 Contractor shall note that the proposed substation finished paving level (driveway
areas) inside the substation compound shall be min +4.428 ADD (+5.515 LAT).
Proposed reclamation level for the substation area is +4.078 ADD (+5.165 LAT).
Contractor shall develop the road layout and levels based on this and subject to
ADM/ADD/DOT approval.

3.6.6 Contractor shall develop the drawings and details for the Detailed Planning Approval
such as layouts, elevation and utility demand for the KIZAD approval prior to proceed
with the Building Permit approvals.

3.7 MEP Works

3.7.1 Contractor design, construct, supply and install all utilities, mechanical, electrical and
plumbing (MEP) systems and all other associated Services, Protection and Containment
Works within the 33/11kV electrical substation, but not limited to:

 All earthworks, civil, mechanical, dewatering, and other associated works as


required to install the system
 Concrete encased road crossing ducts/traffic areas
 11kV and 400V components
 Low voltage power system including small power outlets
 Lighting system
 Emergency lighting system with the Centralized monitoring system

3.7.2 All Works shall be executed in accordance with ADM/ADDC/ADWEA/AD QCC
applicable Standards, Specifications and requirements.

3.7.3 Contractor shall ensure that all telecom materials and/or equipment complies with the
current technical specifications of ETISALAT.

3.7.4 All Works shall comply with the applicable ETISALAT and AD QCC specification
requirements, unless otherwise stated in the relevant sections of this document.

4.0 OPTIONAL SCOPE


4.1 OPTIONAL SCOPE 1 – MV and FO Cabling Works from Taweelah Grid Station /
Extension from South Quay & Building 55

4.2.2 All works shall be in accordance with the ADDC/TAQA applicable Standards,
Specifications and requirements, including, but not limited to:

 All earthworks, civil, mechanical, dewatering, and other associated works as


required to install the system
 All the required works for cable laying including all associated elements,
termination, testing and commissioning works to achieve fully functional MV and
FO cable network to energize the substations
 Approvals, NOC’s and permits for the works
 33 kV cable – 1 runs of 3CX300 mm2 copper cable from KIZAD KP4 Grid Station to
the proposed 33/11 kV substation (apx. Length refer to Exhibit E [Drawings]

4.2.3 For clarity, the above requirements shall be executed lumpsum works for MV cable and

4.2.4 Contractor shall provide unit rates for MV cables and FO cables for the increase or
decrease of the cable length for this scope of works.

4.2.5 For clarity, Contractor shall be responsible for the design of the MV/FO cabling network
including all the Authority approvals as part of the base scope of works.

4.3 OPTIONAL SCOPE 3 – MV and FO Cabling ducts (Cut and Cover method)

4.3.1 Contractor shall note that the cut and cover method might be required in some of the
road sections where there are no existing/sufficient ducts are available. Contractor
shall be required to provided unit rates as below for the cut and cover works expected
for the external cabling works.

4.3.2 All Cut and cover duct works shall be in accordance with the ADM/ADDC/TAQA
applicable Standards, Specifications and requirements, including, but not limited to:

required to install the system

 Survey works

4.3.3 For clarity, Contractor shall be responsible for the design of the MV/FO cabling network
including all the Authority approvals as part of the base scope of works.

4.4 OPTIONAL SCOPE 4 – MV and FO Cabling ducts (HDD method)

4.4.1 Contractor shall note that the HDD method might be required in some of the road
sections where there are no existing/sufficient ducts are available. Contractor shall be
required to provided unit rates as below for the cut and cover works expected for the
external cabling works.

 Sleeves for the cables (sleeves for 5 MV power cable and 2 FO cables with
additional 120% ducts spare ducts for future cables)
o HDD sleeves – 300 m length (3-4 crossing locations as tentative)
4.4.2 All HDD works shall be in accordance with the ADM/ADDC/TAQA applicable Standards,
Specifications and requirements, including, but not limited to:

 All earthworks, civil, mechanical, dewatering, and other associated works as


required to install the system
 Drilling and receiving pits
 Sleeves for the proposed cable and for future cables
 Grouting works

4.4.3 For clarity, Contractor shall be responsible for the design of the MV (33 kV cable)/FO
cabling network including all the Authority approvals as part of the base scope of
works.

5.0 INTERFACES
5.1.1 The primary parties which Contractor shall interface directly with Authorities, Asset
Management and Health, Safety, Environment and Security teams to provide
information and updates on Contractor’s operations and works within the area of
Khalifa Port. Contractor shall ensure such access and egress do not negatively affect
any of Khalifa Port and Operators.

5.1.2 Such interfacing shall also include the provision of forecasted requirements permits to
work, temporary works affecting the existing Khalifa Port infrastructure and general
coordination.

5.1.3 Contractor shall be required to interface directly with the Authorities for the necessary
permits, approvals to carry out the works. This shall include but not limited to ADM,
TPD, ADDC, ADWEA, ADCD, ETISALAT, TRANSCO etc.

5.1.4 As part of the execution of the works, Contractor shall be required to directly interface
with the following existing Contractor and Plot investors

 Marine Works Contractor – NMDC


 Topside Works Contractor – Al Nasr
 Abu Dhabi Ports Asset Management Contractor
 Any other Contractor working in the vicinity

6.0 CONTRACTOR PROVIDED EMPLOYER’S FACILITIES


6.1 Office Space

6.1.1 Within Contractor’s temporary facilities, Contractor shall provide office/desk


accommodation with furniture for four (4) of Employer’s personnel. Such office/desk
accommodation shall be in four (4) separate rooms from Contractor’s personnel and
these shall be lockable when not in use and shall have lighting, electricity, internet
connections and air conditioning available. Each rooms shall accommodate 1 work
desk and 2 visitor chairs

6.1.2 Contractor shall be responsible for cleaning and servicing the office location and
Employer’s personnel shall be able to use the common facilities in Contractor’s office
(kitchen, toilets, printing facilities, etc.)

6.2 Employer vehicles

Not required.

7.0 Employer Provided Facilities
7.1 Work areas

7.1.1 Employer will provide timely documented transfer of responsibility for the work areas
to Contractor to enable the execution of the Works. Such transfer of responsibility may
occur in its entirety or in separate transfers depending on Contractor’s and Employer’s
requirements.

7.1.2 Contractor shall be responsible for ensuring that its activities are contained at all times
within the work areas, with the exception of agreed access and egress routes.
Contractor shall also be responsible for securing the work areas to prevent
unauthorized access by others.

7.1.3 Transfer of responsibility back to Employer shall also be documented. In the case of
completed work, such transfer shall be documented via Employer’s Taking Over
Certificates. In the case of incomplete areas required to be transferred back to
Employer for operational requirements, such transfer shall be documented accordingly
without any acceptance of the incomplete work.

7.2 Temporary Facilities Area

7.2.1 Employer shall provide an area for Temporary Facilities.

7.2.2 Transfer of responsibility for the temporary facilities area to Contractor shall be
documented via Employer’s approval of the pre-mobilization survey.

7.2.3 Contractor shall be responsible for any activities required in order to make the
Temporary Facilities area usable including arrangement of temporary utilities for the
temporary facilities.

7.2.4 Transfer of responsibility to the Temporary Facilities area to Employer shall be


documented via Employer’s approval of the demobilization survey.

8.0 PERMITS AND NO-OBJECTION CERTIFICATES (NOC’S)
8.1 Employer Provided

8.1.1 Employer’s general “No Objection” to the work is provided in the form of this Contract
and further NOC request from Employer for the work shall not be required.

8.1.2 Employer provided the NOC’s and approvals in the Exhibit F [Information].

8.1.3 For all elements of the Works to be executed by Contractor, Contractor shall arrange
the necessary approvals and NOC’s from the Authorities. For clarity, Employer will not
appoint any Consultant for the approvals required to be obtained by the Contractor.

8.2 Contractor Provided

8.2.1 Contractor shall be responsible for undertaking all activities necessary in order to
obtain any required approvals, permits and NOC’s in order to be able to execute the
Works through Authority approved Consultant and/or Supervision Consultant.

8.2.2 Contractor shall appoint a stakeholder approved design and supervision consultant(s)
who will approve all Contractor design and construction documents that require
Stakeholder approvals. The Supervision Consultant shall be approved by the Employer
and the relevant Stakeholder and be fully authorized to supervise the Works or any
part thereof.

8.2.3 Contractor shall carry out any aspect of the design to be verified by an Independent
Checking Engineer (ICE) In the event of any Authority or Stakeholder requirement.
Contractor shall appoint the third party for the structural design, electrical system
studies, road safety audits and reports.

8.2.4 Contractor’s supervision consultant shall require attending the Factory Inspection
Tests (including outside UAE) which is considered as part of the Contractor’s scope of
works. All the costs associated with these inspections are considered as part of the
Contractor Scope of Works.

8.2.5 Employer and Authorities will attend the Factory Inspection Tests for all the material
(associated with the Electrical systems and cables etc.). All the associated costs for the
same are included in the Contractor Scope of Works.

8.2.6 Any equipment’s and elements which are waived by the Authorities for the Factory
Inspection Tests (outside the UAE) shall be witnessed and approved by the third party
appointed by the Contractor as part of the Contractor scope of works . Third party
entities shall be approved by the respective Authorities and shall be approved by
Employer.

PROGRESS MEASUREMENT PROCEDURE

1.0 PROGRESS MEASUREMENT PROCEDURE

1.1 BASIS OF MEASUREMENT

Progress measurement shall be based upon the physical progress against each of the
activities / sub-activities and deliverables according to a set of weighted values, allocated
according to the effort required to complete. For working out the weightage of various
activities within each area and within each phase of the Contract, the following basis will be
used:

a) General & Home Office Services - Estimated Man-hours


Manufacturing & Delivery (Civil items and other SITE - Cost
b)
procured small items excluded)
Construction - Man-hours,
c)
Quantities, and/or
Cost

Relative weightings for developing the overall S-Curves against the above three phases and
for each area shall generally be in line with the weightage set out in this Attachment. The
same may however be modified if required, in consultation with Employer, based on the
actual workloads.

1.2 WEIGHTED VALUE SYSTEM


Each activity or deliverable listed in the lowest level of the Progress Measurement System
will be assigned estimated man-hours/ cost depending on the estimated work content.

Activity or deliverable weight factors will be computed based on the estimated man-
hours/cost as a fraction of the total man-hours/cost for each Area / Phase / Discipline etc.
and for the whole Contract.

The weight factors thus computed will be rolled upto the higher levels by Area / Phase /
Discipline etc. in line with the agreed Work Breakdown Structure (WBS).

1.3 PROGRESS MEASUREMENT


In case of Project Management activities, progress against each activity / sub-activity level
shall be based on the overall % of completion of the Construction, Pre-commissioning and
Commissioning milestones.

In case of Mobilization and Demobilization of temporary facilities, progress against each


activity / sub-activity level shall be based on assigning certain pre-defined % progress
representing the achievement of specific intermediate milestones required to complete the
activity.

In case of Construction, Pre-commissioning and Commissioning, progress against each


activity / sub-activity level shall be measured based on the quantity of work completed as a
percentage of the total quantity of work to be completed.

Total progress of each Contract Area / Phase / Discipline etc. shall be computed by
multiplying the activity % progress by its weight factor and thereafter summing up the
products.

Issue of any deliverable at an intermediate milestone stage does not automatically mean
achievement of the said milestone progress. Contractor’s Progress Measurement System
shall make necessary allowance for deduction of weighted progress if deliverables are
rejected by Employer as not being of the required standard.

Overall progress of the Contract shall be calculated by integrating the progress against each
Contract Area / Phase / Discipline etc. as described above.

1.4 PROGRESS MEASUREMENT / WEIGHTAGE SYSTEM PROPOSED FOR THE PROJECT


Details of weighted values for the various major activities proposed to be followed for
progress measurement for various levels of Progress Reporting are provided in
Attachment-i. In addition, proposed progress weightage for intermediate progress
weightage below the last level in Attachment-A for each item shall be agreed by the Parties
after the award of the Contract.

Any change to the progress weightings on account of a Change to the Scope of Works or
the Contract will be agreed at the time of executing the Change Order and incorporated into
the Contract.

1.5 GENERAL
Following activities will not be assigned a separate weightage. This would mean that the
man-hour requirements against the following activities will not be considered for progress
computation:
a) General Items (Insurances, Permits & Fees and Bank Guarantees)
b) Home Office Services
c) Project Controls.
d) QA/QC
e) Mobilization / Demobilization of Construction Plant and Equipment.
