Điều 63. Điều chỉnh Giấy
chứng nhận đăng ký đầu tư
ra nước ngoài
1. Nhà đầu tư thực hiện thủ
tục điều chỉnh Giấy chứng
nhận đăng ký đầu tư ra nước
ngoài trong các trường hợp
sau đây:
a) Thay đổi nhà đầu tư Việt
Nam;
b) Thay đổi hình thức đầu
tư;
c) Thay đổi vốn đầu tư ra
nước ngoài; nguồn vốn đầu
tư, hình thức vốn đầu tư;
d) Thay đổi địa điểm thực
hiện hoạt động đầu tư đối
với các dự án đầu tư yêu cầu
phải có địa điểm đầu tư;
đ) Thay đổi mục tiêu chính
của hoạt động đầu tư ở nước
ngoài;
e) Sử dụng lợi nhuận đầu tư
ở nước ngoài theo quy định
tại điểm a và điểm b khoản
1 Điều 67 của Luật này.
2. Nhà đầu tư phải cập nhật
trên Hệ thống thông tin quốc
gia về đầu tư khi thay đổi
các nội dung khác với quy
định tại khoản 1 Điều này.
3. Hồ sơ điều chỉnh Giấy
chứng nhận đăng ký đầu tư
ra nước ngoài bao gồm:
a) Văn bản đề nghị điều

Article 63. Opening an
account of outward investment Certificate of Foreign
capital
Transfer of money from
Vietnam to abroad and from
abroad to Vietnam pertaining
to outward investment must be
made via a separate account
opened at a permissible credit
institution in Vietnam and
registered at the State bank of
Vietnam in accordance with
regulations of law on foreign
exchange management.
Article 63. Amendment of
Investment Registration
1. Investors shall undertake
procedures to amend the
Certificate of Foreign
Investment Registration under
the following circumstances:
a) Change of Vietnamese
investor;
b) Change of investment form;
c) Change of foreign investment
capital; capital source,
investment capital form;
d) Change of investment activity
location for projects requiring
investment location;
đ) Change of main objective of
foreign investment activity;
e) Use of investment profits
abroad as stipulated in points a
and b, Clause 1, Article 67 of
this Law.
2. Investors must update the
National Investment
Information System when
changing other contents not
regulated in Clause 1 of this
Article.
3. The dossier for amending the
Certificate of Foreign
Investment Registration
includes:
a) Request for amendment of
the Certificate of Foreign
Investment Registration;
b) Legal status documentation
of the investor;
c) Report on the project's
activities up to the time of

điều chỉnh tăng vốn đầu tư
ra nước ngoài. Thời điểm
xác nhận của cơ quan thuế
là không quá 03 tháng tính
đến ngày nộp hồ sơ.
4. Bộ Kế hoạch và Đầu tư
điều chỉnh Giấy chứng nhận
đăng ký đầu tư ra nước
ngoài trong thời hạn 15
ngày kể từ ngày nhận được
hồ sơ quy định tại khoản 3
Điều này.
5. Đối với các dự án đầu tư
thuộc hiện chấp thuận chủ
trương đầu tư ra nước ngoài,
khi điều chỉnh các nội dung
quy định tại khoản 1 Điều
này và khoản 8 Điều 57 của
Luật này, Bộ Kế hoạch và
Đầu tư thực hiện thủ tục
chấp thuận điều chỉnh chủ
trương đầu tư ra nước ngoài
trước khi điều chỉnh Giấy
chứng nhận đăng ký đầu tư
ra nước ngoài.
6. Trường hợp đề nghị điều

of tax obligations by the
investor in case of increasing
foreign investment capital. The
confirmation timing by the tax
authority shall not exceed 03
months from the date of
submission.
4. The Ministry of Planning and
Investment shall amend the
Certificate of Foreign
Investment Registration within
15 days from the date of
receiving the dossier specified
in Clause 3 of this Article.
5. For projects falling under the
scope of investment approval
for foreign investment, when
amending the contents specified
in Clause 1 of this Article and
Clause 8 of Article 57 of this
Law, the Ministry of Planning
and Investment shall carry out
procedures to approve the
amendment of the foreign
investment approval before
amending the Certificate of
Foreign Investment
Registration.
6. In case the application for

thì có thẩm quyền chấp
thuận điều chỉnh chủ trương
đầu tư ra nước ngoài. Cơ
quan, người có thẩm quyền
quyết định đầu tư ra nước
ngoài thì có thẩm quyền
quyết định điều chỉnh nội
dung quyết định đầu tư ra
nước ngoài.
8. Trường hợp đề nghị điều

Article 64. Transfer of
outward investment capital
1. An investor may transfer
outward investment when the
following conditions are
satisfied:
a) The Certificate of outward
investment registration is
granted, except for the case in
Clause 3 of this Article;
b) The investment has been
approved or licensed by a
