(the Recipient)

This Non-Disclosure Agreement ("Agreement") is entered into between PRO Solutions

and Services ("Company") and MR.SOORAJ RAJAN ("Freelancer"), collectively referred
to as the "Parties", effective as of 22.04.2024.

1. Purpose

The Parties intend to engage in a business relationship where the Freelancer will provide
social media marketing services to the Company. In connection with this engagement,
both Parties may disclose certain confidential information.

2. Definition of Confidential Information

Confidential Information refers to any data or information that is proprietary and not
publicly known by third parties. This includes but is not limited to trade secrets, client lists,
marketing strategies, financial data, customer information or any other information that
has been identified as confidential by either Party.
3. Obligations of Confidentiality

a) The Freelancer agrees not to use any Confidential Information for personal gain or
disclose such information without the prior written consent of the Company.

b) The Freelancer agrees to take all necessary measures and precautions to protect
the Confidential Information from unauthorized disclosure.

c) The obligations of confidentiality shall continue even after termination or completion

of the engagement between both Parties.

4. Exceptions

The obligations set forth in this Agreement shall not apply in cases where:

a) The disclosed information was already known by the receiving Party before its
disclosure.

b) The disclosed information becomes part of public knowledge through no fault of

either Party.

c) Disclosure is required by law or court order; however, prior notice shall be given by
the receiving Party if legally permissible.

5. Return of Materials

Upon termination or completion of services provided under this Agreement (whichever

occurs first), all materials containing Confidential Information shall be returned promptly
upon request by either Party.

6. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with laws

applicable in Sultanate of Oman. Any disputes arising out of this Agreement shall be
resolved within relevant courts located within Oman.

7. Entire Agreement

This Agreement constitutes the entire understanding between both Parties concerning
confidentiality and supersedes all prior agreements whether oral or written related
thereto.

8. Severability

If any provision of this Agreement is deemed invalid or unenforceable by a court of

competent jurisdiction, the remaining provisions shall remain in full force and effect.
9. Waiver

The failure to enforce any provision of this Agreement shall not be considered a waiver
of such provision or any other provision.

10. Counterparts and Electronic Signatures

This Agreement may be executed in counterparts, each of which shall be deemed an

original but all of which together shall constitute one instrument. This Agreement may
also be executed electronically, with electronic signatures having the same legal effect
as original signatures.

IN WITNESS WHEREOF, the Parties hereto have duly executed this Non-Disclosure
Agreement as of the date first above written.
