1. Name
Company name is “PAKISTAN COTTON FASHION APPAREL MANUFACTURERS & EXPORTERS
ASSOCIATION” abbreviated as “PCFA”.

2. Registered Office
The Registered Office of the PCFA will be situated in the province of Sindh at Karachi and
Zonal office at Karachi and Lahore and Quetta, Branch office will be in any other town of
Pakistan.

3. Area of Operations
The company will function in whole Pakistan.

4. Business Aims and Objects

4.1 Principal line of Business

 PCFA will provide best facilities ,encourage, secure and maintain good and
long lasting relationship between members and the trade and promotion and
protection of their business interests, and will do all necessary things for
development of Cotton Fashion Apparel Manufacturers & Exporters.

4.2

 Will consider every problem and will question challenges to the trade and
its members and give advice for solving these problems.
 Collection and circulation of statistics and other specific information
relating and of interest to the company of its members.
 Publishing or encouraging and supporting publications or any other
related information, considered beneficent and useful to the trade.
 Will take possible steps needed for starting, supporting, and promoting
also opposing any measures creating trouble for the company and its
members.
 Creating representations for communicating with provincial, Federal,
local, and other authorities, both private and Government, on any matter
creating problem for company and its members.

 To settle down the disputes arising among members and resolve

controversies between members.

 To get in the hand of safe custody or aim for the purpose of business,

 To suggest and help the Government in the making of useful policies and support

 them in their successful implementation.

 To any measures for the uproot of unethical practices during business, trade and
industry.

 To subscribe and become one of the member of the FPCCI (Federation of

Pakistan Chamber of Commerce and Industry)

 To make and help in the creating the rules of practice for simplifying and
facilitating the company and of its members.
 To have a Pre-shipment Inspection team for Garments under the nominated
Government Agency according to the instructions given by the Government.
 Business shall not use any unlawful mean for earning.
4.3

 Selling, improving, managing, developing, exchanging, leasing, mortgage,

disposing off, turning to accounts, and dealing with all part of the properties and
rights of the company. All procedures will go through accounts of the
Association.
 Accepting gifts, subscriptions and donations. Also create funds or to invest the
same for promotion of the Association.
4.4

 To give authority to Zonal Branch Offices for retaining percentage of yearly

membership fee

 Providing all possible aids to members of the company in developing and

organizing the cottage industry..
4.5

 To encourage for increasing Pakistan’s exports of Cotton Fashion Apparel

including both Folk lore and handmade clothing

 To conduct yearly Cotton Fashion Apparel events for attracting foreign buyers to
visit Pakistan with the approval of Managing Committee.

4.6

 To make signs, seals, executes and deliver all the instruments, documents, deed
and writings everything which is necessary or have relation to the objects of for
interest of the Association.

 5. Property and Income
 Both the property and income, of the company will be used for the promotion of the
aims and objects of the company, as mentioned in the Memorandum of Association
and no portion will be paid and transferred indirectly or directly, by mean of dividend,
bonus or mean of profit to the members of the company or any person.
 Provided that nothing will prevent the payment of remuneration to any employee or
officer of the company or to any member or other person in return for services
rendered to the company.

6. Condition of License
 Changes, Amendments and alternations in this Memorandum of Association should
also be the concern by the approval of the Government, Ministry of Commerce, and
Government do have powers to make changes viewing the public interest.
We, different persons whose names and addresses are subscribed are agreeing for the
membership of this Memorandum of Association of the Exchange.
